I, JOHN F. BLAS, in my capacity as Executive Director of the Guam Election

Commission ("GEC") do hereby declare as follows:

1 . I am the Executive Director of the GEC and I am over the age of majority

and competent to testify to the contents herein if called as a witness.

2. Attached hereto as Exhibit "A" is a true and correct copy of the list of

winning candidates of the September 2010 Primary Election that were certified by the

GEC for the November 2010 General Election. This list of candidates was compiled by

the GEC and were thus included in the November 2010 General Election ballots.

3. Attached hereto as Exhibit "B" is a true and correct copy of the official

results Summary Report of the 2010 General Election held on November 2, 2010 based

on the electronic count conducted by the GEC on the same day.

4. Attached hereto as Exhibit "C" is a true and correct copy of the official

Meeting Minutes of the November 6, 2010 certifying the official results of November 6,

2010 recount. The November 6,2010 Meeting Minutes have been approved by the GEC

at its November 26, 2010 meeting.

5 . Attached hereto as Exhibit "D" is a true and correct copy of the

November 6, 2010 Certified Official Results of the Guam Gubernatorial Election held on

November 2,2010.

6. Attached hereto as Exhibit "E" is a true and correct copy of my

December 23, 2010 Memorandum to the Board of Directors regarding the Commission

Members and their current status.

7. Attached hereto as Exhibit "F" is a true and correct copy of the

Republican Party Bylaws.

8. Attached hereto as Exhibit "G" are true and correct copies of the

Certificates of Election issued by the Commission.

4. Canvassing and Tabulation of General Election Blllots

Bill McCullough, On-site Technician with E U S , explainad the process and iaformed Members of thc Board and the Party Representatives of how the Recount will be conducted. Mr. McCullough stated that he will zero out the tabulating machines, and prirrt Reports indicating and showing Zero total. Board Members will review and sign off on Reports. The Tabulating machines will be running with Sort Option Zone. The foUuwing Options will be t u r d on: Blank Ballot; Over-Vote; d WriWIn. Mr. McCuflwgh informed the public that the tabulating machines will bs stopped when these ballots are sorted then given to the Resolution Board to determine voter intent. Mr. McCullough also stated that some ballots will be able to be resolved, some Ova-Votes won't, the Sort Option will have to be twned off to allow the ballot to be tabulated, once the ballot is tabulated the sort option will be turned back on and th+n tabulators will be able to p r o d to the next precinct. Mr. Mdullough also imtmcted T a b u b f s to ensure that when wt option is turned off for resolution, it must be tumcd back on Won they p r o d to the utxt precinct.

Member Mew infomed Members of the Board that the Republican Rqmentatives are requesting a Test Run wior to the onset of the Tabulation.

Madam Chair Alice Taijeron infixmed Membwu of the Board that the Test Run on the machines is not rejecting Write-in Ballots. Madam Chair Taijeron asked for Lesal Counsels assistance in determining incorporating the Write-In votes in the total count.

Legal Counad Cabot instructed Members of the Board that it is at their d i d o n to proceed on the Recount. Member Joshua Tenorio stated that the Write-Ins ate included in the 5W +1 total. Member Tenorio also statad that t h e are 285 Write -In, of that 165 an Republican WritgIns and 120 are Democrat Write-Ins.

Mr. Bill McCullough informed Members of the Board that the machines do count the oval in Write-Ins that are colored in; the machines dso identifj which precinct has Write-Ins.

Madam vice Chair Alice Taijercm reconvened after review of Retabulation of the umbers of November 2, 2010Member Joseph Mesa made a motion to certify the recount of the results presented to the Members of the Board, seccwd by Member fohn Terlaje. There were no discussion, dl were in favor, mfim pawed. Madam vice Chair Alice Taijeron informs both the Republican and the Democratic Party R e p r e ~ v e s that the results for the November 2,2010 Genera1 Election is officially certified with CalvolTenorio receiving 20,066 votes meeting the SW?4+l and Guticxrcz/Aguon receiving 19,579 and the results ftH the Delegate race will be addressed on Tuesday, November 16,2010 at 4:00 p.m.

PUBLICAN PARTY OF GUAM BY-LAWS

GENERAL PROMSIONS

Section 1. MEMBERSHIP APPLICATION (8) ADDliCati011 for P W Mcmbashi~. Any person who is entitled to vote in

Guam may become a member of the Republican Party upon signing the following declaration on an application for membership supplied by the State Central Committee:

"I am a Republican. I will support the principles of the Republican Party and abide by it. rules."

(b) A~ulication for Junior Party .Membershin Any person who is a U.S. citizen, who is not of legal age or qualified to vote, may apply for Junior Republican Party m m W p .

(c) A~~lication-for Associ8te biembershi~. Any person who is of legal age and who is not qualified to vote because of citizenship, may apply for Associate Republican Party membership. An Associate member is entitled to one vote, no proxy, in any meeting held within the organization, may be a member of any committee, but shall not hold any elective ofice.

(d) Membership Card. The State Centrd Committee may prescribe for a specified period and accordingly, the Executive Committee shall promptly provide, each new member of the Party with a membership card. Each membership card must bear the signature of the Party Chairmaa

Section 2. MEMBERSHlP ERHECTnTE DATE Membership shall become effective when an application, signed by the applicant and witnessed by a member of the Party, has ken received by the Executive Committee.

Section 3. POSITION OR OFFICE DEEMED VACANT (a) When an officer or delegate becomes ineligible to hold office by reason

of changing his voting precinct, his office shall be deemed vacant.

(b) Residence. The place where a member domiciles or votes shall be recognized as place of residence or voting precinct.

Section 4, TERMINATION OF MEMBERSHIP (a) Membership in the Republican Party shall terminate immediate1 y in any of

the following cases:

(I) Resignation;

(2) Joining of another political party;

(3) Forfeiture of membership as provided by these rules and regulations.

Section 5, TWO OFFICE RULE (a) No person shall, at the same time, hold more than one elective ofice

within the organization of the Republican Parly, An elective office under this paragraph shall mean:

(I) a Chairman or President;

(2) a Vice Chairman, Deputy Chairman or Vice President,

at any level of the Party organization.

Section 6, CONDUCT OF MEETING AND CONVENTION Robert's Rules of Order shall govern all meetings, conventions, and proceedings under this Party and its organizations.

Section 7. SPECIAL STATE CONVENTION Under dkmative written vote of two-thirds (213) of the State Central Cormnittee, a special State Convention shall be held.

Section 8. REMOVAL FOR CAUSE Any elected official of any organized body of the Republican Party may be r&oved fiom oflice for cause by the affiiative vote of two-thirds (Z3) of those present of the members of the body which elected said official to that office at a meeting duly called for that purpose.

Section 9. TENURE OF OFFICE (a) A1 elected officials of the State Central Committee shall serve for a term

of four (4) years, or until they resign or their successors have been elected, excepting as otherwise provided in these rules;

(b) All elected oficials or official delegates of the District Organization shall serve for a term of two (2) years, or until they resign or their successors have been elected, excepting as otherwise provided in these rules;

(c) All elected officials of the Republican Party of Guam shall serve no more than two (2) t m s in the same office, however, when a successor has not

been elected, officials shdl serve a maximum of two (2) terms plus one (1) year in the same office.

(d) Under Article I, Section 9(c), the State Central Committee shdl call an election meeting to elect officials for the unfilled or vacant offices.

(e) Vacancy bscribed. Whenever an elected official ceases to occupy the position or office for which he was elected through death, resignation, or abandonment, the position or oEce shall be deemed vacant.

Section 10. PARTY OPPOSITION: MEMBERSHIP FORFEITURlE Any member shall voluntarily fodkit membership in the Republican Party

when such a member openly and publicly supports any candidate for election in opposition to the candidate of the Republican Party, or who supports or combines with any political party or otherwise acts in such a manner as:

(a) to deprive the Republican Party of its duty and responsibility to organize any elective body in which it may have won a majority of the seats by election;

(b) to deprive the majority of the Republican members within any elective body of, or oppose them in, their right, ability, duty, or responsibility to organize said body in which the Republican members have won a majority of the seats by election.

Section 11. PARTY ENDORSEMENT No p m n shall be endorsed for appointive oftice, including appointments to a vacancy in an elective office, by the Republican Party who is not an active Republican, or who has within six (6) months prior to such endorsement:

(a) been a member of any other political party; or

(b) resigned or forfeited his membership in the Republican Party.

Section 12. J$XIOFFICIO MEMBER The chairman of the State Central Committee shall serve as an ex-oficio member of any and all committees with vote, unless otherwise indicated.

Section 13. 4 4 Any member may fill any position which is created by these rules except whm specified counterparts are set out or when the sense of the position requires one or the other sex.

Section 14. NOTICE OF MEETING A public, or by mail notice of all regular meetings must be made available to all members five (5) days prior to the date of the meeting. Notice of meetings is the responsibility of the organization's secretary,

Section 15. OUORU1M_ (a) One-third (l/3) of the members of any committee, but in no event less

than three (3), shall be a quorum for any meeting;

@) One-third (1/3) of all r e g i s t 4 members of a District Organization and one-third (113) of all State Central Cammime members shall be a quorum for the District and State Central Committee meetings respectively;

(c) One-fourth (114) of all properly elected delegates from all the charted districts whom the State Central Committee have duly+rganized shall be considered a quorum for any State Convention.

(d) Proxv. No proxy shall be considered for purposes of determining a quorum. A member may use no more than two (2) proxies and only for convention purposes; provided that only one ( I ) proxy may be used by each member for purposes of election of officers and/or committee members.

Section 16. AMlENDhfUVTS These rules and ~gulations may be amended at any duly called State Central committee-meeting by a resolution adopted by a two-thirds (213) vote of the members present in person or by proxy.

Section 17. EXlECUTIVE COMMITTEE AUTHORITY (a) The Executive Committee of any body wilhin the Party shall meet as

often as necessary at the call o f i t s ~h'airman or president or upon request of its memkrs, filed with the secretary, It &all have charge of all matters within the authority of its full committee, except as restricted by its full committee, W e e n meetings thereof, including the power to fill, vacancies in either committee pending a regular or special election by members of its full committee.

(b) The State Executive Committee does not have the authority to remove the Executive Director of the Republican Party or any member of a committee or appointed official without a majority vote of the State Central Committee.

(c) The State Executive Committee shall have the sole authority to fill the position of Executive Director and staff assistants, including clerical and other necessary positions, for the offices of the Republican Pady of

Guam, and to remove such persons or positions, except as provided in these rules,

Section 18. RULES GOVERNING VARLOUS COMMlTTEES Any organization or committee within the Party may adopt rules for the government of its affairs which are not inconsistent with the Party rules or the rules of any higher authority.

Sectiort 19, PROHIBITTON No officer, committee, or employee of the Republican Party of Guam shall make expenditure, incur debt or liabilities, make contracts or commit the Party for such without the written or expressed approval of the State Executive Committee,

Section 1. DISTRICT ORGANIZATION - DEFINED Under the Republican Party orgmizdon, the basic unit is the District Organization or Club. There shall be only one (1) recognisd and chartered District Organization within each voting precinct except as provided below, Every member of the Republican Party shall be a member of the Distict Organization where the member is domiciled or voting. Each District Organization has the sole authority to create as many Municipal Clubs within its district. Each Municipal Club may have its own set of officers and rules not inconsistent with these rules.

Section 2. PURPOSE It shall be the duty of the District Organinition to further potitical activity within the precinct by:

(a) enrolling new members;

(b) educating the District Organization membership and voting public within the precinct with respect to local, national and international political issues;

(c) giving expression of opinion on local issues by resolutions where desired;

(d) organizing the District Organization members in such a way as to carry out the campaign plans;

(e) conducting other programs which will generally foster and promote the aims, objectives, responsibilities and philosophies of the Republican Party.

Section 3. OFFICERS The Offices shall be:

(a) a President;

(b) a Vice President;

(c) a Secretary; and

(d) a Treasurer.

All the above officers shall together constitute the District Executive Committee of the District Organization. The Chairman and Vice Chairman may be used for item (a) and (b) respectively.

Section 4. MEETINGS The District Organization shall meet at least quarterly at the call of the President or upon written request filed with the Semtary of the organization of not less than five (5) members.

(a) District officers - Election.

(1) Nominations - Elinibility. Unless other stated in the d e s , any member who is eligible to vote in the islandwide election is eligible to nominate or to be a candidate for office.

(2) Nomination - Conduct. Any member may nominate including himself, for district ofhe. Nominations may be made h m the floor for any office. The presiding officer shdl announce zhe name of all nominees and the ofices for which they ate nominated.

(b) District .Delesates to Conven~on. In every even-numbered year no later than the first Saturday in February, delegates to the State Convention shall be elected.

(c) Electiofi - When Secret Ballot is Reamd. When more than one person is nominated for office, members shall hold the election by secret ballot for such office. Election shall be held on the night of the meeting at which the nominations were made.

(d) Failure to Hold Elections. Failure to hold precinct elections as provided herein shall disqualim any officer or delegate of such precinct from Wig seated by, or voting in, any State Central Cornmi- meeting or Convention until the officers or delegates shall have k e n properly elected at a special election duly called by the District Chairman or as governed by these rules [Article I §9(d)].

Section 5. REPQRTTNG OF ELECTIONS RESULTS Within seven (7) days after an election, the Secretary shall report the district election results in writing to lhe Executive committee of the State Central Committee.

Section 6. APPEALS FROM DISTRICT ORGANIZATION ELECTIONS Appeal of a district election shall be made to the B o d of Judges of election within ten (10) days after the election is held. The B o d of Judges Election is established pursuant ta the provisions of Article IV, Section 13, thereof.

Section 7. ELIGIBILITY TO VOTE (a) To be eligible to vote at district elections, a person must have been on the

membership roll of his precinct three (3) months prior to the election; and

(b) must be domiciling or voting in the precinct where the election is to be held.

Section 8. DISTRILT ORGANIZTION FUND The District Organization has the sole authority and responsibility for it. fimds neces-. for the operation of precinct clubs which shall be obtained by means deemed appropriate to the District Organization, provided, however, that funds obtained are not inconsistent with the laws of Guam and principles of the Republican Party.

ARTICLE UI

STATE CENT= COMMITTEE

Section 1. STATE CENTRAL COMMITTEE The State Central Committee shall be the central overall governing body of the Republican Party of Guam.

Section 2. MEMBERSHIP Membership in the State Central Committee shall consist of the following elected and appointed afficids:

(a) a Chairman,

@) a First Vice Chairman,

(c) a Second Vice Chairman;

(d) a Secretary;

(e) a Treasura;

(f) the National Committeeman;

(g) the National Committeewoman:

(h) the Immediate Past Chainnan;

(i) the President of the Guam Federation of Republican Women (if chartered with the Party) or equivalent;

(j) the State Chainnan of the Young ~ u b l i c a n s of Guam (if chartered with the Party) or equivalent;

(k) the Nineteen elected District Presidents or Chairpersons;

(1) the Governor of Guam if he is a Republican and holder of the office;

(m) the Republican Speaker or Minority Leader of the Legislature as appropriate or in the absence of holdea of either office, a designee of the Republican legislators;

(n) Republican Mayors' representative designated by majority of Republican Mayors of Gum.

Section 3. STATE EXECUTIVE COMIMI'ITEE The officers of the State Central Committee shall be known as the State Executive Committee. The State Executive Committee of the State Central Committee shall operate within these rules and regulations and shall adopt quarterly, semi- mually, or annually, budgets and execute and operate therefrom.

Section 4. OFFICERS The Officers of the State Central Committee shall be:

(a) the Chaimaq

(b) the First Vice Chairman;

(c) the S m d Vice Chairman;

(d) the Secretary; and

(e) the Treasurer.

Section 5. VOTING Each member of the State Central Committee shall have one (1) vote.

Section 6. MEETING - STATE CENTRAL COMMITTEE As oilen as desired by the call of the Chairman or members of the State Central C o d t e e , a meeting shall be held by the Committee, however, there shall be a regular annual meeting of the State Central Committee.

Section 7. D W S AND RESPONSLBIL!TXES OF THE CHAIRMAN (a) Preside at all meetings of the State Central Committee:

@) appoint a1 standing and special committees of the State Central Committee;

(c) be an ex-officio member of all such ~ommittee unless specifid,

(d) perform the usual duties of the office or functions required by the State Central Committee;

(e) be responsible for the management of the Republican Party headquarters and omce staff or equivalent as appiicable.

Section 8. DUTIES, AND RESPONSIBLLTIES OF VICE CYAZRPERSONS The Vice Chairpersons shall have such duties, including the following, as the State Central Committee shall direct:

(a) assist the Chairman at the direction of the Chairman;

(b) in the absence of the Chairman, the First Vice Chai,man shall perform such duties and exercise such authority of the Chairman as shall be determined by the State Central Committee;

(o) in the resignation or incapacity of the Chairman, the First Vice Chairman shall so perform such duties and exercise such authority until otherwise determined by the Sate Central Committee;

(d) any cases occurring under (b) and (c) of this Section, the Second Vice Chairman shall substitute.

Section 9. DUTIES AND RESPONSIBLITIES OF THE SECRETARY The Secretary shall be responsible for:

(a) keeping a record of the procedigs of the State Central Committee;

(b) maintaining the files of the Republican Party;

(c) issuing all ,notices and d l s relative to meetings of the State Central Committee and standing and special committees;

(d) perfonning the duties usual to his office as required by the State Central Committee,

Section 10. DUTIES AND RESPONSIBLITIES OF THE TREASURER The Treasurer shall be responsible for:

(a) receiving, safeguatding, and expending all monies subject to the control of the State Executive Committee;

0) preparing a Party financial statement annually, filing a copy with the State CenQal Committee;

(c) performing the duties usual to the office or required by the State Central Committee, to include complying with organizational or financial teports required by Guam Law.

Section 11. AUDlT COMMITTEE The State Central Committee shall appoint a commitkc of thee (3) qualified Republicans or a registered accountant who shall audit the financial accounts and q r t s of the Party not less than every two (2) years and report to the State Central Committee. This Committee shall make such recommendations to the $We Central Committee as are required to produce

prudent accounting of Party funds. The report of the Cornmi& shall be sent to the Chairman of the Party.

Section 12. DUTIES AND RESPONSIBLIT1iES OF THE STATE C E N T M COMMITTEE The State Central Committee shall:

(a) have general supervision over the affairs of the Party;

(b) call State Conventions;

(c) conduct dI campaigns for ofices to be flled by Guam elections, and the district committees shall cooperate in these campaigns within their respective areas;

(d) have the power to organize subsidiary groups within the Republican Party, p d d e d that the State Central Committee shall always reserve the authority to change or abolish any such group, or to repeal their charters or by-laws;

(e) make any rules and regulations for the government or itself or of the Republican Party which are not in conflict with these laws;

(f) review and audit the f m c i a l status of the Party;

(g) approve all Party platfarms and principles;

(h) enforce these rules and regulations;

(i) remove any officer of the State Central CommiW for cause by a two- thirds (213) vote of the full State Central Committee at a meting duly called for thd purpose;

Cj) exercise such other powers and perform such other duties as may be necessary;

(k) report to the Convention on the activities of the Party for the year just ended;

(1) make a final decision on matters relating to the Republican Party of Guam and compliance with the laws of Guam, adoption of the new rules and regulations and any matters referred by the State Executive CoJnmittee.

Section 13. FINANCE COMlWl"l'EE (a) There shall be a Finance Committee of the Republican Party which shall

consist of:

(1) the Chairman who will also preside over the Committee and two Vice Chairmen of the State Central Committee;

(2) five (5) additional members, none of whom need be members of the State Central Committee, who may be appointed by the State Central Committee Chairman.

(b) The Finance Committee shall:

(1) approve coordinate, and direct all fund-raising activities for the Party on the state level, collect and turn over these funds to the Treasurer;

(2) p v e and submit for approval by the State Executive Committee expenditures from the Party lreasury not less than five (5) days before quired for use. One budget shall be for proposed administrative expenses covering a fiscai year or an election campaim

(3) pnpre and submit to the State Central Committee expenditure reports every other year during the State Convention for its review;

(4) obtain legal advice on any activity that might entail liability and protect the Republican Party accordingly;

(5) give adequate notice to the State Central Committee of the financial or budgetary concerns;

(6) perform such other duties and functions as may be clekmhed by the State Central Committee.

The above will not preclude the raising of funds by the separate districts.

Section 14. BOARD OJ? JUDGES OF ELECTIONS Not less than thirty (30) days prior to the precinct elections as provided in ATZicle II, Board of Judges of Elections, consisting of three (3) members shall be appointed to detetmine all questions relating to all party elections in the districts, with an appeal in all cases to the State Central Committee, may prescribe rules under which said Board may carry on its duties.

Section 15. STANDING PARTY LEGISLATION COMMITFEE The State Central Committee shail amurge for the preparation and introduction of bills into the Legislature in fulfillmentof the pledges of the Party Platform and to m e r report the success or disposition of said bills to the Republican Party. To carry out the provisions of this Section, the State

Central Committee shall appoint a Legislation Committee to work in cooperation with the appropriate dected Republican officials.

Section 16, PARTY RULES COMMITTEE A Party Rules Committee may be appointed by the State Central Committee Chairman to study, draft, and report on the rules at least three (3) months prior to an organization convention for dissemination to the s e v d district committees, and rcport to the Convention.

Section 17. PARTY PILATBORM CO1MMITTEE A Party P l a h Committee may be appointed by the Chainnan of the State Central Committee to propose revisions to the Party Platform. It shall repart its activity quarterly b the State Central Committee and shall prepare a draft of the Party Platfbnn for considedon by a Platform Convention and submit it to the State Central Committee at least three (3) months prior to such convention for d i s s d t i o n to the several district committees, and report to the Patty Convention.

Section 18. AI)DITIONAL CQMMTITEES There may be established four (4) additional committees of the State Central Committee:

(a) a Campaign Committee;

(b) a Candidates Committee;

(c) a Research Committee;

(d) a Membership Commithe,

These comtnjttees may be appointed by the Chairman of the State Central Committee, with approval of the State Central Committee. The structure and functions of each shall be determined by the State Central Committee at regular intervals and shall have such hctions and duties as the State Central Committee may &t&.

ARTICLE N

STA TE CONVENTIONS

Section 1. TYPES (a) There shall be two types of State Conventions, namely, an Organizational

Convention; and a Constitutional and Platform Convention, which will be held alternatively every even-nmbaed year. The State Convention shall be held on the third (3*) Saturday of February, or not later than the last Saturday in June. In even-numbered years when a National Convention will be held, the State Convention shall be known as the Or@zat iod Convention wherein the election of oficers and members of the State Central Committee, National Committeeman and Natiod Codtteewoman, delegates to the National convention, reports of the State Executive Director and Chairman of the Party, amendments or revisions to the constitution and by-laws of the Party and endorsements of the Party Platform and candidates for elected public offices shall be made.

(b) In even-numbered years when a National Convention does not occur, the State Convention shall be known as the Constitution and Platfom Convention (endorsement), wherein the agenda shall be primarily to amend or revise the constitution and by-laws of the Party, to endorse the Party Platform and candidates for offices.

(c) The State Central Committee shall:

(1) determine the exact time and place of convening the State Conventions;

(2) issue the call for the Convention through its Chairman;

(3) be responsible for providing all facilities, personnel supplies, publications, and technical assistance required by the Convention;

(4) prepare and announce at least fifteen (1 5) clays before, a temporary agenda which, shall govern the business of the Convention until the Convention has acted thereon,

Section 2, ORDER OF BUSmSS Every Convention sball be called. to order by the Chairman of the State Cent& Committee. Except for matters of a ceremonial nature, the h t order of business shall be the election of tempomy Chairman of the Convention, followed immediately by the election of a temporary Secretary of the Convention, after which the Convention shall proceed to organize and govern itself, subject to the applicable provisions of these rules and regulations,

Section 3. RESOLUTIONS AU resolutions presented to a Convention shall be in writing and sigued by the person or persons offering the same.

Section 4. REPRESENTAIIIION The basis of representation in all Conventions shall be based on the nineteen (19) Districts, and each District shall be entitled to one delegate, elected as provided in Article TI, Section 4 of these rules, plus one for each of the next fifty (50) votes cast thereafter in all the precincts of the District at the last preceding general election for the Republican candidate for Governor, divisible by two (2), less ten percent (1 0%). Provided, that whenever after dividing said votes by fifty (50), them is a remainder of twenty-six (26) or mare votes, the District or municipality shall be entided to an additional delegate. Elected Republican officials holding District, State, and National offices shall be delegates to all State Conventions b r n their respective Districts, but their attendance as delegates shall be in addition to the numbers of delegates to which their Dislrict would be entitled under the provisions of these rules.

Section 5. ROLL OF DELEGATES The Secretary of the State Central Committee shall prepare the temporary roll of delegates to a State Convention and shall certify and deliver the same to the temporary C l m h m of the Credentials Committee. The temporary roll shall govern the tight of persons to attend and vote at the Convention until the Convention has acted thereon.

Section 6. DEWATE OUALIIFICATIONS The Convention shall be the sole judge of the qualifications and credentials of the delegates to the Convention, No person who was found by the Convention as not qualified or lacking proper credentials shall be allowed to attend and vote at such Convention

Sectbn 7. DELEGATE. ALTERNATE (a) Alternate delegate shall mean any member nominated for such psition

and who will have the same responsibility and authority and shall act as a delegate in the approved absence of the regular delegate. Any number of positions over the designated number of delegate positions shall be construed as alternate delegate positions.

(b) Certification of Alternate Ddmte. Prior to the convening of the Convention, the Chief Delegate h m each District shall present to the Credentials Committee the name of the alternate delegate who will be replacing a regular delegate. Upon certification of the alternate delegate's eligibility, the new delegate shall therefore resume his position in the

Convention. Altanate delegate to the National Convention shall be governed by the rules of the National Convention.

(c) Alternate Delezste - Prow. Alternate delegates to the State Convention shall not be permitted to vote with proxy fiam another alternate delegate or delegates.

Section 8. -ION OF STATE PARTY OFFICERS (a) During the Convention held for this purpose, officers and National

Committee members and delegates to the National Convention shall be elected by a majority plus one (1) vote of the State Convention Delegates Plurality votes may be used for electing other officers of the Party.

(b) District Organization - Election. Election at the District level shall be in compliance with the election procedrns of the State Party election. [Refer to Article I, Section 91.

ARTICLE V

NATiQNAL CONVENTION

Section 1. STATE DELEGATES TO NATI.ONAL CONVENTION 1n even-numbered years, prior to the National (Presidential Nominating) Convention, the State hiegates and Alternate Delegates to the National Convention, incIuding the National Committeeman and the National Committeewoman, shall be elected. The number of such delegates to be elected shall be upon the determination of delegate allocation by the National Republican Party. Excepting the National Committeeman and the National Committeewoman, the State Delegates and Alternate Delegates ta the National Convention are not considered members of the State Central Committee or having voting rights in any meeting or Convention of the Ste Republican Party organization. The tenure of office of the State Delegates and Al-te Delegates shall be in consonance with the National Party.

ARTICLE I GENERAL PRO WSIONS

SectIan 1. MEMBERSHIP APPLICATION. (a) A~~lica t ion for Party Membershin Any person who is entitled to vote in Guam may become a member of the Republican Party upon signing the following declaration on an application for membership supplied by the State Central Committee:

"I am a Republican. 1 will support the principles of the Republican Party and abide by its rules."

(b) A~ulication for Junior Party membership, Any person who is a US. Citizen, who is not of legal age or qualified to vote, may apply for Junior Republican Party membership.

(c) Application far Associate Membarshi~. Any person who is of legal age and who is not qualified to vote because of citizenship, may apply for Associate Republican party membership. An associate ember is entitled to one vote, no proxy, in any meeting held within the organization, may be a member of any comm.ittee, but shall not hold elective office.

(d) Membershiu Card. Membershir, Card. The State Central Committee may prescribe for a specified card and accordingly, the Executive Committee shail promptly provide, each new ,member of the Party with a membership card. Each membership cud must bear the signature of the Party Chairman.

Section 2. MEMBERSHIP OF EFFECTIVE DATE. Membership shall become effective when an application, signed by the applicant and witnessed by a member of the Party, has been received by the Executive Committee.

Section 3. POSITION OR OFFICE DEEMED VACANT. (a) When an officer or delegate becomes ineligible to hold office by reason of changing his voting precinct, his of ice shall be deemed vacant.

(b) Residence. The place where a member domiciles or votes shall be recopizcd as place of residence or voting precinct. .

Section 4. TERMINATION OF MEMBERSHIP. (a) Membership in the Republic Patty shall terminate immediately in any of the following cases:

(1) Resignation; (2) Joining of another political party; (3) Forfeiture of membership as providcd by these rules and regulations.

Section 5. TWO OJWICE RULE. (a) No person shall, at the same time, hold more than elective office within the organization of the Republic Party. An elective office under this paragraph shall mean:

(I) a Chairman ox President; (2) a Vice Chairman, Deputy Chairman or Vice President, at any level of tha Party

organization.

Section 6. CONDUCT OF MEETING AND CONVENTION. Robert's Rules of Order shall govern all meetings, conventions, and proceedings under this Party and its organizations.

Section 7. SPECIAL STATE CONVENTION. Under affirmative written vote of two- thirds (2/3) of the State Central Committee, a special State Convention shall be held.

Section 8. REMOVAL FOR CAUSE. Any elected official of any organized body of the Republic Party may be removed from office for cause by the affirmative vote of two-thirds (213) of those present of the members of the body which elected said orncial to that office at a meeting duly called for that purpose.

Section 9. TENURE OF OFFICE. (a) All elected officials of the State Central Committee shall serve for a term of four (4) years, or until they resign ox their successors have been elected, exception as otherwise provided in these rules.

(b) All elected officials or official delegates ofthe District Organization shall serve for a term of two (2) years, or until they resign or their successors have been elected, excepting as otherwise provided in these rules.

(c) All elected officials of the Republican Party of Guam shall serve no more than two (2) terms in the same office, however, when a successor has not been elected, officials shall serve a maximum of two (2) years plus one (I) ycar in office,

(d) Under Article I, Section 9(c), the State Central Committee shall call an election meeting to cfect officials for the unfilled or vacant offices.

(e) Vacancy described. Whenever an elected official ceases to occupy the position or officc for which he was elected through death, resignation, or abandon~~~eiit, the position or office shall be deemed vacant.

Section 10. PARTY OPPOSITION: MEMBERSHIP FORFEITURE. Any member shall voluntarily forfeit membership in the republican Party when such a member openly and publicly supports any candidate for election in opposition to the candidate of the Republican Party, or who supports or combines with any political party or otherwise acts in such a manner as;

(a) to deprive the Republican party of its duty and responsibility to organize any elective body in which it may have won a majority of the seats by election;

(b) to deprive the majority of the Republican Party members within any elective body of, or scopes or oppose them in, their right, ability, duty or responsibility to organize said body in .which the Republican members have won a majority of the seats by election.

Section 11. PARTY ENDORSEMENT. No person, shall be endorse for appointive office, including appointments to a vacancy in an elective office, by the Republican Party who is not an active Republican, or who has within six (6) months prior to such endorsement.

(a) been a member of any other political party; or (b) resigned or forfeited his membership in the Republican Party.

Section 12. EX-OFFLCIO MEMBER. Thc chairman of the State Central Committee shall serve as an ex-officio member of any and all committees with vote, unless otherwise indicated.

Section 13. ANY MEMBER MAY FILL ANY POSITION. Any member may fill any position which is created by these rules except when specified counterparts are set out or when the sense of the position requires one or the other sex.

Section 14. NOTICE OF MEETING. A public, or by mail notice of all regular meetings must be made available to all member five (5) days prior to the date of the meeting. Notice of meetings is the responsibility of the organization's secretary.

Section 15. OUORUM. (a) One-third (1/3) of the members of any comrni.ttee, but in no event less than three (3), shall be a quorum for any meeting.

@) One-third (1/3) of all registered members of a District Organization and One-third. (1/3) of all State Central Committee members shall be a quorum for the District and State Central Committee meetings respectively.

(c) One-fourth (1/4) of all properly elected delegates from all the chartered districts whom the State Central Committee have duly-organized shall be considered a quorum for any State Convention.

(d) Proxy. No proxy shall be considered for purposes of determining a quorum. .A member may use no more than two (2) proxies and only one for convention purposes; provided that only one (1) proxy may be used by each member for purposes of election of officers andlor committee members.

Section 16. AMENDMENTS. These rules and regulations may be amended ay any duly called State Central Committee meeting by a resolution adopted by two-thirds (2/3) votc of the members present in person or by proxy.

Section 17. EXECUTIVE COMMITTEE AUTHOlUTY. (a) The Executive Committee of any body within the Party shall meet as often as necessary at the call of its Chairman or President or upon request of its members, filed with the secretary. It shall have charge of all matters within the authority of its full committee, except as restricted by its full committee, between meeting thereof, including the power to fill vacancies in either committee pending a regular or special election by members of its full committee.

(b) The State Executive Committee does not have the authority to remove the Executive Director of the Republic Party or an member of a committee or appointed official without a majority vote of the Sate Central Committee,

(c) The State Executive Committee shall have the sole authority to fill the position of Executive Director and staff assistant s, including clerical and other necessary positions, for the offices of the Republic Party of Guam, and to remove such persons or positions, except as provided in these rules.

Section 18. RUL.ES GOVERNING VARIOUS COMMITTEES. Any organization or committee within thc Party may adopt rules for the government of its affairs which are not inconsistent with the Party rules or the rules of any higher authority.

Section 19. PROHIBITION. No officer, or committee, or employee of the Republic Party of Guam shall make expenditure, incur debt or liabilities, make contracts or commit the Party for such without the written or expressed approval of the State Executive; Committee,

ARTICLE 11 DISTmCT ORGANIZATION

Section 1. DISTRICT ORGANIZATION - DEFINED. Under the Republican Party organization, the basic unit i s the District Organization or Club. There shall be only one (1) recognized and chMered District Organization within each voting precinct except as provided below.

Every member of thc Republican Party shall bc a member of the District Organization where the member is domiciled or voting. Each District Organization has the sole authority to create as many Municipal Clubs within its district. Each municipal club may have its own set of officers and rules not inconsistent with these rules.

Section 2. PURPOSE. It shall be the duty of the District Organization to further political activity within the precinct by:

(a) enrolling new members; @) educating the District Organization membership and voting public within the

precinct with respect to local, national and international political issues; (c) giving expression of opinion on local issues by resolutions where desired; (d) organizing the District Organization members in such a way as to carry out the

campaign plans; (e) conducting other programs which will generally foster and promote the aims,

objectives, responsibilities and philosophies of the Republican Patty.

Section 3. OFFICERS. The Officers shall be: (a) a President; @) a Vice President; (c) a secretary; and (d) a Treasurer.

All the above officers shall together constitute the District Executive Committee of the District Organization. The Chairman and Vice Chainnan may be used for item (a) and (b) respectively.

Section 4. MEETINGS. The District Organization shall meet at least quarterly at the call of the President or upon written request filed with the Secretary of the organization or not less then five (5) members.

(a) District Officers - Election. (1) Nominations - Eligibilitv, Unless other stated in the rules, any member

who is eligible to vote in the islandwide election is eligible to nominate or to be a candidate for office,

(2) Nomination - Conduct. Any member may nominate including himself, for district office. Nominations may be made from the floor for any office. The presiding officer shali announce the name of all nominees and the offices for which they are nominated. (b) District Delegates to .Convention. In c v q even nunbered year no later than the

first Saturday in February, delegatw to the State Convention shall be elected. (c) Election - When SecretBalIot is Reauired. When more than one person is

nominated for office, members shall hold the election by secret ballot for such office. Election shall be held on the night of the meetings at which the nominations were made.

(d) Failure to Hold Elections. Failure to hold precinct elections as provided herein shall disqua1i.Q any officer or delegate of such precinct from being seated by, or voting in, any State Central Committee meeting or Convention until the officers or delegates shall have been elected at a special election duly called by the District Chainnan or as governed by these rulwes [Article 559(d)].

Section 5. REPORTING OF ELECTION RESULTS. Within seven (7) days after an election, the Secretary shall report the district election results in writing to the Executive Committee of the State Central Committee,

Section 6. APPEAL FROM DJSTIRCT ORGANZIATION ELECTIONS. Appeal of a district election shall be made to the Board of I'udgcs of election within ten (10) days after the election i s held. The Board of Judges Election is established pursuant to the provisions of Article TV, Section 13, thereof.

Section 7. ELIGIBILITY TO VOTE. (a) To be eligible to vote at district elections, a person must have been on the membership roll of his precinct three (3) months prior to the election; and

(b) must be domiciling or voting in the precinct where the election is to be held.

Section 8. DISTRICT ORGANIZATION FUND. The District Organization has the sale authority and responsibility for its funds necessary for the operation of precinct clubs which shall be obtaincd by means deemed appropriate to the District Organization, provided, however, that funds obtained are not inconsistent with the laws of Guam and principles of the Republican Party.

ARTICLE III STA T . CENTRAL COMMITTEE

Section 1. STATE CENTRAL COMMITTEE. The State Central'Committee shall be the central overall governing body of the Republican Pady o f Guam.

Section 2. MEMEBRSHIP. Membership in thc State Central Committee shall consist of the following elected and appointed officials:

(a) a Chairman; (b) a First Vice Chairman; (c) a Semnd Vice Chairman; (d) a Secretary; (e) a Treasurer; (f) the National Committeeman; (g) the National Committeewoman; (h) the Immediate Past Chairman; (i) the President of the Guam Federation of Republican Women (if chartered with

the Party) or equivalent; (j) the State Chairman of the Young Republicans of Guam (if chartered with the

Party) or equivalent; (k) the Nineteen elected District Presidents or Chairpersons; (1) the Governor of Guam is he is a Republican and holder of the office; (m) The Republican Speaker or Minority Leader of the Legislature as appropriate or

in the absence of hol.ders of either office, a designee of the republic Legislators; (n) Republican Mayors' representatives designated by majority of Republican

Mayors of Guam.

Section 3. STATE EXECUTIVE COMMITTEE. The officers of the State Central Committee shall be known as the State Executive Committee. The State Executive Committee of the State Central Committee shall operate within these rules and regulations and shall adopt quarterly, semi-annually, or annually, budgets and execute and operate thmefmm.

Section 4. OFFICERS. The Officers o f the State Central Committee shall be (a) the Chairman; (b) the First Vice Chairman; (c) the Second Vice Chairman; (d) the Secretary; and (e) the Treasurer.

Section 5. VOTING. Each member of the State Central Committee shall have one (1) vote.

Section 6. MEETING - STATE CENTRAL COMMITTEE, As often as desired by the call of the Chairman or members of the State Central Committee, a meeting shall be held by the Committee, however, there shall be a regular annual meeting of the State Central Committee.

Section 7. DUTIES AND RESPONSIBILITIES OF THE CHAIRMAN. (a) Preside at all rnectings of the State Central Committee,

(b) appoint all standing md speciaI committees of the Slate Central Committee; (c) be an ex-officio of all such committees unless specified; (d) perform the usual duties of the office or functions required by the State Central

Committee; (e) be responsible for the management of the Republic Party headquarters and office staff

or equivalent as applicable.

Section 8. DUTIES AND RESPONSIBILlTIES OF THE VICE CHAIRPERSONS. The Vice Chairpersons shall have such duties, including the following, as the State Central Committee shall direct:

( a assist the Chairman at the direction of the Chairman. (b) in the absence of the Chairman, the First Vice Chairman shall so perform such

duties and exercise such authority until otherwise determined by the State Central Committee, (c) in the resignation or incapacity of the Chairman, the First Vice Chairman shall

so perform such duties and exercise such authority until otherwise determined by the State Central Committee.

(d) any cases occurring under (b) and (c) of this Section, the Second Vice Chairmen shall substitute.

Section 9. DUTIES AND IUCSPONSIBILITIES OF THE SECRETARY. The Secretary shall be responsible for:

(a) keeping a record of the proceedings of the State Central Committee, @) maintaining the fiIes of the republic Party, (c) issuing a11 notices and calls relative to meetings of the State Central Committee

and standing and special committees. (d) performing the duties usual to his ofice as required by the State Central

Committee.

Section 10. DUTIES AND RESPONSIBILITIES OF THE TREASURER. The Treasurer shall be responsible for:

(a) receiving, safeguarding, and expending all monies subject to the control of the State Executive Committee.

(b) preparing a Party financial statement annually, filing a copy with the State Central Committee.

(c) performing the duties usual to his ofiice or required by the State Central Committee, to include complying with organizational or financial reports required by Guam Law.

Section 11. AUDIT COMMITTEE. The State Central Committee shall appoint a committee of three (3) qualified Republicans or a registered accountant who shall audit the financial accounts and reports of the Party not less than every two (2) years and report to the State Central Committee. This Committee shall make such recommendations to the State Central Committee as are required to produce prudent accounting of Party funds. The report of the Committee shall be sent to the Chairman of the Party.

Section 1.2. DUTIES AND RESPONSIBILITIES OF THE STATE CENTRAL COMMITTEE. The State Central Committee shall:

(a) have general supervision over the affairs of the Party. @) call. State Conventions. (c) conduct all campaigns for offices to be filled by Guam elections, and the district

committees shall cooperate in these campaigns within their respective areas. (d) have the power to organize subsidiary groups within the Republican Party,

provided that the State Central Committee shall always reserve the authority to change or abolish any such group, or to repeal their charters or by-laws.

(e) make any rules and regulations for the government of itself or of the Republican Party which are not in conflict with these laws,

(f) review and audit the financial status of the Party. (g) approve all Party platforms and principles. (h) enforce these rules and regulations. (i) remove my officer of the State Central Committee for cause by a two-thirds

(2/3) vote of the full State Central Committee at a meeting duly called for that purpose, (i) exercise such other powers and perform such other duties as may be necessary. (k) report to the Convention on the activities of the Party for the year just ended. (1) make a final decision on matters relating the Republican Party of Guam and

compliance with the laws of Guam, adoption of the new rules and regulations and any matters referred by the Statc Executive Committee.

Section 13. FINANCE COMMITTEE. (a) There shall be a Finance Committee of the Republican Party which shall consist of:

(1) the Chainnan who will also preside over the Committee and two Vice Chairmen of the State Central Committee.

(2) five (5) additional membcrs, none of whom need be members of the State Ccntral Committee, who may be appointed by the State Central Committee Chairman. (b) The Finance Committee shall:

(1) approve coordinate, and direct all fund raising activities for the Party on the state level, collect and turn over these funds to the Treasurer.

(2) prepare and submit for approval by the State Executive Committee expenditures from the Party treasury not less than five (5) days before required for use. One budget shall be for proposed administrative expenses covering a fiscal year or an election campaign.

(3) prepare and submit to the State Central Committee expenditure reports every other year during the State Convention for its review.

(4) obtain legal advice on any activity that might entail liability and protect the Republican Party accordingly.

( 5 ) give adequate notice to the State Central Committee of the financial or budgetary concerns.

(6) perform such other duties and functions as may be determined by the State Central Committee. The above will not preclude the raising of funds by the separate districts.

Section 14. BOGW OF JUDGES OF ELECTION. Not less than thirty (30) days prior to the precinct elections as provided in Article 11, Board of Judges of Election, consisting of three (3) members shall be appointed to determine all questions relating to all party elections in the djstrict, with an appeal in all cascs to the Sate Central Committee, may prescribe rules under which said Board may carry on its duties,

Section 15. STANDING PARTY LEGISLATION COMMITTEE. The State Central Committee shall arrange for the preparation and introduction of bills into the Legislature in fuliillment of the pledges of the Party Platform and to hrther report the success or disposition of said bills to the Republican Party. To carry out the provisions of this Section, the State Central Committee shall appoint a Legislation Committee to work in cooperation with the appropriate elected Republican officials.

Section 16. PARTY WLES COMMITTEE. A Party Rules Committee may be appointed by the State Central Cornmittee to study, draft, and report on the rules at least three (3) months prior to an organization convention for dissemination to the several districts committees, and report to the Convention.

Section 17. PARTY PLATFORM COMMITTEE. A Party Platform Committee may be appointed by the Chairman of the State Central Committee to propose revisions to the Party Platform. It shall report its activity quarterly to the State Central Committee and shall prepare a draft of the Party Platform for consideration by a Platform Convention and submit it to the State Central Committee at least three (3) months prior to such convention for dissemination to the several districts committees, and report to the Party ~onvention.

Section 18. ADDITIONAI, COMMITTEES. There may be established four (4) additional committees of the State Central Committee:

(a) a Campaign Committee. (b) a Candidates Committee. (c) a Research Committee. (d) a Membership Cornmittee.

ARTICLE ZV STATE CONVENTIONS

Section I. TYPES. (a) There shall be two types of State Conventions, namely an Organizational Convention; and a Constitution and Platform Convention, which will be held alternatively every even-numbered year. The State Convention shall be held on the third (3d) Saturday of February, or not later than the last Saturday in June. In even-numbered years when a National Convention will be held, the State Convention shall be known as the Organizational Convention

wherein the election of officers and members of the State Central Committee, National Committeeman and National Committeewoman, delegates to the National Convention, reports of the State Executive Director and Chairman of the Party, amendments or revisions to the constitution and by-taws of the Party and endorsements of the Party Platform and candidates for elected public offices shall be made.

(b) In even-numbered years when a National Convention does not occur, the State Convention shall be known as the Constitution and Platform Convention (endorsement), wherein the agenda shall be primarily to amend or revise the constitution and by-laws of the Party, to endorse the Party Platform and candidates for offices.

(c) The State Central Committee shall: (1) deternine the exact time and place 0.f convening the State Conventions. (2) issue the call for the Convention through its Chairman. (3) bc responsible for providing all facilities, personnel, supplies, publications, and

technical assistance required by the Convention. (4) prepare and announce at least fifteen(l5) days before, a temporary agenda which

shall govern the business of the Convention until the Convention has acted thcreon.

Section 2. ORDER OF BUSINESS. Evay Convention shall be called to order by the Chairman of the State Central Committee. Except for matters of a ceremonial nature, the first order of business shall be the election of temporary Chairman of the Convention, followed immediately by the election of a temporary Secretary of the Convention, after which the Convention shatl proceed to organize and govern itself, subject to the applicable provisions of these rules and regulations.

Section 3. RESOLUTIONS. All resolutions presented to a Convention shall be in writing and signed by the persons or persons offering the same,

Section 4. RIEPRESENTATION. The basis of representation in all Conventions shall bc b a s 4 on the nineteen (19) Districts, and each Disltict shall be entitled to one delegatc, elected as provided in Article 11, Section 4 of these Rules, plus one for each of the next fifty (50) votes cast thereafter in all precincts of the District at the last preceding general election for the Republican candidate fox Governor, divisible by two (2) lass ten percent (10%). Provided, that whenever after dividing said votes by fifty (50), there is a remainder of twenty six (26) or more votes, the District or municipality shall be entitled to an additional delegate. Elected Republican oficials holding, District, State and National offices shall be delegates to all State Conventions fiom their respective Districts, but their attendance as delegates shall be in addition to the numbers of de1egates to which their District would be entitled under the provisions of these rules.

Section 5. ROLL OF DELEGATES. The Secretary of the State Central Committee shdi preparc the temporary roll of delegates to a State Convention and shall certify and deliver the same to the temporary Chairman of the Credentials Committee. The temporary m11 shall govern the right of persons to attend and vote at the Convention until the Convention has acted thereon.

Section 6. DELEGATE QUALIFICATIONS. The Convention shall be the sole judge of the qualifications and credentials of the delegates to the Convention. No person who was found by the Convention as not qualified or lacking proper credentials shall be aIlowed to attend and vote at such Convention.

Section 7. DELEGATE. ALTEWATE. (a) Alternate delegate shall mean any member nominated for such position and who will have the same responsibility and authority and shall act as a

delegate in the approved absence of the regular delegate. Any number of positions over the designated number of delegate positions shall be construed as alternate delegate positions.

(b) Certiffcation of Alternate Delegate. Prior to the convening of the Convention, the Chief Delegate from each District shalI present to the Credentials Committee the name of the alternate delegate who will be replacing a regular delegate. Upon certification of the alternate delegate's eligibility, the new delegate shall therefore resume his position in the Convention, Alternate delegate to the National Convention shall be governed by the rules of the National Convention.

( c Alternate Delegate - Proxy. Alternate delegates to the State Convention shall not be permitted to vote with proxy from another alternate delegate or delegates.

Section 8. ELECTION OF STATE PARTY OFFlCERS. (a) During the Convention held for this purpose, officers and National Committee members and delegates to the National Convention shall be elected by a majority plus one vote of the State Convention delegates plurality votes may be used for electing other officers of the Party.

(b) District Organization - Electiou. Election at the District level shall be in compliance with the election procedures of thc State Party election. [Refer to Article I, Section 91.

ARTICLE V NA TIONAL CONVENTION

Section 1. STATE DELEGATES TO NATIONAL CONVENTION. In even-numbered years, prior to the National (Presidential Nominating) Convention, th.e State Delegates and Alternate Delegates to the National Convention, including the National Committeeman and the National Committeewoman, shall be elected. The number of such delegates to be upon the determination of delcgate allocation by the National Republican Party. Excepting the National Committeeman and the National Cornrni.tteewoman, the State Delegates and Alternate Delegates to the National Convention are not considered members of the State Central Committee or having voting rights in any meeting or Convention of the State Republican Party organization. The tenure of offlce of the State Delegates and Alternate DeIegates shall be in conformance with the National Party.
