A. INVITATION AND GENERAL INSTRUCTIONS TO THE APPLICANTS

INVITATION TO PRE-QUALIFY

1. INTRODUCTION

1.1 The Kuwait Oil Company (K.S.C.) (the Company) is a State-owned company, engaged in

exploration, development and production of crude oil and natural gas resources fromKuwait's oil fields and export through marine terminals.

1.2 The Company is soliciting applications from contractor(s) capable of providing ElectricalSubmersible Pumping Services for Oil Wells for oil wells (Services), in extremeclimatic conditions, and have the capability, adequate resources of personnel,material, equipment, and technology to provide the Services.

The Electrical Submersible Pumping Services for Oil Wells by way of summary areas follows:

The Contractor shall design, supply, test, install, commission, maintain, monitor, andtroubleshoot Electrical Submersible Pumping for Oil Wells Services at various fieldsof KOC.

1.3 Accordingly, the Company is seeking to pre-qualify companies (Applicants) with proven capabilities and experience in the above stated Services and now invitesinterested Applicants to submit full details of their experience in accordance with theattached questionnaire and the Pre-qualification documents.

1.4 The result of this pre-qualification exercise will be the development of lists of companies to whom Invitations to Tender for the Services may be issued.

1.5 Please note that this is not an Invitations to Tender and quotations are not required atthis stage.

2. PURPOSE OF THE DOCUMENTS

2.1 All Applicants will be required to submit a detailed and comprehensive pre-qualification submission (“Submission”), for review by the Company. TheSubmission shall be prepared in accordance with the guidelines and instructions setout in this pre-qualification document and shall set forth in a clear and precise manner

their competence and suitability for carrying out the Services.

2.2 Pre-qualification of Applicants for future participation in the Company’s Tender for similar Services shall be made solely based on the information supplied in theApplicant’s Submissions. All Applicants are advised that the Company, at its ownoption, may choose to visit the Applicant’s facilities. The Applicants shall allow/givesuch access to the Company to satisfy itself fully about the Applicant’s Submission,or any part thereof.

3. GUIDELINES FOR PRE-QUALIFICATION

3.1 The Company is under no obligation to pre-qualify any Applicant or to give reasonsfor acceptance or rejection of any Applicant. Applicants shall have to demonstratetheir competence in the attached questionnaire, including but not limited to thefollowing.

3.2 The Applicant has minimum five (5) years experience, at ‘Home’ and ‘Overseas’ in providing ‘Electrical Submersible Pumping Services for Oil Wells” for productionwells stated in 1.2 above. If the Applicant is a group formed by recent merger of twoor more companies, then the experience of the oldest merged unit can be considered

provided the ‘oldest’ company was active in similar ‘Electrical Submersible Pumping

Services for Oil Wells”.

3.3 The Applicant has a current workload which shows that the Applicant is now active inthe stated Services and that this workload is consistent with its current resources,manpower and financial standing, and that additional work of the magnitude beingconsidered by the Company would not stretch the Applicant's capabilities.

3.4 The Applicant is adequately staffed with skilled and experienced personnel and hasother resources sufficient to meet the operational requirement. Key operational

personnel mainly the Operation Managers and Area Engineers should have minimumrelevant five (5) years experience out of which two (2) years should be on

international basis.

3.5 The Applicant will need to demonstrate that it has ability to provide additional personnel and resources to boost the Applicant's capability, if necessary, in the eventof award of work by the Company.

3.6 The Applicant’s personnel to be engaged on the site shall be physically fit for work exposure in extreme weather conditions of Kuwait.

3.7 the Applicant shall demonstrate that HSE hazards associated with the nature of theworks associated with the Electrical Submersible Pumping for Oil Wells Services at

site are pre assessed and the same is incorporated in the HSE plan.

4. INSTRUCTIONS TO APPLICANTS

4.1 The Applicant must answer all parts of the questionnaire and provide the informationrequired in English. Failure to comply shall result in the rejection of application.

4.2 Answers to questions and information supplied must be accurate and unambiguous.Additional pages may be inserted in the event additional space is needed for replyingto the questions. Please do not include company reports or other handouts of anadvertising nature unless they contain relevant and specific information requested inthe questionnaire.

4.3 The Applicant must submit one (1) original and one (1) completed copy of thequestionnaire and all supporting information. The Applicant must adhere to the formand layout of the questionnaire.

4.4 Responses in the application indicating “TO BE SUBMITTED LATER” or similar statements are not acceptable and shall result in rejection of the application to pre-qualify.

4.5 The Applicant's Submission must be sealed in two (2) envelopes (Original + Copy).Further details of modalities of submission, please refer 4.7.2 here below. Theenvelopes must be marked as follows: -

4.6 The Applicant must deliver its Submission to Contracts Services Team, at Kuwait OilCompany Industrial Area at Ahmadi, Kuwait as early as possible anytime after the PQDocument published in KOC’s eTendering Portal (i.e. 25/03/07).

4.7 The layout of the PQ Documents and the Modalities of Submission are follows: -

(a) Answer to any of the nine (9) questions of this Section is negative;

(b) Relevant supporting documents for above are not provided;

(c) Any question of the Section is kept un-answered.

4.7.2 MODALITIES OF SUBMISSION

a) Envelope 1 shall contain all originals of Portion B in one (1) folder + PortionC in another folder + portion D in the 3rd (third) folder; and Envelope 2: shallcontain copies of all doc. in different folders stated similar to envelope 1.

b) In addition to the above, the Applicant is required to provide a Letter of Submittal(in the format specified in Portion B) written on the Applicant's letterhead andsigned by the Applicant's authorised signatory.

4.8 Only established companies that are single corporate bodies can be pre-qualified.Applications from agents will be rejected.

4.9 The Applicant must apply on its own behalf only. In order to assess applicant’scapability, the information provided in the questionnaire must be true and pertain tothe Applicant itself. Information which incorporates data regarding parent, associate,or subsidiary companies, or subcontractors, or companies to whom the Applicant wassubcontracted, shall be ignored / rejected for the purpose of evaluation.

4.10 If the Applicant is a wholly owned subsidiary company or part of a group of companies, then the application must be from the company (Applicant) which shallactually perform any work awarded.

• To clarify further, if the Group's head office is in United States of America

and the work would be controlled and performed by its subsidiary (theApplicant) located at London, England, then the application should be in thename of and using information about the company based at London and alldocuments submitted shall be from and associated with the latter. Information

pertaining to Group’s Head Office, USA shall be discarded for the purpose of

pre-qualification evaluation.

4.11 No more than one application shall be considered from any group of companies.

4.12 Pre-qualification shall be granted to the Applicant's company only and shall notinclude pre-qualification of any parent or sister or subsidiary companies or their agents.

4.13 By submittal of an application, the Applicant permits the Company to: -

a) Take any steps which the Company considers necessary to audit or verify the

information contained in its application, and;

b) Visit the Applicant's offices and facilities wherever they may be located butsubject to a prior notification.

4.14 Applications from companies with Service Agreements with other ‘ElectricalSubmersible Pumping Services for Oil Wells’ companies but no experience of their own shall be rejected.

4.15 The local agents appointed by the main Applicant can not apply on behalf of the mainApplicant. Such Submission by the local agents on behalf of the Applicant will be

rejected. The Applicant must submit the application and sign all the Submission.

4.16 Submission of Completed Pre-Qualification Documents

The Applicant must read the following two stages carefully and submit its Applicationaccordingly:

4.16.1 STAGE 1 : Submitting Applicant details on “Apply online”

a) The Pre-Qualification Documents are available at KOC’s websitehttp://www.kockw.com; “KOC e-Tendering”, under heading “KOC

Tenders”- Tender No. PQ 04/15 Entitled: Pre-Qualification ForElectrical Submersible Pumping Services For Oil Wells for theCompany’s operations.

b) The Applicant must register its company particulars in “Apply online” toenable the Company’s e-Tendering Portal to generate e-mail notificationof the User ID and Password for future electronic correspondence.

4.16.2 STAGE 2: Document Delivery/Submission:

a) The Applicant must arrange to submit the completed Pre-qualification

Documents as early as possible anytime after the PQ Document published inKOC’s eTendering Portal (i.e. 25/03/07) either through courier or by handto the Contracts Team Building, Kuwait Oil Company industrial area atAhmadi, Kuwait;

• No application for prequalification will be accepted after 14:30 Hrs

(Kuwait Standard Time) on May 06, 2007 .

b) Information to be submitted by the Applicants is listed under Sections.

c) The Pre-qualification documents must be accompanied with the

original:

cash receipt for a non-refundable payment of Kuwaiti Dinars Fifty(KD. 50/-) paid to the Company’s account number 50112130101 withthe National Bank of Kuwait – Ahmadi Branch, Kuwait

Or bank draft for an amount US dollar one hundred and seventy(US $ 170/) payable to “Kuwait Oil Company”.

Or receipt for a money transfer to Company’s bank account No.50112130101 for Kuwaiti Dinars or account No. 50112130301 for USDollar (US $) denominations.

c) Submission received after the closing date shall not be considered.

5. CONDITIONS FOR AWARD OF WORK

Invitations to Tender issued by the Company are in accordance with the State of Kuwait's law number 37 regarding Public Tenders or any subsequent amendmentsthereof. This law requires that any tender submitted which is not strictly in accordancewith the terms and conditions contained in the Invitation to Tender shall bedisqualified. Applicants are therefore advised that only companies who can acceptthe Company's contractual terms, in full, should apply for pre-qualification. The mostimportant terms are:

5.1 The Contract Period shall be generally for four years commencing from the date of commencement of Services. The Contract may be extended for the period of sixmonths on same terms and conditions. The Company may terminate the contract anytime after one year of commencement by giving the Contractor 90 calendar day’swritten notice.

5.2 The Company shall make monthly payment as per the terms and conditions agreed inthe contract, submitted by way of an invoice to the Company's Accounts PayableTeam. The Company will verify the services claimed by the contractor in suchinvoices and certify it for payment. Upon verification, the Company will make

payment within 30 days of receipt of such invoice by the Company.

5.3 Each payment shall be subject to statutory retention of 5% of each invoice value. Thetotal 5% retention will be released to the contractor only upon its submission of a TaxClearance Certificate from the Income Tax Office of the Ministry of Finance, Kuwait,indicating that the contractor has discharged its tax liabilities (if any) in full and aLabour Release Certificate from the Ministry of Social Affairs and Labour, Kuwait.Alternatively, the Contractor shall have the option of providing Bank Guarantee in thevalue of 5% of Contract Value in lieu of tax retention stated above.

5.4 The contractor insures the Works to its full value with an "All Risks" insurance policy

during the contract period.

5.5 Performance guarantees will be required up to 10% of total contract value.

5.6 Kuwait law governs the contracts signed with Kuwait Oil Company. Where anycontract provides for arbitration, the pertaining clause shall provide for sucharbitration in accordance with internationally accepted practices within the Oil andGas industry.

5.7 The Contractor shall employ minimum number of Kuwaiti Nationals in accordancewith the Company’s Kuwaitisation Policy which is usually specified in the Tender

Documents depending upon its specialties.

6. GENERAL

6.1 Subject to 4.13 above, all replies/correspondence will be treated in the strictestconfidence by the Company.

6.2 The Company will retain all documents submitted by the Applicant for its records.

6.3 Contractors who are currently engaged in ‘Electrical Submersible Pumping ServicesFor Oil Wells’ for production operations activities with the Company need not applyfor Pre-qualification. They will be considered as pre-qualified for the subject services.
