Kalb's Q&A for Contractors By David Kalb & Shauna Krause, Capitol Services, Inc.

We ‘whet’ your appetite for answers with an unusual inquiry that starts with a cruise up the California coast. We turn a contractor 180-degrees after getting some bad direction but our final contractor’s problem won’t be solved despite a positive answer…

Q: We’re an out-of-state corporation that will be doing contracting work on a cruise ship. The ship is due to dock in San Diego, where our employees will get on. From there the ship will head out to Seattle and our crews “in tow”. Do we need a CA license to do the work since it will be docking in San Diego? A: Interesting question! Our research indicates that you do not re-quire a CA contractor’s license to work on this vessel. Bon Voyage! Q: I have a Sole Owner General building contractor’s license. My buddy who is licensed in Oregon does plumbing work. Can I add him to my license with the plumbing classification so that we can start doing plumbing and building projects? When I contacted the Contractors Board, the guy I spoke with said I would need to form a corporation or partnership. Is this right? A: The CSLB staff member was incorrect when he told you an individual could NOT add anyone to a Sole Owner license. Giv-ing him the benefit of the doubt, we believe he may have misun-derstood your question. Regardless, while you certainly have the option of forming a partnership or corporation to conduct business, you just as certainly can hire a Responsible Managing Employee (RME) -- as long as it’s for a different classification than you hold. Your friend will be required to show four years of plumbing experi-ence and pass the law and trade exams. He will also need to post a $12,500 Bond of Qualifying Individual and go through the Board’s fingerprinting process.

Q: We’ve had a “C-39” (Roofing) license since 2007 with my son as the Qualifier. He does not have the best credit so I would like to replace him. His bad credit is preventing our partnership from getting bonding anymore. Since we’ve had a license for 5 years I thought I could do this without taking the exam but the CSLB told me NO because we had to get a new license in 2009 when we added

another partner. They said since we got a new license and number they start the 5 years over again. Are they correct even though we have been in business for 5 years under the same name and he and I are still partners?

A: Yes, the CSLB was correct. To be eligible for a waiver under Code Section 7065.1, you must have been on ONE license for 5 of the prior 7 years. In other words, your time did start over again when you applied for the new Partnership license in 2009 (you were required to do so since any change in General Partners results in a license being cancelled).

While not part of your question, in researching your license sta-tus, we noticed that your license is suspended due to a Worker’s Compensation issue. Aside from needing to contact your insurance company, it is important to note that to be eligible for a waiver the license must have been active and in good standing for the entire 5 year period.

Also In This Update• Employer Mistakes NOT To Do• Revisions to Carl Moyer Program Meal and Rest Decision Near

The California Supreme Court is expected to render a decision by April 12 on the Brinker meal and rest period case. The question of whether employers must ensure employees take breaks or must simply provide breaks has been a source of significant litigation in both federal and state courts.

In Brinker v. Superior Court, a California appeals court found that rest breaks only need to be provided, and that they do not always need to be taken in the middle of the four-hour work period. The Court also held that meal periods must be provided, rather than ensured. This decision, however, was appealed to the California Supreme Court.

Employers have anxiously waited for guidance from the California Supreme Court, whose final ruling is expected by the April 12th date.

Issues to be decided by the Court include:

• Must employers simply make meal breaks available or must employers ensure the meal break is taken?

• What is the timing of the meal break? Are employers obligated to make a meal break available for every five consecutive hours of work?

• How many rest breaks are required during a shift?

• When must employees take their rest breaks?

Top 10 Things Employers Do to Get Sued

There is no question that California has some of the most stringent and complex labor laws in the nation. The California Chamber of Commerce has released a, “The Top 10 Things Employers Do to Get Sued,” details some of the mistakes that could lead to employment lawsuits.

CalChamber knows that one of the toughest tasks for an HR manager or business owner is managing risk to prevent lawsuits. Employers may unintentionally violate employment laws and never realize the risk they create for the company. Trying to provide some flexibility for an employee, saving money for the company, or just being nice are all ways that an act of kindness can become a business liability.

Although this list does not apply to all employers (regulations and collective bargaining agreements may override these general rules), these 10 HR examples can help employers better manage their risk: Remember, these are things NOT to do!

1. Classify all employees as exempt, whether they are or not.2. Be nice to employees — let them work through lunch so they

can take off early.3. Make everyone an “independent contractor” because having

employees is too much trouble.4. Don’t bother providing training about harassment and

discrimination to managers and supervisors. They won’t need the information.

5. Let employees decide which hours and how many they want to work each day.

6. Terminate any employee who takes a leave of absence, whatever the reason. It is too much trouble to administer leaves of absence, and who knows if the employee will return.

7. Don’t give employees their final check if they fail to return company property.

8. Provide loans to employees and deduct the money from their paycheck each pay period.

9. Use non-compete agreements to protect confidential information such as business secrets, customer lists and pricing information and prevent employees from working for the competition.

10. Implement a “use it or lose it” vacation policy and avoid paying out all the money at termination.

Update On CARB’s Carl Moyer Program

BACKGROUND:Since 1998, the Carl Moyer Program has filled a critical niche in California’s strategy to achieve clean air. The Carl Moyer Program provides grant funding for the incremental cost of cleaner-than-required engines, equipment, and emission reduction technologies. The Carl Moyer Program complements California’s regulatory program by funding emission reductions that are surplus, i.e., early and/or in excess of what is required by regulation. State law authorizes the Air Resources Board to revise the Carl Moyer Program Guidelines when necessary to improve the ability of the program to achieve its goals. In particular, as required by statute, the Board updates the cost-effectiveness limit and capital recovery factors annually. If you have questions

RevisionsAn approved revision to the 2011 Carl Moyer Program cost-effectiveness limit is now available. Mail Out #MSC12-07 announces this change to Appendix G of the Program Guidelines. http://www.arb.ca.gov/msprog/mailouts/mouts_12.htm (point your mouse and press control and left click)

The cost-effectiveness limit is updated to $17,080. The capital recovery factors remains unchanged based on a discount rate of 2 percent. The updated cost effectiveness limit can be used by air districts for contracts executed beginning April 1, 2012, and must be used for any contracts executed beginning July 1, 2012.

Maintain Your Distance – Don’t Tailgate Picture this: You are driving to an important appointment and get stuck behind a driver going a few miles per hour under the speed limit. What do you do? Many drivers, some who are feeling impatient and others who do not realize they are doing it, follow the vehicle in front of them too closely. While this situation may be commonplace, it puts both you and the drivers in front of you in danger. Understanding the Danger Tailgating is an extremely dangerous practice. If there is a collision ahead, if the road is slick, or if traffic becomes heavy, everyone on the road should be prepared to stop. However, if you do not leave sufficient space, even if you are paying close attention, you will not have enough room to. Two-Second Rule Almost 10 percent of all accidents are caused by tailgating. To avoid joining those ranks, always follow the two-second rule. If you are driving on a normal road in good weather conditions, there should be at least a two-second buffer between your vehicle and the one in front of you. Here is how to calculate your distance: Pay attention to the vehicle in front of you as the driver passes a fixed point such as a mile marker or a sign post. Once the vehicle passes that point, count until you pass that same point (“one thousand and one, one thousand and two…”). Should you reach that point

before counting to two seconds, then you know you are following too closely. Slow down and try the test again with a new fixed point. Inclement Weather If road conditions are not good or if you are driving in bad weather, you should increase your distance even further. Conditions like rain, ice and snow not only make roads slippery, they also greatly reduce visibility, so you may not see a hazard farther in front of you to react in time. Gas Mileage A common misconception is that tailgating can increase the gas mileage of a vehicle, similar to when racecars “draft”; however, this is not the case. Racecars drive at speeds of 200 mph and must use a lot of energy to cut through the air. When racers ride close to the vehicle in front of them, they use less energy due to their speed. However, driving at speeds of 60 mph does not require nearly the energy to maintain the speed, and therefore, tailgating is not beneficial. Mantenga su distancia - No conduzca pegado al automóvil de adelante Imagínese esto: Usted está conduciendo para hacer una entrega importante y se queda atascado detrás de un conductor que circula a unas pocas millas por hora debajo del límite de velocidad. ¿Qué hace? Muchos conductores, algunos que son impacientes y otros que no se dan cuenta de que lo están haciendo, siguen demasiado de cerca al vehículo de adelante.
