Providing the foundation for a well-built community


New Year started out promptly this past Wednesday with the return of the California State Legislature to complete the second year of the two-year Legislative Session. Along with the 34 new bills that were immediately introduced, there are also myriad two-year bills (carryover from last year) that must pass out of their house of origin by the end of this month or they will die. So while everyone with two-year bills is scurrying about trying to line-up support for their soon to be extinct measures (if they fail to move them), all of we ‘lobbying-types’ are also ‘shopping bills’ to legislators.

In other words everything around the Capitol is based on the calendar. So while two-year bills have to be out of their house of origin by the end of January, new bills for 2012 must be submitted to Legislative Counsel for drafting by the close of business on Friday, January 24th. The next deadline is then close of business on Friday, February 27th at which time all bills must have been introduced (except for committee-sponsored bills, but I don’t want to complicate the discussion). Hence, with the clock ticking, there’s the need to ‘shop’ bills; or rather to convince a legislator and his staff to carry ‘your’ bill because it is so vital, necessary and ‘good’ public policy. How does one ‘shop’ a bill? All of us have legislators whom we have worked with and know and trust. These friendships usually result because of the committees that a legislator sits on which also are the

likely committee(s) within which your proposed bill will probably be heard. Having a legislator with knowledge of your bill’s subject matter (or issue) as author helps immensely. Finally, there are also other factors that weigh into the consideration, such as ‘clout’ of a legislator, his/her party affiliation (particularly if it’s going to be a controversial bill) and, if all else fails, a legislator who agrees to author “your” bill when no one else will (which, of course, never happens with “my” bills!).

Our Two-Year BillI have one two-year bill, AB 249 (Bill Berryhill), which deals with the issue of disgorgement (Business and Professions Code Section 7031). Don’t know what that is? You should! If for ANY minor technicality, such as forgetting to send in your contractor’s license renewal on time (for example, if you move and don’t inform the Contractors’ License Board (CSLB), you WON’T get your renewal notice and will be suspended because your license has lapsed), or your workers’ comp policy or your license bond is not renewed due to a clerical error, will put you in the exact SAME position as a NEVER licensed contractor!!Many homeowners and knowledgeable prime contractors are using this technicality by going online to the CSLB’s website to find contractors with suspended licenses. Most of these suspended contractors are not even aware that their license is suspended (which is why you should check your own license on

a VERY regular basis online). The homeowner or prime contractor hires the suspended contractor to do work for them. According to the law in B&P 7031, you can be disgorged for ALL payments made to you on (a) project(s) even if the suspension is for ONLY 1 hour (or less) while you were working on the project. In other words, by law you could be required to pay back ALL monies paid to you on (a) project(s), or they don’t have to pay you if you haven’t received any payments yet. Oh, and for money that has been paid, they can demand interest!

Now that I’ve got your attention, please be aware that I’m (with the support of all of my contractor association colleagues) trying to define and thus exempt ‘minor’ infractions so that disgorgement would not apply in these minor cases for LEGITIMATE contractors only. Certain factions in organized labor came out in opposition to the bill arguing that ALL contractors have an obligation to remain licensed at all times and that disgorgement should apply to all! I’ll let them explain to their rank and file why their jobs were eliminated because a longstanding contractor went out of business over this stupid law!

Suffice to say, due to labors’ opposition I cannot get the bill out of committee next week, but have commitments to work on a new bill that will be re-introduced this year. As long as I can get a bill out of the Legislature and signed by

the governor this year that fixes the problem, it doesn’t matter whether we use the two-year bill (AB 249) or a new one. Either one would not take effect until January 1, 2013. In the meantime, take heed - CHECK YOUR LICENSE FREQUENTLY!!!

2012 LegislationBesides dealing with likely hundreds of new bills this year, we are sponsoring one other new bill (besides the disgorgement bill).

Defining Disputed Amount - The Prompt Pay statutes are turning into a mess of loopholes. They provide no relief to contractors against a sophisticated owner. Even worse, they provide those owners with excuses for withholding more money. Here’s why: ‘disputed amount’ is not defined. As a result, virtually every construction attorney is running into these kinds of things:

A). The owner orders time and material for extra work. Daily tickets are signed by the owner’s jobsite representative confirming that the equipment and labor actually performed the extra work. When the extra work is completed, the contractor submits an invoice for $10,000 (for example) for the extra work. That invoice is the product of what the contractor thought were agreed upon labor rates multiplied by the labor hours on the tickets and what the contractor thought were the agreed upon equipment rates multiplied by the equipment hours on the tickets.

The owner decides the total is too much, so he declares this to be a disputed amount. Not only does the owner NOT pay for the extra work, but because it is a ‘disputed amount’ the owner withholds what the law provides which is 150% of that amount, i.e. $15,000, from money otherwise due. In other words, if the contractor had never performed the extra work, that $15,000 would never have been withheld from money otherwise due. However, since the contractor did $10,000 in extra work, his cash flow is now reduced by $25,000 ($10,000 paid out for the labor and equipment for the extra work PLUS the $15,000 “disputed work” withhold). While this action is blatantly unfair on the part of an owner, the language in the existing prompt pay statutes appears to sanction it - and sophisticated owners are using this loophole in the law.

B). The job is delayed. The causes of the delay are disputed. The owner assesses liquidated damages of $10,000. The contractor contests this assessment. The owner, in-turn, declares this to be a “disputed amount” and withholds NOT the $10,000, but 150% of the $10,000, i.e. $15,000, because the contractor has disputed the liquidated damages assessment. Once again, the language in the existing prompt pay statutes appears to sanction this loophole in the law.

C). A cost-plus job is performed. Under the agreement the owner must pay all of the costs of the work. A dispute develops near the end of the job. In response, the owner stops paying and the contractor pulls off the job. The owner now hires another

contractor to finish the work at a cost of $10,000 (for example). The owner then contends that the $10,000 it paid to the other contractor - money it would have had to pay the original contractor under the cost-plus contract - is a disputed amount. Thus, the owner uses that argument to justify withholding $15,000 from what is still owed to the original contractor for costs of the work done by the original contractor.In summary, not only are owners using these kinds of arguments to withhold payment, they are ALSO using them to avoid the prompt payment penalties that were supposed to assure prompt payment!

This measure is intended to correct this major loophole in the current prompt pay statutes by defining disputed amount. It should be noted, we sponsored this measure back in 2004 as AB 2549 (Pacheco) and the following year as AB 341 (Huff). Both of these measures passed unanimously out of both houses of the Legislature only to be vetoed by former Governor Arnold Schwarzenegger. During his campaign for governor, Senator Huff asked then candidate Jerry Brown if he were governor again and received a bill that had passed unanimously out of both houses of the Legislature, whether he would veto it? Brown’s response, “I would defer to the wisdom of the Legislature and sign the measure.”

I am hopeful that with a new governor and the sure support of the Legislature, a re-introduction and successful passage of this measure appears likely in 2012.

Mechanics Liens, Stop Notices, and payment bonds are three of the most effective and powerful tools that contractors have to

assure they get paid on a construction project. Mechanic Liens are only available on private works projects and payment bonds are more typically found on public works projects, but all three remedies are important options that all contractors need to understand and use. If you are one of the statutorily authorized parties, you have extremely important rights that you can assert. The threshold requirements are the same for all three and are simple enough to comply with: you need to have sent a Preliminary Notice (private works especially) and you need to be properly licensed for the entire time you are performing the work (critical on every con-struction project). With those two prerequisites met, you have your ticket for the show, but you still may not get in the door. Your status and re-lationship to the other parties, as a subcontrac-tor or as a supplier, and depending on what you do and who you do it for, will determine if you can enforce these important statutory remedies. Sometimes that distinction-subcontractor or supplier- can get a bit fuzzy. How do you tell the difference? In the case of Eggers Indus-tries v Flintco Inc that’s exactly what happened and the court provided an excellent explanation of how to distinguish a subcontractor from a supplier, and when and how it can determine your rights to assert Mechanics Lien, Stop No-tice, and/or in the Eggers case, a payment bond claim. The facts in Eggers are important to understanding the distinction and the implica-tions of the distinction. The project was a public works project at UC Davis. Flintco was the general contractor and subcontracted with Architectural Security Products (ASP) to provide more than 280 doors for the project. The doors were custom doors; that is, they had certain specific criteria and were not simple off-the-shelf products. ASP contracted with Eggers to manufacture the doors. When ASP did not pay Eggers the entire contract amount, Eggers filed a claim

against Flintco’s payment bond. ASP also went bankrupt so the only recourse for Eggers was the payment bond. Flintco and the payment bond surety defended against the claim by insisting that ASP was not a subcontractor but only a sup-plier because all it had was contract to provide the doors. Therefore according to Flintco, Eggers was not entitled to make a claim on the bond because Eggers was only a supplier to a supplier (ASP) and suppliers to suppliers have no lien or bond rights. Eggers, of course, insisted that ASP was a subcontractor and that it (Eggers) was a supplier to a subcontractor, and therefore it did have payment bond rights. The trial court and the court of appeals agreed with Eggers. The question that had to be answered in the Eggers case was: What’s a subcontractor? The answer turned on what the contract between ASP and Flintco called for ASP to do. The critical fact was not so much what ASP did, but what ASP agreed to do. It did not matter that ASP did not itself manufacture the doors that it had agreed to supply; what mat-tered was that it agreed to provide the doors in the first place and that the doors were a sub-stantial portion of the entire work of improve-ment. As the court wrote “It is the agreement to provide part of the construction, not who actually performs that part of the construction, that gives one “charge of” that part of the con-struction and thus makes one a subcontractor.” According to the California Supreme Court, a subcontractor is “one who agrees with the prime contractor to perform a substantial specified portion of the work of construc-tion, which is the subject the general contract, in accord with the plans and specifications by which the prime contractor is bound, has “charge of the construction” of that part of the work of improvement and is a subcontractor although he does not undertake to incorporate such portion of the projected structure into the building.” Therefore because ASP remained in charge of- responsible for- the production of the doors for the project, it was by definition,

a subcontractor. Because ASP was a subcon-tractor, Eggers could still be a supplier and had payment bond rights to assert. The Code provides that a supplier to a subcontractor has such rights; a supplier to a supplier does not. Eggers prevailed because of ASP’s status as a subcontractor, which also determined Eggers’s rights as a supplier. The subcontractor does not necessarily need to perform the work; it merely needs to agree to get the work accom-plished. Any suppliers or others that it con-tracts with to perform the work will also have lien and bond rights as a result. Conversely, if the supplier buys materials from another sup-plier, that remote supplier does not have any such rights. Bond, lien and stop notice rights all depend on where you are in the chain of commerce. The Eggers case resolved a payment bond dispute but the same analysis would apply for determining Mechanics Lien and Stop Notice rights. By Code, there are only certain specific and statutorily defined groups that have these rights: contractors that have direct contracts with the owner, subcontractors and suppliers to subcontractors with contracts with the General or Prime, and subcontractors to subcontractors have lien rights; suppli-ers to suppliers do not. Depending on what your contract is for, and who it is with, will determine whether you have statutory rights. Make sure you understand that relationship so you can take appropriate steps to protect your rights, whatever side of a dispute you may find yourself on.

Like the tide lifting all boats, trouble with a corpo-rate license can also ‘suspend’ an individual’s per-sonal work. New California law will make no dis-tinction in the size of a contractor’s business when it comes to providing compensation insurance coverage for employees on the job…

Q: As indicated in the attached CSLB notice, my son’s license will be suspended next month because of an issue involving my corporate license. I understand that although a VP is an Officer and part of the corporation this position isn’t required to be listed with the Secre-tary of State or Contractors Board. I am the Respon-sible Managing Officer (RMO)/President, Secretary & Treasurer and my son has no authority to control license events. Wouldn’t I be solely responsible for any CSLB actions…?The basic question would be - What is the least pain-ful way to remove him from the claim troubles on my license? Please advise. A: I cannot say if you’re “solely responsible” for all CSLB actions. However, I can tell you the CSLB is giving your son the opportunity to remove himself from your license so his Sole Owner license will not be suspended. I recommend that he file a Notice of Disas-sociation with the CSLB effective immediately, which in turn will remove him from the corporate license and lift the pending suspension on his personal license.Q: I read in one of your columns months ago about a new law that will affect small contractors like myself. It had to do with Worker’s Compensation. Could you let me know which law this was and how I can get more information?A: I believe I referenced Assembly Bill 397 a number of months ago. This bill was passed by the Legislature and signed by the Governor in October and will impact all contractors large and small. The new law which took effect January 1st, requires a contractor who has previously certified that he/she has no employees and is exempt from carrying a Worker’s Compensation policy to submit a new certification, or proof of employee in-surance coverage.The new law states: “At the time of renewal, all active

licensees with an exemption for Worker’s Compensa-tion insurance on file with the board, submitted pursuant to subdivision (b) of Section 7125, (of the Business and Professions Code) shall either recertify the licensee’s exemption by completing a recertification statement on the license renewal form, as provided by the board, or shall provide a current and valid Certificate of Workers Compensation Insurance or Certificate of Self-Insurance, whichever is applicable.”

There are some contractors who certified they were exempt from Worker’s Compensation when their license was first issued, but some now have employees. If a con-tractor, under penalty of perjury, must recertify they are exempt or produce the required Certification of Workers Comp, this will put them on record, either way. With this new recertification requirement, contractors will produce the necessary Worker’s Comp Certificate; obtain Work-er’s Comp if required; or at least eliminate any questions should they be found in violation of this statute.

A second bill (AB 878), also signed into law last October, requires a Workers’ Compensation insurer to report to the Registrar of Contractors any licensee whose Worker’s Compensation insurance policy is canceled by the pro-vider if the insurer has completed a premium audit or investigation.

What is Asbestos?Asbestos is the name given to a group of naturally occurring minerals. Asbestos differs from other min-erals, in that it forms long thin fibers instead of crys-tals. There are six different minerals, divided into two groups, included in the asbestos family. The two groups are Serpentine and Amphibole, and are based on the differences of their crystalline structure. Ser-pentine forms a sheet or layered structure. Amphi-boles form a chain-like structure. Asbestos fibers are naturally occurring and stay airborne very well.

Where do you find asbestos?Asbestos is used in many products because of their high tensile strength, flexibility, and resistance to chemical and thermal breakdown. Asbestos is used in insulation, fireproofing materials, automotive brakes, cement and wallboard materials, floor tiles and roof-ing materials.

Chrysotile (a member of the Serpentine group) is the most common type of asbestos found in buildings. Chrysotile makes up 90-95% of all the asbestos in the United States. The federal government declared a moratorium on asbestos production in the early 1970’s. Installation of these products continued into the early 1980’s.

Who is at risk of asbestos exposure?The construction trades most at risk from asbestos are insulators, plumbers, pipefitters, electricians, sheet metal workers, roofers, bricklayers, painters, and steel workers. Any construction worker may be exposed occur during maintenance, remodeling, renovation or demolition of older buildings.

How can you become exposed?Disturbing asbestos materials may generate airborne

asbestos fibers. Asbestos is only dangerous if it be-comes airborne. To be a significant health concern, asbestos fibers must be inhaled over an extended period of time. Asbestos fibers then accumulate in the lungs. As exposure increases, the risk of asbestos related diseases also increase. As long as asbestos containing materials are not damaged, the asbestos fibers do not become airborne and do not pose a health threat.

Asbestos related diseases.Asbestosis– is a scarring of the lung tissue. The scarring impacts the elasticity of the lungs and low-ers its ability to transfer oxygen and carbon dioxide. Asbestosis is a slowly progressive disease, taking 15 to 30 years to fully develop.

Mesothelioma– is a type of cancer. This disease at-tacks the lining of the space holding the lungs, called the pleura. Mesothelioma is considered to be exclu-sively related to asbestos exposure. Mesothelioma may take 30 to 40 years to develop.

Lung Cancer– is a malignant tumor in the lungs. The tumor grows through the surrounding tissues, invading and blocking the air passages of the lungs. The time between exposure to asbestos and the occurrence of lung cancer may take 20 to 30 years. It should be noted that there is a multiplying effect between smoking and asbestos exposure, which cre-ates a high susceptibility to lung cancer.

How to protect yourself?Before you disturb asbestos (loosen the fibers) you must have special training. OSHA requires a “compe-tent person” to be designated for all worksites that will involve asbestos work. The competent person should inspect the jobsite regularly, be knowledgeable of per-

sonal protective equipment, and supervise the work to be done to ensure all safety measures are being taken to prevent exposure to asbestos.

Asbesto en Construcción¿Qué es Asbesto?Asbesto es el nombre dado a un grupo de materiales que ocurren en la naturaleza. El asbesto difiere de otros materiales en que forma fibras largas y delgadas en vez de cristales. Incluidos en la familia del asbesto existen seis diferentes minerales, divididos en dos grupos. Los dos grupos son Serpentinos y Anfíbolos, y su división se basa en las diferencias de su estruc-tura cristalina. Los Anfíbolos forman una estructura en forma de cadena. Las fibras de asbesto ocurren natu-ralmente y se mantienen muy bien en suspensión en el aire.

¿Dónde se encuentra el asbesto? El asbesto se usa en muchos productos por su alta resistencia a la tensión, flexibilidad y resistencia a las sustancias químicas y a la descomposición térmica. El asbesto se usa en aislamiento, materiales a prueba de fuego, frenos para automóviles, cemento y materiales para tablas de pared para construcción, materiales para pisos y para techos.

Crisótilo (un integrante del grupo Serpentino) es el tipo más común de asbesto que se encuentra en edificios. El Crisótilo constituye el 90 al 95% de todo

el asbesto en los Estados Unidos. El gobierno federal declaró una moratoria en la producción de asbesto en la década de los setenta. La instalación de productos que contienen este material continuó hasta principios de la década de los ochenta.

¿Quiénes corren riesgos por exposición al asbes-to?Los trabajadores manuales que corren el mayor riesgo de exposición al asbesto son los que instalan aislamiento térmico, los plomeros, los instaladores de tuberías, los electricistas, trabajadores de láminas metálicas, instaladores de techos, albañiles, pintores y trabajadores en la industria del acero. Cualquier traba-jador de la industria de la construcción puede resultar expuesto durante trabajos de mantenimiento, remod-elado, renovación o demolición de edificios viejos.

¿Cómo puede usted resultar expuesto?Cualquier disturbio a los materiales que contienen as-besto puede generar fibras de asbesto en suspensión en el aire. Para que éstas se conviertan en un peligro significativo a la salud, es necesario que se inhalen durante un período largo de tiempo. Al hacerlo, las fi-bras de asbesto se acumulan en los pulmones. Según aumenta la exposición del individuo, el riesgo de contraer enfermedades relacionadas con el asbesto también aumenta. Mientras que no se dañen los ma-teriales que contienen asbesto, las fibras de asbesto no quedan en suspensión en el aire y no presentan peligros a la salud.

Enfermedades relacionadas con el asbesto.Asbestosis – es la producción de cicatrices en el tejido de los pulmones. Las cicatrices afectan la elas-ticidad de los pulmones y disminuyen su habilidad de transferir oxígeno y dióxido de carbono. La asbestosis es una enfermedad de avance lento, que toma unos 15 a 30 años en desarrollarse por completo.

Mesotelioma – es un tipo de cáncer. Esta enferme-dad ataca el recubrimiento del espacio en que residen




los pulmones, conocido como la pleura. El Mesotelio-ma se considera una enfermedad relacionada exclusi-vamente con la exposición al asbesto. El Mesotelioma puede tomar de 30 a 40 años en desarrollarse.

Cáncer del pulmón – es un tumor canceroso en el pulmón. El tumor crece por todo el tejido que lo rodea, invadiendo y bloqueando el paso del aire a lo pulmo-nes. El tiempo transcurrido entre la exposición y la ocurrencia del cáncer del pulmón puede ser de 20 a 30 años. Cabe notar que existe un efecto multiplicador entre la exposición al asbesto y fumar, lo cual genera una alta susceptibilidad al cáncer del pulmón.

¿Cómo puede usted protegerse?Antes de crear cualquier disturbio en materiales que contengan asbesto (soltar las fibras) es necesario contar con entrenamiento especial. La OSHA exige que se designe a una “persona competente” para todos los sitios de trabajo en que se hagan traba-jos en asbesto. Dicha persona competente deberá inspeccionar el sitio de trabajo periódicamente, ser conocedor de los equipos para protección personal y supervisar el trabajo a ejecutar para asegurar que se tomen todas las medidas de seguridad para evitar la

exposición al asbesto.
