LUCKY CORRIDOR UPDATE: FEBRUARY 25, 2011

After completion of power flow studies, and scoping meetings with BLM and USFS, Segment A of the Lucky Corridor Project is re-designed as 102 miles of new double circuit 230kV transmission between Tri-State’s Gladstone and Taos substations, then use of Tri-State’s existing 345kV line to PNM’s Ojo substation, until Segment B is built. USFS and BLM want to separately permit Segment B, 38 miles of line upgrades between Taos and Ojo, through sensitive lands. Segment B: estimated COD is two years after COD of Segment A.

Lucky Corridor, LLC has mitigated ROW risk by entering into an MOU with NM RETA. NMRETA brings to the Lucky Corridor project: a. Its determination that the project is in the public interest; b. NMRETA’s ability to issue bonds to finance up to 100% of construction debt;

and c. backstop eminent domain.

We ask for Western’s help in obtaining control of the ROW, and permitting it. In most areas, the existing Tri-State ROW is wide enough to install the double circuit 230kV. As soon as the ROW is optioned, NM RETA will close, and begin raising the construction debt. The ROW data base has been built in detail by Eagle Peak Land Surveying, Taos, NM.

Lucky Corridor, LLC has mitigated permitting risk by retaining Tetra Tech EC, Inc., studying the Project area, having scoping meetings with USFS and BLM, and preparing the 299 permit applications, which are being finalized for submission.

Lucky Corridor, LLC has mitigated risk of cost recovery by preparing the Project’s first Petition for Declaratory Order at FERC, under Order 679. Expert witnesses have been hired, power flow studies are complete, testimony prepared. Work to date indicates that our cost-of-service Project will both enhance system reliability and relieve congestion. Counsel is Al Statman, Wright & Talisman, veteran of Path 15, METC and other seminal transmission projects.

Lucky Corridor, LLC has mitigated customer risk by obtaining contingent transmission service orders with Denver-based Southwest Generation (gas-fired generation), with the 35,000A Gallegos Wind Farm in NE New Mexico, and with the Blue Mesa Wind Farm. There is more demand for transmission in the Project area than the Project alone can carry.

On October 18, 2010, the Los Alamos National Lab issued the New Mexico

Renewable Energy Development Study (LA-UR-10-6319) showing the importance to New Mexico of the route chosen by our Project.

In November, 2010, the NM Governor’s Task Force on Statewide Electricity Transmission Planning issued a study showing the importance of the route chosen by our Project: http://www.emnrd.state.nm.us/main/index.htm

Lucky Corridor, LLC has originated a $2,000,000 credit enhancement instrument to further finance its development activities, and we continue efforts to raise more development capital from individual investors, venture and equity firms, and from the Western Area Power Administration.

New Mexico Economic Development Department financed an independent study: “A Report of the Economic Impact of the Lucky Corridor Project on Communities in Northern New Mexico”, showing, at page 18, that our Project will create a total of 3,480 direct, indirect and induced jobs.

Al Statman, Wright & Talisman

Mr. Statman has represented electric utilities, investor-owned utilities, independent transmission companies and independent power projects before the Federal Energy Regulatory Commission (FERC) and state public utility commissions, and in related court cases, for nearly 30 years. His practice is focused on utility law, administrative litigation and rate regulation, including the design and implementation of compliance programs. Mr. Statman has been particularly active in restructuring of utility assets, mergers and acquisitions and transmission project development. Through his representation of a variety of energy industry participants, Mr. Statman has extensive experience in litigating rate proceedings at FERC from the perspectives of both the utility and the customer.

Mr. Statman is a senior advisor to the Board of Directors of Continental Energy Systems, LLC, a utility holding company, providing natural gas services to customers through its LDC subsidiaries in Alaska, Michigan and New Mexico. He was a founder of Trans-Elect, Inc., North America's first independent transmission company (ITC), and held various positions with the company including Executive Vice President, General Counsel and Secretary, from Trans-Elect's inception in 1999 until 2005.

Highlights:

Mr. Statman was instrumental in the creation of Michigan Electric Transmission Company, LLC (METC), the first ITC in North America, and in the development of the Path 15 project, the first greenfield ITC in North America, and developed the innovative rate treatments for both.

In his representation of StarTrans IO, LLC - a newly-formed ITC owned by Starwood Energy Group Global, L.L.C. - Mr. Statman successfully obtained the first-ever incentive rates granted to an ITC under FERC's new authority under the Energy Policy Act of 2005.

Mr. Statman represents Ameren Corporation and its affiliates in proceedings before FERC, including, among others, those involving compliance, complaints, market-based rates, standards of conduct, power-related agreements and wholesale market matters.

In his representation of Ameren Corporation and its affiliates, Mr. Statman obtained ground-breaking approvals from FERC for the transfer of electric generation facilities from a regulated utility to an unregulated affiliate.

Mr. Statman represented NewCorp Resources Electric Cooperative, Inc., a transmission-only entity, and Cap Rock Energy Corporation, an electric utility, in proceedings before FERC, including those involving appropriate cost-of-service rates, development of fuel cost recovery mechanism and customer protection protocols, development of electric transmission formula rate and protocols, and the negotiations for long-term power supply agreements and other agreements.

For nearly 20 years, Mr. Statman represented Southwestern Public Service Company (SPS) on all matters before FERC, including the successful litigation of numerous rate proceedings. During this time, Mr. Statman also represented both SPS and Public Service Company of Colorado in their merger proceedings before FERC.

Mr. Statman has authored several articles and routinely speaks at conferences and seminars addressing restructuring of utility assets, with a focus on investment in transmission projects and the development of favorable rate structures.

Prior to entering private practice, Mr. Statman clerked for federal judges on the U.S. District Court for the Southern District of Florida and the U.S. Court of Appeals for the Second Circuit. He has been a Shareholder of Wright & Talisman, P.C. since 1985, and a Managing Shareholder of the firm since 1993.

EDUCATION Mr. Statman graduated with high honors from Oregon State University with a B.S. degree in 1975 and received his J.D. degree in 1978 from the Syracuse University College of Law where he was an editor of the Law Review.

Doug Carter, SolarGen Over the past 20 years, Doug has actively developed over 9,000 MW of wind, natural gas, and solar energy projects from conceptualizing, developing, and construction of over $2.4 billion dollars of operating assets. A portion of the operating assets included acquiring the right-of-way and permits for an 80 mile transmission line that connected a 400 MW wind farm owned by Invenergy and NextEra and delivered the power to Xcel. As CEO of SolarGen USA, LLC, Doug developed over 500 MW of sites starting in 2009 that will lead to starting construction of 60 to 100 MW of arrays in 2011 by the longterm partner GCL Solar. He has over 20 years of experience in the energy industry in the areas of business development, project management, operations and engineering. He has a long track record with all aspects of power plant and energy site development. Prior to his work with SolarGen, he was a Senior VP with Invenergy, a leader in wind power generation. With Invenergy, he was responsible for the development of sites producing over 9,000 megawatts of wind, natural gas, and solar energy. From 2002 to 2004, Doug worked as the Director of Supply Development for Community Energy Inc, based in Pennsylvania. He was responsible for the development of wind farms in the Eastern Seaboard, New York and New England markets. In the 90s, Doug worked with Kinder Morgan, one of America’s largest pipeline transportation and energy storage companies. SolarGen is a Colorado based company focused on producing construction-ready sites for solar energy production. We at SolarGen are an experienced team in the center of an emerging industry of renewable energy. With a combined 52 years of experience in the energy development field we have developed an expertise ranging from but not limited to: Solar development, wind development, transmission line development, power purchase agreements, interconnect agreements for renewable and conventional energy and the water industry. Accomplished ahead of schedule without a major incident. BPA, Hanford Area 500 kV Transmission Project 2004-2006 This project included the construction of 62 miles of transmission Line, re-routing of a transmission line near the Schultz Substation, construction of a Loop into the Wautoma Substation, installation of the Wautoma –Columbia Fiber System, and the installation of the Wautoma Tie Fiber System. Maslonka was responsible for EMS, access road construction, ROW clearing, and foundation survey. Maslonka’s in house fleet accomplished over 1 million tons of excavation and placement of grillage foundations in material ranging from solid rock to wet river bottom, lattice steel assembly and helicopter erection, triple bundle conductor installation, and OPGW installation. Accomplished ahead of schedule without a major incident. WAPA, Path 15 500 kV Transmission Project 2003-2005 Los Banos to Gates 500 kV Transmission Line EPC: Maslonka was the EPC firm and responsible for engineering, procuring, and constructing a total of over 85 miles of new transmission line consisting of ROW procurement assistance, design, Q/A, EMS, ROW clearing, access road construction, drilling over 1100 pier foundations, processing concrete foundations, assembling lattice towers, helicopter erection

and stringing bundle conductor in a total of 15 months. Fast track procurement methods enabled significant improvements to the critical path schedule. For example: the first 1 million pounds of lattice steel towers was designed, procured, and delivered within 90 days of notice to proceed. Maslonka crews constructed new access roads, tower pads, and improved existing access roads. Maslonka’s in house fleet of 5 production drills completed the over 1100 piers foundations in material ranging from solid rock to wet river bottom (up to 11’ diameter and 60’depth). Maslonka crews assembled and erected over 246 steel lattice towers and 96 steel tubular poles. Maslonka strung the triple bundle 1590 ACSR and shield wire in less than 8 months. Accomplished without a major incident. AEP/LCRA Morgan Creek: Red Creek–Oncor Interconnect, 345kV DC 2002-2003 AEP’s largest project for FY2002, this EPC transmission line construction project was a joint effort with AEP, which transferred ownership to LCRA (Lower Colorado River Authority). The project consisted of approximately 70 miles of 345kV double circuit transmission line with one circuit of two bundle 1590 ACSR and shield wire from West Texas Utility’s Red Creek Substation to an interconnect with Oncor (TXU). This project encompassed all of Maslonka’s core competencies, including ROW procurement assistance, EMS, right of way clearing, access road construction, foundations, lattice tower assembly and erection, and conductor installation. The construction phase of this critical ERCOT project was delivered in a record 11 months with significant performance bonuses achieved without a major incident.

James G. Haunty - Sr. Energy Advisor-FCP and Chairman of the Board-ECS

In conjunction with the AEP-CSW merger, was primary architect in creating an industry unique transmission EPC projects organization responsible for execution of an annual transmission capital projects budget in excess of $500M across the 11 state AEP system and headed that organization from 2000 through 2005 as VP of Transmission Capital Improvements.

Major projects executed during this 2000-2005 period included a $500M Joint Development Agreement with Lower Colorado River Authority (LCRA) where AEP turned over selected AEP Texas projects to LCRA and executed them on an EPC basis for LCRA. As an EPC service provider, AEP executed a DC transmission tie for Sharyland Utilities (McAllen, Texas) with Mexico’s CFE utility. Finally, AEP built the largest EHV transmission project in the United States in over 35 years with the successful completion of the 90-mile 765kV Jacksons Ferry-Wyoming line from southern West Virginia to southern Virginia. This project employed the first 6-conductor phase bundle in the western hemisphere.

Jim Haunty retired from AEP at the end of 2005 and joined Force Capital Partners in early 2006. As ECS Board Chairman, he is the lead on EHV transmission development investments worldwide.
