1. DEPARTMENT OF PUBLIC SERVICES – MEDICAL EXAMINER’S OFFICE – AGREEMENTWITH JACKSON COUNTY

Committee Action: RECOMMENDATION to the full Board of Commissioners on the Public Services Committee resolution. Automatic Direct Referral to the Finance Committee.

The Jackson County Medical Examiner received unforeseen notification that their morgue was being closed. The Jackson County Medical Examiner made attempts to locate a temporary morgue until a new morgue could be constructed, however, they were unsuccessful in locating a temporary solution. Jackson County has requested Oakland County to provide the services of the Oakland County Medical Examiner’s Office to conduct autopsies until the construction of a Jackson County facility is complete. Jackson County estimates the construction of their new facility to be completed in January 2019. Pursuant to the Urban Cooperation Act of 1967, 1967 PA 7, MCL 124.501 et seq., Oakland and Jackson County may enter into this agreement for the purpose of providing the services of the Oakland County Medical Examiner’s Office to Jackson County. The Oakland County Medical Examiner’s Office has proposed a fee of $1,650.00 per autopsy.

2. FRIEND OF THE COURT – FY2018 ACCESS AND VISITATION GRANT AMENDMENTCommittee Action: RECOMMENDATION to the full Board of Commissioners on the Public Services Committee resolution. To be reviewed by the Finance Committee.

The Friend of the Court has received an additional $5,000 grant allocation from the State Court Administrative Office for the Department of Human Services Access and Visitation Grant Program. The original 2017-2018 contract amount of $17,500, approved by the Board with Misc. Resolution #18004, is increased to $22,500. Annually, DHS evaluates unexpended funds from grants to counties throughout the state and redistributes the balance that will go unused. Oakland County utilizes these grant funds to contract with Impact Consulting, which provides direct services to parents who require supervision in order to spend time with their children. No county match is required. The grant policy requires Board approval of a variation in excess of 15% of the approved grant accepted.

3. SHERIFF’S OFFICE – CONTRACT AMENDMENT #1 FOR LAW ENFORCEMENT SERVICESIN LYON TOWNSHIP

Committee Action: RECOMMENDATION to the full Board of Commissioners on the Public Services Committee resolution. Automatic Direct Referral to the Human Resources and Finance Committee.

The resolution would approve Amendment #1 of the Lyon Township 2017-18 Law Enforcement Services Agreement previously approved by the Board with MR#16342. Lyon Township is requesting to add Two (2) Patrol Investigators to their contract. They are requesting to have the school resources officers effective as of August 20th.

MISCELLANEOUS RESOLUTION #18XXX BY: Commissioner William Dwyer, Chairperson, Public Services Committee IN RE: DEPARTMENT OF PUBLIC SERVICES – MEDICAL EXAMINER’S OFFICE – AGREEMENT WITH JACKSON COUNTY To the Oakland County Board of Commissioners Chairperson, Ladies and Gentlemen: WHEREAS the Jackson County Medical Examiner’s Office received notice that the Jackson County Morgue was being closed; and WHEREAS the County of Jackson was unsuccessful in locating a facility to conduct operations while a new facility is being renovated; and WHEREAS the County of Jackson has requested that the County of Oakland provide temporary services of the Oakland County Medical Examiner; and WHEREAS pursuant to the Urban Cooperation Act of 1967, 1967 PA 7, MCL 124.501 et seq., Oakland and Jackson County may enter into this agreement for the purpose of providing the services of the Oakland County Medical Examiner’s Office to Jackson County; and WHEREAS the contract provides that the mutual agreement and amendment shall not become effective prior to the approval by concurrent resolutions of both the Oakland County Board of Commissioners and Jackson County Board of Commissioners; and WHEREAS Corporation Counsel has reviewed and approves the interlocal agreement which includes the Scope of Services, Fee Schedule, Compensation to Oakland County for services performed and compliance by the Oakland County Medical Examiner with all applicable Federal, State and local laws, ordinances, rules and regulations; and WHEREAS the Oakland County Medical Examiner and Corporation Counsel has reviewed and/or prepared all necessary documents related to the attached Joint Operating Agreement between Jackson County and the County of Oakland. NOW THEREFORE BE IT RESOLVED that the Oakland County Board of Commissioners approves and authorizes the attached Joint Operating Agreement between the County of Jackson and the County of Oakland. BE IT FURTHER RESOLVED that the Oakland County Medical Examiner provide a report to the Public Services Committee and Finance Committee of the level of services provided to Jackson County at the conclusion of the attached agreement. BE IT FURTHER RESOLVED that acceptance of this agreement does not obligate Oakland County to any future commitment and continuation of the agreement. • Section 3.1 Remove the word ‘the’ in from of Oakland County (it doesn’t sound right)

• 3.2. Oakland County shall provide Jackson County with a detailed invoice of Oakland County’s costs within sixty (60) Days of the completion of each autopsy or external exam for the services provided herein and/or a statement describing any amounts owed to Oakland County as described in Exhibit I. Not sure how the department would provide a detailed cost if the service is based on the fee schedule noted in the agreement. A previous contract with Genesee County had specific positions added for services provided to Genesee County (not the case with this temporary arrangement). Also, Exhibit I does not reference providing specific costs; it has the fee schedule for services.

• Resolution – second resolve paragraph – recommend a change to the following (reason being is similar to what is stated above – this is a temporary agreement and does not have positions specifically created for/tied to the temporary services):

INTERLOCAL AGREEMENT

BETWEEN

OAKLAND COUNTY

AND

JACKSON COUNTY This Agreement (“Agreement”) is made between the County of Oakland, (“Oakland County”), a Michigan Constitutional and Municipal Corporation, by and through the Oakland County Medical Examiner’s Office (“OCMEO”), whose address is 1200 North Telegraph, Pontiac, Michigan 48341, and Jackson County (“Jackson County”), by and through the Jackson County Medical Examiner’s Office (“JCMEO”), whose address is 120 W. Michigan Avenue, Jackson, Michigan 49201. The term “Oakland County” means Oakland County and the Oakland County Medical Examiners Office jointly. The term “Jackson County” means Jackson County and the Jackson County Medical Examiners Office jointly. In this Agreement, “Oakland County” and “Jackson County” may also be referred to jointly as the “Parties.” PURPOSE OF AGREEMENT. Oakland County and Jackson County enter into this Agreement pursuant to the Urban Cooperation Act of 1967, 1967 Public Act 7, MCL 124.501 et seq., for the purpose of the OCMEO providing medical examiner services to JCMEO, and delineating the duties of the Parties related to providing medical examiner services. The Parties agree, subject to the terms and conditions set forth in this Agreement, to provide funds and/or services as described in Exhibits I and Exhibit II. In consideration of the mutual promises, obligations, representations, and assurances in this Agreement, the Parties agree to the following: 1. DEFINITIONS. In addition to any other defined terms in this Agreement (e.g., “Agreement,”

“Oakland County,” “OCMEO”, “Jackson County,” “JCMEO”, “Party,” or “Parties,” etc.), the Parties agree that the following words and expressions used throughout this Agreement, whether used in the singular or plural, shall be defined, and interpreted as follows: 1.1. Agreement means the following documents, which this Agreement includes and incorporates:

1.1.1. Interlocal Agreement 1.1.2. Exhibit I: Financial Obligations 1.1.3. Exhibit II: Scope of Services

1.2. Claim(s) mean any alleged losses, claims, complaints, demands for relief or damages, lawsuits, causes of action, proceedings, judgments, deficiencies, liabilities, penalties, litigation, costs, and expenses, including, but not limited to, reimbursement for reasonable attorney fees, witness fees, court costs, investigation expenses, litigation expenses, amounts paid in settlement, and/or other amounts or liabilities of any kind which are incurred by or asserted against Oakland County or Jackson County, or for which Oakland County or Jackson County may become legally and/or contractually obligated to pay or defend against, whether direct, indirect or consequential, whether based upon any alleged violation of the federal or the state constitution, any federal or state statute, rule, regulation, or any alleged violation of federal or state common law, whether any such claims are brought in law or equity, tort, contract, or otherwise, and/or whether commenced or threatened.

1.3. Day shall be defined as any calendar day, which shall always begin at 12:00:00 a.m. and end at 11:59:59 p.m.

1.4. Jackson County means Jackson County, a constitutional and municipal Corporation, including, but not limited to, all of its departments, divisions, the Jackson County Board of Commissioners, elected and appointed officials, directors, board members, council members, commissioners, authorities, committees, commissions, employees, agents, volunteers, and/or any such persons’ successors.

1.5. Jackson County Employee means without limitation any employees, officers, directors, managers, trustees, volunteers, attorneys, and representatives of Jackson County, including any person who was an Jackson County Employee at any time during the term of this Agreement but, for any reason, is no longer employed, appointed, or elected in that capacity.

1.6. JCMEO means the Jackson County Medical Examiner’s Office, a department of Jackson County created pursuant to the County Medical Examiners Act, MCL 52.201 et. seq.

1.7. Oakland County means Oakland County, a constitutional and municipal Corporation, including, but not limited to, all of its departments, divisions, the Oakland County Board of Commissioners, elected and appointed officials, directors, board members, council members, commissioners, authorities, committees, commissions, employees, agents, volunteers, and/or any such persons’ successors.

1.8. Oakland County Employee means without limitation, any employees, officers, directors, managers, trustees, volunteers, attorneys, and representatives of the Oakland County, including any person who was an Oakland County Employee at any time during the term of this Agreement but, for any reason, is no longer employed, appointed, or elected in that capacity.

1.9. OCMEO means the Oakland County Medical Examiner’s Office, a department of Oakland County created pursuant to the County Medical Examiners Act, MCL 52.201 et. seq.

1.10. Points of Contact mean the individuals designated by the OCMEO and JCMEO to act as primary and secondary contacts for communication and other purposes as described herein.

2. EFFECTIVE DATE AND DURATION OF THE AGREEMENT. 2.1. This Agreement, and/or any subsequent amendments must be in writing and shall be effective

when executed by both Parties with resolutions passed by the governing bodies of each Party except as otherwise specified below. The approval and terms of this Agreement and any amendments, except as specified below, shall be entered in the official minutes and proceedings of the governing bodies of each Party. An executed copy of this Agreement and any amendments shall also be filed with the office of the Clerk of the County with Secretary of State.

2.2. This Agreement, and/or any subsequent amendments thereto, shall not become effective prior to the filing of this Agreement, and/or any possible subsequent amendments with the Michigan Secretary of State (MCL 124.510).

2.3. Unless extended by an Amendment, this Agreement shall remain in effect for ONE year from the date the Agreement is completely executed by all Parties or until cancelled or terminated by any of the Parties pursuant to the terms of the Agreement.

3. OAKLAND COUNTY RESPONSIBILITIES. 3.1. Subject to the terms and conditions in this Agreement, and except as otherwise provided by law,

Oakland County shall provide those services for the Jackson County as described in Exhibit II.

3.2. Oakland County shall provide Jackson County with a detailed invoice within sixty (60) Days of the completion of each autopsy or external exam for the services provided herein and/or a statement describing any amounts owed to Oakland County as described in Exhibit I.

3.3. The Parties intend, agree, and acknowledge that no services, other than those services described in this Agreement, shall or are otherwise required to be provided by Oakland County for or to the Jackson County. Additional services may be contracted by mutual agreement between the Parties.

4. JACKSON COUNTY FINANCIAL/PAYMENT OBLIGATIONS. 4.1. Jackson County shall pay the full amount shown on an invoice to Oakland County within sixty

(60) calendar days after the date shown on any such invoice. 4.2. Unless there is a termination as provided for herein, Jackson County’s obligations set forth in this

Section, shall be absolute and unconditional and shall not be affected by the occurrence of either Party’s default of any term or condition of this Agreement, nor shall any other occurrence or event relieve, limit, or impair the obligation of Jackson County to pay any such amount due and owing to Oakland County.

4.3. Nothing in this Section shall operate to limit Oakland County’s right to pursue or exercise any other legal rights or remedies under this Agreement or at law against Jackson County to secure payment of amounts due Oakland County under this Agreement. The remedies in this Section shall be available to Oakland County on an ongoing and successive basis if Jackson County at any time becomes delinquent in its payment. Notwithstanding any other term and condition in this Agreement, if Oakland County pursues any legal action in any court to secure its payment under this Agreement, Jackson County agrees to pay all costs and expenses, including attorney fees and court costs, incurred by Oakland County in the collection of any amount owed by Jackson County.

4.4. This Section shall not be interpreted as limiting Jackson County's legal right to dispute whether the underlying amount invoiced by Oakland County was actually due and owing under this Agreement.

5. ASSURANCES AND WARRANTIES. 5.1. The Parties have taken all actions and secured all approvals necessary to authorize and complete

this Agreement. The persons signing this Agreement on behalf of each Party have the legal authority to sign this Agreement and bind the parties to the terms and conditions contained herein.

5.2. Each Party shall comply with all federal, state, and local ordinances, regulations, administrative rules and requirements applicable to its activities performed under this Agreement, including but not limited to laws relating to nondiscrimination and conflicts of interests.

5.3. Any and all Oakland County services set forth in this Agreement are provided on an “as-is” and “as-available” basis, without any warranty of any kind, to the maximum extent permitted by applicable law. Oakland County expressly further disclaims any and all warranties, of any kind, whether express or implied, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, or non-infringement and/or that any Oakland County services under this Agreement will meet any of Jackson County’s needs or requirements, will be uninterrupted, timely, secure, error or risk free/or that any deficiencies in any Oakland County service. The entire risk arising out of the use of any and all Oakland County services herein remains at all times, with Jackson County to the maximum extent permitted by law.

6. LIABILITY.

6.1. Each Party shall be responsible for any Claims made against that Party by a third party and for the acts or ommissions of its employees arising under or related to this Agreement.

6.2. Except as provided for in Section 4.3, in any Claim that may arise from the performance of this Agreement, each Party shall seek its own legal representation and bear the costs associated with such representation, including judgment and attorney fees.

6.3. Except as otherwise provided in this Agreement, neither Party shall have any right under this Agreement or any legal principle to be indemnified or reimbursed by the other Party or any of its employees or agents in connection with any Claim.

6.4. This Agreement does not, and is not intended to, impair, divest, delegate or contravene any constitutional, statutory, and/or other legal right, privilege, power, obligation, duty or immunity of the Parties. Nothing in this Agreement shall be construed as a waiver of governmental immunity for either Party.

7. LIMITATION OF LIABILITY. In no event shall either Party be liable to the other Party or any other person, for any consequential, incidental, direct, indirect, special, and punitive or other damages arising out of this Agreement

8. DISPUTE RESOLUTION. 8.1. All disputes relating to the execution, interpretation, performance, or nonperformance of

this Agreement involving or affecting the Parties may first be submitted to Oakland County’s Point of Contact and Jackson County’s Point of Contact for possible resolution. Oakland County’s Point of Contact and Jackson County’s Point of Contact may promptly meet and confer in an effort to resolve such dispute.

8.2. If they cannot resolve the dispute in five (5) business days, the dispute may be submitted to the signatories of this Agreement or their successors in office. The signatories of this Agreement may meet promptly and confer in an effort to resolve such dispute.

9. NO IMPLIED WAIVER. 9.1. Absent a written waiver, no act, failure, or delay by a Party to pursue or enforce any rights or

remedies under this Agreement shall constitute a waiver of those rights with regard to any existing or subsequent breach of this Agreement.

9.2. No waiver of any term, condition, or provision of this Agreement, whether by conduct or otherwise, in one or more instances, shall be deemed or construed as a continuing waiver of any term, condition, or provision of this Agreement.

9.3. No waiver by either Party shall subsequently affect its right to require strict performance of this Agreement.

10. AUDITING Oakland County agrees that financial records will be available upon request for review or audit by Jackson County or other appropriate officials.

11. AGREEMENT INTERPRETATION. The Parties agree that performance under this Agreement will be conducted in compliance with all federal, Michigan, and local laws and regulations. This Agreement is made and entered into in the County of Oakland and in the State of Michigan. The language of all parts of this Agreement is intended to and under all circumstances to be construed as a whole according to its fair meaning and not construed strictly for or against any Party.

12. TERMINATION OR CANCELLATION OF AGREEMENT.

12.1. Either Party may terminate and/or cancel this Agreement upon sixty (60) Days written notice to the other Party. The effective date of termination and/or cancellation shall be clearly stated in the written notice. Termination of this Agreement does not release any Party from any obligations that Party has pursuant to any law.

12.2. The Parties agree and acknowledge that either Party’s decision to terminate and/or cancel this Agreement, or any one or more individual Oakland County Services identified herein, shall not relieve the Jackson County of payment obligations for any Oakland County services rendered prior to the effective date of any termination or cancellation of this Agreement. The provisions of this Subsection shall survive the termination, cancellation, and/or expiration of this Agreement.

12.3. Oakland County’s obligations upon termination of the contract is to provide services to Jackson County as described in Exhibits I and II through the end of the Contract and provide a final invoice of Oakland County’s costs within sixty (60) Days of the termination date of the contract.

12.4. Jackson County’s obligations upon termination of the contract is to honor all of its obligations contained in Exhibits I and II and submit payments for outstanding invoices submitted by Oakland County within sixty (60) calendar days after the date shown on any submitted invoices.

13. NO EMPLOYEE-EMPLOYER RELATIONSHIP. Nothing in this Agreement shall be construed as creating an employee-employer relationship between Oakland County and Jackson County.

14. NO THIRD-PARTY BENEFICIARIES. Except as provided for the benefit of the Parties, this Agreement does not and is not intended to create any obligation, duty, promise, contractual right or benefit, right to indemnification, right to subrogation, and/or any other right in favor of any other person or entity.

15. RECORD RETENTION. The Parties agrees to maintain records in accordance with state law. All records relative to this Agreement shall be available at any reasonable time for examination or audit by personnel authorized by law.

16. DELEGATION/SUBCONTRACT/ASSIGNMENT. Neither Party shall delegate, subcontract, and/or assign any obligations or rights under this Agreement without the prior written consent of the other Party.

17. FORCE MAJEURE. Each Party shall be excused from any obligations under this Agreement during the time and to the extent that a Party is prevented from performing due to causes beyond the Party's control, including, but not limited to, an act of God, war, fire, strike, labor disputes, civil disturbances, reduction of power source, or any other circumstances beyond the reasonable control of the affected Party. Reasonable notice shall be given to the other party of any such event.

18. SEVERABILITY. If a court of competent jurisdiction finds a term or condition of this Agreement to be illegal or invalid, then the term or condition shall be deemed severed from this Agreement. All other terms, conditions, and provisions of this Agreement shall remain in full force.

19. PRECEDENCE OF DOCUMENTS. In the event of a conflict between the terms of and conditions of any of the documents that comprise this Agreement, the terms in the Agreement shall prevail and take precedence over any allegedly conflicting terms in the Exhibits or other documents that comprise this Agreement.

20. CAPTIONS. The section and subsection numbers, captions, and any index to such sections and subsections contained in this Agreement are intended for the convenience of the reader and are not intended to have any substantive meaning. The numbers, captions, and indexes shall not be interpreted or be considered as part of this Agreement. Any use of the singular or plural number, any reference to the male, female, or neuter genders, and any possessive or non-possessive use in this Agreement shall be deemed the appropriate plurality, gender or possession as the context requires.

21. NOTICES. Notices given under this Agreement shall be in writing and shall be personally delivered, sent by express delivery service, certified mail, or first class U.S. mail postage prepaid, and addressed to the person listed below. Notice will be deemed given on the date when one of the following first occur: (1) the date of actual receipt; (2) the next business day when notice is sent express delivery service or personal delivery; or (3) three days after mailing first class or certified U.S. mail. 21.1. If Notice is sent to the County, it shall be addressed and sent to: 1200 North Telegraph, Pontiac,

Michigan 48341. 21.2. If Notice is sent to the Jackson County, it shall be addressed and sent to: 120 W. Michigan

Ave., Jackson, Michigan 49201 21.3. Either Party may change the address and/or individual to which Notice is sent by notifying

the other Party in writing of the change. 22. GOVERNING LAW. This Agreement shall be governed, interpreted, and enforced by the laws of

the State of Michigan without giving effect to its conflict of law principles. 23. JURISDICTION AND VENUE Except as otherwise required by law or court rule, any action

brought to enforce, interpret, or decide any Claim(s) arising under or related to this Agreement shall be brought in the Sixth Judicial Circuit Court of the State of Michigan, the 50th District Court of the State of Michigan, or the United States District Court for the Eastern District of Michigan, Southern Division, as dictated by the applicable jurisdiction of the court. Except as otherwise required by law or court rule, venue is proper in the courts set forth above. The choice of forum set forth above shall not be deemed to preclude the enforcement of any judgment obtained in such forum or taking action under this Agreement to enforce such judgment in any appropriate jurisdiction.

24. ENTIRE AGREEMENT. This Agreement sets forth the entire agreement between the Parties along with the Agreement Documents. In entering into this Agreement, Jackson County acknowledges that it has not relied upon any prior or contemporaneous agreement, representation, warranty, or other statement by the Oakland County and/or any Oakland County Agent that is not expressly set forth in this Agreement, and that any and all such possible, perceived or prior agreements, representations, understandings, statements, negotiations, understandings and undertakings, whether written or oral, in any way concerning or related to the subject matter of this Agreement are fully and completely superseded by this Agreement. 24.1. If there is a contradicting term or condition in any Exhibit to this Agreement, the

Agreement controls. 24.2. It is further agreed that the terms and conditions of this Agreement are contractual

and binding and are not mere recitals. The Parties acknowledge that this Agreement contains certain limitations and disclaimers of liability.

EXHIBIT II: Scope of Services

The Oakland County Medical Examiner's Office (OCMEO) will investigate unexpected, unattended, unexplained, traumatic/violent deaths and other deaths referred by the Jackson County Medical Examiner’s Office (JCMEO).

The OCMEO agrees during the term of this Agreement to the following services:

A. Employ a sufficient number of qualified fulltime board-certified forensic pathologists, board-eligible forensic pathologists working under supervision of the board-certified pathologists, other professional staff, and technical personnel to insure provision of high level forensic pathology services to Jackson County which include but are not limited to the following:

1. In a timely manner, perform autopsies, laboratory examinations and other medical procedures necessary to determine cause and manner of death as required by the JCMEO pursuant to MCLA 52.201 et seq. (hereinafter referred to as "Medical Examiner cases.")

i. Perform autopsies within 24 hours of the death or at the start of the death investigation, whichever is later.

ii. Perform other tests deemed necessary prior, during, or after the autopsy.

2. Comply with all Standard Operating Procedures (SOP) published by the OCMEO.

3. Submit written autopsy and toxicology reports detailing the results of Medical Examiner cases to the JCMEO within sixty (60) days of the completion of the case death investigation

4. Deliver invoices to the JCMEO for work performed pursuant to the Fee Schedule contained in Exhibit I within sixty (60) days of the completion of case death investigation.

5. Prepare, as necessary, for retention and storage of tissues, blocks, sections and other materials obtained in connection with forensic pathology services performed on Medical Examiner cases, and supervise the proper retention and storage of such materials, maintaining the chain of custody.

6. Consult, coordinate and cooperate with the JCMEO including JCMEO Investigators, Michigan State Police, local police and county sheriff agencies operating in Jackson County and with the Jackson County Prosecuting Attorney and staff.

7. Provide a current list, with revisions if necessary, of all employed board- certified and board eligible forensic pathologists who are full-time staff of the OCMEO. Those professionals may be appointed as Jackson County Deputy Medical Examiners.

B. Provide pathology services through qualified board-certified forensic pathologists and board-eligible forensic pathologists who are supervised by board-certified forensic pathologists, other professional staff, and other technical personnel, which conform to; (i) all applicable state laws, rules and regulations; (ii) all applicable professional associations, including the College of American Pathologists and American Academy of Forensic Sciences; and (iii) any mutually agreed upon applicable standards of accreditation by the National Association of Medical Examiners.

C. Provide the facilities, equipment and supplies needed to perform forensic pathology services required under this Agreement.

D. Agree to meet with the Jackson County Medical Examiner and staff to conduct Forensic Pathology Case (FPC) reviews of Jackson County Medical Examiner cases as needed.

E. JCMEO agrees that the Jackson County Medical Examiner and his agents will provide high-level cooperation and professional input to the OCMEO during the term of this Agreement.

F. In the event the Jackson County Chief Medical Examiner is unavailable, OCMEO will be available to provide the guidance in designating Medical Examiner cases and releasing non-Medical Examiner cases, assist with cremation permits and other matters within the scope of function of the OCMEO.

Amendment 1

Pursuant to Paragraph 29 of the 2017/2018 Law Enforcement Services Agreement between the COUNTY and LYON TOWNSHIP (the “Contract”), the parties hereby agree to amend said Contract to add two (2) Patrol Investigators in accordance with the attached Exhibit 1 (Schedule A) beginning on the effective date of this Amendment 1. The attached Exhibit 1 replaces and supersedes the Schedule A attached to the Contract beginning on the effective date of this Amendment 1.

This Amendment 1 shall take effect on August 20, 2018 and shall continue until the Contract expires or is terminated. 5. A re-appropriation of $100,000 is required from the General Fund Non-departmental Grant Match line item to Contingency line item to cover the initial capital costs as there have been more law enforcement contract amendments than anticipated.

Starting Population - Amount of dogs/cats at the Shelter at the start of the month.Intake - Amount of dogs/cats received at the Shelter through-out the month. Dogs/cats are received stray via an Animal Control Officeror resident, owner relinquished with the intention of adoption or euthanasia or contracted municipalities for euthanasia services.Returned to Owner - Dogs/cats that are claimed at the Shelter by their owners. Animals may have been received stray or placed inquarantine due to a bite involving a human.Adopted - Dogs/cats that are adopted by the general public.Transferred - Shelter/Rescue - Dogs/cats that are adopted via a 501(3)c animal rescue or a licensed animal shelter.Healthy - Those animals eight weeks of age and older that, at the time of veterinary examination, have manifested no sign of behavioralor tempermental characteristics that could pose a health or safety risk to the public or other animals. Additionally, these animals havemanifested no sign of disease, injury, or congenital or hereditary condition that adversely affect the animal's current health or that islikely to adversely affect the animal's health in the furture.Treatable/Manageable - Animals under the age of eight weeks or found to have a treatable medical, congenital, hereditary or behavioralcondition posing no significant health or safety risk to the public, themselves or other animals. Animals classified as treatable/manageableare likely to become healthy, or at a minimum, maintain a reasonable quality of life if given medical, behavioral or foster care. Themedical prognosis and/or behavioral assessment must be fair to good to meet this definition.Untreatable/Unhealthy - Untreatable/unhealthy animals represent animals that at the time of veterinary staff examination:

· Have a behavioral, temperamental or medical characteristic that would pose a danger to other animals, themselves or the public· Are suffering from a disease, injury or congenital or hereditary condition that adversely affects the animal’s health in the future· Are under the age of eight weeks and are not likely to become healthy with medical or foster care.

Below are some examples of animals that are Untreatable/Unhealthy and is not all inclusive.· Classification as directed by court order.· Feral cats, healthy or unhealthy (caretaker or barn not available).· Infectious disease (URI, FIP, Distemper, FeLV, FIV, Parvovirus, Rabies).· Animal or human aggression.· Orthopedic fractures.· Auto-Immune disease.· Severe traumatic injuries.· Organ disease (urinary, cardiac, dental, hepatic, neurologic, endocrine). · Zoonotic disease (Rabies, Leptospirosis, Ringworm, Sarcoptic Mange).· Dermatologic conditions with other health factors.· Neoplastic conditions with guarded to poor prognosis.

Ending Population – Amount of dogs/cats at the Shelter at the end of the month.Owner Requested Immediate Euthanasia - Dog/cat surrendered by their owner for purpose of euthanasia, some reasons include geriatric,severe illness or injury, aggressive behavior, etc. It should be noted however, that before an animal is euthanized because of an ownerrequest, that animal is examined by our veterinary staff. If after the veterinary exam it is determined that euthanasia is not called forthe animal may be treated for any injury/sickness and is then placed in our general population and would become eligible for adoption.Non-Owned – Dog/cat that are found and appear to have no known owner. These animals must be held according to State Law a certainamount of days by the Shelter to give their owners a chance to find them.Contracted – Dog/cat relinquished to the Shelter from a municipality that has a contract with Oakland County to euthanize animals that have already been held via the city’s animal control ordinances or owner relinquished that was taken in the city's animal control agency.

NOTES TO FINANCIAL STATEMENTS

NOTE 1 - SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES

Basis of accounting - These financial statements are prepared on the accrual basis of accounting. Additions are recorded when billed and deductions are recorded based upon the provisions of Michigan Public Act 32. Since the statute mandates cost recoveries. there is no income, loss or corresponding fund balance.

Classification of assets and liabilities - The financial activities of the Pool do not generally involve a business cycle since the recognition of assets and the payment of liabilities are based on specific circumstances. Accordingly, the classification of assets and liabilities between current and long-term is not used.

Common funds - The service suppliers utilize a common bank account for the seventy-nine service districts within the State of Michigan (the Pool). All funds within the Pool are held in trust solely for participating service suppliers. Cash and cash equivalents consist of cash on deposit and short-term investments with maturities of twelve months or less. Interest earnings, generally immaterial, are credited to the various service districts to reduce reported costs.

Accounts receivable - Accounts receivable are reported at the amount management expects to collect on balances outstanding at year-end. Receivable amounts are charged to bad debt expense when they are determined to be uncollectible based upon a periodic review of the accounts by management. Accounting principles generally accepted in the United States of America require that the allowance method be used to recognize bad debts; however, the effect of using the direct write-off method is not materially different from the results that would have been obtained under the allowance method.

Federal income tax - Due to the nature of the Pool, taxes on income are not applicable. Accordingly, these financial statements do not reflect a provision for income taxes and the Pool has no other tax positions which must be considered for disclosure.

Amounts due to or from common funds - represents the service district's cash and cash equivalents or advances from the Pool bank account.

Accounts payable and receivable - service suppliers - represents the amounts due to or from the emergency telephone service suppliers within the service district. Accounts receivable do not bear interest.

Additions - represent the monthly billings of technical surcharges to end users by the service suppliers. These amounts are determined in accordance with the provisions of Michigan P.A. 32 and are subject to maximum caps as stipulated by that statute.

Deductions - represent the costs of providing the emergency telephone network, switching, billing and collection, and similar amounts by the service suppliers to end users in the service district.

Surplus or deficit - represents future refunds or billings to adjust for the over or under collection of surcharges from the service end users.

NOTE 2 - NATURE OF ORGANIZATION, RISKS, AND UNCERTAINTIES

The Oakland County E911 Technical Surcharge Pool is an unincorporated association of suppliers of emergency (911) telephone service within Oakland County, in the State of Michigan. It was formed to provide for the settlement of costs between service suppliers as required by Public Act 32 (P.A. 32) of 1986, as amended.

The service suppliers for this service district are AT&T, Brighthouse Networks, CenturyTel of Michigan, Charter Communication, Comcast, Frontier Communications, Matrix Telecom, Sprint, TDS Metrocom, and TelNet Worldwide. In accordance with Michigan P.A. 32, these service suppliers are entitled to recovery of costs as defined by the statute. In addition, the statute requires uniform billing on a geographic basis. Each service supplier reports its billings and costs. These amounts are then pooled and settlements for over or under collections are made.

The Pool is required to disclose significant concentrations of credit risk regardless of the degree of such risk. Financial instruments that potentially subject the Pool to concentrations of credit risk consist principally of temporary cash investments. The Pool places its temporary cash investments with FDIC insured financial institutions. Although such investments and cash balances may exceed the federally insured limits at certain times during the year, they are, in the opinion of management, subject to minimal risk.

Management evaluates events and transactions that occur after year end for potential recognition or disclosure in the financial statements. These subsequent events have been considered through May 21, 2018, which is the date the financial statements were available to be issued.

In the preparation of tax returns, tax positions are taken based on interpretation of federal, state and local income tax laws. Management periodically reviews and evaluates the status of uncertain tax positions and makes estimates of amounts, including interest and penalties, ultimately due or owed. No amounts have been identified, or recorded, as uncertain tax positions. Federal, state and local tax returns generally remain open for examination by the various taxing authorities for a period of three to four years.

The process of preparing financial statements in conformity with accounting principles generally accepted in the United States of America requires the use of estimates and assumptions that affect the reported amounts of assets, and liabilities and disclosure of contingent assets and liabilities at the date of the financial statements and the reported amounts of revenues and expenses during the reporting period. Actual results may differ from estimated amounts.

NOTE 3 - SURCHARGE RATES

P.A. 32 permits the recovery of both recurring and nonrecurring charges. Recurring charges are defined as the amounts necessary for the ongoing operation of the system. Nonrecurring charges are for the initial setup and non-operational installation of trunks, circuits and similar items. Depending on the date of commencement of service, the nonrecurring charges are subject to various amortization rates and periods of up to ten years. At December 31, the Oakland County billed access-facility monthly rates were:

On March 6, 2018, Michigan Senate Bill 400 was signed into law. This law is a comprehensive rewrite of the 911 funding mechanism. Included in the law are changes in the way 91 I technical surcharges for recurring and non-recurring costs are recovered from subscribers. There will now be one statewide technical recurring rate and one statewide non-recurring rate. The new monthly rate will be $0.53 for recurring costs and $0.02 for non-recurring costs for a total 911 technical surcharge of$0.55 per month. This new rate is effective May 5, 2018.

REPORT TO THE CHAIRPERSON, OAKLAND COUNTY BOARD OF COMMISSIONERS BY: Fiscal Services Division IN RE: SHERIFF’S OFFICE – 2019 HIGH INTENSITY DRUG TRAFFICKING AREAS (HIDTA) REVISED GRANT APPLICATION The Fiscal Services Division has reviewed the above referenced reimbursement application and finds:

1. This is a revised application to the Michigan High Intensity Drug Trafficking Areas (HIDTA), which is a program of the Office of National Drug Control Policy (ONDCP).

2. The original grant application requested $130,000 for overtime reimbursement and mobile phone services. The revised application adds an additional $10,000 for Oakland County Narcotics Enforcement Team (NET) training, for total grant funding of $140,000.

3. There is no grant matching fund requirement. 4. The Program Year 2019 grant period is January 1, 2019 through December 31, 2019. 5. Application and acceptance of this grant does not obligate the county to any future commitment

ONDCP expects detailed information regarding the threat in the HIDTA county/counties which your initiative serves. Describe the types of drugs being trafficked, the presence/activities of gangs and drug-related violent crime. Include information on DTOs and MLOs operating in your area. DO NOT use specific names/addresses for any organizations or provide any information which is law enforcement sensitive or classified. Referring to the Michigan HIDTA Annual Threat Assessment/Drug Market Analysis is essential when describing the threat in your region. In the next paragraph discuss your plan to attack the threat in your region. Describe your initiative and detail your plan to address the specific threats/problems in your area and achieve your performance targets. If your initiative consists of multiple teams, explain how each team's activities attack the drug threat in your HIDTA county. Detail how you will work more efficiently and effectively by conducting intelligence-driven investigations and sharing information (leads). The next paragraph(s) should present your budget request. Remember that HIDTA funding is added-value funding and cannot be used to supplant normal operating budget items. Each budget line item (overtime, equipment, supplies, vehicles, phones, services, etc.) must be detailed in narrative form, specifying the amount requested and how each line item amount will be utilized. It is important to relate why each line item is needed and how it fits into your plan to attack the threat in your region and attain your performance targets. Provide a clear, concise and complete explanation of all items in your budget request. The budget narrative will be reviewed by the Michigan HIDTA Steering Committee and Executive Board before being sent to ONDCP for review and approval.

ONDCP closely examines vehicle expenditures. Lease costs and other vehicle-related expenses must be detailed. Ensure the number of vehicles and expenses match the number of eligible officers in your initiative. Examples: "6 vehicles @ $500/month x 12 months = $36,000; Gasoline Expense, 6 officers @ $200/month x 12 months = $14,400 .

ONDCP also scrutinizes overtime expenses. Ensure these expenses line-up with eligible officers in your initiative. ONDCP caps overtime for individual officers at $9,500 annually. The Michigan HIDTA limits the cap to $6,500 per officer annually. Each initiative is required to maintain documentation/spreadsheet to ensure these limits are not exceeded. Example: 10 task force officers x $3,000/annually = $30,000 annual overtime.

The Oakland County Narcotic Enforcement Team (NET) is a multi-jurisdictional task force which is designed to integrate federal law enforcement agencies for the purpose of identifying, investigating, and prosecuting violators of state and federal narcotic laws. The task force NET was formed in 1971 and is currently directed by the Oakland County Sheriff’s Office. NET is now comprised of fifteen local police departments, and is partnered with the DEA, Oakland County Prosecutors Office and IRS. NET drives its mission by dividing its resources into four investigative teams. Three of the teams are considered street level crews that make undercover cases against street level dealers. These crews are loosely divided up by four quadrants of Oakland County. These teams make the majority of arrests and seizures of street level dealers throughout Oakland County. The fourth team is dedicated to interdiction style cases and street level heroin / fentanyl cases. NET also commits two full time officers to the DEA. It is NET’s belief that the interchanging of task force officers results in a highly efficient exchange of intelligence and maximum efforts applied to DTO prosecutions. Oakland County is a highly diversified county in that it has urban areas like the city of Pontiac and several cities that border the 8 Mile corridor. Pontiac has one of the highest crime rates in America when you compare it with other communities of similar size. Oakland County also consists of a high concentration of suburbs and rural northern areas. The population of Oakland County is about 1,200,000 with a very wide range of medium family incomes. Oakland County’s drug threat appears to be a mirror image of the Michigan HIDTA’s drug threat assessment. Heroin mixed with fentanyl are hitting the street at a very alarming rate and cocaine usage is on the rise at an alarming rate. Heroin and fentanyl are the leading cause of over dose related deaths. Cocaine and crack are still readily available anywhere throughout the County, although the street level price appears to be increasing. Marijuana appears to be the number one available drug throughout the County.

Oakland County borders the city of Detroit and is directly south of the city of Flint with I-75 being the major freeway connecting the three cities. Detroit and Flint once again led the state in violent crime in 2014, with Flint topping the list and Detroit at No. 2, according to preliminary annual FBI statistics released this week for cities of over 100,000 people. With 2,337 violent crimes per 100,000 people, Flint residents by far reported the most incidents per capita. Detroit had 2,137 violent crimes for every 100,000 residents. Large scale DTO's commute between these three cities on a regular basis not being restricted by borders or geographic locations. It is a common practice for drug traffickers to distribute narcotics using I-75, I-96 and I-94 as gateways to our communities. Oakland County appears to be made up of several local DTO’s and criminal groups that distribute illegal drugs to users. These criminal groups are supplied by interstate and international DTO’s.

The Oakland County NET task force is responding to these evolving drug trends by committing resources to a specialized street crew for heroin enforcement. NET investigators are also monitoring doctors and pain clinics selling directly to users. The Oakland County NET task force also has street crews that initiate investigations into low level and mid level Criminal Groups and DTOs. The investigators utilize informants to make hand to hand purchases from these organizations. This type of case is highly successful in prosecution. The investigators also use informants to conduct drug buys and to provide intelligence information that results in the identification, disruption, and dismantling of local DTO’s and criminal groups. NET also has a Conspiracy Unit which primarily investigates mid level and upper level PTOs and DTOs. The Conspiracy Unit uses intelligence information from the street crews that identifies interstate and international DTO’s. The Conspiracy Unit conducts surveillance of the DTOs and documents there patterns and interactions within the DTO and possible relationship with other DTOs. The Conspiracy Unit uses informants and other sources of information to

1. CIRCUIT COURT – FAMILY DIVISION – OAKLAND COUNTY CHILD CARE FUND BUDGET 2018-2019 The Family Division of Circuit Court is requesting approval of the 2018-2019 Child Care Fund Budget to submit to the Bureau of Juvenile Justice, Michigan Department of Health and Human Services. The plan for the Child Care Fund is submitted annually for approval pursuant to Act 280 of the Public Acts of 1975. The Child Care Fund helps fund foster care services. This year’s plan contains less than one percent change from last year’s expenditures of $34 million. Mr. Scheuer responded to Commissioner Jackson’s request that a contact at DHHS regarding opportunities for summer day camps be provided. Mr. Bilson commented about the pending legislation regarding 17-year-olds that is currently stalled in Lansing. A brief discussion was held.

2. SHERIFF’S OFFICE – CONTRACT AMENDMENT #1 FOR LAW ENFORCEMENT SERVICES FOR THE OAKLAND COUNTY PARKS AND RECREATION COMMISSION 2017-2018 The Sheriff’s Office is requesting approval of the contract amendment for law enforcement services with the Parks and Recreation Commission. The amendment adds a full-time Deputy II position effective July 22, 2018. The parks have experienced a busy summer so far and this position will help cover county parks at the south and north end. Commissioner McGillivray and Undersheriff McCabe updated the Committee on the shooting at Catalpa Oaks. The Parks Commission held a special meeting regarding this request and received unanimous approval for the additional deputy. This item has completed the Automatic Direct Referral process.

SHERIFF’S OFFICE - 2018 LAW ENFORCEMENT DISTRIBUTION PROGRAM ACCEPTANCE The Sheriff’s Office is seeking acceptance of the Law Enforcement Distribution Program grant from the Michigan Department of Treasury. The grant funds will be used for officers’ training. The State divides and distributes the funds. The first payment of two disbursements this year is $47,130, which is approximately $150 per officer. The Sheriff’s Office has requested assistance from state

SHERIFF’S OFFICE – 2018 HIGH INTENSITY DRUG TRAFFICKING AREAS (HIDTA) – GRANT ACCEPTANCE The Sheriff’s Office is requesting acceptance of the High Intensity Drug Trafficking Areas (HIDTA) grant from the Michigan State Police. The total grant award is $130,000, which consists of annual federal pass-through funds. The money will be used for reimbursement of Narcotics Enforcement Team (NET) officers’ overtime costs and communications services for the 15 participating communities.

SHERIFF’S OFFICE – CONTRACT AMENDMENT #3 FOR LAW ENFORCEMENT SERVICES FOR THE CHARTER TOWNSHIP OF ORION 2017-2018 The Sheriff’s Office is requesting approval of the contract amendment #3 for law enforcement services for Orion Township. The amendment adds a school liaison, Deputy II position, effective September 1, 2018. The current liaison officer is based at the high school and the additional officer will serve at the middle school and on an as-needed basis at the elementary schools.

PUBLIC SERVICES DEPARTMENT/MSU EXTENSION - MODIFICATION OF A PROFESSIONAL AND EDUCATIONAL SERVICES CONTRACT The Public Services Department is seeking approval of contract modifications between the County and Michigan State University Extension. A position that was left vacant due to a retired employee was inadvertently omitted from the original contract and the modification will rectify that.

Jackson moved to recommend approval of the attached suggested resolution. Supported by McGillivray.
