ABOUT EBAN

EBAN is the European Trade Association for Business Angels, Seed Funds,

and other Early Stage Market Players.

EBAN is the pan-European trade association for the Early-stage investment

community. Founded in 1999, and based in Brussels, it reaches out through direct and

indirect membership to more than 300 Business Angel Networks in Europe. These in

turn federate some 20,000 Business Angels, and receive about 40,000 business plans

per year. In 2009, EBAN opened up its full membership plan to Early-stage Venture

Capital Funds, in an effort to represent all actors involved in bridging the equity gap in

Europe. EBAN brings together 115 member organizations and individuals in 30

countries today (figures as of December 1st 2011).

EBAN’s mission is to grow the early stage investment asset class, from 3 billion

€ to 5 billion € in the coming years, up from 1 billion € of 5 years ago.

Background

“i2 - Die Börse für Business Angels” (i2 - The Austrian Business Angel Network) is

the only significant BAN operating at national level. It was founded in 1997 and is

part of the Austria Wirtschaftsservice GmbH (AWS), a governmental bank

specialised in supporting Austrian companies with focus on start up companies and

high tech entrepreneurs as well as creative industries.

Since 2010 i2 has redesigned its operational process of acquisition of new high

potential start up companies and has increased its local network up to 59 network

partners (universities, incubators, regional development agencies). In 2011 the total

outcome of the matching service reached the sum 65 closed deals with more than

10.000.000 EUR private Investment (a mean of 154.000 EUR per deal). i2 covers all

branches and is focussed on early stage investment projects.

Legal status of the networks

i2 - The Austrian Business Angel Network is a service programme of the Austria

Wirtschaftsservice GmbH (AWS), a governmental bank specialised in supporting

Austrian companies. Owner is the the Federal Ministry of Economy, Family and

Youth and the Federal Minister for Transport, Innovation and Technology of the

Republic of Austria.

National association

i2 is the only nation-wide BAN and also supports the implementation of regional

BANs. The first regional BAN called “AICO” was founded in 2005 in Upper Austria.

A further BAN in the Styrian region was established in 2007. Since 2010 Austria

Wirtschaftsservice GmbH (AWS) supports also BA initiatives and start up events

(start up week, high tech road show, i2b business plan competitions, we-workshops

for entrepreneurs, etc.)

Lobbying activities

The BAN stays in contact with all major organisations involved in the process of start

up financing and high tech entrepreneurship (start up funds, universities, science

parks, lobbying organisations, business plan competitions).

Background

Since 1998, 7 BANs have emerged in Belgium. These networks were set up in the

period 1998-2001. They guaranteed a complete coverage of the Belgian area: 4

networks in Flanders, 2 in Wallonia and 1 in Brussels. In the beginning of 2004, the 4

Flemish networks merged into 1 Flemish network: BAN Vlaanderen. In 2007, 1

Walloon networ merged with the Brussels network into 1, Be Angels.

As of today, Belgian counts 3 networks: 1 network in Flanders, 2 in Wallonia1 and

Brussels

Legal status of the networks

In Belgium, 2 out of 3 networks are not for profit organisations. The other one is a

commercial BAN.

Not-for-profit does not mean that these are public organisations: some are created

together with development agencies; others are emanations of business schools, of

business innovation centres and of private investors.

National association

The 3 Belgian networks all join forces in BeBAN, the Belgian Association of Business

Angels Networks. Its main goal is the promotion of the visibility of business angel

finance and business angel networks. A code of conduct was elaborated and

subscribed by all existing networks.

BeBAN became the facilitator in setting up cooperation between all Belgian BANs

and other governmental, public and private organizations active in the field of risk

capital. For instance, in 2002 a new product, the “business angel+” loan, was

launched by the national Participation Fund to give favourable subordinated loan

collateral to a BA-input realized through a BAN.

Lobbying activities

Since 2000, the Belgian BANs used BeBAN as a platform to discuss with the Finance

and Banking Commission in order to clarify the scope of BAN intervention and the

compatibility of their action with Belgian legislation on public issues and the

obligation to make a prospectus. Because of this legislation, business proposals

cannot be submitted to more than 50 people, and business angel networks cannot ask

for money from the entrepreneurs looking for funding in their function as a

matchmaker. If this would be the case, entrepreneurs would be obliged to write a

prospectus.

EU Support

The European Commission supported several initiatives:

Awareness actions

Ten awareness seminars have been conducted in the late 90‟s. They were co-ordinated

by the JCI. Seminars were held in Bruges, Kortrijk, Gent, Antwerp, Leuven, Hasselt,

Brussels, Mons, Liège and Wavre.

Feasibility studies

Two feasibility studies were co-funded in Belgium: one done by GOM Vlaams

Brabant and NCMV and another done by PYTHAGORAS n.v. , a private company.

Pilot projects

DG Enterprise supported one pilot project in Belgium. The beneficiary was the

Vlerick Leuven Gent Management School.

ERDF-support

One network was supported through the European Regional Development Fund. The

beneficiary was Limburg BAN vzw, which merged into the new Flemish network:

BAN Vlaanderen.

Interreg III

Three Belgian organizations (BAN Vlaanderen, SOCRAN and WfG Ostbelgien),

together with a German (AGIT) and a Dutch (LIOF) partner started the Interreg-

project Euban in January 2004. EUBAN was a tri-national network in the Euregio

Meuse-Rhine, which aimed to generate more BA-activity in this region and to

enhance cross-border investments through BA‟s. Euban was partially subsidised

through Interreg III-funds.

National/regional support

All BANs in Belgium have secured financial support from their regional government.

This support varies from region to region due to the fact that the economic policy is a

regional (not a national) competence.

The support of all regional authorities constitutes an official recognition of the

contribution of Business Angels to the stimulation of the Belgian economy.

In Wallonia, a guarantee scheme for BA-investments was created through “Sowalfin”.

The federal “Participation Fund” installed a “BA+ loan” which serves as a leverage to

BA-investments.

Dissemination of the BAN concept

The Dutch-speaking economic daily newspaper Financieel Economische Tijd

published articles on BANs operating in Flanders. So did the French-speaking daily

L‟Echo for the Walloon networks. Many articles were originally inspired by the BAN's

initiatives and by the efforts of Mr Rudy Aernoudt, a Belgian European Commission

official.

Economic magazines such as Trends/Tendance and PME/KMO have published

several pieces on BA and BAN activities in Belgium in both French and Dutch.

The start-up of BAN Vlaanderen in February 2004 raised a lot of attention in all

national media (TV, newspapers, business magazines…) and enhanced the knowledge

about the existence of BANs. Since then, a large publicity-campaign with commercial

spots, advertisements and a region-wide road show expands the BAN-concept

throughout Flanders.

Background

Explanation why members came from 30 to 12. CRANE was founded in 2008 and it

has 23 business angels at first year. Most of them were members only because of

personal PR so founders decided to introduce a membership fee to hold business

angles who want to invest and the number in 2010 dropped to 12.

In Croatia is only one Business Angel Network and it was co-founded by Agency for

Export and Investment Promotion which is government institution but CRANE is

non profit and non government institution.

Background

BA activities in Finland emerged as organised structures in 1996 initiated by a

matching service of SITRA, an independent public foundation under the supervision

of the Finnish Parliament. For the first 5 years the BA activities were built moreover

on BAs own activity, aided by a database of potential target companies. The concept

was restructured in 2001 and INTRO (2001-2007) as a marketplace for business

angels and other venture capitalists to meet technology companies in the start-up or

restructuring phase was launched. SITRA was also invited as an expert partner in

European Commission‟s EASY programme at the end of 2006. From the beginning

of 2008 the assignment to develop business angel activities was moved from SITRA

to the venture capital arm of Finnvera Plc. Finnvera is a specialised financing

company owned by the State of Finland and it is the official Export Credit Agency

(ECA) of Finland. In early 2008 Finnvera launched BAN called InvestorExtra under

it‟s venture capital operations. In addition, Finnvera manages a seed fund and small

scale fund of fund activity. There are also few commercial/private initiatives that have

been founded during the past couple of years.

InvestorExtra is a BAN managed by the venture capital arm of Finnvera Plc.

Finnvera also manages a seed fund that often co-invests with BAN.

Background

The first local network (non-profit) initiative in this field was taken by an association

of young entrepreneurs called Club Essor 92, and by Mr. André Jaunay in Hauts de

Seine in 1998, under the name of Investes

sor. France Angels, the national association, was set up in 2001 in order to develop

the number of BANs in France. Since 2001, France Angels was engaged in the

creation of the 85 French networks (data 2011).

Legal status of the networks

In France, almost all BANs are associative BANs (80%). For tax purposes, a number

of private investors have created investment companies that manage their personal

stakes in start-ups.

In France, several local saving mobilisation instruments (such as loans without

interest and/or guarantee and Love Money) are to a certain extent comparable to

Business Angel activities, even though they do not share the exact same

characteristics.

In 2003/2004 and 2006, new legal frameworks were adopted in order to support

entrepreneurship. Part of the legislation concerns the fiscal environment of

investment made by private individuals in start-up enterprises: the tax deduction

system was improved and a new type of investment company with fiscal advantages

was created.

In 2007, a new tax deduction was voted (TEPA Law) and allowed persons who pay

the wealth tax to reduce 50% of their contribution by investing in a SME.

National association

France Angels, the national association of local BANs created in April 2001, tries to

highly increase the number of business angels in France in order to stimulate

entrepreneurship in the country. France Angels is the national federation of the 85

French BANs.

Lobbying activities

The national network has established contacts with the relevant Ministries in order to

discuss BA and BAN status, to improve legislation and to promote the BA concept.

Dissemination of the BAN concept

France Angels provides tools to BANs (website, information centre, guide…).

France Angels has created the concept of “business angels school” in order to set up

or to develop business angel networks, by informing and training business angels. The

“school” is a one day information event which takes place each time in a different

town. 100 “schools” have been organised since 2001.

In 2008, France Angels organized a succession of “business angels schools for the

wide public” in Paris. The aim of these schools is different from classic “business

angels schools” because they specifically want to inform virgin business angels of the

activity of business angel and on the opportunities provided by the new tax laws.

France Angels has also created a special 4-days training program for people who are

interested in setting up BANs or who want to have a better understanding and to

work with business angels (one seminar organised per year).

In 2009, France Angels will develop a complete training program for virgin investors,

business angels and entrepreneurs. “France Angels formation”, a dedicated training

institute, has been recently created.

Business Angels Week:

For the fifth time, France Angels organized in 2010 the Business Angels national

week: 32 events, 2 500 participants and 1/3 of Business Angels potentials. The aim

of this event is to promote the Business Angels activity and to recruit more Business

Angels in France. Each day there are meetings and presentations of success stories.

The public was large and satisfied; the press audience was exceptional.

The next edition will take place from 14 till 18 November 2011.

On March 31st 2009, the president of France Angels changed. Mr. Philippe Gluntz,

who was the president of Paris Business Angels network, replaced Mr. Claude

Rameau, who was the head of France Angels since its creation (in 2001).

Background

The first German BAN was set up in 1998. The same year also saw the creation of

BAND, a national organisation whose objective is to raise awareness about the

importance of regional BANs as factors of the emergence of a new entrepreneurial

culture. BAND is sponsored by the Federal Ministry for Economics and Technology

and by leading state agencies as well as by bodies from the financial sector and the

industries. These original sponsors mainly formed the membership. BAND developed

strong relations with potent media-partners. BAND has most recently restructured

the membership to include Business Angel Networks. The Board has changed in 2000

and the headquarters moved to Essen, North Rhine-Westphalia. BAND provides

information for entrepreneurs and Business Angels and the general public about

Business Angel culture and acts as a speaker for their interest. BAND provides and

organizes further education for all players in the market of Private Equity.

Legal status of the networks

BANs operating in Germany are set up as either public sponsored associations, non-

profit associations or private enterprises.

National association

As indicated above, the German association BAND was set up as early as 1998 to

conduct an awareness campaign on the concepts of Business Angels and BANs in the

regions.

Lobbying activities

BAND is namely conducting actions to secure a more attractive tax status for

Business Angels and fight against tax discrimination against investment in the shares

of unlisted companies compared to other forms of tangible or intangible investment.

Dissemination of the BAN concept

BAND has established its website as the prime source of information about Business

Angels culture and issues a quarterly newsletter. BAND has achieved the

collaboration of 3 media-partners and organizes the annual German Business Angels

Day. BAND provides jumpstart information for new networks through a BAND

starter-kit. BAND organizes seminars and conferences to various topics relevant to

Angel Investors and entrepreneurs and has several working groups of Business

Angels and Business Angel Network managers dealing with important topics as

syndication, taxes and financing of networks.

MENTORING S.A. was established in 2003 by professionals with long experience in

providing business development and management consulting services. Today this is

one of the fastest growing companies in Greece with a strong clientele from the

private and public sector. Its services include client-oriented solutions through

Angel investment is included in the company‟s range of services, thus constituting the

first Greek Βusiness Αngel Νetwork and the first Greek company member of EBAN.

Focused on the creation of active nucleus consisting of business angels, it is in

constant contact with other BANs in EU countries, it collaborates with companies

which provide business capital (VCs, incubators), with banks, advisory companies,

scientific organizations, development agencies, etc.

Dissemination of the BAN concept

In light of the launch of the largest EU funded Program aiding SME‟s,

MENTORING S.A. is actively undertaking projects aimed to enhance

competitiveness in the private sector and among female and young entrepreneurs.

MENTORING S.A. advisors and consultants are also offering seminars and

mentoring services to females and young adults in an effort to educate and support

their business ideas, to help increase their business knowledge, and synthesize current

opportunities available in the market to offer them the best pathways to value.

With respect to the seed and early stage capital market in Greece, there are no specific

programs or incentives being launched to support business angels. The only initiative

from the Greek government regarding the equity finance is related with TANEO,

which is a “fund of funds” and supports VC investments.

Background

Business Angel Networks, with the support of InterTradeIreland, have been in operation in

Northern Ireland since 2003 and in the Republic of Ireland since 2005. These pilot programmes

were completed in 2008 and have to date been managed independently of each other. Halo NI is

currently being managed by the Northern Ireland Science Park and funded by InterTradeIreland and

Invest Northern Ireland, while the Business Angel Partnership is a joint initiative funded by both

InterTradeIreland and Enterprise Ireland and operates through the Dublin, Cork, West and South

East Business Innovation Centres (BICs).

The key objective for the Halo NI and the Business Angel Partnership pilot programme was to

develop and foster the growth of private equity and business angel activity in Ireland. This was

achieved by seeking to match pre-screened investors with pre-screened investment opportunities in

start-up, early stage and developing businesses.

International best practice shows us that the best way to achieve this objective is to establishment of

an increased number of formal Angel Syndicates. This improves the efficiency of the Business

Angel community in terms of their ability to do deals and create investing syndicates capable of

supplying larger amounts of private capital over longer periods, thus improving the long term

sustainability of SMEs who have received funding.

Halo Business Angel Network, HBAN, has been awarded the role of National Director to lead the

development of business angel investment in Ireland, in line with International best practice.

HBAN has been tasked with the development of 10 syndicated groups of Angel Investors to

leverage €5m of investment into early stage companies. Through the formation of syndicates it is

believed that an increased level of private investment into early stage technology companies can be

created.

Legal status of the networks

HBAN is a not for profit organisation jointly funded by InterTradeIreland and Enterprise Ireland.

The Business Angel Partnership (BAP) is a not for profit organisation jointly funded by Enterprise

Ireland, InterTradeIreland, and the Irish Business and Innovation Centres.

Halo NI is a not for profit organisation jointly funded by Invest Northern Ireland and

InterTradeIreland.

Enterprise Ireland, InterTradeIreland, and Invest Northern Ireland are all government agencies

which believe that a dynamic and healthy venture capital market is a prerequisite for the growth and

development of high potential start-up companies on the island of Ireland.

National association

Ireland does not have a National Association for Angel Investors however HBAN believes it is

positioned as such providing a voice for overall „strategic direction‟ for Angel Investment on the

island of Ireland.

National/Regional Support

HBAN, BAP, and Halo NI are financially supported by the relevant government agencies to the

region of approximately €500k per annum. This is expected to reduce in the short term.

Dissemination of Angel Investment and the Model of Syndication

HBAN has successfully executed significant media campaigns at a National and

Regional level over the last 9 months. HBAN‟s principal message is the

Most recently HBAN organised Ireland‟s first Business Angel Conference with an

Background The Italian angel investing market, that moved its first steps in the late „90s, today is entering in a

strengthening phase and spreading across all country, even if the northern part of Italy still

maintains more then 80% of all angel investments. Thanks to daily IBAN Association‟s work, it is

possible to confirm a significant reduction of equity gap between investors and entrepreneurs.

During 11 years, the angel investing market has increased and it has structured as:

Regional/local BANs managed by public institutions

Regional/local BANs managed by private investors

Angel Investment Clubs

Thematic BANs operative in all country

Independent/autonomous business angels.

IBAN Association, as federation of Networks and autonomous business angels, is the institution

that truly knows and represents the Italian informal venture capital investors as a whole. For this

reason, IBAN is the exclusive institution that can collect and analyse available data concerning the

Italian angel market.

Legal status of the networks 9 BANs are set up as non-profit organizations and 1 is a commercial BANs.

The regional BANs are, mostly, an emanation of BICs, Universities/Liaison Offices and

public/private Institutions. In these last years, in addition, there has been the establishment of

“thematic” BANs (Digital BAN and Med-Tech) and 2 Club of Angel Investors (IAG and Club

Investitori di Torino/Piemontech).

The founding sources come usually from fees (entrepreneurs and angels), regional funds and local

sponsors (especially banks, chambers of commerce and entrepreneurial associations).

Lobbying activities During its past activity, IBAN, in order to create a legal and fiscal framework more appropriate to

develop the private informal investors market, has established a dialogue with the relevant Italian

Ministries with the aim of clarifying the legal status of BANs with regard to several existing statutes.

Since October 2000, IBAN has submitted to the Italian Ministries attention a law proposal

concerning the tax status of the business angels investment activities. Other documents were

presented in 2003, in 2004 and in the end 2007 Commissione Biasco at Ministry of Economic

Affairs.

In 2005, IBAN presented the IBAN white paper “The informal risk capital development in Italy”;

with the purpose of adapting to the Italian business context some best practices and proposals

promoted by EBAN.

In 2006, IBAN published the “Business Angels manual” containing a specific legal and fiscal Q&A

section; it has been updated in 2007 and 2010.

In 2008 IBAN, working together with Finance and Economic Development Ministries, presented

along with AIFI (Italian Venture Capital Association) and two important Italian key players

(Assonime and Eversheds Piergrossi Bianchini), a law proposal, subsequently approved, concerning

new fiscal incentives available to business angels in Italy (D.L. n. 112/2008 – art. 3 – New

dispositions).

IBAN is the Italian National Association focused on the development and the growth of the

Business Angels phenomena in Italy.

IBAN's members are BANs, investors clubs, business angels and professionals in matching investors

(formal and informal) with entrepreneurs. In addition, IBAN has links with the Italian Venture

Capital Association (AIFI) and local and national associations of entrepreneurs. In particularly, the

Association, as of April 2011, includes 140 Members.

IBAN has created a strong “relationship network” that links Institutions and Economic Operators

know–how and expertise, covering the entire “value chain” in the “early stage phase”. In this way,

IBAN can really support “start–up” enterprises in their growing process. In order to reinforce

Business Angel‟s know-how and support networking and exchanges of best practices among them,

IBAN has:

established the yearly Business Angel Academy in Italy;

established specific Investment Readiness training modules for entrepreneurs incubated to

national and regional Incubators and Technology Parks;

published the “Guide to setting up of a business with Business Angel” in partnership with

KPMG Italy;

published the “Business Angels manual” containing a specific legal and fiscal Q&A section;

adopted standard legal templates to structuring an early stage deal.

IBAN is an institutional interlocutor of all working groups set up by Italian Ministry for Economic

Development concerning competitiveness strategic factors: risk capital finance, entrepreneurship,

research and innovation. IBAN is frequently invited as expert in the European Commission, WIPO,

UNICE working groups activity. IBAN has also adopted – since 2000 - a Code of conduct that

clarifies the rights and duties of BANs and BAs.

Background In the Netherlands, informal capital activities emerged as early as in 1995 from a private initiative

known as NeBIB. Later, in 1996 Meesters van de Toekomst joined Nebib

Nowadays, there are more and more networks active. The Dutch cabinet deems it important to

stimulate informal investments in the Netherlands. Many companies have been able to become

successful because they were supported with funding, expertise and coaching by business angels

during a time when other financiers had no faith in their business plans.

The Ministry of Economic Affairs launched a Business Angel Programme in 2005. This programme

provides entrepreneurs - who are on the lookout for risk capital - and potential investors with

information regarding informal investments. Although the programme has had a positive impact on

informal investments, the greater part of business angel investments remains untapped by

entrepreneurs.

As of 2009, Minister Van der Hoeven of the Dutch Ministry of Economic Affairs bolstered the

“Business Angel” programme with an annual 1 million Euros. Among other things, this boost

should help new and innovative companies with solid business plans to attract “Business Angel”

capital. According to estimates, this financial impulse should create a spin-off of at least 25 million

Euros in additional business finance on an annual basis.

One of the initiatives funded by the 2-million euro financial boost is a training programme aimed at

preparing both business angels and entrepreneurs who are looking for risk capital for investment. In

addition, the funds will be spent on more publicity concerning the possibilities of informal

investments and on reinforcing the business angel networks.

Background There are several seed stage funds, and Norwegian informal investors invested 12 billion NOK

(approx. €1,5 billion) in early stage/start-up companies in 2009 .

In a report published late 2010 (by analytics company Menon Business Economics) they calculated

all business angels in Norway and the businesses they have invested in. The report calculated a

number of 2400 active business angels that has invested in and supplied business experiences and

competence to 4500 businesses. Very few of the 2400 angels are however organised in any formal

networks – and there are too few experienced investors.

The study was commissioned by the Norwegian Ministry of Trade and Industry and also studied the

need for public support programs for this investor segment. The report states that public programs

must address the areas where the business angels are weakest – namely in the area of selection of

investment objects. The problem in this area is caused largely by asymmetries in the information –

and because the single business angel runs into time, cost and often competence constraints in

evaluating the investment cases.

In short, the report recommends any public programs to be focused on increasing the business

angels competences within the selection process – mainly by creating links to, and networks with

existing and competent early stage funds (e.g.: Seed Stage funds or similar).

In addition to the challenges facing the business angels - it is quite widely accepted that there is a

general lack of ability to commercialize, and lack of competence within internationalization and

building sustainable business out of early-stage companies. (Except for the the Oil & Gas industry).

The idea of Business Angels to organize and become members of one of the two existing BANs

(NORBAN and CV BAN) is still quite virgin. As of today there are only 58 registered members in

the existing BANS – which on the other hand is quite natural after only a short time of operation.

However - the establishment of these two BANs, ongoing initiatives to establish other BANs, and

an increasing public awareness are signs of an emerging and higher business angel network activity

in Norway.

Dissemination of the BAN concept There is an existing collaboration between NORBAN and CV BAN with mutual aim of higher

dissemination of BANs

NORBAN is currently setting up meetings that promote the BAs community in Norway,

participating in conferences around the country, partnering with the Movation open innovation

“stock Exhange” where new ideas meet the BA‟s, and cohosting quarterly investment

meetings/dinners. In addition we‟re currently helping start up a Trondheim based region network.

CV BAN is promoting the BAN concept, regionally through meetings, participation in events and

conferences. Nationally CV BAN is promoting the BAN concept through the CONNECT Network

in Norway, which consist of 5 regional networks with a total of around 500 businesses as members

and a number of regional events.

EBAN members NORBAN - Norwegian Business Angels Network

The Norwegian Business Angels Network (NORBAN– www.norban.no) was formally created in

April 2010, with the mission of helping BA‟s as well as representing the interests of future regional

networks that will be established in Norway.

The innovation stock Exchange is an important member benefit for our members, as well as our

bimonthly meetings. In 2011 we will also do a national conference in March.

CV BAN - CONNECT Vest Business Angel Network

CV Ban was established in September 2009 with the aim of serving Business Angels seeking

interesting investment opportunities as well as co-investors.

CV BANs mission is to add value to early stage investments for all the involved parties.

By providing qualified investment opportunities, early stage investment training activities and

advocating co-investments we aim to increase awareness and expand the number of wealthy

individuals that involves in business angel activity. Thus we hope to increase the supply of risk-

capital for early stage companies as well as increasing the competence of investors which hopefully

will lead to more successful commercialisations and generally higher growth.

CV is currently managed by CONNECT Western-Norway. CONNECT Western Norway is a non-

profit member organisation that links entrepreneurs and start-ups with the financial, technical and

business development resources they need to create high-growth companies. By offering advise

through the CONNECT Springboard® Programme and organizing investor- and partner forums,

CONNECT supports the entrepreneurs and enables them to quicker growth and commercially

success.

CONNECT in Norway consists of five regional networks. The network's members are companies

that represent competences from all branches both public and private sector. Their aim is to help

entrepreneurs speed up their commercialisation process and prepare them to meet investors and

industrial partners.

Lobbying

The existing governmental help system for entrepreneurs still have to recognize the importance of

Business Angels, but meetings with NRC (Norwegian Research Council), Innovation Norway and

SIVA (two other national bodies promoting innovation and entreprenoryship) has helped in this aspect

and pointing at the great work eBAN is doing certainly also helps in this aspect.

One of the important subjects we‟re currently addressing in Norway is whether early phase

investments should have a tax advantage. NorBAN as well as CV BAN has started to lobby the

Norwegian Government and press to offer tax benefits for Business Angels investments.

In order to increase the number of active Business Angels, both NorBAN and CV BAN is scheduling

bimonthly/quarterly meetings inviting both Business Angels and press to raise the level of

communication about the importance BA‟s has.

NORBAN is also discussing different way Business Angels can co-Invest, and have great experience

with the Open Innovation Stock Exchange where our members can easily find interesting prescreened

and scored investment cases and others BA‟s to co invest with.

At the national level there are 2 Business Angel networks in Poland: Lewiatan

Business Angels (LBA), PolBAN. The LBA, as the only member of EBAN that

operates nationally, have the same aims and objectives as other members of the

European Business Angel Network (EBAN): acting as honest brokers and a

“marriage bureau” for private investors and entrepreneurs who are seeking funds for

their new ventures. Lewiatan Business Angels, the largest and most active business

angels network in Poland, is a club of angels set up by the Polish Confederation of

Private Employers Lewiatan. Today LBA has established an extensive angel network

in Poland and till end of 2009 finalized 11 investments in different sectors/branches.

Legal status of the networks

LBA is a project managed under Polish Confederation of Private Employers Lewiatan.

Business Angels Network Amber has no legal status of a network, it is developed under Polish

Entrepreneurs Foundation.

Guild of Business Angels is a project in the frame of Lodz Regional Development Agency.

Lublin Business Angels Network is a project running by the Regional Development Agency.

Silesian Business Angels Network is an association.

Secus Łowcy Biznesu is a public limited company.

National association

Poland does not have national business angel association.

National/regional Support Lewiatan Business Angels has financial support from European Union. LBA is

Background

During the last decade the activity of Business Angels has incresead very fast. On

2005 there was in Portugal only one organized BA club , Gesventure. In 2006 a

significant number of investors launch the Associação Portuguesa de Business Angels

(APBA) with the objective of enlarging and deepening the BA activity in Portugal. In

2007 the Federação Nacional de Business Angels (FNABA) was created and

agregated many new born networks.

Business Angels are recognized as Venture Capital Investors (Investidor em Capital de

Risco) under the Portuguese law (DL 375/2007). With this law, individuals can

register as business angels in the Portuguese Securities Market Commission (CMVM)

with similar legal requisites of venture funds.

The new legal framework, however, was considered by many business angels very

disappointing as regards its expectations as it required significant costs in CMVM

registry, tax procedures and accounting. As a result, only few business angels were

registered at CMVM.

In order to change this scenario and to increase the number of active Business

Angels, FNABA significantly contributed to the design of a Co-Investment scheme

which was well received by the Portuguese development agency IAPMEI and by

QREN (COMPETE), the national entity responsible for the application of EU funds.

Created at the beginning of 2006, APBA – Associação Portuguesa de Business Angels

was a pioneer to establish protocols of co-investment with public and private entities

for innovation projects such as Inovcapital and EDP Inovação.

Business Angels‟ Co-Investment Fund – which also has the support of Portugal‟s

public bank (Caixa Geral de Depósitos) - is now active until 30th June 2013 and

funding investments from the selected 55 investment vehicles created by 230 Business

Angels.

After several years of lobbying of APBA and FNABA, the Portuguese Government

has considered for the first time in its budget for 2010 to include a package of tax

benefits for Business Angels investments. These benefits allow Business Angels to

rebate to their taxable income up to 20% of their investments as Business Angels, up

to the limit of 15% of their taxable income.

In 2009 one new regional network was created during the year – Associação de

Business Angels de Santarém, located in Santarém (Central Portugal), that is member

of FNABA.

Legal status of the networks

All existing networks are legally established associations.

National association

The Portuguese Association of Business Angles (APBA - Associação Portuguesa de

Business Angels: www.apba.pt) was formally set up in March 2006 and is grounded

“to promote entrepreneurship thus making a relevant contribution to the growth of

an innovative economy” in Portugal. Since its creation, APBA has reinforced its

presence with more than 100 individual investors, more than 150 pending projects,

several conventions and protocols with a dynamic network encompassing

Universities, IT centres and Venture Capital firms.

The Portuguese National Federation of Business Angels (FNABA – www.fnaba.org)

was formally created in February 2007, with the mission of representing the interests

of all regional networks established in Portugal. Currently it represents 9 associations:

Vima Angels, Invicta Angels, Covilhã Business Angels, Centro Business Angels,

OPEN Business Angels, Business Angels de Santarém, Clube de Cascais, Business

Angels Club, Alentejo Business Angels and Algarve Business Angels.

Lobbying activities

FNABA plays an active role in the World Business Angels Association and was

represented by three of its members in the first edition of WBAA‟s First Global

Conference (Beijing, 4-5 December 2010).

APBA has signed in a protocol agreement with Inovcapital - the public venture

capital fund of reference from the Ministry of the Economy and the Innovation

with particular responsibilities in the financing of innovative companies, with a

strong focus on start-ups- and this partnership has worked hard through the

promotion of the entrepreneurship and the proactive participation in the capital

of companies. This Protocol of Institutional Collaboration was signed again in

2010 with the intention of continuing this partnership in 2011.

APBA has also signed a Protocol agreement with Caixa Capital the Public

Venture Capital Fund of Caixa Geral de Depósitos, the big Portuguese public

Bank.

Dissemination of the BAN concept FNABA was responsible for the organization of the national road show that

presented the launch of the Co-Investment Fund. During October 2009,

presentations were prepared with the support of regional BAN in 10 different

locations: Lisbon, Porto, Guimarães, Marinha Grande, Coimbra, Évora, Covilhã,

Santarém, Faro and Cascais. The Secretary of State António Castro Guerra,

COMPETE National Coordinator Nelson Souza, the President of IAPMEI, Luis

Filipe Costa and the President of Caixa Geral de Depósitos Fernando Faria de

Oliveira took part in the roadshow among many FNABA‟s network members and

other sector experts and institutions.

FNABA and APBA have developed an extensive work to promote the BAs

community in Portugal, participating in conferences around the country, business plan

contests, Board of Directors of EBAN, regular investment meetings/dinners and in

several university programs as members of the jury for innovative projects.

APBA has served as co-host of Global Entrepreneurship Week 2010 in Portugal. For

one week, 115 countries around the world joined the Global Entrepreneurship Week.

The campaign:

One week dedicated to celebrating entrepreneurship across Portugal;

Entrepreneurial events around the country hosted by our partner organizations;

The activities vary in nature but holding the common theme of promoting entrepreneurship;

The goal: gathering support from as many partners as possible to focus attention to

entrepreneurship on a national level.

The Opening Session of SGE2010 in Lisbon was opened by the GEW CEO

Jonathan Ortmans.

The GEW Closing Session has been held in Madeira, in partnership with the C.E.I.M

– Center for Enterprises an Inovation of Madeira.

Gesventure/Business Angels Club organizes since 1999 two major conferences,

namely Venture Capital IT (www.gesventure.pt/vcit2009) and Gesventure Meetings

(www.gesventure.pt/10encontro), about business angels, venture capital, start-up‟s,

entrepreneurs, existing incentives, technological trends and innovation. Twice a year

international speakers are invited to take part in these congresses and share with the

national audience their knowledge and experience.

Several clubs are being “incubated” by FNABA to join the national network: Setúbal

and Madeira.

Six of the Portuguese networks manage both their own website and Angelsoft

platform and share projects among themselves.

Background

The National BAN “Private Capital” is the first Russian BAN. It was created in 2003.

Legal status of the networks

All BANs in Russia are non-commercial organizations.

There are no special laws and subordinate acts which regulate the activities of

business angels and BANs. There are no tax benefits for organizations and private

investors who invest in innovative start-ups.

National association

RUSSBA is the national association of BANs and business angels which involves 5

BANs and near 120 business angels at the moment. RUSSBA was created on

December 27th 2006. RUSSBA‟s main purpose is to favour the development of

business angel investing in Russia.

Lobbying activities

In order to promote the dissemination of business angel and seed investing in

Russia and to approve the term “business angel” within Russian public authorities

and society, RUSSBA actively cooperates with relevant ministries (the Ministry of

Education and Science of the Russian Federation and the Ministry for Economic

Development of the Russian Federation), and the Russian Chamber of

Commerce and Industry and business associations, such as the Russian Union of

Industrialists and Entrepreneurs and “OPORA RUSSIA”. RUSSBA does its best

to accelerate the creation of seed funds in Russia coordinating its activities with

various governmental and public organizations.

Dissemination of the BAN concept RUSSBA actively participates in the creation and development of Russian BANs.

Another important activity of RUSSBA is the organization of educational seminars

for business angels and entrepreneurs. The seminars are dedicated to business angel

investing and preparing of innovative projects. The latest seminars of this type were

held as a part of the joint program with the Russian Venture Company . Since 2006

RUSSBA has already held close to 30 seminars in different places in Russia: Moscow,

Saint-Petersburg, Volgograd, Tomsk, Barnaul and others.

In 2008 RUSSBA, Microsoft and Intel founded the Investment and Technological

Alliance (the IT Alliance) which joins efforts of business angels, venture funds and IT

companies investing in IT startups in order to support thoroughly young IT firms.

The IT Alliance regularly conducts presentation sessions of IT projects for business

angels and venture funds, and organizes contests of IT projects. At the moment

Almaz Capital Partners, Softline, Oradell Capital, ABRT Venture Fund, Moscow

Agency for Development of Innovative Entrepreneurship and Allianz ROSNO Asset

Management joined the IT Alliance.

RUSSBA successfully applies electronic deal flow system and began to rent it out to

regional BANs.

In October 30-31 2008 RUSSBA, the Federal Agency for Science and Innovation and

some other organizations, held the first National Congress of Russian Business

Angels. Business angels, representatives of public institutions, investment companies,

small innovative firms, mass media, universities, and also guests from Bulgaria, Spain

and the United States participated in the congress.

Background

2001: The business angels concept emerged in Spain in 2001. Since then, the number

of networks has been growing day by day.

2004: Fundación ESBAN was founded, involving the partnership of several BANs. It

is the national federation of networks in the country. The aim is to promote the

business angels concept, to develop business angels networks and to cooperate with

the public administration when developing the best legal framework for the business

angels. It is a private foundation made up by several business angels networks

together with the Ministry of Industry. The other joint networks are usually non

profit organisations promoted both by public and private institutions.

Fundación ESBAN became member of EBAN, and Albert Colomer a member of the

EBAN Board of Directors.

2006: Fundación ESBAN received the support of Spanish Government through the

DGPYME (General Secretariat of SMEs) which is member of ESBAN foundation

Board.

2008: Fundación ESBAN became board member of the new WBAA.

2009: Fundación ESBAN organized the 9th EBAN Congress and 4th Award

Ceremony in Madrid. Many EBAN members attended this event, entitled

“Celebrating risk taking: the contribution of business angels and early stage

investors", which was a great success. In time of crisis, the event was able to attract

around 300 participates among representatives of the business angel and early stage

seed fund sector and policy makers, public and private financial institutions, business

schools, universities, research centers and incubators from Spain

(www.congress2009.eban.org). On the occasion of the EBAN Board meeting held in

April 2009, Albert Colomer was elected as new member of EBAN Executive

Committee.

2010: Fundación ESBAN keep on working on the dissemination of the BA concept.

Fundación ESBAN is advising on the creation of the Balearic BA network (BANIB),

in Balearic Islands, and Fundación ESBAN is also advising on the creation of the

Canary BAN (RECABA), in Canary Islands.

45% of the networks in Spain are initiatives without legal status. These networks are part of

larger organizations (CEEI‟s, business schools, universities, private companies, public

foundations and enterprises.

Lobbying activities

In 2005 ESBAN participated in several business forums for the SME and organised two workshops

(July and September) with the objective of providing the networks‟ managers with the keys to

develop their network.

Also, ESBAN is working to improve the financial framework for the business angels. A proposal was

presented in the Spanish Parliament. The Spanish government took the compromise of studying the

best regulation for the business angels market, similar to the venture capital.

Furthermore, ESBAN and the Spanish government are working on a pilot program to promote the

networks in Spain. This program includes financial aids for the networks as well as a communication

plan to spread the business angels concept as the best way of financing a project.

During 2006, 2007 and 2008 plenary session of the Congress of the Deputies approved a proposal

not for law regarding the business angels and the entrepreneur situation.

This proposal wants to change the situation of business angels in Spain and recognize the business

angel activity like a private and alternative financing that makes an injection of capital for the

entrepreneurial projects.

This proposal want that the government makes public policies to:

Support networks of business angels and promote the creation of new networks.

Elaborate a favourable tax frame similar to the venture capital.

Promote the business angels spread enterprises, universities, business schools, research centres.

ESBAN in collaboration with GARRIGUES (Spanish law firm) elaborates several studies

concerning tax incentives for business angels in Spain:

“Propuesta de medidas fiscales para el fomento de la figura de los business angels en españa”.

In 2010 Fundación ESBAN lobbying exercise has achieved its first objective. Catalonia and the

Region of Madrid have both approved a new fiscal reform related to the investment in a new

project. The reform consists in a deduction of 20%, until 4000€ in the Spanish Income Tax (IRPF).

It‟s a very significant measure that will probably increase the growth of the investment in innovative

projects.

Fundación ESBAN worked with the Spanish Government, through the DGPYME (General

Secretariat of SMEs), in a national program to support BA networks (Programa de Apoyo a las

Redes de Business Angels). The goal of this program is to develop a strong BA sector in the country

to create innovative business projects.

Dissemination of the BAN concept

Since business angels sector started in Spain most media have published pieces on business angels

and BAN‟s. Fundación ESBAN tracks all press coverage on the subject of business angels and

compiles all the information and creation of new BA networks, deals made trough BAN‟s,

organizations involved in the BA sector, workshops, conferences and events. Since 2004 ESBAN has

published several reports focusing on the business angel market and tax incentives.

In 2009, Fundación ESBAN produced two researches entitled “Naturaleza de los business angels

existents en España y principales características de los agents del Mercado” and “Naturaleza de las

redes de business angels existentes en España y principales características de los agentes del

mercado.” These two studies analyze trends in the business angels market in Spain, identify all the

networks in Spain and define their main characteristics, such as their legal status, geographical

coverage, deals, number of investors, number of employees, date of creation, funding sources of

the network, annual budget of business angels networks, fees charged to BA or entrepreneurs,

network specialization, matching services, tools used by BAN‟s to recruit entrepreneurs, membership

criteria, and membership policy of the networks.

In 2009 an event will be organized to disclose results of these studies to all organizations and BAN‟s

involved.

In 2009 Fundación ESBAN will publish a directory of business angels operating in Spain.

In 2010 the Spanish media published the participation of Fundación ESBAN in the European BA

congress in Istanbul and the WBAA and the ACA annual meeting in San Francisco. The new tax

incentive supported by Fundación ESBAN appeared in the Spanish media too.

Fundación ESBAN participated in several roundtable in different universities around the country

explaining the BA concept and spreading the associated BAN‟s.

Finally Fundación ESBAN helped to the entrepreneurs from around the country to start a new

business. Fundación ESBAN address the entrepreneurs to the most appropriate BAN for them,

basing on criteria of territoriality, proximity and investment needs.

Catalonia has implemented programmes relating to business angels since 1996.

ACC1Ó, one of the most experienced BAN in Spain, has become a National

Federation of BANs for the Catalan Region.

ACC1Ó programme includes 7 Business Angel Networks, namely: BANC - Business

Angels Network de Catalunya, Barcelona Business Angels (BCNBA), IESE Red de

Inversores Privados, EIX Technova, ESADE BAN, Keiretsu Forum Barcelona,

SeedRocket Angels.

ACC1Ó also carries out other initiatives related to business angels such as guides to

informal investment, monthly meetings, business angel academies (3 in 2010) and

investment forums (XVI Investment Forum with 100+ investors attending and 50+

companies presented).

BAN legal status

The “ACC1Ó Catalan Programme of BANs” is a National Federation of Networks.

Statistics

Three BA Schools, co-organized by ACC1Ó in collaboration with ESADE, IESE and SeedRocket

have taken place in 2010 with about 150 attendants. In 2011 ACC1Ó is launching “Investor

Readiness” program to train successful entrepreneurs who want to become business angels.

In October 2010, ACC1Ó National BAN organized the XVIth Investment Forum. More than 450

entrepreneurs, investors and managers attended this event. All tickets were sold out one week before

the event. International Venture Capital companies like Kreos Capital, T-Ventures, Balderton

Capital, Wellington Partners, Red Alpine, Amadeus Capital, attended our forum.

Background

Swedish research indicates that there are 3000-5000 Business Angels in Sweden

investing at least 250 million € per year.

Sweden also has a relatively large number of Business Angel Networks. The number

of BANs in Sweden increased substantially during the period 2003-2004 in

connection with a support program run

by the Swedish Agency for Economic and Regional Growth (“Tillväxtverket”).

During 2009, 8 BANs reported investment activity and the total investment amount

channelled decreased substantially as well as the number of deals compared to 2008.

The majority of the Swedish BANs are located in the large cities or the university

cities. Many networks have close connections to universities, incubators and science

parks. Most networks have a geographical focus but are not specialised in terms of

industry focus.

Legal status of the networks

The majority of BANs are organized as networks within non-profit entrepreneurial

networks, consulting firms or state-supported organisations.

National association

Since early 2005 the Swedish Private Equity & Venture Capital Association (SVCA),

supported by NUTEK, acts as National Association for business angels and business

angel networks in Sweden.

SVCA is responsible for supporting the regional BANs, as well as for enhancing the

level of knowledge about business angel activities in general. Working for a more

investor friendly environment, developing tools to improve and facilitate the BAs‟

investment process as well as providing forums for networking and educational

activities are also part of SVCA‟s work.

The fact that SVCA‟s member base incorporates all types of private equity investors

gives the association a unique possibility to work for improved interaction between

investor groups and to bridge the gap between business angels and venture capital

investors.

Lobbying

The current tax climate in Sweden does not provide tax incentives for investing in

early stage companies. SVCA therefore continuously work for a more BA investment

friendly tax environment as well as for simplified regulations, with the aim of

attracting more private capital to entrepreneurial businesses.

SVCA also promotes the creation of co-investment vehicles funded by public means

(or by a combination of public and private means), which could match business

angels‟ investments in order to increase the amount available for early stage

businesses.

Dissemination of the BAN concept

SVCA is continuously working to increase the level of knowledge about the business

angel concept and its importance for growth and development of new businesses.

SVCA‟s work includes among other things educational activities, arranging a yearly

Business Angel Day, lobbying as well as PR activities.

Tillvaxtverket in cooperation with FSF and University of Lund supports a long-term

research of the Swedish business angel market with the aim of mapping the actors in

this market and to get a more accurate picture of the business angel activity in

Sweden.

Background

Switzerland has a long tradition of business angel investing. The first BAN in

Switzerland was created in 1997. It now has 11 BANs. The national association was

set up in 2003 under the name Association of Swiss Business Angel Networks

(ASBAN). Early 2008 ASBAN merged into SECA (Swiss Private Equity & Corporate

Finance Association) in its Chapter, Seed Money & Venture Capital.

Legal status of the networks

Private, non-commercial BANs usually are associations while commercials BANs

normally choose the legal form of an AG (stock corporation).

Background

The first BANs operating in the UK were set up in the early 80s. Today the BBAA has

24 Business Angel.

Network members operating in England, Wales & Northern Ireland (see list below).

In addition there are a number of business Angel Networks/Groups based in

Scotland. The BBAA also has 15 early stage Venture Capital members as well as over

30 professional service providers as associate members.

Legal status of the networks

British BANs can be commercial, public sector, commercial and working for the

public sector, or not for profit organisations. BBAA defines a UK BAN as a formally

structured or constituted business angel group, network or syndicate. BANs in the

UK must either be FSA authorised under the corporate finance regulations or qualify

for a not for profit exemption. Through its Code of Conduct BBAA ensures that all

of its members fall into one of the two categories mentioned above.

National association: The BBAA is the only UK trade association dedicated to promoting angel investing and supporting

early stage investment in the UK. Each year private investor‟s account for between £800 million and

£1 billion of early stage investment in the UK: the single largest source of early stage capital in the

country.

The BBAA works to create an eco-system to promote and support the early stage investment

market, providing a forum for these groups to integrate and share good practice on new

developments and trends in early stage investing, development of new services and tools to support
