In response to your letter dated November 29, 2010 we are including with this communication the bank certification of the funds available in Air Flamenco reserve, and explanation of the "Prepayments" and "Receivables from Related Party" lists, copy of FAA Air Transport Pilot (ATP) certificate of Mr. Ruben Torres (previously sent via email to Mr. Damon Walker), clarification of the gap in the resume of Mr. Ruben Torres, and the status of the investigation of the FAA concerning the air carrier authority.

We are attaching copy of the certification from Banco Santander of Puerto Rico for the amount $464,534.28 available in reserve as of December 1,2010. This amount exceeds the $458,821 minimum requested by the Air Carrier Fitness Division.

We also would like to explain the "Prepayments" and "Receivables from Related Party" in the following detailed table:

Concerning the gap in the resume of Mr. Ruben Torres between the period of September 1994 and February 1997, he did not worked within this period since he was in a sick leave. Attached is the medical certification dated May 1,2001 that release him to work since 1996. Therefore, his resume will not change in the Employment Experience area. However, notice in the amended resume that the Education area has changed because Mr. Ruben Torres obtained his FAA Air Transport Pilot Certification in October, 2010. The amended resume includes copy of the ATP certification.

In regards to the FAA investigation as of December 1st, 2010 , Air Flamenco has not received

additional communication, regarding the scope of the air carrier operating authority.

The content of this application and the attached exhibit (s) are true and correct to the best of my knowledge and belief. Pursuant to the Title 18 United States Code Section 1001, I Francisco Torres, in my individual capacity and as the authorized representative of the applicant, have not in any manner knowingly and willfully falsified, concealed or failed to disclose any material fact or made any false, fictitious, or fraudulent statement or knowingly used any documents which contain such statements in connection with the preparation, filing or prosecution of the application. I understand that an individual who is found to have violated the provisions of 18 U.S.C. Section 1001 shall be fined or imprisoned not more than five years, or both.
