CIRCLE OF DISTINCTION GOLD LEVEL

Awarded to Coldwell Banker Commercial sales professionals who produce between $500,000 and $649,999 in Closed Adjusted Gross Commission Income for 2012.

The recipients of this award will receive a Commemorative Circle of Distinction Award, use of the Gold Emblem, and a Publicity package.

CIRCLE OF DISTINCTION SILVER LEVEL

Awarded to Coldwell Banker Commercial sales professionals who produce between $350,000 and $499,999 in Closed Adjusted Gross Commission Income for 2012.

Awarded to Coldwell Banker Commercial sales professionals who produce between $200,000 and $349,999 in Closed Adjusted Gross Commission Income for 2012.

HALTER / CASE LEADERSHIP AWARD

The Coldwell Banker Commercial organization established the Halter/Case Leadership Award to honor the memory of two of the company’s finest professionals: Caine Halter, owner of Coldwell Banker Commercial Caine in Greenville, SC and Ray Case, owner of Coldwell Banker Commercial Atlantic International in Charleston, SC.

Caine and Ray were renowned for their positive attitude, professional aptitude and exemplary leadership, and this award will be presented annually to one Coldwell Banker Commercial owner, manager, professional or CBC® affiliate company employee who exemplifies all of these qualities.

Award selection will be made from nominations received by December 31, 2012.

PROPERTY MANAGER OF THE YEAR

A skilled property manager is a highly valued asset to any company. This award will be presented to the individual property manager who has made the greatest contribution in client services for 2012.

The Property Manager should be responsible for managing a portfolio of properties. Responsibilities include but are not limited to Marketing, Tenant Relations, Owner Relations, Facilities Management and Financial Reporting.

Award selection will be made from nominations received by December 31, 2012.

OFFICE MANAGER OF THE YEAR

A skilled office manager is an essential component to a company’s operating structure. This award will be presented to the individual office manager who has made the most significant and impactful contribution on business operations for 2012.

The Office Manager is tasked with the day to day duties in operations, bookkeeping and administrative functions. This individual increases the office’s profitability, sales production, recruiting and retention efforts and is a leader as well as a mentor in the eyes of the professionals they engage with on a daily basis.

Award selection will be made from nominations received by December 31, 2012.

MENTOR/PROTÉGÉ OF THE YEAR

Awarded to one Coldwell Banker Commercial mentor/protégé team where a dedicated mentor has demonstrated leadership qualities by formally guiding a colleague to successful practices in the commercial real estate industry. Additionally, the protégé must have exemplified professionalism, determination, and tremendous dedication to the Coldwell Banker Commercial organization throughout the 2012 calendar year.

This award is earned by meeting the following criteria:

• The protégé must have 3 years or less with the commercial real estate industry

• The mentor must have 8 years or more with the commercial real estate industry

• Both the mentor and the protégé must possess and demonstrate the qualities of

professionalism, determination and dedication

• The protégé must be part of or have graduated from the Emerging Broker Training program

• The protégé must produce a minimum of $100,000 Closed Adjusted Gross Commission Income during the 2012 calendar year with the Coldwell Banker Commercial brand

• Nominations must be submitted by December 31, 2012

TOP TWO & COMMERCIAL ELITE EVENTQUALIFICATION GUIDELINES

TOP TWO & COMMERCIAL ELITE EVENTQUALIFICATION GUIDELINESThe Top Two and Commercial Elite Event is an incentive event for exclusive sales professionals and company owners who have qualified based on the criteria set forth for these awards. It’s an opportunity for top ranking winners in these categories to network with their peers, establish new business opportunities and bask in the success of their accomplishments, all at a relaxing and exciting destination.

TOP TWO*

• The invitation to the Top Two Event is non-transferable and no substitutions for the following year or for other events are permitted.

• In the event that a qualifying professional cannot attend the Top Two Event, a cash equivalent will not be provided.

• Only production reported and closed by December 31, 2012 and paid by January 8, 2013 to Coldwell Banker Commercial® Affiliates will be used in determining eligibility for the event.

• The eligible sales professional must have an active status and be affiliated with an active Coldwell Banker Commercial office at the time of the event.

• The Coldwell Banker Commercial office must be in good standing on January 8, 2013 and at the time of the event.

COMMERCIAL ELITE*

• The Commercial Elite Recognition Event is non-transferable and no substitutions for the following year or for other events are permitted.

• Only the Owner with majority ownership is invited to attend. If there is equal ownership, it is up to the individual owners to decide who will attend. Additional owners may attend at their own expense and must be approved by the Coldwell Banker Commercial Awards & Recognition Department.

• In the event that a qualifying Owner cannot attend the Commercial Elite Event, a cash equivalent will not be provided.

• If your company also owns a Coldwell Banker® residential franchise and commercial production is used toward Chairman’s Circle qualification, then the owner will be limited to only attending one event. In other words, companies may not use commercial production credit to qualify for both Commercial Elite and Chairman’s Circle recognition events. A company must attain enough AGC residentially and commercially, independent of the other, to qualify for both events.

• The eligible company must have an active franchise status at the time of the event.

• Attendance at the 2013 Global Conference is required by at least one company owner or principal in order for the company to receive an invitation to attend the Commercial Elite Event, regardless of award qualification. If the owner who attended the 2013 Global Conference is unable to attend the 2013 Commercial Elite Event and there are multiple owners, we will allow another owner to attend this event.

* PLEASE NOTE: PURSUANT TO U.S. TAX RULES, PARTICIPANTS ARE SUBJECT TO TAX ON THE VALUE OF THE TRIP TO THE EXTENT FURNISHED BY COLDWELL BANKER COMMERCIAL AFFILIATES (INCLUDING BUT NOT LIMITED TO TRAVEL, LODGING, MEALS AND ACTIVITIES). COLDWELL BANKER COMMERCIAL AFFILIATES RESERVES THE RIGHT TO ISSUE FORMS 1099-MISC IN CONNECTION WITH THE EVENT. PARTICIPANTS AGREE THAT THEY WILL COOPERATE WITH COLDWELL BANKER COMMERCIAL AFFILIATES IN CONNECTION WITH THE ISSUANCE OF SUCH FORMS.

RULES & GUIDELINESThe Coldwell Banker Commercial® Global Awards & Recognition Program described herein outlines recognition eligibility requirements for companies, offices and sales professionals and applies to performance for the calendar year 2012. It is the sole responsibility of each responsible owner(s) to understand and comply with all of the rules and guidelines as detailed. Companies not meeting all requirements as outlined in the 2012 Awards Rules will not be eligible for recognition at any level which includes companies, offices and sales professionals. The 2012 Awards Rules may be revised at any time and are subject to change without notice.

FRANCHISE COMPLIANCE• In order to be eligible for 2012 award rankings, designations and awards events, all

companies/offices must be in full compliance with their individual franchise agreements and current on all financial and legal obligations to Coldwell Banker Commercial Affiliates. This includes transaction, royalty and NAF fees, as well as promissory notes, any other related payment arrangements/agreements and stipulations governed in their individual franchise agreement.

• All offices within a company must be in good standing throughout the year and by January 8, 2013 in order for each company, office and sales professional to be eligible for 2012 recognition. Companies on awards suspension for seven or more months during the calendar year 2012 will subsequently be excluded from all 2012 annual award rankings and designations. This includes all company, office, and sales professional recognition associated with the suspended company/office.

• All transactions must be paid within a timely manner as defined by the individual franchise agreement. If a transaction payment is received after 45 days of the original close date of that transaction or after January 8, 2013, whichever comes first, the transaction will not be eligible toward rankings and designations.

TRANSACTIONSIt is the sole responsibility of each office to accurately report, which includes but is not limited to property type, transactions and royalty fees, in a timely manner as outlined by individual franchise agreements and the 2012 Awards Rules. Coldwell Banker Commercial Affiliates reserves the right to request additional documentation for any transaction to support the reported production.

• Only transactions resulting from “franchisable commercial services” will be counted for the Coldwell Banker Commercial Awards & Recognition Program. Residential sales and residential other income transactions are excluded.

• Transaction updates/corrections must be made within 45 days of the original close date. No change to a transaction will be made after 45 days from the original close date.

• Awards credit will not be granted for underpaid, misreported or underreported transactions. Only transactions that are paid in full or overpaid will be counted toward 2012 awards.

• A close date must be entered into the Coldwell Banker Commercial electronic reporting system for a transaction to be granted awards credit. Awards credit will not be granted until the close date is entered.

• Property Management contracts must be reported using the Property Management Module of the Coldwell Banker Commercial electronic reporting system and reflect accurate contract dates.

• Awards credit will not be granted for transactions closed in a prior year regardless of when payment is made.

• All unreported and underreported transactions discovered through an audit procedure are not eligible toward any company, office or sales professional award regardless of payment status.

• Verification mailings are sent after the close of the second and fourth quarters of each year. If the owner or commercial manager does not submit corrections or transactions within the timeframe allotted, changes will not be made on a company, office or sales professional level and the numbers submitted in the mailing will be accepted as true and correct.

GENERAL BUSINESS RULESIn order to be eligible for 2012 awards and recognition, each company/office must comply with the following guidelines:

• The term “North America” is defined to include all companies, offices and sales professionals within the United States and Canada.

• The term “franchisable commercial services” is defined as the real estate brokerage services you may provide under the Coldwell Banker Commercial® name in connection with the listing, offering, selling, exchanging, purchasing, auctioning, managing, leasing, renting or consulting regarding any and all real property and ancillary personal property related to a commercial real estate transaction except “residential property.”

• In order to be considered for the Coldwell Banker Commercial Collaboration Award, the referral data must be correctly reflected in CREST as deriving from another Coldwell Banker Commercial company.

• For designation levels, sales professionals will only be awarded one designation (i.e. Platinum Circle of Distinction or Gold Circle of Distinction) based on their highest level of Closed Adjusted Gross Commission Income (AGC).

• All company, office and sales professional designations are awarded on an annual basis and must be earned each year to retain designation status and use of the accompanying awards designation logo.

• In order to be eligible to receive 2012 awards, the company, office or sales professional must have an active status with the Coldwell Banker Commercial system at the time awards are presented.

• Offices must accurately report all transactions (sales, leasing, property management, consulting, rental, referral, appraisal income, etc.) through the Coldwell Banker Commercial electronic reporting systems. Failure to report all transactions through the Coldwell Banker Commercial electronic reporting systems could result in the company, office and sales professionals being suspended from all 2012 recognition.

• For top company, office and sales professional competitive awards, no production prior to affiliation with the Coldwell Banker Commercial system will be counted. However, sales professional production may be counted for Circle of Distinction designation awards if verified by the owner/manager. It is the sole responsibility of the affiliate to report this information to Coldwell Banker Commercial Affiliates by December 31, 2012.

• In order to be eligible for 2012 competitive sales professional production awards, individual sales professional transactions must generate a minimum of $200,000 in closed and paid Adjusted Gross Commission Income. THIS APPLIES TO ALL SALES PROFESSIONAL AWARDS CATEGORIES.

• A sales professional is an individual who holds a real estate license. Only commercial production will be considered for commercial awards listed in this brochure. COLDWELL BANKER residential sales associates/representatives may not compete in the commercial awards program. Anyone found to be misrepresenting themselves will be excluded from awards participation.

• In order to be eligible for 2012 competitive office awards, aggregated office transactions must generate a minimum of $350,000 in total Closed and Paid Adjusted Gross Commission Income.

• All dollar amounts are expressed in U.S. Currency.

• The deadline for nomination submissions for the Office Manager of the Year Award, Halter/Case Leadership Award, Property Manager of the Year Award and Mentor/Protégé Award is December 31, 2012. • The “Invitation to Global Conference” accompanying certain Top Sales Professional awards is a complimentary full-package conference registration and two-night hotel stay, which may only be used at the 2013 Coldwell Banker Commercial Global Conference. This package does not include airfare, meals or spouse registration. The complimentary registration is non-transferable and non-refundable, and no cash equivalent is provided if the recipient cannot attend.

• The Coldwell Banker Commercial Awards Department reserves the right to amend, cancel, or revoke this program at any time for reasonable business considerations or because of circumstances beyond its control.

• Any federal, state or local tax liability imposed on the value of any award received through this program is the sole responsibility of the winner.

• The decision of the Coldwell Banker Commercial Awards Department will be final in all matters relating to the interpretation and application of any rule or phrase of this program.
