Programme

The roles and duties of the Corporate Secretary have

evolved considerably beyond board meeting responsibili-

ties, fiduciary duties to shareholders, regulatory and

statutory compliance, to focus more on good

governance. As the legislative and regulatory environ-

ment changes and with advances in technology, the

demands on corporate secretaries and legal counsels

have increased significantly. Key among these changes is

the impact of amendments in data capture protection

and transmittal seen in the new General Data Protection

Regulation (GDPR), which has presented both

opportunities and challenges for maintaining good

governance, which this workshop aims to address.

The intent of the agenda is therefore to present an

in depth understanding and recognition of the dynamic

factors driving the roles of governance professionals and

bring focus to the specialized knowledge and skills to be

mastered for undaunted effectiveness in your role as the

leading resource to Boards and senior management.

The course probes into new and heightened standards

and professional requirements and aims to close gaps in

knowledge and functional skills. The knowledge and

working skills imparted will be presented to have

immediate applicability, whether you work in a private

or public sector organization.

The JSE has teamed up with industry experts from ICSA

Governance Institute in the United Kingdom, their

Jamaican Chapter and leading specialists locally, to

provide the different sectors and businesses with interna-

tional standards and real-world experiential knowledge

as we work together to promote good governance and

the best corporate practices within all sectors.

Theresa Minnie - Head of Outreach, ICSA:

After owning and running several successful busi-

nesses in South Africa, Theresa returned to the

UK in 1999 where she began her career at ICSA.

She was Head of Membership for nearly 14 years.

and appointed to her current role in 2015.

Simon Osborne is Chief Executive, a Fellow of

ICSA, and a solicitor. He brings first-hand

knowledge of the practical aspects of Boards

and how to Identify performance improve-

ments. Until April 2003, Simon's career was in

the British railway industry as general counsel,

company secretary and latterly an executive

director. He is also a non-executive director of

Crown Business Communications – an award

winning corporate communications agency.

In the voluntary sector, Simon is Deputy Chair-

man of the principal UK railway industry charity,

the Railway Benefit Fund, and chairs its

Nominations Committee.

Julie Thompson-James is an

Attorney at Law and founder of

Cube Corporate Support Lim-

ited, a corporate governance

advisory firm. She has a wealth

of experience in both public

and private sectors.

Edward Alexander is tTech’s Ltd

founder and Executive Chairman.

This very capable IT specialist and

business executive established

tTech in 2006 after an illustrious

eighteen-year career with

GraceKennedy Limited, where he

served as a Director and the Com-

pany’s Chief Information Officer.

Duane Lue Fung is the founder

and Chairman of Think Grow Lead.

He has over 20 years experience

in creating and growing

companies. He rose to prominence

as the young entrepreneur who
