Introduction The Wing Team is a group of savvy Entrepreneurs that met while attending the Central Ohio Technical College. While attending the college they noticed that the campus area was missing a place for students, faculty and families to go socialize while eating great food, with great service, and all for a reasonable price.

They all met one evening off campus along Granville Road around a mile past the campus to discuss possibilities. What kind of restaurant would appease to college students living on a college student’s budget as well as a fun friendly atmosphere for families? Then it hit them “Why not open up a Buffalo Wild Wings Franchise”. According to Buffalo Wild Wings mission statement they are guest driven, team focused, community connected and dedicated to excellence. Their mission is to WOW people every day.

Buffalo Wild Wings first opened their doors in 1982 in Columbus, Ohio. Buffalo Wild Wings is geared for the 20 some things as well as the college crowd. They offer a sports bar atmosphere that doesn’t interfere with the family style restaurant.

This was a great idea, but where could we open one? While pondering this question they all started to notice the location where they had met. Nice and spacious parking with a nice building that was a restaurant previously. So the wheels started turning. They filled out the inquiry for information on opening up a Buffalo Wild Wings Franchise in the area. While waiting for the

information to arrive. They formed The Wing Team LLC.

Once the information came in they all sat down to crunch the numbers. The initial requirements required to open a Buffalo Wild Wings Franchise is as follows:

Liquid assets of $750,000

Required Net worth $1,500,000

Area development of 2 restaurants

Unencumbered liquid assets of $1,500,000 and Net worth of $3,000,000

Operator is an equity partner of at least 5%

No more than 80% of startup can be leveraged. 20% of any single start up must be liquid.

Breaking this down further meant that each member would have to have liquid assets of $120,000. The remaining $2,500,000 would have to be secured by conventional business loans, grants, or investors. The $2,500,000 would cover the costs of franchise fees, equipment, building updates, operating expenses and inventories.

Sales projections for the first year:

Venture Description The Wing Team LLC has made the decision to open up a Buffalo Wild Wings because of the nature of their business… wings, sports and a place to hang with your friends. With the success of Buffalo Wild Wings since the opening of their first restaurant in Columbus, Ohio in 1982 it seemed like a no-brainer. Buffalo Wild Wings caters to the 20 some things as well as the college crowd. They offer a sports bar atmosphere that doesn’t interfere with the family style restaurant. Our ideal location would be in the vicinity of the college campus in Newark, Ohio. The requirements for franchising a Buffalo Wild Wings are pretty stringent and the decision process can be lengthy. We feel that this will be a successful business venture due to the fact that The Wing Team LLC is dedicated and we have chosen a winning franchise that has proven itself over and over again.

Marketing PlanTarget Market Buffalo Wild Wings has very general target markets. Being a sports bar and grill type of restaurant, Buffalo Wild Wings' primary target market are male sports fans ages 21 to 28 living in Newark or surrounding areas. Typically educated males with an average source of income of any ethnical background. With its wall to wall coverage of a variety of sports, Buffalo Wild Wings is an ideal place for men to come and enjoy a delicious meal while having the thrill of watching their favorite sports teams and athletes. Buffalo Wild Wings is also targeting males 21 to 28 because they offer a wide assortment of alcoholic beverages including a great selection of beer that all can enjoy. Males 21 to 28 love to socialize so Buffalo Wild Wings

has created a very friendly environment for them to come, relax, and have a lot of fun

Unique Selling Position We pride ourselves in giving the sports enthusiast a place to gather with friends to watch the biggest sporting events. With our special events and food specials for the “Big Games” it gives the sports enthusiasts a unique place to hang out.

Consideration/Trial: Increase percentage of “ever tried” by 8% and 10% among core targets as measured by brand health research. SWOT AnalysisStrengths

1. Close to campus and many housing developments.

2. Growing brand recognition as it grows to 1,000 restaurants in the US.

3. Despite huge increase in cost of wings the company has managed to partially offset it with declines in labor and operating costs.

4. Menus are varied beyond just wings, now including burgers, salads, sides, desserts and appetizers.

1. Franchise financial requirements are very costly.

2. There is a great deal of competition from privately held sports bars and wing chains, such as Hooters and Roosters.

4. This year’s drought caused a 70% increase in wing costs. The restaurant’s bottom line is extremely sensitive to price hikes in the costs of its signature menu item.

Customer Service

Buffalo Wild Wings is a service business that thrives on the referrals of satisfied customers. Customers are satisfied by what they perceive as good food, reasonable pricing and high levels of service. The first step in great customer service will be our restaurant staff. Creating a memorable experience for customers is the responsibility of every employee in our restaurant, and all employees will be trained on

good restaurant customer service guidelines. Customers will be seated as promptly as possible when they arrive, and their server will attend to their needs as soon as they are seated. Menus will be on the table so that the customers can start making their food choices immediately and specials will be listed on inserts in the menus for their convenience. Customers will be able to relax and enjoy the atmosphere with games, televisions, and a great staff. Every interaction between our employees and the customers should be enjoyable, and food will meet or exceed customer expectations. The other step in great customer service is how we handle situations where the customer is dissatisfied. No matter the reason, the important thing is to please the customer. We should acknowledge that there was a problem, but it is not what they should expect from our restaurant. Our team will always be willing to fix the problem at hand with care and respect, and our employees will be empowered to satisfy the customer.

Possible Financial Start UpSmall Business Loans: Many institutions offer Fixed rate & Variable rate business loans up to $500,000.00. Many of these banks require no annual fee and offer a discount on interest rate if Wing Team Inc. uses an auto pay program and use their bank as our business checking account.

Locally: The City of Newark Development Department and Park National Bank have partnered to create a citywide Small Business Loan Guarantee Program for small profit businesses located in Newark, Ohio. Applicants are not limited in the type of projects to which the loans may be applied. The loan offered by the Development Department shall range between $1,000 and $5,000. The loan guarantee shall cover a maximum of 25% of the loan provided by Park National Bank. For the purposes of this program, the loans offered shall range between $4,000 and $50,000.

Wing Team Inc. would also qualify for a business incubator revolving loan from the local port authority and negotiate tax breaks and

abatements for creating 50 to 60 jobs in Licking County.

If Wing Team Inc. decides to purchase a shopping center and operated from one unit while leasing out the remaining units, this would generate up to an additional $120,000.00 which could be applied to the repayment of startup loans.

Legal StructureThe Wing Team has chosen to adopt an LLC agreement. A limited liability company may sue and be sued.

Unless otherwise provided in its articles of organization, a limited liability company may take property of any description or any interest in property of any description by gift, devise, or bequest and may make donations for the public welfare or for charitable, scientific, or educational purposes.

In carrying out the purposes stated in its articles of organization or operating agreement and subject to limitations prescribed by law or in its articles of organization or its operating agreement, a limited liability company may do all of the following:

Purchase or otherwise acquire, lease as lessee or lessor, invest in, hold, use, encumber, sell, exchange, transfer, and dispose of property of any description or any interest in property of any description;

Make contracts;

Form or acquire the control of other domestic or foreign limited liability companies;

Be a shareholder, partner, member, associate, or participant in other profit or nonprofit enterprises or ventures;

Conduct its affairs in this state and elsewhere;

Render in this state and elsewhere a professional service, the kinds of professional services authorized under Chapters 4703. and 4733. Of the Revised Code, or a combination of the professional services of optometrists authorized under Chapter 4725. of the Revised Code, chiropractors authorized under Chapter 4734. of the Revised Code to practice chiropractic or acupuncture, psychologists authorized under Chapter 4732. of the Revised Code, registered or licensed practical nurses authorized under

Chapter 4723. of the Revised Code, pharmacists authorized under Chapter 4729. of the Revised Code, physical therapists authorized under sections 4755.40 to 4755.56 of the Revised Code, occupational therapists authorized under sections 4755.04 to 4755.13 of the Revised Code, mechanotherapists authorized under section 4731.151 of the Revised Code, and doctors of medicine and surgery, osteopathic medicine and surgery, or podiatric medicine and surgery authorized under Chapter 4731. of the Revised Code;

Borrow money;

Issue, sell, and pledge its notes, bonds, and other evidences of indebtedness;

Secure any of its obligations by mortgage, pledge, or deed of trust of all or any of its property;

Guarantee or secure obligations of any person;

Do all things permitted by law and exercise all authority within or incidental to the purposes stated in its articles of organization.

In addition to the authority conferred by division of this section and irrespective of the purposes stated in its articles of organization or operating agreement but subject to any limitations stated in those articles or its operating agreement, a limited liability company may invest funds not currently needed in its business in any securities if the investment does not cause the company to acquire control of another enterprise whose activities and operations are not incidental to the purposes stated in the articles of organization of the company.

No lack of authority or limitation upon the authority of a limited liability company shall be asserted in any action except as follows:

By the state in an action by it against the company;

By or on behalf of the company in an action against a manager, an officer, or any member as a member;

By a member as a member in an action against the company, a manager, an officer, or any member as a member;

In an action involving an alleged improper issue of a membership interest in the company.

Code of ConductThe Wing Team LLC hereby adopts the Code of Conduct as per the franchise agreement of Buffalo Wild Wings Inc.

CODE OF ETHICS AND BUSINESSCONDUCT

This Code applies to all team members (directors, officers and all employees) of Buffalo WildWings, Inc. and its operating subsidiaries (each is referred to as the “Company”). It is important tothe success of the Code that each team member understands that:· We should help to safeguard the Company’s reputation for integrity in our businessdealings. We are each personally responsible for our own conduct in complying withthis Code as it pertains to our jobs.· We are responsible for promptly reporting known or suspected violations to theindividuals designated for this purpose.· We should seek assistance when we have questions about Buffalo Wild Wings’ Codeor when faced with a challenging ethical situation.· No one has the authority or right to order, direct, request or even influence someoneelse to violate this Code or the law. Thus, no one will be excused for violating thisCode or the law at the direction or request of someone else.· Any attempt by any team member to have someone else violate this Code, whethersuccessful or not, is itself a violation of this Code and may be a violation of the law.· Any retaliation or threat to retaliate against a team member for refusing to violate thisCode or for reporting in good faith a violation or a suspected violation of this Code, isitself a violation of this Code and may be a violation of the law.· Every reported suspected violation of this Code will be investigated and everyviolation will result in disciplinary action up to and including immediate dismissal ofthe team member.Overall StandardBuffalo Wild Wings’ guidelines for business conduct flow from our Mission Statement and Core

Values. These key elements are of the utmost importance for the proper conduct and respect forall individuals.Buffalo Wild Wings depends on the character of its team members. That character is reflected inour leadership values which include attracting and recruiting quality, knowledgeable, honestpeople with leadership skills and a passion for doing their best. We value our guests, co-workersand communities and strive to treat them with respect. We have confidence in each other’scapabilities and intentions.The highest legal, moral and ethical standards of honesty, integrity and fairness are to bedemonstrated in conducting all Buffalo Wild Wings’ business dealings. All team members of theCompany must always act in full compliance with all applicable federal, state and local laws,ordinances, regulations and with this Code. Failure to do so (or to report promptly suspectedviolations of law or this Code) may result in disciplinary action up to and including immediatedismissal.Some business activity is not governed by any law, and some laws and regulations set standardsfar below the expectations of our Company. In these situations, a team member should be ableto answer, “yes” to the following questions before taking action:· Is this action the “right thing to do”?· Would this action withstand public scrutiny?· Will this action uphold Buffalo Wild Wings’ reputation as an ethical company?If the answers are not a definite “yes,” the team member should not do it.If a potential course of action seems questionable, please seek guidance from your supervisor ora Human Resources representative. The Hotline is tobe used primarily for reporting concerns regarding the Company’s financial and accountingpractices and related Code violations.It is against the Company’s policy to retaliate against any employee, officer or director for goodfaith reporting of violation of this Code. If you feel you have been retaliated against for raisingyour good faith reporting, you should immediately contact your supervisor, a Human Resourcesrepresentative or the Compliance Hotline.2. Personal Behavior in the WorkplaceBuffalo Wild Wings is committed to providing a respectful, positive environment and fairtreatment to all team members.The Company strives to provide a safe, healthful and productive work environment. Each teammember has a personal responsibility to other team members and to the Company to helpeliminate actions or circumstances, which undermine the desired environment.All individuals are considered for employment opportunities on the basis of merit, as measuredagainst objective job requirements. Our policy forbids any discrimination, harassment orintimidation because of race, color, religion, gender, age, national origin, citizenship, sexualorientation, disability or any other protected class status under federal, state or local law. Teammembers are encouraged to bring questions or concerns in this area to their supervisor.Additionally, every team member is expected to perform his or her work in a safe manner, free of

Conflicts of InterestAvoid any situation in which your personal interests conflict with Buffalo Wild Wings’interests.Conflicts may arise when a team member or a member of his or her immediate family, receivesimproper personal benefits as a result of the person’s position with the Company. Each teammember owes Buffalo Wild Wings a duty of loyalty. For that reason, all team members mustexercise great care any time their personal interests conflict with the Company’s interests.Team members are able to engage in outside activities of their own free choice. It is important,however, that such activity does not adversely affect the conduct of business, involve misuse ofCompany position or resources, divert for personal gain any business opportunity from whichBuffalo Wild Wings may profit, or constitute a potential source of discredit to the Buffalo WildWings’ name. The following is a non-exclusive list of examples of prohibited conflicts of interest:· Consulting with or employment in any capacity by a competitor or supplier of BuffaloWild Wings (except by non-management store-level team members with supervisorknowledge).· Having a substantial equity, debt, or other financial interest in any competitor,supplier.· Having a financial interest in any transaction involving the purchase or sale by BuffaloWild Wings of any product, material, equipment services or property.· Misusing Buffalo Wild Wings’ confidential proprietary information, including theunauthorized disclosure or use of such information.· Using Company materials, equipment or other assets for any unauthorized orundisclosed purpose.· Receiving loans or guarantees of obligations from the Company without Board ofDirector authorization.The Company policy regarding possible conflicts of interest is based on the principle that a team

member’s business decisions must be made solely in the best interests of Buffalo Wild Wings.To reach that decision, a team member should avoid influence from personal or familyconsiderations, which might affect his or her judgment as to what is in the best interests of theCompany.4. Receipt of Gifts/GratuitiesBuffalo Wild Wings does not offer or accept kickbacks, bribes, or gifts of substantialvalue.Team members may only exchange non-monetary and generally modestly valued gifts thatpromote goodwill with our business partners and do not improperly influence others. We willaccept only approved and widely available discounts.Team members may give or receive courtesies in Company-related business dealings withguests or suppliers provided the following guidelines are met:· They do not violate the law, regulations, and reasonable customs of the market placeor the known policy of either party’s employer.· They are reasonable in cost, amount, quantity and frequency.· They are appropriate as to time and place.· They do not influence or give the appearance of influencing the business judgment ofthe recipient.· They can stand public scrutiny without damaging the Company’s reputation.These courtesies and gratuities include but are not limited to gifts, meals, cocktails, discounts,hospitality, entertainment, recreation, promotional items, transportation and any tangible orintangible “item of value” for which the recipient does not pay fair market value. Keep in mind, if agift feels excessive, then it probably is. Team members may not resell these courtesies for profitat any time.5. Fair Dealing with Competitors, Guests and VendorsBuffalo Wild Wings respects the rights of competitors, guests and vendors.The Company’s success depends on building productive relationships with competitors, guestsand vendors based on integrity, ethical behavior and mutual trust. In addition, these individuals

have needs and expectations, many representing unique opportunities for mutual success.The Company bases its supplier relationships on fundamental concepts of honesty, fairness,mutual respect and nondiscrimination.We will not engage in activities with guests, vendors or competitors that unfairly prevent or limitcompetition, or could appear to do so.6. Intellectual Property and Other AssetsOne of Buffalo Wild Wings’ most important assets is its confidential corporate information.Legal obligations and its competitive position mandate that this information remainconfidential.Confidential information is critical to our competitive advantage. It must not be shared with othersoutside the Company. This confidential information includes sales information, trade secrets,business plans, marketing and sales programs, guest lists, pricing policies, and Companyfinancial information.Every team member is obligated to protect the Company’s confidential information as well as thatof its suppliers and third parties who disclosed information to Buffalo Wild Wings in confidence.Team members may not accept trade secrets or confidential information of a technical orbusiness nature from a third party, unless specifically receiving authorization to do so from his orher immediate supervisor.7. Protection and Use of Company PropertyOur shareholders trust us to manage Company assets appropriately.We will ensure that Company equipment, supplies and other assets are used for legitimatebusiness purposes unless otherwise specifically authorized, and that we protect all tangible andintangible Company property.8. Environmental ComplianceBuffalo Wild Wings will conduct business at all times in compliance with appropriateenvironmental laws and regulations. It is Company policy to operate its facilities in a manner,which does its best to protect the public and the environment.9. Team Member Personal InformationWe will only collect and retain personal information from team members that is required for the

effective operation of the Company or as required by law. We will keep that informationconfidential and release it only to those who have a legitimate need to know.10. Financial RecordsEach team member must help maintain the integrity of Buffalo Wild Wings’ financialrecords.No Code can review the extensive accounting requirements, which the Company must fulfill. TheCompany’s business records are depended on for reliable and accurate reports to management,shareholders, creditors, governmental entities and others. Thus, all official records of the conductof the Company’s business must be accurate, honest and complete, without any restriction orqualification of any kind. This means the accuracy of any records involves both factualdocumentation and ethical evaluation or appraisal.All Company operations must comply with all local and national laws relating to the accurate andcomplete maintenance of Company financial books and records. This includes honest, accuratetip reporting, as the Company provides this information to the Internal Revenue Service. Inparticular, the Company is committed to full, fair, accurate, timely and understandable disclosurein all reports filed with the Securities and Exchange Commission (SEC) and in other publiccommunications, and each team member is required to provide truthful, complete and timelyinformation in support of this commitment.Team members are expected to be honest, objective and loyal in the performance ofrecordkeeping responsibilities. This includes properly recording all sales transactions in all pointof sales systems. Because loyalty includes never knowingly being a part of any illegal or unethicalactivity, there is no excuse for a deliberately false or misleading Company record.While only a few team members maintain actual accounting records, many people help keep theCompany’s records. Whether you conduct and report inventory levels, use business expenseaccounts, or pay vendors for services rendered, accurate documentation is critical. Teammembers may not participate in any misstatement of the Company’s accounts. At the same time,

no circumstances justify the maintenance of “off-the-books” accounts to facilitate questionable orillegal payments. All transactions under which funds are disbursed shall accurately state thepurposes for which these funds are paid and shall not be misleading.11. Securities Trading PoliciesNever trade securities on the basis of confidential information.Insider trading is a serious crime. The offense may occur when, for example, a person tradesstock while in possession of material, non-public information about the company involved.Material information is any information that an investor would reasonably consider important inmaking investment decisions. Examples include knowledge of acquisitions or divestitures, newproduct launches or financial information. Information is “non-public” if it has not been released toand absorbed by the investing public. An individual convicted of insider trading may face criminalpenalties.To ensure fairness and integrity in financial markets and to avoid insider-trading penalties, we donot trade in Buffalo Wild Wings securities or those of any company on the basis of material, nonpublicinformation. In addition, non-public inside-information about Buffalo Wild Wings must notbe communicated without a legitimate business reason and proper leadership authorization.Insider trading law is complicated and far from clear. A team member who is unsure how the lawapplies in a given instance should ask before he or she trades. All questions should be referredto the Buffalo Wild Wings’ Senior Vice President, General Counsel.12. Contact with Government OfficialsBuffalo Wild Wings will comply with all applicable laws, rules and regulations relating tolobbying or attempting to influence government officials.Information provided to governments must be accurate and interactions with government officersmust be honest and ethical. All activities that might constitute lobbying or attempts to influencegovernment officials must be reviewed first with the Company’s legal counsel.If your job involves business with foreign, national, state or local government, you must know the

rules applicable to your job. If you are in doubt, do not make the mistake of interpreting rules byyourself. Discuss the matter with your supervisor or other management of the Company.13. Political ContributionsGenerally Company funds or resources may not be used to make a political contribution toany political candidate or political party anywhere in the world.Exceptions to the basic policy are allowed only where such contributions are permitted by law andpermission granted in advance by the Company’s Chief Executive Officer. Company policies donot permit the use of any Company facilities or resources by team members for politicalcampaigning, political fundraising or partisan political purposes. A decision by a team member tocontribute any personal time, money or other resources to a political campaign or political activitymust be totally voluntary.14. International BusinessTeam members of Buffalo Wild Wings abide by special laws and regulations, which applyto the import and export of products and technical data, as well as the conduct ofbusiness with non-U.S. entities.We also comply with anti-boycott and international embargo regulations in all locations whereBuffalo Wild Wings does business. The U.S. Foreign Corrupt Practices Act prohibits payments,gifts or contributions to officials or team members of any foreign government or governmentownedbusiness for the purpose of getting or retaining business. In addition, the U.S. ForeignCorrupt Practices Act requires Buffalo Wild Wings to maintain accurate and complete financialbooks and records.15. Public Disclosure of Code and Related MattersThe existence and content of this Code of Conduct will be disclosed to shareholders and will beavailable on the Company’s website. Any waiver of any of the provisions of the Code forexecutive officers or directors may be made only by the Board of Directors, with only theindependent members voting, or a Board committee consisting of independent directors, andsuch waiver must be promptly disclosed to shareholders and the public as required by law.

Coordination with Other Company PoliciesThe provisions of this Code of Conduct are in addition to, and do not modify, replace or supersede,Company’s other policies or procedures including, but not limited to, those policies and proceduresset forth in the Company’s Employee Handbook and the Company’s other statements of policy orprocedure, whether written or oral.Additionally, this Code of Conduct is not intended to be and does not constitute a contract ofemployment between the Company and its employees. If you are an employee and do not have anEmployment Agreement with the Company, you are an employee at-will. This means that you havethe option of resigning from your employment at any time, for any reason or no reason, with orwithout prior notice. Conversely, the Company has same option to terminate your employment atany time, for any reason or no reason, with or without prior notice.ConclusionA central purpose of this Code is to serve as an ongoing reminder of Buffalo Wild Wings policy ofconducting its business in a right and proper manner. Implementation Plan

The first step of implementation is to create a binding legal document protecting all individuals involved with The Wing Team LLC. All liquid funds pertaining to the Wing Team will need to be pulled together and placed in an account under said name with all members agreeing on financial institution. Secure additional funding through business loans and work with local officials on tax breaks for the creation of jobs. Schedule a meeting with the realtor, city of Newark and architect to go over terms, zoning restrictions, planning, securing liquor license and create a time line for projects to be completed. Once time line is done then the Wing Team can project and schedule a Grand Opening event. The next steps would be to start taking applications for the crew with the initial hiring of the management team. This way they can help in the hiring process as well as feeling invested in the business. Three months from opening day send management team to be trained. Two months out start setting up and organizing restaurant. Use Buffalo Wild Wings promotion tools and start advertising campaign for opening day. One month out secure team and start training crew on work procedures and guidelines. Continue marketing campaign. Two weeks from opening test all equipment to make sure everything works and do practice runs of service. One week out receive and put away inventory. Setup kitchen do a practice run with employees families to work out any issues. Create work schedule for opening day and the first week. Opening day – gather team together and go over our mission “Our mission is to WOW people every day!”

Conclusion The Wing Team has a proven track record of success. All 5 entrepreneurs have business management experience while 3 have previous owner/operator experience running their own businesses. They have met or exceeded any and all projects they have encountered. The Wing Team LLC believes that this venture will be a profitable one not only to the group, but to the community as well. With the initial costs of franchising, construction and startup costs coupled with the sales figures the Wing Team have projected. The Wing Team should be clear of any and all major debts incurred with this venture in less than 8 years.
