NOTICE OF 46TH ANNUAL GENERAL MEETING AND INFORMATION ON E-VOTING

Notice is hereby given that the 46th Annual General Meeting ("AGM") of TIL Limited (‘the Company’)is scheduled to be held on Friday, 10th September, 2021 at 10:00 a.m. through

Video Conferencing ("VC") or Other Audio Visual Means ("OAVM’") to transact the businesses set out in the Notice of the AGM dated 3ist May, 2021, in conformity with the applicable provisions

of the Gompanies Act, 2013 (*the Act”) and the Rules framed thereunder read with the Circulars issued by the Ministry of Corporate Affairs (MCA) and the Securities and Exchange Board of India (SEB!) in view of the ongoing nationwide pandemic, Accordingly, the Notice convening the AGM along with the Annual Report for the financial year 2020-21 has been sent only through

e-mails on Tuesday, 17th August, 2021 to those Shareholders whose e-mail addresses are

registered with the Company or the Registrar and Share Transfer Agent (‘the RTA’) i.e., Messrs,

¢ B Management Services (P) Ltd. or the Depositary Participants and holding equity shares of the Company as on 13th August, 2021,

The Notice and the Annual Report are also available on the website of the Company viz.,

www.bseindia.com and on the website of National Securities Depositary Limited (“NSDL) viz.,

www.evoting.nsdl.com.

In terms of Section 108 of the Act read with Rule 20 of the Companies (Management and Administration) Rules, 2074, the Resolutions for consideration at the 46th AGM will be transacted through remote e-voting (i.e., facility to cast vote prior fo AGM) and also through e-voting during

AGM, for which the services of National Securities Depository Limited ("NSDL") have been engaged by the Company.

Only those Members whose names are recorded in the Register of Members or in the Register of Beneficial Owners maintained by the Depositories as on the cut-off date i.e, Friday, 3rd September, 2021 will be entitled to cast their votes by remote e-voting or e-voting during the

AGM. Those who are not Members on the cut-off date should accordingly treat the AGM Notice as for information purposes only.

Remote e-voting will commence on Tuesday, 7th September, 2021 at 9.00 a.m. and will end on Thursday, 8th September, 2027 at 5.00 p.m., after which remote e-voting will be blocked by NSOL.

Members participating in the AGM through VC/OAVM and who have not cast their voles by

remote é-voting, shall be eligible to exercise their voting rights during the proceedings of the

AGM.

Members who have exercised their voting rights through remote 6-voting shall also be eligible to participate in the AGM through VC/OAVM but shall not be entitled to cast their votes again during the proceedings of the AGM.

Any person, who acquires equity shares of the Company and becomes a Shareholder after

dispatch of the Notice of the AGM and holds shares as on the cut-off date, ie., Friday, 3rd

September, 2021 may obtain the login ID and password by sending a request to evoting@nsdl.co.in,

Sharehoiders who are already registered with NSDL for remote e-voting can use their existing User ID and password for e-voting.
