Dear Fellow NAFD Members,

I hope Summer is going well for all of you. I want to thank Mark and Judi Munroe

for a fantastic Convention in Santa Barbara. I hope everyone enjoyed themselves

as much as I did! I still laugh at the sight of two of our “distinguished” board

members and their ideas of what to do with a fake mustache... One upside down,

and another as a unibrow. Well played, gentlemen.

Now on to more serious matters. Our 100th Anniversary is rapidly approaching. I

am certain the Munroe’s have something special planned for all of us in Grand

Cayman.

Please let our Board know if there are any prospective members you would like us

to contact.

Please mark your calendars for the NAFD’s 100th Anniversary Convention, May

BOARD MEETING

WELCOME Chairman of the Board, Theodore Heim Jr., convened the meeting at 9:00 AM and welcomed and

thanked the board members for their attendance. A moment of silence preceded the beginning of

the meeting in memory of Mr. Ernest (Ernie) Brehm Jr.

ROLL CALL – Secretary/Treasurer – Ashley Koerner-Turner The roll call was taken, and a quorum is present.

MINUTES - Secretary/Treasurer – Ashley Koerner-Turner The minutes from the October 2017, Interim Board Meeting were presented. Mr. Tardella made

a motion to dispense with the reading of the minutes and accept them as submitted. Mr. Munroe

seconded the motion which passed unanimously.

TREASURER’S REPORT - Secretary/Treasurer – Ashley Koerner-Turner The Treasurer’s report as of April 22, 2018, Balance Sheet ($333,792) and P&L ($169,373), both

pre-convention final expense payment. Based upon projected remaining convention expenses the

Convention P & L should be close to breakeven. The fiscal year end July 31, 2017 (P&L =

($16,666); (Balance Sheet = $164,420), reports can be found in the December 2017 Flour

Distributor and current financial data can be found by the officers and directors in NAFD Google

Docs. The A/R Aging Summary reflects expected convention & membership receipts of an

additional $3,000. A summary of the expenses by vendor was presented. The fiscal year ended

July 31, 2017, tax report was completed and filed. Mr. Burns made a motion to accept the reports

as submitted; Mr. Munroe seconded the motion and it passed unanimously.

EXECUTIVE SECRETARY REPORT – Executive Secretary – Timothy Dove All “Board Reports” are posted on NAFD Google Sites. Statistical reports on past membership,

convention attendance and attrition, convention contract costs and concessions, and convention

registration fees and contributions were presented. Although membership increased, convention

attendance decreased. Contracted rooms nights were 521 and the last pickup list reflected 454.

Our minimum room night guarantee is 443. (Final Room nights were 447, the lowest since 2010.)

There were 47 members who attended last year’s convention that did not attend this year’s

convention and 9 members who did not attend last year that attended this year. New companies

to the organization include BakeMark LLC., ImperialDade, Rudolph, US Flour Inc., Sparta Bakery

Supplies Inc., Italgrani USA & PNF & Associates Inc. Companies lost include Firebird Artisan

Mills, Acosta Marketing & Sales, Chris's Cookies, Santini Foods Inc., Sesotle, Inc., W.B.

UNFINISHED BUSINESS

PRESIDENT’S REPORT – President – Steve Tardella Data relating to historical convention costs, member dues, convention registration fees, and allied

& miller contributions was presented. King Arthur Flour (5) elected to hold a meeting in

conjunction with the convention and was provided free meeting space with free continental.

Due to the high number of members who reserved rooms and then cancelled (64 room nights), it

may be important that we provide an incentive to make the correlation between Convention

Registration and Room Reservation more relevant. Room reservations and registrations are

utilized to budget for the convention including providing guarantees to the resort. There are

provisions for registration cancelation with a graduated refund policy. This should be placed on

the Interim Board Meeting agenda with a potential of increasing the differential between Early

Registration, Registration and Late Registration. Consideration should be given to new members

joining the NAFD

the world. All rooms have ocean view. Great off-site dinner options. Safest Caribbean

Island. 600 domiciled banks and world-renowned chefs & cuisine. Passports required. 10

minutes from airport. Public transportation & cabs.

Room rate $299; $30 Resort Fee; 10% service charge & 13% Tax (subject to change) per

night (includes bellman, porterage & housekeeping). 20% (15%/60 – 5%/30) total attrition

allowance. F&B -minimum $35,000 (no tax), 10% discount on 2018 menu prices, service

charge 16%, 2.0 oz. pour. Golf TBD.

2020/2021 Conventions - 2nd Vice President – Nicholas DePalma

Hilton Head, SC: Properties visited: Omni Hilton Head. Sonesta Hilton Head, Marriott

Hilton Head, Westin Hilton Head – all beach front. Fly into Savannah/Hilton Head Airport

(50 minutes). Much more laid-back area. Beach chairs managed and rented by city and

cannot be charged to room. Abundance of high quality golf courses. Mr. DePalma’s

recommendation is Omni Hilton Head for 2020. Omni has 3 pools and will designate one

for NAFD, great attention to detail and excellent service, small lobby.

Amelia Island, FL: Properties visited: Ritz-Carlton Amelia Island, Omni Amelia Island –

both beach front. Fly into Jacksonville, FL. Ritz-Carlton Amelia Island is a past

convention site and eager to get us back. Beautiful resort and tremendous service. Mr.

DePalma recommendation is to contract Ritz-Carlton Amelia Island for 2021.

Mr. Burns made a motion for Mr. DePalma to enter into final contract negotiations with

his recommendations of the Omni Hilton Head Resort, South Carolina, for the NAFD 2020

convention and The Ritz-Carlton Amelia Island, Florida, for the NAFD 2021 convention

which will be subject to review and approval by the Site Committee. Seconded by Mrs.

Koerner-Turner. Motion passed.

2019 Interim Board Meeting – Ashley Koerner-Turner

Easy access for this one-day meeting. Suggestions: Nashville, Chicago, Washington D.C.,

Orlando. Place on October agenda.

100th ANNIVERSARY COMMITTEE – Mark Munroe, 1st Vice President

Windbreakers with embroidered logo will be a commemorative item. Place jacket size on

application form. Mr. Munroe presented a beach bag as an additional item. The maximum budget

is $25,000. Requests could be made for all member companies, including distributors, to

contribute toward this commemorative. This should be placed on the registration form.

MEMBERSHIP & PUBLICITY COMMITTEE REPORT – 2nd Vice President –

Nicholas DePalma

Membership increased by 4 to 193 members, the highest membership since 2003. 31 new

members joined in 2017-2018 and 22 are attending the convention; 8 new companies added

memberships; 5 distributors, 2 Allied/Suppliers and 1 Miller. 27 members from last year failed to

renew membership, most due to retirement, job status or other company changes. The goal of

“200 for the 100th” is within reach and all directors and membership committee members were

asked to make a concerted effort to contact potential new members. Please make every effort to

meet all new members and invite them to join your table at the dinner events, particularly at the

Gala event.

All applications for membership should be reviewed by the Membership Committee via a

conference call prior to the slate of candidates being presented to the board for the final vote. The

Committee should decide if each candidate meets the guidelines for membership based upon our

By-Laws and Board Manual. Any applicant that does not meet membership qualifications should

be notified directly by the Membership Committee Chairman.

2017 – 2018 NEW MEMBERS

Marketing

Previously agreed to produce a video for recruiting new members with an initial budget of

$3,500. Mr. Munroe contracted a photographer for $1,500 to take photos at the 2018

convention which are to be incorporated into the recruitment video. Need to incorporate

testimonials. Relatively easy to have various members video a testimonial which includes

a background of their business that can be submitted. Encourage new members to

participate. Tweeter, Facebook etc. should be utilized as a marketing tool also.

Kiplinger Report

Kiplinger initially tried to double the renewal, however, upon being told that this would

not be acceptable to the board of directors, they offered our renewal at the same rate as the

last contract which is $5,000 for a two-year period, half invoiced each year. Mr. Traynor

made a motion to renew the Kiplinger Agreement, seconded by Mrs. Koerner-Turner and

passed unanimously.

IN MEMORIAM

Two members passed away since last convention, Mr. Ernest Brehm Jr. and Mr. John Christman.

MILLER REPORT – Miller Representative – Karen Horton

Food safety, compliance, whole grains, clean labels, organics, GMO, and continued consolidations

are continuing issues. Weather has been an issue and protein levels may be affected. Soybean &

Corn plantings are behind schedule but if weather issues subside, can be caught up.

All 11 Miller Companies were represented at the convention. Of the 30 Miller members, 24,

attended the convention. Nine (9) Millers, Ardent Mills, Bay State Milling, ADM Milling, King

Arthur Flour, North Dakota Mills, General Mills, Miller Milling, Grain Craft and Panhandle

Milling committed to contributions for the 2018 convention.

Karen Horton was re-elected by her Miller constituents to serve another 3-year term as Miller

Representative to the NAFD Board.

ALLIED REPORT – Allied Representative – John Johansen

Transportation costs, politics, tariffs, GMO, food safety, less bakery foot traffic due to increasing

numbers working from home are continuing issues. Consolidations continue within this group

with few new companies entering the market. Reviewed the history of Allied sponsorship.

Contributions are invoiced in January, but are voluntary. 30 of the 50 Allied companies became

sponsors.

Of the 50 Allied companies which have 83 members, 27 companies sent a total of 41

representatives to the convention.

Sponsor contributions make possible the Wednesday & Thursday evening cocktail events and the

beverages at golf, volleyball, and other beach activities. Hospitality events may also be included.

Sponsors are recognized through signage at each function & event and in the four NAFD

publications, The Membership Directory & The Flour Distributor, sent to members semi-annually.

Sponsor convention attendees have a ribbon “Corporate Sponsor” attached to their name badge to

further enhance recognition.

CONSTITUTION/BY-LAWS COMMITTEE – Robert Olender

Mr. Olender distributed a copy of the current By-Laws with proposed revisions that will make it

more current and relevant. Directors will review, provide suggestions and discuss at the October

Board meeting. The Board Manual will be updated to make it concurrent to our practices and

consistent with any revisions adopted.

Proposed to establish a 2nd Century Committee to plan for the changes necessary for successful

continuation and sustainability of the NAFD. Potentially review membership criteria, corporate

memberships, fund raising, scholarships, education, marketing, budgeting, technology, convention

agenda and structure, and other areas for growth and industry benefit. Additionally, the structure

of administration that may be necessary upon the retirement of the current Executive-Secretary.

Decentralization to directors and committees may be required that will demand more active

involvement.

TECHNOLOGY COMMITTEE - Ashley Koerner-Turner

Sterling & Pay Trace are our service contractors. There is a processing fee on each transaction of

approximately 3% depending upon the credit card utilized. There is also a $10 monthly fee and a

nominal transaction fee by the host. When a member wishes to pay via credit card, an email is

initiated by NAFD to that member (including a 3% service fee) and the member utilizes the link

to make payment. The NAFD does not see or receive the member credit card information.

Sterling has asked for the NAFD to become affiliated with their services by offering Sterling

Services to it’s members. Mrs. Koerner-Turner indicates that it has saved her company a lot of

money after she replaced her previous provider. This should be added to the proposed 2nd Century

Committee agenda under Marketing, Value Added Services (NAW & Kiplinger), & income

creation.

FINANCIAL & AUDITING COMMITTEE – Eric Metzendorf

The financial information presented and reported was audited and is in order. Information is

available to board members in NAFD Google Docs and to the Financial & Audit Committee in

Quick Books. Secretary Treasurer Koerner-Turner presented the cash for gratuities (approx. 1.5%

of F&B) to Convention Chairman Mr. Munroe. These gratuities are given to banquet captains, the

CSM and other hotel employees who provide exceptional service during the convention.

NAW COMMITTEE – Eric Metzendorf

Dues ($1960) were paid in April. IFDA was approached regarding NAFD membership, however,

they do not offer association affiliated memberships.

OTHER UNFINISHED BUSINESS

NEW BUSINESS

DUES 2018/2019 – Chairperson – Theodore Heim Jr.

A motion to increase dues by $25 to $350 was made by Mr. DePalma. Mrs. Koerner-Turner

seconded the motion. Dues are needed to cover the general expenses of the corporation.

Registration fees and corporate sponsors cover convention costs. Motion passed unanimously.

2018 CONVENTION REPORT – 1st Vice President/Convention Chairperson – Mark

Munroe

The convention P & L is estimated to be breakeven pending finalization of sponsors,

cancellations/refunds, beverage consumption, and unexpected expenditures. The Ritz Carlton

Santa Barbara is a beautiful resort with many amenities and local activities, but the cost structure

is higher than most past convention sites. Due to lower than anticipated attendance/revenue, the

Hospitality Nights and the Spouse Breakfast were eliminated, and numerous other items had to be

trimmed. It was very difficult to budget as there were numerous reservations and eventual

cancellations. This is the third time that a California destination resulted in lower than normal

attendance. The Convention Agenda was reviewed including costs, activities, and speakers. Mr.

Lentz made a motion to establish the guest fees for each evening dinner event at $175 for

children/young adults under drinking age and $250 for adults. Seconded by Mr. Burns and

approved unanimously.

Chairman Heim Jr. thanked Mark & Judi Munroe for their extraordinary efforts on hosting the

2018 NAFD convention.

Mr. DePalma made a motion to approve the 12 new members who submitted applications (See

Mark Munroe – 1st Vice President & Convention Chairman

Call to Order: First Vice President and Convention Chairman Mark Munroe called the 99th

annual convention of the National Association of Flour Distributors to order by having all stand to

pledge allegiance to our flag and to recognize the flags of members from Canada, Dominican

Republic, Mexico and Jamaica.

Theordore (Ted) Heim Jr. - Chairman

Welcome & Introductions from the Chairman: Chairman Heim Jr. was introduced and

welcomed all. After reviewing the Purpose of the NAFD and discussing our Mission both of which

appear in our annual directory, he discussed the benefits derived from membership in the NAFD

and attendance at the annual convention. He emphasized that the vitality of the organization is its

membership and it is important that each member encourage other industry leaders to join the

NAFD and attend the conventon. He also cited that it is incumbent on our association and members

to adhere to all laws and legal restrictions and presented Anti-Trust information.

The chairman noted that members and guests must be over 21 years of age to order, request or

drink alcoholic beverages at any NAFD sponsored event. Name tags are only issued to those of

legal drinking age and must be worn to be served alcoholic beverages.

The chairman then introduced the current officers and board members.

Treasurer’s Report: Secretary-Treasurer Koerner-Turner presented the Treasurer’s report for

the fiscal year end July 31, 2017, (see December 2017, The Flour Distributor), and fiscal year to

date as of April 22, 2018. The Balance sheet which does not reflect the pending convention

expenses, shows cash on hand of $322,687. The P&L shows income of $265,975 and expenses of

$174,933, however, most of convention expenses have not been invoiced or paid. The convention

P&L is estimated to breakeven after all receipts and expenses.

Nicholas DePalma – 2nd Vice President

In Memoriam: 2nd Vice President Mr. DePalma asked for a moment of silence in memory:

Ernest (Ernie) Brehm Jr.

Ernie was born in Yonkers, NY to Ernest and Agnes Brehm. He lived most of his life in

Westchester County, NY. Ernie graduated from St. Olaf College in Minnesota. He was an Officer

in the Navy for 3 years as a Lieutenant JG. Following his service in the Navy, he entered Otto

Brehm Inc., the family wholesale bakery supply business as third generation and long-time

Executive President.

Ernie’s hobbies in life were his love of flying and becoming a pilot with 4 aviation ratings. He

loved golf and was an active member at Whippoorwill Club in Armonk, NY and Pelican Marsh

Golf Club in Naples, FL. He also loved to work out and went religiously to the gym for over 25

years. His favorite thing in life was spending time with his family and friends.

He was the longest serving NAFD Board member, serving 44 consecutive years, holding positions

of Chairman of the Board, President, Vice President Secretary/Treasurer and Director. He was

bestowed NAFD Honorary Membership and awarded its highest award, the William P.

Tanner/Harold G. Gardner Award.

John Christman

Living in NJ for most of his life he was a successful business man serving as President of Cleary Corporation in

Somerset NJ and manager of Tara Greens Golf Course. He was also a member of the Army reserve. Prior to his career

at Cleary Corporation, he worked in Human Resources for Stax/Surprise Store Corporation. John was a loving, gentle

man who had a great appreciation of history, art and enjoyed creating an artistic and welcoming home for himself and

his family.

David Houle is a futurist, thinker, and speaker. Houle’s career spans more than 20 years in the media

and entertainment industry. He has worked at NBC, CBS and was part of the senior executive team

that created and launched MTV, VH1, Nickelodeon and CNN Headline News.

Houle has won many awards for his work. He won two Emmys, the prestigious George Foster

Peabody award and the Heartland award for “Hank Aaron: Chasing the Dream”. He has also been

nominated for an Academy Award.

On the speaking circuit and major search engines, Houle is consistently ranked as one of the top

futurists and futurist keynote speakers. Over the past two years he has delivered keynotes on six

continents and ten countries. He is often called “the CEOs’ Futurist” as a result of having spoken to

or advised 2,000+ CEOs and business owners in the past four years.

In February 2010 he also became a featured contributor to Oprah.com and his column can be found

at www.oprah.com/davidhoule.

His first book, the influential and highly acclaimed “The Shift Age” was published in 2008. The

following book, “Shift Ed: A Call to Action for Transforming K-12 Education” was published in

Paul Meyers – Saturday Speaker

Mr. Meyer’s is responsible for commodity research and analysis and client

servicing. Areas of emphasis include wheat, corn, soybean complex, sugar, corn

sweeteners and cocoa. Previously, Paul was a Grains Analyst for the World

Agricultural Outlook Board of the U.S.D.A. responsible for official USDA supply-

demand and price forecasts for wheat, feed grains and rice, and an Agricultural

Economist with the Agricultural Stabilization and Conservation Service where he

provided analysis and cost estimates for various farm programs. Mr. Meyers

received B.S & M.S. from the University of Minnesota and has been one of the

NAFD preferred speakers providing his insights on the markets during many of our

conventions.

Robb Mackie – Saturday Speaker

Robb MacKie serves as President and CEO of the American Bakers Association (ABA). He previously served for 11 years as Vice President of Government Relations. The ABA is a trade association representing the interests of the $102 billion wholesale baking industry in Washington, D.C. Mr. MacKie oversees all aspects of the administration and operations of ABA and serves as the baking industry’s chief advocate and spokesperson.

Mr. MacKie has appeared on CNBC’s Closing Bell and Power Lunch, on Fox Business News, on CNN’s The Glenn Beck Show; and on numerous local news programs in Washington, D.C. and in Baltimore. He has also been interviewed by Radio Hall of Fame broadcaster Orin Samuelson for This Week in Agri-Business. Mr. MacKie is recognized as a leader in the Washington business community. He previously served on the steering committees of several issue-oriented coalitions

He also worked for the American Subcontractors Association and the Associated General Contractors representing the construction industry’s interests before the Congress.

Mr. MacKie provides strategic guidance as a member of the Kansas State University Grain Sciences Program Advisory Committee. In addition, he serves on the Board of Directors of BIPAC’s Prosperity Fund and the US Chamber of Commerce’s prestigious Committee of 100.

From 2004 to 2008, Mr. Mackie served on the Judicial Nominating Commission for Howard County, Maryland by appointment of Maryland Governor Robert Ehrlich. The term was one of the most active in recent history with 4 judicial vacancies to fill. He remains very involved in local community and political activities.

Mr. MacKie is a graduate of Frostburg State University with a degree in Political Science. He and his wife Barbara have two children.

Mr. Tardella emphasized the importance of completing the convention survey which will come

via e-mail with a link to Survey Monkey as member input is highly used by the Board for planning

future conventions.

Mr. Munroe informed those present that the 100th Anniversary Convention will be a special

event and encouraged all to help promote attendance by current members, future new members

and former members. Please review your Passport to make sure it will be valid during travel to

Cayman Islands. Register, make room resesrvations and travel arrangements early.

Southeast USA is being considered for 2020 convention. Hilton Head, SC, and Amelia Island,

Florida.
