NOTICE OF OFFER TO CONVEY REAL PROPERTY AND IMPROVEMENTSBY THE LAWRENCEBURG REDEVELOPMENT MISSION

The Lawrenceburg Redevelopment Commission (“Commission”) will open and consider written offers for the purchase of the real property described below at 4:30

p.m. (local time) on May 29, 2012, in the Council Chambers, 230 Walnut Street, Lawrenceburg, Indiana, 47025. At that time the Commission will open and consider

any offers received. The offers may consist of consideration in the form of cash, other property, or a combination of cash and other property as long as the offer

meets the conditions set forth below. With respect to property other than cash, the offer must be accompanied by evidence of the property’s fair market value that is

satisfactory to the Commission in its sole discretion.The Commission is offering for sale approximately 3.036 acres of real estate together with any and all improvements on the real estate, including an approximate 180 room hotel, res-taurant and event center, generally bordered by Vine Street, High Street and Walnut Street in downtown Lawrenceburg, Indiana (“Property”).The Property is being offered subject to the following terms and conditions:Offering price: Not less than $30,150,000, the average of the two independent appraisals of the fair market value of the Property.Use: The successful bidder must agree, and demonstrate the ability to, operate the Property as a hotel, full-service restaurant/bar and event center in accordance with the terms and conditions set forth below.

Terms and Conditions: 1. On the date the bid is awarded, the successful bidder must pay for $1,000,000 of de-sign development expenses incurred by the Commission;2. The successful bidder must provide the Commission with a Promissory Note in favor of the Commission in the amount of $14,000,000 at an interest rate of 4.0% payable annually for a term of 20 years, secured by a mortgage in favor of the Commission, as well as an unconditional guaranty of the ultimate parent entity of the successful bidder;3. The successful bidder must enter into an environmental indemnity agreement in favor of the Commission;4. The successful bidder must enter into an operating covenants agreement with the Commission, which operating covenants agreement shall include requirements for: (i) the filing of quarterly internal and audited reports with the Commission; (ii) a minimum operating period; (iii) a Commission right of first refusal for any sale of the Property; (iv) a payment of 50% of sale proceeds to the Commission in the event the Property is sold to a 3rd party; and (v) an unconditional guaranty of the operating covenants by the ultimate parent entity of the successful bidder; 5. The successful bidder must be an affiliate of, or have a binding contract requiring use of the Property by, the owner of an Indiana licensed casino operating within 75 miles of the Property; and6. The successful bidder must enter into a project agreement with the Commission and obtain approval of the project agreement and any binding contract with the entity set forth in Section 5 above by the Indiana Gaming Commission.

Maps and plats showing the size and location of the offered Property and the Offering Sheet, are available for inspection at the office of the Redevelopment Director, City Hall, 230 Walnut Street, Lawrenceburg, Indiana 47025, during normal business hours.All offers received shall be opened at a public meeting of the Commission and shall be kept open for public inspection. Each offer submitted by a trust (as defined in IC 30-4-1-1(a)) must identify each beneficiary of the trust and settlor empowered to revoke or modify the trust.The Commission may reject any bids and may make awards to the highest and best bidder. In determining the best bid, the Commission shall take into consideration the following factors:

1. The size and character of the improvements proposed to be made by the bidder on the offered Property.2. The bidder’s plans and ability to improve and operate the Property with rea-sonable promptness.3. Whether the Property when improved will be sold or rented. 4. The bidder’s proposed sale or rental prices, if any.5. The bidder’s compliance with the requirements for offers submitted by a trust, as stated above.6. Any factors that will assure the Commission that the conveyance of the Proper-ty, if made, will further the execution of the economic development plan (“Plan”) for the Downtown Entertainment District Economic Development Area and best serve the interest of the community from the standpoint of both human and eco-nomic welfare.

The Commission may contract with a bidder with respect to the terms, conditions and fac-tors listed above and the contract may provide for the deposit of surety bonds, the making of good faith deposits, liquidated damages, the right of repurchase, or other rights and remedies if the bidder fails to comply with the contract.After the opening and consideration of the written offers filed in response to the notice, the Commission may dispose of all or the remainder of the available Property either at public sale or by private negotiation carried on by the Commission, its regular employees, or real estate experts employed for that purpose. For a period of 30 days after the opening of the written offers, no sale may be made at a price less than that shown on the Offering Sheet. This program is funded by Title I of the Housing and Community Development Act of 1974, as amended. These funds are to be used for economic development, public facilities, and housing developments. The purpose of this application shall be for Owner Occupied Rehabilitation to allow Weatherization to be completed.

SIEOC will hold a public hearing on 5/30/12, at 10:00 a.m., at SIEOC, 110 Importing Street, Aurora, Indiana 47001, to provide citizens an opportunity to express their views on community development and housing needs, past community development and hous-ing activities, and the proposed Owner Occupied Rehabilitation development. In 2011, SIEOC received Community Development Block Grant funds for the following activities: Owner Occupied Rehabilitation to allow Weatherization to be completed.

Records regarding the accounting of these beneficiaries and funds are available from Car-ol Parcell, 110 Importing Street, Aurora, Indiana 47001. Interested citizens are invited to provide comments regarding these issues either at the public hearing or by prior written statement. A plan to minimize displacement and provide assistance to those displaced has been prepared and is available to the public. The application will be available for review and comment on 5/21/12.
