UMW offers non exclusive right to Business Associate for using its logo and names as per agreement for its properties viz. ‘Nukkad Entertainment’ and ‘UMW Cinemas’

Product training and technical knowledge of UMW technology.

Provision of detailed manual with details of operational systems and procedures.

Training of staff with regards to day to day operations of Cinemas.

Carrying out Quarterly Operational Excellence audits for the operational properties.

UMW will offer branding support.

UMW offerings

UMW will get non exclusive tie up done with regional booker or distributor and Business Associate for getting the film bookings and programming carried out.

Regional booker / distributor will get the publicity material arranged in his or representative’s office.

Film Content from producer’s office will be procured by UMW and delivered till the BA’s theatre.

UMW Fit out work

Standard concept drawings for fit out will be provided by UMW. Fit out of theatre will be carried out in stipulated time frame of

60 to 90 days depending on the site and location. Points included in UMW fit out are procurement and fixing of:1. Chairs.2. Carpet.3. Air conditioners.4. Projection and sound system.5. Theatre acoustics.6. Popcorn machine, tea /coffee machine and refrigerator for

Cold drinks.7. Painting of internal walls of cinema.8. Display boards and branding elements in cinema.

UMW Fit out work

Manufacturer’s Warrantee for the products will be limited to 1 year from the date of procurement. Product wear and tear will not be covered under the same.

Vendor / manufacturers details will be provided by UMW to the BA for getting the needful done.

Business Associate duties

Business Associate needs to co-ordinate with the regional booker or distributor proposed by UMW for getting the film bookings and programming carried out.

Needs to pay and settle the dues directly towards the film booking and revenue shares.

Publicity material for films should be collected by his representative from concerned Regional booker or distributor proposed by UMW.

Payment of sign up fees and fit out cost to UMW. Payment of per show UMW Service and royalty

charges.

Requirements from BA

Business Associate is required to maintain the property hygiene and cleanliness at all times.

Need to follow the routine standards and procedures.

Need to follow Operational Excellence audits for the operational properties.

Books of accounts, registers and records should be maintained.

Should comply with all employee hiring and training requirements as specified by UMW.

Pre requisite provision for fit out work

For Project Nukkad : Hall with Minimum 1600 sq.ft. carpet area out of which minimum 1100 sq.ft. area should be free from pillars or obstruction. Height should be minimum 14 ft.

For Project UMW Cinemas : Hall with Minimum 1800 sq.ft. carpet area out of which minimum 1200 sq.ft. area should be free from pillars or obstruction. Height should be 18 ft.

Provision of utilities such as drainage system, water connection, 3-phase electric supply, electrical room, generator back up, water storage and other basic amenities.

Provision of parking area for customers vehicles. Provision of space for AC out door units.

BA Scope of Work

All Civil & Electrical work as per UMW specification. Providing riser steps with kadappa finish for chair

installation. Space for V-Sat Antenna at Terrace Level All Internal Brickwork for hall, Canteen, Toilets for

gents and ladies separately. Plastering of all internal and external walls/ceiling. Plumbing Work including Sewage connection for

Toilets. Steps/ ramp at cinema entrance.

Business Associate responsibilities Procurement of all necessary licenses,

approvals and permissions. Getting the drawings sanctioned from

the authorities. Co-ordinating with all Civic and

Government authorities. Day to day operations of the theatre as

per set standards.

Average UMW fit out cost for 120 seater Nukkad theatre is about Rs. 20 lacs * per screen.

Preferred projector is of 2800 lumax.

Partial carpet work is preferred in Audi area.

Regular comfortable seats with push back system are provided.

Tier width planned is 3 ft.

Average UMW fit out cost for 120 seater UMW Cinemas is about Rs. 30 lacs * per screen.

Preferred projector is of 4000 lumax.

Full carpet work is preferred in Audi area. However, partial carpet can be considered.

Plush seats with push back system and cup holder are provided.

Tier width planned is 3.3 ft.

Nukkad UMW Cinemas

Nukkad & UMW Cinemas Comparatives

Nukkad theatre is proposed for Tehsil or Taluka level especially in Commercial complex.

Ticket pricing is planned at around Rs. 40 to 50

Target audience : Middle class, college students and families.

UMW Cinemas with two screens are proposed for towns especially in malls.

Ticket pricing is planned at around Rs. 60 to 90

Target audience : Middle & higher middle class, families.

Nukkad UMW Cinemas

Notes

* UMW fit out cost may vary from location to location and time to time.

Taxes would be at actual and needs to be borne by Business Associate.

Costs mentioned at the time of sign up will be valid for a period of 3 months.

UMW per show Service and Royalty Charges needs to be cleared by Business Associate on fortnightly basis.

It is expected that all the civil work including but not limited to internal Brickwork for hall, Toilets for gents and ladies separately, steps with kadappa finish for chair installation, plastering of all walls/ceiling is completed and handed over to UMW for fit out by Business Associate.

Business Associate will be fully responsible for day to day operations, timely payments to vendors, confirming and paying the advances towards film bookings and settlement of film revenue share to distributors.

Sign up process

MOU & AgreementOn receipt of sign up fees MOU to be signed between BA & UMW and further proceedings

On completing the documentation formalities, formal agreement to be executed.

UMW team site visit

UMW team to visit the site and give feasibility report from UMW fit out point of view.

Based on confirmation, BA will pay balance Rs. 90000/- per screen non refundable towards

sign up fees.

Site Finalisation

BA to provide completed site information sheet to UMW along with drawings.

BA will pay Rs. 10000/- per screen non refundable fees for registration and

confirmation.

project work is completed, UMW team visits the site and does a QC audit for confirming the start of work. Fi

Post rectification of snaglist by BA, UMW team starts fit out work of the site. Usual time frame for completing the fit out work is 60 to 90 days.
