The following points are very important regarding your registration for Mercer Learning workshops, and we suggest you read them carefully:

• The workshop fees cover all tuition, documentation, lunches and refreshments. Participants are responsible for their own travel, accommodation and out-of-pocket expenses.

• Please submit your payment before the scheduled date of the workshop. If you need to make any changes to your registration, please let us know by email, fax or written notice. Cancellations should be sent in writing to your Mercer Learning Coordinator at least five working days before the workshop. If payment has been made, it will not be refunded, but it may be possible to reschedule for a later date (restrictions may apply). Should the cancellation be received within five working days from the date of the workshop, 20% of the workshop fee will be collected for compensation of the meeting venue and printed materials.

• Only hardcopies of workshop materials are available for participants. For copyright reasons, no softcopy materials will be provided.

• Mercer may postpone or cancel the course in certain circumstances (for example, less than seven participants registered). Mercer will confirm the date at least five working days before the course.

• Mercer’s provision of workshops is subject to the additional terms and conditions attached hereto, under which Mercer shall mean Mercer (Taiwan) Limited and Client shall mean the corporations and other entities dispatching participants to attend the workshops. The completion and submission of the registration form by Client shall represent its acceptance of the additional terms and conditions.

A D D I T I O N A L T E R M S A N D C O N D I T I O N S

1. Article 1: Mercer shall deliver the workshop to Client in a competent and professional manner and with all reasonable skill and care.

2. Article 2: Mercer retains the copyright and any other intellectual property rights pertaining to the methodologies, know-how, models, tools, techniques, skills, knowledge and any graphic or digitized representation of any of these used by Mercer in the workshop, including those embedded in the workshop documentation (if any) provided to Client.

3. Article 3: Either Mercer or Client shall keep confidential any information of the other party available in connection with provision of the workshop. Client shall neither use Mercer’s information for other than internal managerial purposes nor copy or duplicate the aforementioned workshop documentation without Mercer’s written consent.

4. Article 4: Notwithstanding any agreement to the contrary, the aggregate liability of Mercer (including its employees and affiliates) to Client (including its employees and affiliates) in connection with the workshop, on contract or by tort, shall not include indirect losses and shall not exceed one times the service fees payable to Mercer for the workshop concerned.

5. Article 5: These additional terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction where the workshop is delivered. All disputes between Client and Mercer in connection with or arising out of the workshop shall be submitted to a court in the city where Mercer domiciles.

6. Article 6: No party hereto may assign any of their respective rights or obligations in connection with the workshop to a third party without the other’s prior written consent. Either party hereto shall not refer to the other in the press or for promotional purposes, or for the purpose of informing or influencing any third party, without the other’s prior written consent.

7. Article 7: Neither party hereto shall be liable for delay or nonperformance due to any unforeseen and unavoidable event or circumstance, such as armed conflict, riot, earthquake or other natural disaster, so long as the affected party notifies the other of the same as soon as possible.
