November 22, 2011 RE: INVITATION TO BID (ITB): ITB-LC-11-12-1 A GENERATOR PREVENTIVE MAINTENANCE, REPAIR, & EMERGE NCY SERVICES Livingston County is requesting sealed bids for GENERATOR PREVENTIVE MAINTENANCE, REPAIR & EMERGENCY SERVICES for the Livingston County Building Services Department and EMS Base locations within the County. The intent of this Invitation to Bid and resulting contract is to obtain the services of a qualified generator service contractor to provide preventative maintenance, repair and emergency service for Livingston County’s backup generators located at various County facilities.

All interested companies who will be submitting bids must attend the MANDATORY pre-bid meeting and onsite inspection of the locations where the services will be performed to become completely familiar with the existing conditions.

1.1 GENERAL TERMS AND CONDITIONS

A. RESERVATION OF RIGHTS

Livingston County reserves the right to reject any and all bids; to award the agreement to other than the low bidder; to award separate agreements for separate parts of the services required; and to accept or further negotiate cost, terms, or conditions of any bid determined by the County to be in the best interests of the County.

B. RESPONSIVE PROPOSALS

Bidder’s shall examine the ITB requirements and all instructions. Failure to do so will be at the company’s risk. Each company shall furnish all information requested herein. The person signing the bid must initial all erasures or other changes. If any person contemplating submitting a bid is in doubt of the true meaning of any part of the specifications, or other conditions with the ITB, to call and have the portion in question clarified.

C. MANDATORY PRE-BIDDERS CONFERENCE

All interested companies who will be submitting bids are requested to attend the MANDATORY pre-bid meeting and onsite inspection of the locations where the services will be performed to become completely familiar with the existing conditions. Pre-bid meeting is scheduled for TUESDAY, NOVEMBER 22, 2011 AT 10:00 AM SHARP, LOCATED AT THE ADMINISTRATION BUILDING, 304 E. GRAND RIVER AVE., HOWELL MICHIGAN 48843, IN CONFERENCE ROOM #1. This meeting will consist of a review of the bid documents and allow for a one-time site visit inspection at each location. Failure to comply with this requirement will not relieve the successful bidder of his obligation to carry out the scope of the resulting contract.

F. GIFTS/GRATUITIES

Elected Officials, Department Heads, and/or County Employees will not be offered or entitled to earn or receive personal gifts, gratuities, credits or other benefits of economic value by reason of their official business.

G. WITHDRAWAL OF BID

Bids may be withdrawn in person by a bidder, or authorized representative, provided their identity is made known and a receipt is signed for the bid, but only if the withdrawal is made prior to the stated bid deadline. Once the bids are opened, no bid will be withdrawn for a minimum of 90 days after opening except the successful company whose prices shall remain firm for the entire contract period. In case of error by the bidder in making up a bid, the Purchasing Office staff may, by discretion, reject such a proposal upon presentation of a letter by the Bidder that sets forth the error, the cause thereof, and sufficient evidence to substantiate the claim.

1.2 CONTRACTUAL REQUIREMENTS

A. INDEMNIFICATION AND HOLD HARMLESS

The Contractor whose proposal is accepted must agree to the following indemnification and hold harmless responsibilities

The Contractor shall, at its own expense, protect, defend, indemnify and hold harmless Livingston County, its elected and appointed officers, employees and agents from all claims, damages (including but not limited to direct, indirect, incidental, consequential, special and punitive damages), costs, lawsuits and expenses including, but not limited to, all costs from administrative proceedings, court costs, and attorney fees, that they may incur as a result of any acts, omissions or negligence of the selected firm, its employees or agents or its subcontractors or sub-subcontractors, or any of their officers, employees or agents which may arise out of the contract.

The Contractor’s indemnification responsibilities shall include the sum of damages, costs and expenses which are in excess of the sum paid out on behalf of or reimbursed to Livingston County or its elected and appointed officers, employees, agents or by the insurance coverage obtained and/or maintained by the selected firm pursuant to the requirements of this RFP and the contract entered into.

B. EQUAL EMPLOYMENT OPPORTUNITY

The Contractor and its subcontractors, as required by law, shall not discriminate against the employee or applicant for employment with the respect to hire, tenure, terms, conditions or privileges of employment, or a matter directly relates to employment, because of race, color, religion, national origin, age, sex, disability that is unrelated to the individual’s ability to perform the duties of a particular job or position. Breach of this covenant may be regarded as a material breach of the Contract.

The Contractor agrees to post notices containing this policy against discrimination in conspicuous places available to applicants for employment and employees. All solicitations or advertisements for employees, placed by or on the behalf of the Contract, will state that all qualified applicants will receive consideration for employment without regard to race, color, sex, national origin, disability, age, height, weight, marital status and religion.

C. INSURANCE REQUIREMENTS

The Contractor whose proposal is accepted must meet and agree to maintain during the term of the contract the following insurance coverage requirements. All coverage’s shall be with insurance companies licensed and admitted to do business in the State of Michigan. All coverage’s shall be with insurance carriers acceptable to the County and have an A.M. Best Company’s Insurance Reports Rating of A or A- (Excellent).

1. The Contractor shall carry Worker’s Compensation and Employer’s Liability Insurance Coverage, as required by law. In the event that the Contractor uses subcontractors and sub-subcontractors for the performance of services required under this proposal, the Contractor shall ensure that said subcontractors and sub-subcontractors carry Worker’s Compensation and Employer’s Liability Insurance coverage, as required by law.

2. The Contractor shall be responsible for insuring all its tools and equipment and all materials which it may use and/or leave at the work site. The County shall not be responsible for any loss or damage to the Contractor’s tools and materials.

3. The Contractor shall procure and maintain during the term of the contract Commercial General Liability Insurance on an “Occurrence basis” with limits of liability of not less than $1,000,000 per occurrence and aggregate combined single limit, for Personal Injury or Bodily Injury and $1,000,000 per occurrence and aggregate for Property Damage. Coverage shall include the following extensions: (1) Contractual Liability; (2) Products and Completed Operations Coverage; (3) Independent Contractors Coverage; (4) Broad Form General Liability Extensions or equivalent; if not in policy proper.

4. The Contractor shall procure and maintain during the duration of the contract, Medical Malpractice Insurance, covering all services rendered by the contractor’s physicians and other

medical personnel (e.g. physician assistants, nurses, etc.) including, but not limited to, testing procedures, reviews, recommendations and issuance of prescriptions. Limits of liability of the Medical Malpractice Insurance shall not be less than $1,000,000 per occurrence or per claim. If the insurance is on a per claim basis, the insurance policy shall include a three-year extended reporting period.

5. The Contractor(s) shall maintain Vehicle Liability Coverage, and Michigan No-Fault coverage’s including all owned, non-owned, and hired vehicles, of not less than $1,000,000 per occurrence combined single limit.

6. Commercial General Liability Insurance and Vehicle Insurance as described above shall include the following as “Additional Insured”: County of Livingston.

7. Workers’ Compensation Insurance, Commercial General Liability Insurance, and Vehicle Liability Insurance as described above shall include an endorsement stating the following: It is understood and agreed that thirty (30) days Advance Written Notice of Cancellation, Non-Renewal, Reduction and/or Material Change shall be sent to: Livingston County Purchasing, 304 East Grand River, Suite 204, Howell, MI, 48843.

8. If any of the above coverage’s expire during the term of the Agreement, the Contractor’s insurer shall deliver renewal certification and/or policies to: Livingston County Purchasing, 304 East Grand River, Suite 204, Howell, MI, 48843, at least thirty (30) days prior to expiration.

No payment will be made to the vendor until current certificates of insurance have been received and approved by the County.

D. INTEREST OF CONTRACTOR AND COUNTY

The Contractor assures that they have no interests that would conflict with the performance of services required by the Contract. The Contractor also assures that, in the performance of the Contract, no officer, agents, employee of the County of Livingston, or member of its governing bodies, may participate in any decision relating to the Contract which affects his/her personal interest or the interest of any corporation, partnership or association in which he/she is directly or indirectly interested or has any personal or pecuniary interest. However, this paragraph does not apply where specifically exempt under Michigan Law. Contractor is an independent contractor. All employees or agents of the contractor shall in no way be deemed to be and shall not hold themselves out to be employees or agents of Livingston County and shall not be entitled to any fringe benefits which the County provides its employees.

The successful Contractor shall not assign the award or any payment hereunder without prior written approval of the County.

E. TAXES, TERMS AND CONDITIONS

Livingston County is exempt from Federal Excise and State Sales Tax. The county’s tax number is 38-6005819. Payment terms are Net 30 days upon receipt and acceptance.

CONTRACTOR is required to pay all applicable taxes lawfully assessed in connection with its performance of this Agreement.

F. GOVERNING LAW AND VENUE

The Contractor shall be governed by the laws of the State of Michigan. In the event any actions arising under the Contract are brought by or against the County of Livingston, the venue for such actions shall be established in accordance with the statutes of the State of Michigan and/or Michigan Court Rules. In the event that any action is brought under the Contract in Federal Court, the venue for such action shall be the Federal Judicial District of Michigan, Eastern District, Southern Division.

G. NONDISCRIMINATION

The Contractor, its contractors and subcontractors, as required by law, shall not discriminate against an employee or applicant for employment with respect to hire, tenure, terms, conditions or

privileges of employment, or a matter directly or indirectly related to employment because of race, color, religion, national origin, age, sex, disability that is unrelated to the individual’s ability to perform the duties of a particular job or position, height, weight, or marital status. Breach of this Section shall be regarded as a material breach of the contract.

H. TERMINATION

Time and convenience of the County is of the essence. Repetitive substantiated complaints of delays, inefficient operating procedures, poor service and/or incorrect billings may be grounds for termination of the contract in whole or in part.

1. The County reserves the right to terminate this contract at any time, upon thirty (30) days written notice to Contractor in the event that the services of Contractor are deemed by the County to be unsatisfactory, or upon failure to perform any of the terms and conditions contained in this agreement.

2. This contract may be terminated by either party by giving sixty (60) days written notice of such intent and will become effective sixty (60) days from the date such written notice is delivered to the applicable party to the contract regardless of the reason for said termination.

I. SIGNATURE PAGE

The Signature Page shall be completely filled out and returned with the bid submission. A representative of your company who is authorized to commit your company to the requirements of this bid must sign the Signature Sheet.

2. SCOPE OF SERVICES 2.1 INITIAL SERVICE – GENERAL REQUIREMENTS The Contract period shall begin upon award of the C ontract. The following service is required and is to be repeated semi-annually, thereafter, unless conditions require more frequent service. IT REQUIRES (2) SITE VISITS PER YEAR, ONCE FOR MAJOR PREVENTATI VE MAINTENANCE AND ONCE FOR MINOR PREVENTITIVE MAINTENANCE SERVICES The Contractor shall evaluate the mechanical and electrical condition of the generators, including the transfer switch, and provide a detailed written evaluation with recommended maintenance and /or repairs, if necessary. Contractor shall supply parts and fluids for initial service and annual service. All parts and fluids must meet or exceed manufacturers’ specifications. Site to be left in as found condition. All trash and wastes produced by the service to be removed from the site and disposed of responsibly. Contractor to provide a two-week advanced notice to the Building Services Department before any routine service work is to be performed. 2.2 SEMI-ANNUAL SERVICE FOR GENERATORS For the purposes of testing generators and systems, the generators shall be run in a “no-load” state except where noted.

2.2.1 ENGINE LUBE SYSTEMS

� Check for and repair any minor leaks � Perform oil sample analysis � Replace oil and filters – ANNUALY � Properly dispose of used oil and filters

2.2.2 ENGINE COOLING SYSTEMS

� Check belts, hoses and clamps. Replace as necessary � Check for and repair minor leaks

Fill as needed per manufacturer specifications � Check coolant freeze point � Check inhibitors (nitrites) � Replace coolant filter (if applicable) � Check radiator for obstructions and air flow � Verify proper operation of engine jacket water heater � Check for proper operation of louvers, either motorized or gravity (if applicable) � Verify operation of remote radiator and belt condition (if applicable)

2.2.3 ENGINE ELECTRICAL SYSTEMS

� Clean all battery terminals, verify integrity of cables and connectors. Apply corrosion inhibitor.

� Load test batteries � Hydrometer test batteries � Inspect fluid levels. Add as needed. � Inspect and test battery charger for high and low rate and alarms (if applicable) � Check engine alternator. Verify and record output. � Inspect ignition system (if applicable)

2.2.4 ENGINE

� Verify and record oil pressure and water temperature � Test all safety shut down circuits and alarms including over-speed, over-crank, low oil pressure,

high water temperature, low coolant level, pre alarms (if applicable) � Inspect air intake system including filter condition, crankcase breather, turbocharger, air-box

drains, louvers and ductwork (where applicable). Change filters as necessary. � Inspect exhaust system including muffler(s) and drain condensation trap. Inspect exhaust flex

coupling and piping for leaks and proper operation. � Verify rain cap operation � Check for abnormal vibration or noise � Inspect spark plugs, plug wires and distributors (gas fueled only)

2.2.5 CONTROLS/INSTRUMENTATION

� Check all instruments for proper operation � Verify and record output voltage and adjust regulator if needed � Calibrate control meters � Verify and record output frequency and adjust governor if necessary � Verify operation of all lamps on control panel. Replace as needed. � Inspect for any loose connections, terminals or discoloration. Tighten as needed. � Check and record readings for tachometer, hour meter, oil pressure @ operating RPM (include

hot cold PSI), voltmeter, water temperature, and ammeter.

2.2.6 TRANSFER SWITCHES

Load testing of the emergency power system will be scheduled with the Building Services Department prior to commencement to limit any disruptions to building occupants. Generators will be run for 60 minutes; 45 minutes under load, 15 minutes cool dow n period. Load testing will consist of:

� Simulate normal power failure � Visually inspect and verify proper operation of transfer switches � Record loads, voltage and frequency � Record time delays of transfer switches

2.2.8 COMPLETION

� Return unit to stand-by mode � Wipe down engine, valve covers, and ensure general cleanliness � Complete and supply all inspection documentation and oil analysis

2.3 MINIMUM QUALIFICATIONS

� The contractor shall have the ability to provide service with in-house staff to the generators owned by the County. Pricing Page, has detailed descriptions, locations, and type of generator to be serviced.

� The requirement to provide emergency repairs means that the Contractor shall have a 24-hour point of contact and the capability to respond to the site within two (2) hours once contact is made by the Building Services Department.

� Contractor shall posses all applicable certifications and licenses from the State of Michigan required for maintaining, servicing, and repairing generators covered under this contract.

2.4 NON-EMERGENCY REPAIRS – GENERAL REQUIREMENTS

Contractor shall provide written “not to Exceed”, estimates on all non-emergency projects. This estimate shall include the estimated number of hours, hourly rate, number and type of employees required, estimated material cost and completion date. Contractor shall respond to requests for estimates within two (2) days and provide written estimates within five (5) days of the original date. It shall be the Contractor’s responsibility to ensure they have all information to prepare accurate estimates.

2.5 HOURLY RATES – BUSINESS HOURS

Contractor shall provide a fixed hourly rate for work done during normal business hours, Monday through Friday, 8:00 AM to 5:00 PM, excluding County observed holidays.

2.6 EMERGENCY SERVICE/AFTER HOURS SERVICE

Contractor shall provide a fixed hourly rate for emergency service and after-hours service, 5:00 PM or later, weekends, and holidays. Contractor must have the ability to respond for emergency repairs 24-hours per day, seven days per week. The Contractor must be available via telephone, pager, or some other devise at all times. Once the Building Services Department issues a call for emergency service, the Contractor must be able to reach the site of the emergency within two (2) hours; or must demonstrate that conditions were such that travel to the site would be extremely hazardous, or there was some extraordinary impediment preventing travel to the site. Should this be the case, the Contractor is required to immediately contact the Building Services Department and communicate the problem.

Man-hour paid under this contract shall be only for productive hours on the job site. Time spent for transportation of workers, material acquisition, handling and delivery, or for movement of contractor owned or rented equipment is not chargeable directly but is overhead and all costs shall be included in the fixed hourly rates. Emergency service and after hours service must be authorized by the Building Services Director, or his authorized representative. The County shall accept no bid with a minimum charge stipulation.

2.7 NON-EMERGENCY RESPONSE TIME

Contractor shall respond to non-emergency service calls within four hours (4) hours by phone and be on-site within twenty-four (24) hours upon notification.

2.8 EMERGENCY RESPONSE TIME

Contractor shall respond to emergency service calls within thirty (30) minutes by phone and be on-site within (2) hour upon notification. It will be at the sole discretion of the County to determine if the situation is an emergency or not.

2.9 POINT OF CONTACT

Contractor shall provide to the County a twenty-four (24) hour point of contact, to include name and phone number that will be able to meet the requirements stated in Section 2.8.

2.10 GENERAL REQUIREMENTS

� All generator service, repair, and maintenance shall be scheduled through the Building Services Director or his/her authorized representative.

� Contractor’s employees shall wear uniforms bearing the company name whenever at the job site.

� Contractor’s vehicle shall bear company name/logo whenever the Contractor is traveling to and from the job site.

� At all times during the term of the contract, the Contractor shall employ a minimum of two (2) technicians to perform the service under this contract. Technicians shall have performed maintenance/repair on similar equipment for at least two (2) years. Technicians shall be in the Contractor’s employment at the time the Contractor submits its bid.

� Contractor’s personnel sent to service County generators shall carry identification confirming that they are bona fide employees of the contractor and not subcontractors. Use of subcontractors without written consent of the County is ample cause for termination of the contract.

� Preventive maintenance shall commence no later than thirty (30) calendar days after contract award, and initial preventive maintenance shall be completed within forty-five (45) days after contract award.

2.11 RECORDS

Complete records are to be kept by the Contractor for each generator. The Contractor will be responsible for providing these records to the Building Services Director within ten (10) business days after each site visit. A log book will be maintained at each site, in addition to the above records. While the Contractor will not be the only one recording in this book, it will be required that each time a site is visited by the Contractor, the log book is to be updated with information pertinent to the scope of the Contractor’s work.

2.13 CONTRACT QUANTITIES

The quantities specified in this contract are estimated only. They do not indicate the actual quantity which may be ordered, since such volume will depend upon requirements which develop during the contract period. Quantities shown shall not be construed to represent any amount which the County shall be obligated to purchase under the contract, or relieve the Contractor of his obligation to fill all orders placed by the County.

2.14 MATERIAL SAFETY DATA SHEETS

By law, Livingston County will not receive any materials, products, or chemicals which may be hazardous to an employee’s health unless accompanied by a Material Safety Data Sheet (MSDS) when received.

2.15 SAFETY

All contractors and subcontractors performing services for Livingston County are required and shall comply with all Occupational Health Standards and Health Administration (OSHA), State and County Safety and Occupational Health Standards and any other applicable rules and

regulations. Also all contractors and subcontractors shall be held responsible for the safety of their employees and any unsafe acts or conditions that may cause injury or damage to any

2.16 PERMITS

It shall be the responsibility of the Contractor to comply with County Ordinances by securing the necessary permits, if applicable.

2.17 WORKMANSHIP AND INSPECTION

All work under the resulting contract shall be performed in a skillful and workmanlike manner. The County may, in writing, require the Contractor to remove any employee from the work that the County deems incompetent or careless. Further, the County may, from time to time, make inspections of the work performed under this contract. Any inspection by the County does not relieve the Contractor from any responsibility regarding defects or other failures to meet the contract requirements.

2.18 CLEANING-UP

The Contractor shall at all times keep the adjacent areas of the property free from rubbish and the accumulation of any waste materials.

2.19 METHOD OF PAYMENT

Contractor shall submit invoices at the end of each calendar month. Such statement to include detailed breakdown of all charges, and shall be based on completion of tasks or deliverables.

2.20 WARRANTY

The Contractor shall warrant repairs for ninety (90) days for all materials, parts and workmanship under normal usage conditions, unless a manufacturer warranty applies.

3.0 CONTRACT PERIOD Pricing shall be firm for the first two (2) year period with an optional two (2) year renewal at the county’s discretion not to exceed four (4) years. A Blanket Purchase Order will be released to the awarded vendor for the first 2-year period, and invoiced upon approval and the completion for service and parts as required. The County reserves the option to renewal the Blanket Purchase Order for additional 2-years with all terms, conditions and pricing remaining the same for a total contract period not to exceed four 4-years.
