COMMENT: The good news continues for first quarter of 2016 .......................Page 4 T he latest EU-wide new motorcycle registration statistics released by ACEM (Association des Constructeurs Européens de Motocycles), the Brussels based international motorcycle industry trade association, show new PTW (powered-two- and three- wheeler) registrations continuing to grow during January and February at +11.5% (129,387 units). Registrations performed positively in Italy (27,933 units, +26%), Spain (19,665 units, +24.4%), UK (10,669 units, +18.3%), but decreased in Germany (13,799 units, - 4.7%). However, cumulative motorcycle registrations grew by 18.9% during the first two months of 2016 on a year-on- year basis.A total of 99,363 motorcycles were registered between January and February 2016, against 83,573 during the same period of 2015. Year-on-year motorcycle registrations increased in most key European markets, including Italy (24,954 units, +29.5%), Spain (17,763 units, +29.1%), UK (9,641 units, 20.5%), Germany (12,709 units, +11%) and France (18,547 units, +4.4%). A total of 30,024 mopeds were registered during the first two months of 2016 in the EU, whilst 32,514 had been registered during the same period of 2015. This represents a decrease of -7.7%. Registrations increased in some of the key markets such as the Netherlands (7,813 units, +7.2%) and Italy (2,979 units, +2.3%); but they continued to decrease in Spain (1,902 units, -7.1%) and France (9,687 units, -1.3%). These results are based on information available to ACEM as at 7 April 2016. At that time registration data for some EU markets, such as Bulgaria, Cyprus, Malta, Slovakia, Greece and Germany, was either not available, or not fully available, or not fully tabulated yet. However, the positive trend from the end of 2015 is confirmed. Total combined motorcycle and moped registrations increased by 5.6% in EU markets in 2015, to 1,210,534 units, with motorcycle registrations driving growth at +10.3 percent (885,018 units). If EU growth overall is running in the region of 10 percent or more so far this year, then a projection of total motorcycle registrations for 2016 in the region of 1 million units for the first time in several years is not out of the question, with total PTW registrations likely to push the 1.3 million mark. Commenting in February, when the 2015 full-year data was released, ACEM Secretary General Antonio Perlot had said that "we will still need to wait until July 2016 to assess whether this is a real recovery, but the sector seems to have regained momentum", and that momentum appears to be continuing. As this edition of IDN went to press, ACEM, the Brussels basedinternational motorcycle industry trade association, had justpublished their round-up of new motorcycle registrations in EU

markets for February 2016.As reported in our page one story this month, the news is good news - withmotorcycle registrations continuing to drive EU total PTW growth at +10.3 percentfor the first two months of 2016.Elsewhere in this edition (see StatZone, pages x to y) we report registration statisticsfor March and the first quarter of 2016 in Italy, Spain, Germany, the UK andelsewhere.Right across Europe the trend continues to be positive, with growth appearing tobe "locked-in" now for most of Europe's primary markets, and Europe as a whole.While appearances can be notoriously deceptive, it would take substantial economicor political turmoil (or both) to reverse the trend - though that said, Europe is farfrom being "issue-free" at this time, in economic or politicalterms.It also has to be acknowledged that the mild weather in mostof Western Europe so far this year must have had a big impacton sales. It remains to be seen if the sales we have beenseeing are additional to the further growth that we'll all behoping will materialise for the rest of 2016, or if, as could bethe case, we are simply seeing some of the lower overall rateof growth simply showing up earlier in the year.That being the case, the percentage increases in growth for the next nine monthswould slow, but either way, it looks like the year as a whole will get pretty close tothe 1m motorcycle sales mark - a market performance not seen for several years.However, ACEM General Secretary Antonio Perlot is right to continue to recommendcaution, at least until we get through the summer of 2016, by which time we will,hopefully, have seen 36 months of growth - the point at which the trend can bemore reliably regarded as being "locked-in".He and ACEM President Stephan Schaller (of BMW) would also be right to reiterate,as they no doubt will at the upcoming ACEM conference, that even with 3 years ofgrowth recorded, we will still have a market that has shrunk by 50 percent since the2.43 million PTWs registered in 2007 before the downturn started.A trend is a trend though, and it is also obvious now that the forecasts of our "newmarket" emerging as being one where "motorcycles of character" are at a premiumin terms of public interest have been right on the money.

Because of the trends we had been seeing in the World Championship of CustomBike Building (INTERMOT 2016, Hall 10), which is organised by our sister

magazine American Motorcycle Dealer (the leading international industry magazinefor the custom motorcycle market), we were able to spot the earliest signs of thosetrends migrating into the mainstream market as long ago as 2007, 8 and 9.By 2012 it was clear which way the wind was blowing, and that wind had becomestorm force by the time the industry turned up at EICMA last year.

The really interesting question to pose now though is whether the trend in designand demand that is being seen is a response to consumer taste, or whether it is anexample of industry innovation driving public tastes.Are the new generations of new models a by-product of growth, or are they helpingto create growth. If the latter, which is what does indeed appear to be the case, andif that means we are reaching consumers who might otherwise have passed us bywith investments in alternative leisure buying power options, then it starts to presentanother possible future scenario.Namely that our expectations of where the current growth could lead need notnecessarily be entirely dependent on wider economic issues.

While economic issues will inevitably continue to shape overall consumerdemand and confidence, as always, it may well be that the new generation

of "beardies" that the new generation of naked, retro/legacy and custom-orientedplatform packages are reaching, are genuine 23 to 35 year-old growth riders. If so,

the next stage will be keeping them in the market once thebeards have all been shaved off and the wheel of cool hasspun again.Among the reasons for optimism are the price-points of thebikes concerned. We are accustomed of thinking of "entrylevel" is lower still in both age and price terms, but in aparallel to the "alternate thesis" that can be made withregard to the aging demographic and medianriding/ownership age of mid-40s as being an entirely good

thing (give me customers with money all day long), then so too seeing the price-point and income profile of a new generation growth market for the motorcycleindustry increase can only be yet more good news.Good news for the manufacturers and their dealers, but almost immediate goodnews for the parts and accessory industry too.Since the "new-gen" of bikes are basic, uncluttered, stripped-down offerings thathave been manufactured-down by the OEs to make the lower price-points work,every model they sell has aftermarket opportunity stamped all over it.We have seen this playing out before our own eyes on pages of International DealerNews in the past year or two, with items for bikes such as Yamaha's MTs, BMW’s RnineT, the Scramblers and others proliferating.With signs that the youth end of the entry-level market is also starting to stabilise(on most markets) in terms of licensing and training, and signs that used vehiclepricing has also reached the bottom of its very broad U-curve, 2016 is already startingto look like a pretty good year for the parts industry.

The latest data released by themotorcycle industry tradeassociation in Italy (ANCMA,Milan) shows new motorcycleregistrations there for the firstthree months of the year upsubstantially at +27.83 percent(20,998 units) compared to thefirst quarter of 2015.In total PTW terms March wasreported as being +17.12 percent(19,468 units), with the Italianmarket +23.91 percent for thefirst three months of 2016 at44,333 units.Scooter sales in Italy were+20.58 percent for the first threemonths of 2016 at 23,335 units.For the full year 2015 new

motorcycle registrations in Italywere up by +14.36 percent on62,449 units - compared to54,607 units in 2014.The top selling motorcycle inItaly in March remained the BMWR 1200 GS (511 units March2016, 3,222 units January -December 2015), followed byYamaha's MT-09 Tracer (444 unitsin March, 2,618 units in 2015),with Honda's new CRF 1000L'Africa Twin' the third best sellerin Italy in March at 399 units.Honda's NC 750 X was next with330 units sold in March, followedby the Ducati Scrambler 800 (278units in Italy in March, 2,476units in 2015), BMW’s R 1200 GS

Adventure (242 units in Italy inMarch, 2,006 units in 2015), andYamaha's MT-07 sold 207 units inItaly in March.The top selling scooter inItaly in March wasPiaggio's Beverly 300(643 units).Of the high volumesectors, Enduro bikesreported the strongestgrowth in Italy for thefirst three months of2016 at +43.11 percent(7,960 units), followed byNaked style bikes (+23.59percent, 7,178 units).The strongest growth inmotorcycle displacement

terms comes in the 751-1000ccmarket in Italy (+46.59 percent,6,825 units) in the first threemonths of the year.

The latest data released by JAMA, theautomotive trade association thatincludes representation of Japanesemotorcycle manufacturers among itsmembership, shows exports of 250cc+Japanese made motorcycles to Europein February up by +22.40 at 22,049units - the best February performancesince 2012.For the year to date European importsfrom Japan are +15.75 percent so farat 40,320 units. The full year 2015 was-3.65 percent, 151,715 units.Total PTW Japanese manufacturedexports to Europe were +22.84percent in February at 23,036 unitsand are +13.83 percent for the year-to-date at 41,882 units.Motorcycle shipments to the USA were-12.39 percent in February at 12,406units (-14.77 percent, 18,111 unitsyear-to-date); worldwide Japanesemade motorcycle exports were

-0.32 percent in February, at 41,911units (-2.17 percent year-to-date at72,203 units).The increasing number of units beingmade by the Japanese manufacturerselsewhere in Asia, the US andSouth/Central America goes some way

to explaining the data, though themajority of higher value largerdisplacement machines, especiallythose being exported to Europe, arestill made in Japan. Their overseas factories are primarilyengaged in making and selling

scooters and smaller capacity units in'emerging' markets (where importtariffs are high) and in makingATV/UTV units - especially in theUnited States where demand for suchmachines is strongest.www.jama.org

that are simply taking place earlier, or ifriding-friendly conditions can give themarket a genuine boost this year.Perlot went on to say that "the sectorstill faces a delicate situation in Europe.The 1.21 million vehicles that wereregistered in 2015 are still less than halfthe registration levels we saw before theeconomic crisis; some 2.43 million unitswere registered in 2007, so while thereturn to growth seen since the summerof 2013 is to be welcomed, of course,there is still a long way to go before weknow just how robust the long-termtrend looks".

According to the latest data released bythe motorcycle industry tradeassociation in Germany (IVM, Essen),new motorcycle registrations in Marchwere down by 11.31 percent at 19,413units; year-to-date the German marketis down by -4.85 percent so far, at28,752 motorcycles for the first quarter.In total PTW terms March was down by-11.18 percent (25,274 units), and thetotal PTW market in Germany is -4.86percent (at 37,883 units) for the year-to-date.The top-selling motorcycle in Germanyin the first quarter of 2016 was BMW'sall conquering R 1200 GS (2,367 units),followed by Honda's new CRF 1000'Africa Twin' (969 units), Yamaha's MT-

07 (780 units), the BMW S 1000 XR andBMW R nine T.Six out of the top 10, and 10 out of thetop 20 best selling motorcycles inGermany in the first quarter of 2016were BMW models, so no surprise thatthey are market share leaders there at27.17 units (7,812 units, +3.36percent).Honda were second at 11.14 percentmarket share (3,204 units), which putsthem up by +10.71 percent for the firstquarter, which is no doubt thanks inlarge part to the popularity of the newCRF 1000L 'Africa Twin'. KTM is third(10.44 percent share), Kawasaki fourth(10.18 percent share), Yamaha fifth(9.74 percent share).

The motorcycle, ATV and scootermarket in Australia was up 1.6percent at 24,994 units for thefirst quarter of 2016.These numbers include stronggrowth in off-road (+3.7percent), road (+2.8 percent) andATV (+2.7 percent) segments ofthe market. FCAI Chief ExecutiveTony Weber said that the figuresprovided a positive start to 2016for the industry.There were 11,576 road bikessold in the first quarter of 2016,which represented just over 46percent of the total market.Honda was the leading volumemanufacturer with 5,512 unitssold (22.1 percent of the totalmarket), followed by Yamaha(4,995 units, 20 percent marketshare), Kawasaki (2,684 units,10.7 percent market share),Suzuki (2,395. 9.6 percent marketshare) and Harley-Davidson(2,286, 9.1 percent market share).Yamaha led the volume race inthe off-road motorcycle market

with 29.1 percent of the totalsales of 7,832. Yamaha wasfollowed by Honda with 23.4percent of sales, and KTM wasthird, selling 17 percent.Looking at the road motorcyclemarket, Honda was the leadingbrand, selling 20.5 percent of the11,576 road motorcycles soldbetween January and March2016. Harley-Davidson was closebehind in second place with 19.7percent of the road motorcyclemarket. Harley-Davidson wasfollowed by Yamaha with 15.4percent.In the scooter market, Piaggioled the sales race, selling 22.2percent of the total 1,310 units.Honda and Vespa tied for secondwith 21.7 percent each. Thepopularity of scooters inAustralia continues to decline,with first quarter sales down asignificant 19.3 percentcompared to first quarter 2015figures.www.fcai.com.au

According to the latest statistics releasedby the motorcycle industry tradeassociation in Poland (PZPM), the numberof new motorcycles registered there inMarch was down by 20.81 percent at2,081 units, with the year-to-date -8.88percent at 3,733 units.New mopeds were -41.56 percent inMarch (1,727 units) and are -41.43percent (2,944 units) YTD, making thetotal of new PTWs YTD in Poland 6,677

units (-26.88 percent).However, that is only part of the storywhere the Polish market is concerned.Poland is an important market for usedvehicles - used motorcycles imported intoPoland and first registered there were alsodown in March, at -18.64 percent (6,070units) and are -13.53 percent for the YTDat 11,331 units.Used mopeds were also down in March (-36.05 percent) and are -20.99 units for

the YTD, making the total of used PTWsreceiving a first registration there -55.56percent YTD (6,815 units); putting thecombined total of new and usedmotorcycles at -12.42 percent for the firstthree months of the year, with the totalnew and used PTWs at -20 percent YTD(19,573 percent).Although comparisons with Europe'sother major markets are not precise, as thisis the only market where imported used

vehicles are recorded in such numbers,they are units that are being registered inPoland for the first time (rather thandomestic re-sale units), so on this basis125,455 units registered there in 2015made Poland Europe's 5th largest totalPTW market behind France, Italy, Germanyand Spain (when these Polish tradeassociation statistics are compared toACEM's reporting for new units in the EU).www.pzpm.org.pl

The latest data from McRF, theSwedish motorcycle industrytrade association, shows newmotorcycle registrations at+7.17 percent for the firstquarter of 2016 at 1,854 units,with March actually down by -8.05 percent in a market withfewer selling days in March thisyear, and where the peak of theseason comes some twomonths or so later than it doeselsewhere in Europe.In total PTW terms March was-9.65 percent with the first quarter+4.17 percent at 3,149 units. Mopedsales were also down in Sweden inMarch at -11.9 percent and arerunning at +0.15 percent for the year-to-date (1,295 units). For the full year 2015 motorcycle saleswere up by +14.4 percent at 9,424units, with mopeds +22.8 percent at10,635 units and all categories ofMotoCross models worth anadditional 2,707, putting the Swedish

market at 22,766 total PTWs.In related powersports vehicle termsthe Swedish market was worth 7,198ATVs in 2015 (+9.9 percent), 5,840snowmobiles (+16.7 percent) and2,911 'Quadricycles' (+13.4 percent)for a combined total motorcycle, PTWand powersports vehicle market of38,715 units.Next year's MCMassan Swedishmotorcycle show will be in Stockholmfrom 26 to 29 January 2017.

The latest data released by themotorcycle industry trade association inthe UK (MCIA) shows that newmotorcycle registrations for March 2016were +1.89 percent, at 15,664 units, ina month shortened by Easter; at 25,314units registrations in the UK are +8.49percent for the year-to-date.In total PTW terms March was +1.39percent (16,509 units), and the totalPTW market for the year-to-date in theUK is running at +7.67 percent (27,186units). Total moped sales in the UK weredown by -2.35 percent at 1,872 unitsfor the first three months of the year. The 'Naked' style (+3.9 percent/6,583units YTD) is the largest motorcyclesector by style so far in 2016, with thecustom market (+19.1 percent) thefastest growing sector so far this year inthe UK (2,231 units YTD); the AdventureSport market in the UK is +17.3 percentYTD at 4,729 units, with scooters +11.7

percent at 7,551 units YTD. In displacement terms, as elsewhere inEurope, the largest sector in the UK isthe 'middleweight' 651 - 1000ccmarket, which was +13.7 percent forthe first three months of 2016. Honda were market share leaders in theUK in March, selling 3,008 units;followed by Yamaha (1,060 units),BMW (1,688 units), then Triumph,Kawasaki, Lexmoto, Harley-Davidson,Suzuki, KTM and Piaggio. The highestselling motorcycle of greater than125cc in the UK in March was Honda'snew 'Africa Twin' again (431 units); thehighest +1000cc bike was BMW’s R1200 GS Adventure (264 units).Triumph's Bonneville Street Twin (246units) was the highest selling 'Naked'style bike, with the Kawasaki ZX10 RNinja (174 units) and Z1000 SX (155units) the highest selling Supersportand Sport/Tour models respectively.

The UK 'bike park' is now said to standat 1.2 million units - a figure that hasremained largely static since 2011;34,600 people passed the motorcyclerider test in the UK in 2014/15 - whichis some 4,000 more than in theprevious 12 months. The MCIA says that

some 4.6 billion km (2.8 billion miles)were ridden on two wheels on theroads of the UK in 2014 - a figure thathas remained largely static since 2011.UK motorcycle registrations were+15.59 percent for 2015 at 104,813units.

After having been up by over +17percent in 2015, the latest datafrom the motorcycle industrytrade association in Switzerland(MotoSuisse) shows March downby over 1,100 units and down by -13.32 percent for the first three

months of 2016 at 5,674 units.Including motorcycles, scootersand mopeds, the total PTWmarket in Switzerland was downby nearly 2,000 units in March (-24.14 percent) and -13.92 percent(9,019 units) for the first quarter.

As with Poland and elsewhere, itis likely that March sales wereaffected by the early timing ofEaster - historically both marketsalso peak later than some of themajor markets.BMW is motorcycle market share

According to the latest datareleased by the motorcycletrade association in Spain(ANESDOR), the motorcyclemarket there was up by +16.21percent for the first threemonths of 2016, 28,499 units sofar.Because Easter meant fewerselling days, sales in Marchwere broadly flat compared toMarch 2016 at -0.70 percent(10,812 units), meaning that theunderlying trend remainedpositive.In moped terms the Spanishmarket was -0.08 percent inMarch and is running at -2.48percent so far in 2016 (3,147units). In total PTW terms themarket was -0.63 percent inMarch at 12,002 units, making it+14.36 percent for the firstthree months of 2016 at 31,644units.At the end of 2015 ANESDORannounced that it expected the

strong growth seen in 2015 tocontinue, with total PTWregistrations for 2016 reachingsome 162,000 units - that wouldbe further growth of around 9percent from the 148,000 unitssold in 2015 - 131,595 of whichwere motorcycles (+19.55percent over 2014).At the time Jose Maria Riano,the General Secretary ofANESDOR, had said that "2015was a very positive year for thesector in Spain", and that inlooking beyond the statistics"the motorcycle is clearly thechoice of transport for millionsof citizens in Spain, especiallyfor their daily commute - PTWsare a major solution for mobilityin Spain, reducing travel timesbetween 50 and 70 percent, andreducing congestion andpollution".Pointing to the greater age ofthe PTW fleet in Spain than isthe case in neighbouring and

nearbycountries, hehad againrepeated hiscall for greatergovernmentsupport for thesector, "theaverage age ofPTWs in Spain is14.7 years.Despite thegrowth in newregistrationsthe fleetactually aged further in 2015 -pointing to a strong growth inthe total motorcycle park here.We believe that a review of thefinancial framework in whichthe PTW industry operates isneeded in Spain and thatsimplifying driving licenceswould also favour fleetrenewal".After seeing the March and2016 first quarter statistics,

MV Agusta runs out of moneyReports that MV Agusta is again facingimminent bankruptcy may beexaggerated, but all is not well amongthe army of Armani suited"boutiqistas" at the Varese, Italy,manufacturer's headquarters.A press release of 22nd Marchannounced that the company had fileda "Composition" with its creditors - avariation on the theme of what isknown in the United States as aChapter 11 creditor protection filing.The intention being to allow thecompany some time in which torestructure its finances - in MV Agustas'case that means dealing with the 40meuro of debt it has on its books.The filing gives MV Agusta to the endof the year to renegotiate its finances,and in the meantime has been granteda 'payment holiday' while it seeks newsources of finance.Last year the company says it achieved100m euro in sales, which was +30percent up on 2014; indeed thecompany has seen turnover grow from30m euro in just five years and says itcurrently has a back-order problemthat represents +42 percent unitgrowth over 2015, with March aloneseeing sales up by +36 percent.However, part of that back-orderproblem has been caused by theslowing down of production a whileago - contrary to some reports,production has not been stopped. It is reported that last year saw thecompany produce some 8,000 plusunits, and there does now appear to bea greater realism about the ambitiousplans that called for that number to getinto the 15,000 to 20,000 bracket.While there are plenty of industryobservers who are saying that MVAgusta has over-populated its productoffer too quickly, especially in thenaked bike segment, and that it shouldrationalise its focus and play to itsstrengths, especially in its traditionalsports niche and with the popularand successful three-cylinderengines, MV's problems havenot been that it is unable to sell

its motorcycles.It is simply under-capitalised andoverburdened with debt for the rangeit is trying to produce and the demandit is trying to create and meet. The debtburden it is carrying is preventing itfrom being able to service existing debt(while keeping production rolling) orfrom being able to raise additionalcapital.One thing that is certain is that therelationship between MV Agusta andits 25 percent owner, the German automaker AMG (Mercedes), has brokendown entirely.Reports suggest that AMG and themajority owner, the Castiglioni family,headed by 35-year old CEO GiovanniCastiglioni, are entirely opposed intheir view about what should behappening to the company.Some media outlets have suggestedthat AMG are unwilling to investfurther without having at least acontrolling stake. However, while it isclear that the Castiglionis certainlydon't want to relinquish control, itwould also appear that AMG havesimply decided that they no longerwish to be in the motorcycle businessas they just cannot see adequate ROIever coming from what must appear tothem to be a money-pit.At the time that AMG paid a reported30m euro for their 25 percent stake,many observers were saying that it wasinsufficient - despite the fact that twoyears earlier Harley-Davidson hadreturned ownership to the family forjust one euro, with debts cleared, majorinvestments made to fund R&D andproduction improvements, and havinggifted the new owners a $20m dowrythat was supposed to be enough tomeet 12 months worth of operatingcosts.The trouble is that at 15 percent ofturnover, the R&D spend needed to fuela now 20-model range has continued

to suck the company dry at a time whengrowing sales were increasing theirdependency on and exposure tosupply-train creditors. The company took a 15m loan from aconsortium of Italian banks some 18months ago, to top up its cash flow, butthat too has proven inadequate and,worse, it came with strings that preventAMG's shareholding being reducedbelow 20 percent without the loanbeing first repaid in full - reducing theoptions for using further equity torepay that debt or raise fresh operatingcapital.The new realism that appears to nowbeing accepted at Varese is that thecompany is going to have to growdown, go smaller, in order to be able tosurvive.It may well be that the product offerwill have to be rationalised, falling backonto their "upper premium" models asa foundation for a more modest re-financing package with longer-termdebt repayment terms agreed withtheir creditors and a massive costsreduction drive that is bound to seetheir 260 strong head-count reduceddrastically.www.mvagusta.it

LeoVince for Africa TwinItalian exhaust specialist LeoVince hasreleased versions for its popular LV One andNero systems for Honda's new CFR 1000LAfrica Twin.The LV One Evo body is made from strong,impact resistant AISI 304 stainless steel,while its oval design with clear square linesgives the silencer a unique slim andcompact shape. It is available in asandblasted "titanium look" finish or with acarbon outer shell. The stainless steel cup inlet is TIG welded tothe muffler body; the end cap is madeentirely of carbon and has an "asymmetricand aggressive" cut. This full carbonsolution is said to give the exhaust "a touchof decisive style, providing greaterresistance to high temperatures"; aestheticsare further optimised by the two clampsalso being made entirely from carbon.

The Nero exhaust system has a stainlesssteel sleeve finished in a durable, high

KTM - sales up, stock listingconsolidation, Indonesiadistribution deal KTM has announced that its firstquarter 2016 sales were up by +26.9percent over the first three months of2015, at 41,858 units; with revenue upby +26.7 percent to Euro 249.5m forthe first quarter and EBIT (EarningsBefore Income Tax) up by +46.4percent at Euro 21.7m - an EBIT marginof 8.7 percent.Meanwhile KTM’s parent company hasannounced that it wants to buy backthe remaining 0.6 percent of the sharesin KTM AG that are still traded on theVienna based "Dritten Markt" - thethird tier of the Austrian stockexchange, so that the parent companycan concentrate on the listing of CrossIndustries AG on Vienna's PrimeMarket in the future "in order to createa more streamlined capital marketstructure".Stefan Pierer's Cross Industries owns51.4 percent of the shares in KTM AGand has issued a public purchase offerof Euro 122,50 per share for theremaining 0.6 percent "LegacyOwnership" of KTM AG shares that arenot currently owned either by Cross orIndian partner Bajaj (which currentlyholds some 48 percent of the shares inthe group).The plan also affects shares in WPSuspension, 0.29 percent of which aretraded on the "Dritten Markt" stockexchange (the company was only listedthere in April 2015) with 99.71 percentof WP owned by Cross Industries. ThoseWP and KTM "Legacy Owners" willhave the option of remaining shareholders when Cross completes the de-listing of KTM AG, should they choosenot to sell. The Cross Industries group also ownsHusqvarna; the KISKA designconsultancy that is responsible formuch of KTM’s and Husqvarna's design

work; Pankl Products, which specialisesin developing and manufacturingengine and drivetrain components forracing cars, high performance vehiclesand the aerospace industry; WethjeCarbon Composites, which specialisesin automotive and aerospace productssuch as aircraft interior componentsand fittings; and Durmont, a specialistautomotive and commercial/publicbuildings carpet and tufted floorcoverings manufacturer. In other Bajaj/KTM news thecompanies have agreed that its Indianpartner will "extend its distributionnetwork to include Indonesia". Thearrangement involves KTM brandedDUKE and RC motorcycles up to adisplacement of 400 cc, which aredeveloped and assembled by thesuccessful Austrian-Indian jointventure.
