THE AGREEMENT THE PARTIES AGREE as follows:

This Agreement is made the ____ of _______ (the “Date of this Agreement”).

Between:

Coffey International Development Pty Ltd (“Coffey”)

and

(“the Employee”)

The purpose of this document is to set out the terms and conditions of the Employee’s engagement with Coffey.

DEFINITIONS

1. DEFINITIONS

1.1. “Agreement” means this agreement and all schedules, annexures and other documents as may be incorporated by reference.

1.2. “Client” means the client to whom the Services are provided pursuant to the Head Contract.

1.3. “Coffey” includes authorised Coffey personnel.

1.4. “Commencement Date” means the date specified in Schedule B.

1.5. “End Date” means the date specified in Schedule B.

1.6. “Head Contract” means the contract under which Coffey International Development is (if the Head Contract has been executed as at the date of this Agreement) or would be (if the Head Contract has not been executed as at the date of this Agreement) required to provide services and for which Coffey International Development engages the Employee to provide the Services as amended from time to time.

1.5. “Location” means the location or locations specified in Schedule A, or reasonably specified by Coffey from time to time, or at which the Services are to be provided including where the Employee is required to visit to provide the Services.

1.7. “Notice” means written notice. “Notify” has a corresponding meaning.

1.8. ''Personal Information'' means personal information (including sensitive information) as those terms are defined in the Privacy Act 1988 (Cth) concerning the Employee.

1.9. “Related Body Corporate” has the meaning as defined in the Corporations Act 2001 (Cth).

1.10. “Term” means the term of the Employee’s employment under this Agreement which commences on the Commencement Date and ends on the End Date.

THE POSITION

2. TERM OF AGREEMENT

This Agreement commences on the Commencement Date and ends on the End Date as specified in Schedule B, unless terminated earlier in accordance with this Agreement.

Coffey does not warrant or represent that the Employee's employment will continue beyond the Term of this Agreement. The Term of this Agreement may be extended at Coffey’s discretion and based on the requirements of the Project.

3. ROLE AND RESPONSIBILITIES

A “Terms of Reference” detailing the specific responsibilities and duties of the Employee is attached in Schedule D. The Terms of Reference may be varied from time to time.

The Employee must during his/her employment with Coffey:

• exercise the powers and perform the duties assigned to them by Coffey;

• perform his/her obligations in a competent and professional manner and in accordance with this Agreement whether during or outside Coffey’s business hours;

• promote the interests of Coffey, and advise Coffey of anything which may have a significant impact on costs;

• be honest and diligent and show the utmost good faith towards Coffey;

• carry out all the Employee’s duties to a high professional standard and will devote the whole of the Employee’s time during their hours of work to carry out those duties;

• perform all the Employee’s duties in full compliance with all applicable laws, rules and regulations of the Location;

• behave in a proper, professional and ethical manner;

• comply with the relevant Project manual as amended from time to time;

• notify Coffey as soon as possible of anything which may have a significant effect on the Employee’s ability to perform their obligations under this Agreement;

• not bring Coffey in any way into disrepute; and

• comply with all directions of Coffey.

4. REPORTING

The Employee will report to the supervisor specified in Schedule B.

The Employee will not provide goods or services to Coffey or its Clients other than as required by the Employee’s position in Coffey, unless the Employee has the prior written consent of Coffey.

5. HEAD CONTRACT

A Head Contract has been or will be made between Coffey and the Client. The Employee has been engaged to provide their services in accordance with the provisions of the Head Contract.

Coffey reserves the right to amend or terminate this Agreement at any time where the Head Contract is not executed, or the requirements of the Client or the Head Contract change. To the extent that Coffey makes known the provisions of the Head Contract, the Employee must not cause Coffey to be in breach of the Head Contract.

6. PERFORMANCE REVIEW

A performance review may be conducted at any time. For more information, please refer to the relevant Project manual.

SALARY AND BENEFITS

7. REMUNERATION

Details of the Employee’s Total Remuneration Package (“TRP”) are provided in Schedule C. The TRP is an all-inclusive figure which includes the Employee’s salary, entitlements, all statutory obligations, social on-costs, charges and allowances including taxes and employee and employer superannuation contributions.

8. METHOD OF PAYMENT OF GROSS SALARY AND EXPENSES

Coffey will deduct any required statutory contributions such as taxation and superannuation contributions from the Employee’s salary.

Payment of the gross salary less required and agreed deductions will normally be made in accordance with the procedures outlined in the relevant Project manual.

The Employee’s first and last payments will be adjusted so as to coincide with the Coffey pay period. Coffey reserves the right to alter the manner in which the Employee’s salary is paid in accordance with its administrative and accounting practices.

It is Coffey policy that no advances on pay will be made.

If at any time Coffey elects to grant an advance on pay, this is not to be read as a right, entitlement or term of employment.

9. PROJECT RELATED EXPENSES

Business-related expenses incurred by an employee must have prior approval by a supervisor. Expenses without prior approved will not be paid.

Any expenses which are not properly acquitted will be deducted from the Employee’s salary. For more information, refer to the relevant Project manual.

10. ACCOMMODATION

Accommodation is not provided nor is any payment or allowance made for accommodation under this Agreement.

In some circumstances, and separate from this Agreement, provision may be made for work-related travel expenses.

WORKING HOURS AND LEAVE

11. DAYS AND HOURS OF WORK

The usual hours of work are specified in Schedule B.

OCCUPATIONAL HEALTH AND SAFETY

12. OCCUPATIONAL HEALTH AND SAFETY

Employees must:

• act in accordance with all relevant occupational health and safety legislation, regulations and policies, particularly Coffey’s Occupational Health and Safety policies and procedures;

• use security and safety equipment provided.

Failure to comply with these conditions may result in disciplinary action.

Specifically all Employees are responsible for safety in their work area by:

• following the safety and security directives of management;

• advising management of any potential safety issues;

• reporting suspicious occurrences; and

• minimising risks in the workplace.

Notice of any injury or near-miss occurring during working hours or whilst travelling to or from work must be given to the Employee’s manager as soon as possible.

Coffey may require the Employee to undertake a medical examination and provide a medical report by a nominated medical prac

titioner either prior to or during the Term.'

COFFEY / PROJECT / CLIENT POLICIES

13. COMPANY POLICY & PROCEDURES

During the induction process, the Employee will be provided with information regarding Coffey, Project and Client policies and procedures. It is the Employee’s responsibility to acquaint themself with these policies and procedures. A breach of any relevant policies and procedures will be regarded as serious misconduct and may result in disciplinary action including dismissal.

14. COMPANY CODE OF CONDUCT

The Employee agrees to abide by the Coffey Code of Conduct as amended from time to time. A breach of this Code may be regarded as serious misconduct and may result in disciplinary action including dismissal.

15. CHILD PROTECTION

Coffey has a zero-tolerance policy towards behaviours that may constitute child protection offences. Details of this policy can be found in the Coffey Code of Conduct and relevant policies and manuals.

16. FRAUD

Coffey has a zero-tolerance policy towards fraud. Details of this policy can be found in the Coffey Code of Conduct and relevant policies and manuals.

17. ANTI-DISCRIMINATION

Coffey is a non-discriminatory and equal opportunity employer. All employees are expected to abide by Coffey’s policy and to treat all other employees in a respectful and considerate manner. Any conduct of a discriminatory nature may be regarded as serious misconduct and may result in disciplinary measures including dismissal.

18. USE OF COMPANY PROPERTY

Coffey and project property are to be used for project purposes only.

19. DISCIPLINARY MEASURES

Coffey may take disciplinary measures against the Employee for breaches of any one or more of the following: the Agreement, the Code of Conduct, Coffey policies or procedures, Project policies or procedures, or Client policies or procedures. These disciplinary measures may include any one or more of the following: verbal or written warnings, suspension of employment, and termination of employment. For more information, refer to the relevant Project manual.

TERMINATION OF CONTRACT

20. CIRCUMSTANCES FOR TERMINATION

In some circumstances, the Agreement may be terminated. For details, please refer to Schedule A.

21. OFFSETTING

If on termination the Employee owes any amount to Coffey (including overpayments that Coffey may have made), Coffey can offset that amount against any payments it is legally obliged to make to the Employee. Such amounts owing to Coffey could include, but are not limited to, amounts relating to:

a) a period of notice (or part thereof) if the Employee fails to give Coffey the period of notice required under this Agreement and fails to provide their services during that notice period; and

b) paid annual leave which has been taken in advance of the entitlement accruing.

22. RETURN OF COMPANY PROPERTY

In the course of employment, various types of property will become available to the Employee, including, but not limited to: office keys, electronic access cards, computer hardware and software, other business equipment or items and company records, reports or files owned by Coffey (“Company Property”).

All such property must return to Coffey immediately upon Coffey’s request or upon termination of the Employee’s employment.

Company property must be returned in reasonable condition.

Coffey may deduct the cost of any loss or damage from the Employee’s salary.

INTELLECTUAL PROPERTY

23. INTELLECTUAL PROPERTY RIGHTS

The intellectual property embodied in the products of Coffey which are produced in the normal course of employment or which are made available for use during the course of employment remains the property of Coffey and is not to be used for any other purpose without prior approval.

In the course of employment, the Employee may develop or may be required to develop processes and/or products for Clients of Coffey. Coffey may at its discretion patent, trademark, copyright or otherwise protect these and seek to commercialise them further which may have commercial benefits beyond the immediate project. The Employee agrees to inform Coffey immediately of any such processes or projects and to assign to Coffey all existing and future intellectual property rights in any material that the Employee creates (either alone or jointly with any other person) in the of the course of employment with Coffey.

24. MORAL RIGHTS

In relation to any works that the Employee may create during the course of employment with Coffey, “Moral Rights” means:

• the right to attribution;

• the right to prevent false attribution; and

• the right of integrity in relation to such works.

The Employee may have Moral Rights in works which the Employee has created or may create in the course of employment. The Employee voluntarily and unconditionally consents to all acts or omissions by Coffey or persons authorised by Coffey in relation to these works which would otherwise infringe the Employee’s Moral Rights.

CONFIDENTIALITY

25. CONFIDENTIALITY

During the course of employment, the Employee will have access to confidential information. Confidential information remains at all times the property of Coffey.

“Confidential information” means all confidential information including, but not limited to:

• trade secrets and confidential know-how; and • financial, accounting, marketing and technical information and plans, customer and supplier lists,

fee rates, tender information. know-how, technology, operating procedures, price lists, data bases, source codes and methodologies, of which the Employee becomes aware of or generates in connection with, the Employee's employment with Coffey

The Employee will not during the course of employment or at any time afterwards:

• use or disclose to any person any confidential information (the Employee may only disclose

confidential information to personnel of Coffey and only to the extent that such persons have a need to know);

• remove confidential information from Coffey premises without the written consent of Coffey (the Employee must return any Confidential Information to Coffey at Coffey’s request).

A breach of these obligations will be regarded as serious misconduct and may result in disciplinary procedures including termination. Coffey reserves the right to take legal action against the Employee and/or seek compensation in relation to any breach.

26. PRIVACY

The Employee consents to the collection, use or disclosure of any Personal Information required for any reasonable purpose, including but not limited to information relating to the Employee’s employment, termination, and reporting requirements to the Client.

27. CONFLICT OF INTEREST

If the Employee becomes aware of any potential conflict or anticipates that a conflict could arise, the Employee undertakes to inform Coffey immediately and comply with instructions regarding the conflict.

INTERPRETATION, DISPUTE RESOLUTION AND OTHER PROVISIONS

28. SEVERABILITY

Coffey and the Employee agree that the covenants, obligations and restrictions contained in this Agreement are reasonable.

Each covenant, obligation and restriction shall be deemed to be a separable and independent covenant, obligation or restriction.

In the event that such covenants, obligations or restrictions if taken together are considered by a Court to be unreasonable and/or any one of those covenants, obligations or restrictions are deleted, the remaining covenants, obligations or restrictions shall remain applicable.

29. GOVERNING LAW

The Agreement shall be governed by the law specified in Schedule A.

30. DISPUTE RESOLUTION

In the event of a disagreement over the rights of the parties to this contract, the parties agree to resolve the dispute between themselves in good faith. If the dispute cannot be settled through good faith negotiation, the parties agree to settle the dispute through an agreed mediator.

31. WAIVER

If at any time either party does not enforce any term of this Agreement that will not constitute a waiver of their rights. They are still entitled to insist on the performance of that or any other provision of this Agreement.

32. INTERPRETATION OF THIS AGREEMENT

This Agreement contains the entire agreement between the parties in respect of the subject matter of this Agreement. This agreement supersedes any prior agreement or understanding (if any) between the parties and there is no collateral or other form of agreement between the parties in relation to the subject matter of this Agreement.

This Agreement may only be varied in writing and signed by each party.

No rule resolving doubt as to interpretation against the party that prepared this agreement will apply.

Headings are for convenience of reference and will not affect the interpretation of this Agreement.

33. SURVIVAL OF PROVISIONS

Clauses 20, 21, 22, 28, 29, 30, 31, 32, 34, 35, 36, 37, 38 and 39 will survive the termination of the Employee’s employment.

ACCEPTANCE AND SIGNATURE

34. ACCEPTANCE

By signing this Agreement, the Employee confirms that:

• The Employee agrees to all of the terms of this Agreement; • The Employee has the necessary experience, skill, knowledge, expertise and competence to

perform the services outlined in Schedule D; • The Employee agrees that all information given to Coffey orally or in any curriculum vitae, resume

or any other document is accurate is not in any way misleading and discloses all matters relating to the Employee which should have been disclosed or which would or may affect Coffey’s decision to enter into this Agreement to employ the Employee;

• The Employee agrees to accept employment with Coffey on the terms set out in this contract: The Employee agrees that the terms and conditions which are contained in Schedules A, B, C and D equally form part of this Agreement.

Note:

• The Employee must sign the Coffey Code of Conduct which is a separate document and does not form part of this Agreement.

• The Employee must complete and return to Coffey all required forms within 7 days of the date of this Agreement.

• This Agreement operates in conjunction with relevant project, Coffey and Client policies and documents. These policies and documents apply to all employees but do not form a part of this Agreement.

• Upon commencement, the Employee may be required to present evidence of qualifications and driver’s license or passport, so they may be verified for Coffey’s records.

• Coffey reserves the right to conduct police checks and other screening procedures to ensure a zero- fraud and child-safe environment. This Agreement is conditional upon a satisfactory police check.

SCHEDULE A – FURTHER TERMS AND CONDITIONS This schedule includes:

a) Terms and conditions for Fiji; and

b) Special conditions.

1. TERMS AND CONDITIONS FOR FIJI

A. PROBATIONARY PERIOD

Not applicable

B. DAYS AND HOURS OF WORK

A standard working week is 40 hours.

• Workdays are from Monday to Friday. • Daily working hours are normally from 8:00am to 5:00pm with a 1-hour lunch break.

The Employee may be required to work additional hours outside of these times. Additional working hours have been taken into account in setting the Employee’s remuneration.

The specific days or work required will be specified in each Tasking Note issued to the employee for specific assignment for the Services.

C. LEAVE ENTITLEMENTS

Annual Leave

The employee is not entitled to any paid Annual Leave.

Sick Leave

The employee is not entitled to any paid Sick Leave, Family Care Leave or Bereavement Leave

D. TERMINATION OF THE AGREEMENT

Termination for cause

Coffey may terminate this Agreement without notice or payment in lieu of notice in accordance with the Fiji Employment Relations Promulgation 2007 section 33(1):

(a) where the Employee is guilty of gross misconduct;

(b) for wilful disobedience to lawful orders given by the employer;

(c) for lack of the skill or qualification which the employee claims to possess;

(d) for habitual or substantial neglect of duties;

(e) for continual or habitual absence from work without the permission of the employer and without other reasonable excuse.

Some examples include where: • the Employee is intoxicated or under the influence of illegal drugs or drugs which have not been

prescribed while at work;

• the Employee possessing dangerous, harmful or unauthorised materials in the workplace

(including firearms, weapons, drugs and alcohol);

• the Employee is convicted of a serious criminal offence;

• the Employee’s police check is unsatisfactory;

• the Employee commits:

(a) serious breach of the of this Agreement; or

(b) a breach of this Agreement and fails to rectify the breach within 24 hours of receiving notice of the breach;

• the Employee breaches the Coffey Code of Conduct as amended from time to time.

In accordance with the Fiji Employment Relations Promulgation 2007 sections 33 and 34, where the Employee is summarily dismissed for lawful cause, he/she shall be paid on dismissal the wages due to him/her up to the time of his dismissal, and shall be provided with reasons, in writing, for the summary dismissal at the time he/she is dismissed.

Termination without cause

Either the Employee or Coffey may terminate this Agreement by giving the other party one (1) week prior written notice which notice shall specify the date from which the termination is to take effect. Coffey may, at its election, satisfy this notice requirement by payment of one week’s remuneration in lieu of notice.

The Employee may be directed to not attend the workplace for the duration of the notice period.

E. GOVERNING LAW

The Agreement shall be governed by the law of the Republic of the Fiji Islands.

F. FORMS

You are required to complete and return the following documents within 7 days of the date of this Agreement:

• New Employee Details form;

• the prescribed form consenting to Coffey undertaking a police check; and

• Coffey International Development Code of Conduct.

Failure to return these forms within the required timeframe will constitute a breach of this Agreement.
