PURPOSE

The FLORIDA ARTIST GROUP was incorporated as a non-profit organization of practicing artists who had gained recognition nationally or state-wide and whose work would contribute significantly to Its exhibi­tions. The purpose is the stimulation of finer standards of the creative effort within the State of Florida.

ANNUAL SYMPOSIUM

Since 1949, the Florida Artist Group has held a symposium and a members' exhibition each year in a different Florida city. Its educational

and other cultural aims are advocated at these meetings through lec­

tures. panel discussions, films and exhibits. In addition to the Symposium and Exhibition held in the Spring,

area exhibitions and meetings are sponsored at other times in various places in the state. The nature of these meetings follows. in a small way, the character of the Spring meeting. They also serve to bring the members of the organization more closely together.

JURIED SHOWS

To insure an annual exhibition of exceptional quality, the show is juried. The organization always brings in an eminent juror from out-of-state who is primarily associated with art administration, education or a painter or sculptor of national repute. Past locations of Exhibitions have included

the Norton Gallery, Ringling Museum, Cummer Gallery of Art, the Jackson­ville Art Museum. Miami Metropolitan Museum and the Lowe Museum, University of South Florida, University of Florida. Rollins College, Daytona Museum of Arts and Sciences and many other outstanding galleries.

e. Size and weight of entries may be determined by the Symposium Committee and Host Gallery or Museum.

f. If s lides are to be submitted, three (3) s lides are required for three (3) dimensional entries and valid two (2) dimensional entries. One (1) slide for paint ings and/or graph ics.

g. The Symposium Committee may make the decision to allow ei ther co lor or black and white photographs of entries in addition to slides.

12. Designation of Associate Members All publications, membership lists, etc. must be designated associate

members by an asterik. 13. Historian

It is the duty of the Historian who is to be appointed by the President to work with Area Chairmen, to get notices of exhibitions, awards, photos, cli ppings, etc. for the State file. The Historian shall write an annual report on members' activities. Information shall be forwarded to the President for inclusion in Membership News. The slide collection of members' work in the past annual exh ibitions shall be kept by the Historian and made available for use at the Annual Meeting and for Area Meetings, if requested.

14. Exhibition Eligibility All arti st members in good standing are el igible to exhibit in Area and

State exhibi tions. Associate members are not eligible to exh ibi t at any time.

15. Parliamentarian A Parliamentarian is to be appointed by the President every two (2)

years.

ARTICLE IV 1. Headquarters

Headquarters established at time of incorporation at Orlando shall be maintained there or elsewhere in the State of Florida at the city of residence of the presiding President.

PRESIDENT'S MESSAGE

It has been a pleasure and an honor to be President of the Florida Artist Group the past two years. Entering our fifth decade, we are unique in U.S. Art organizations. I am confident our purposes will be continued and expanded in the future.

I would like to thank a ll of you for your support, particularly the Board of Officers and Directors; David W. Peterson, Chairman of the 41st Annual Exhibition, Symposium and Area VII. Without their efforts the Sym­posium would not have been possible.

We are grateful to the Naples Art Gallery, Warren G. Nelson and William B. Spink. Owners/Directors. Thanks to Ted Wolff. our juror and to all the Award sponsors for their contribution.

e. Each Area is requested to maintain at their discretion a scrapbook of Area activities.

10. Standing Committees a. Nominating Committee

The Nominating Committee shall be a st anding committee con­sisting of five (5) members w ho shall be appointed by the Board of Directors at the first Board meeting follow ing the Annual Member­ship Meeting. No more than t wo (2) members of the Board may serve on the Nominating Committee, one (1) to serve as Chairman. Three members of the committee shall const itute a quorum and any action taken by the committee shall be by vote of three (3) or more members. Any vacancy on the committee shall be filled by the Board of Direc­tors. The proposed slate of officers chosen by the Nominating Com­mittee must be final ized in time to be presented to the membership simultaneously wi th the notifi cation of the Annual Membership Meeting. Officers will be elected at the Annual Membership Meeting. Vote by proxy shall be accepted and delivered by the Area Chairmen. Nominations may be made from the f loor and a ballot may be called for by any voting member.

b. Annual Exhibition Committee This committee is c harged with the responsibility of locat ing a

suitable museum, art gallery or college gallery for the Ann ual Exhibition. This committee is further c harged wi th the responsibility of securing an out of state juror of eminence to jury the Annual Exhibition. The comm ittee shall work c losely with the President on these important matters. Pres ident s hall se lect a Chairman of this committee and shall select at least two (2) committee members.

c. By-laws Committee To be appointed by the Board of Directors and to be comprised

of no less than one (1) Board member and no less than one (1) member-at-large. Purpose of thi s committee is to prepare amend­ments and/or revis ions of the by-laws for the vote of the member­s hip at the Annual Membership Meeting. Keep by-laws up to date.

d. State Awards Committee A Chairman of thi s committee shall be appointed by the President

and the Chairman shall choose two (2) members to make up a com­mittee of three (3). This committee shall contact any present award patrons. They shall explore new award money through individuals, corporations, grants, etc. Memorial awards are to be encouraged. A letter of appreciat ion s hall be sent immediate ly to thank donors for their part icipation. l ater in the year all dono rs must be contacted again to confirm their continuing support for the next Spring Annual Exhibition.

11. Rules Governing Annual Exhibition a. The President and the Exhibition Chairman may be included in the

exhibition but may not be in competition. b. An out of state juror is req uired, preferably a museum or gallery direc­

tor o r a prominent nationally known artist painter and/or sculptor. c. The Symposium Chairman and Committee may make the decision

to use slides or not, preferably not, based on factors relevant to Juror's preference, mileage factors, availablity of shuttle service, etc. Suffi­c ient advance notice and entry form s must be mailed to member­ship in order for them to have time to prepare slides.

d. Two (2) entries may be submitted, if feasibile, but ONLY ONE entry per member may be ACCEPTED for the A nnual Exhibition. This is MANDATORY. Juror must be informed of all rulings pertaining to the exhibition in advance through a Guide Sheet.

necessary for the President to appoint a corresponding secretary to fill out the balanc e of an unexpi red term.

b. Executive Committee The officers consti tute the Executive Committee who shall deal

with emergency si tuations as they may arise between meetings of the Board of Directors and shall report all their actions at the next regular or special meeting of the full Board. No officer except the corresponding and/or recording secretary and the treasurer shall serve more than two (2) consecutive terms (4 years) in the same office. Three members of the executive committee shall constitute a quorum.

c. Board of Directors The affairs of the corporation shall be managed by the Board of

Directors. The Board shall include the officers, the State Member· sh ip Chairman, the Area Chairmen, two (2) Directors-at-Large and a representative of a gallery or a museum and/or the Fine Arts depart· ment of an institution of higher education. The entire board shall have equal vot ing rights. Five (5) members shall constitute a quorum and must include two (2) officers.

8. Meetings a. The membership Annual Meeting and Exhibition shal l be held

preferably during April or May, date to be selected at the discretion of the Board. Members must be notif ied by mail at least sixty (60) days in advance.

b. Special meetings may be called by the President or may be called by written petition of fifteen (15) voting members in good standing. Action at special meetings shall not be limited to just the one sub· ject stated as the purpose of the meetings. Refer to Artic le Ill , par. 2 of the By-Laws.

c. Meetings of the Board of Directors shall be called by the President with the necessity for same being determined by the entire Board of Directors. Three (3) meetings are suggested but not mandatory.

d. The Executive Committee shall meet following the Annual Meeting when any new officers assume office.

e. When new officers are elected bi-annually, appointments to the Board of Directors of State Membership Chairman, Area Chairmen, Directors-at-Large and a representati ve of a gallery or a museum and/or the Fine Arts department of an institution of higher educa· tion shall be made withi n three (3) months following the election. Al l d irectors to be notified in writing of their appointments.

9. Area Organizations a. There are presently eight (8) Areas in Florida Artist Group, Inc. The

President appoints a chai rman from each Area to serve unless the Area members prefer to elect their own chairman. Each Area Chair· man sits on the Board of Directors.

b. Each Area has the right of self determination as to organizat ion and make-up.

c. Area Chairmen are to act in behalf of their Area Members, arrangi ng exhibitions, meetings, social affairs, etc.

d. The Areas of Florida Artist Group, Inc. presently are: Area I - Broward, Dade and Monroe Counties. Area II -Palm Beach, Martin, St. Lucie and Okeechobee Counties. Area Ill -Charlotte, DeSoto, Glades, Hardee, Highlands, Manatee

and Sarasota Counties. Area IV - Hi llborough, Pinellas, Pasco, Hernando, Sumter and

Citrus Counties. Area V - Indian River, Brevard, Osceola, Orange, Seminole, Po lk

and Lake Counties. Area VI -Val usia, Flagler, St. Johns, Duval, Nassau, Clay, Putman,

Marion , Alachua, Bradford, Union, Baker, Columbia, Gillchrist , Levy, Dixie, Lafayette, Suwanee, Hamilton Madison and Taylor Counties.

g. Inactive Members Pay dues and join in all activites. NO VOTE. Do not have to subm it

to Annual Exhibition. Any member has the right to request an inactive status due to the fo llowing: out of country, age, i llness, family or business reasons. May regain Active Status upon application to and vote by the entire Board of Directors.

h. Complimentary Members The Art Museum Directors in each Area will automatically be Com­

pl imentary Members of the Florida Arti st Group, Inc. with no vote or exhibiting privileges. The Museums must be accredited Members of the Association of American Museums.

4. Membership Qualifications a. Members must reside in Florida at least six (6) months of each year. b. Membership is by invitation only. c. Prospective members must submit five s lides or photographs of re­

cent art work and a brief resume of professional art experience to their Area Chairman. The Area Chairman and two area members must view the actual art work. After their approval, the slides or photos and resume must be sent to the Florida Artist Group membership comm ittee for majority approval. FULFILLING THE ABOVE QUALIFICATIONS DOES NOT NECES· SARILY GUARANTEE AN INVITATION TO MEMBERSHIP IN THE FLORIDA ARTIST GROUP, INC.

d. Exception The Board of Directors, by unaminous vote of the entire board, may

admit an exceptionally qualified talent into membership. Such a distinquished art ist may be brought to the attent ion of the board by area chairman or the membership chairman with supporting resume of the prospect.

5. Membership Retention a. All members must have dues paid to date to be in good standing. b. All artist members must submit an entry to the annual exhibition at

least once with in three years in order to retain membership except in extenuating c ircumstances su bject to approval of the Board of Directors.

c. Anyone wish ing to petition for reinstatement must contact the Board of Directors through the President. The Board of Directors may act at their qualified discretion.

6. Membership Dues a. Annual membershi p dues are to be set by the Board of Directors. b. Dues will be billed as of September 1st and wil l become due and

payable by October 1st each year. Dues become delinquent as of January 1st each year. Any delinquent members may be dropped from membership roster and must apply for reinstatement.

c. Area Chairmen are to follow through and make sure al l members of their area are paid prior to January 1st of each year. Treasurer shall notify Area Chairmen by October 15th and December 15th of each year of status of Area Members.

d. The sum of $200, more or less as needed, of membership dues is allocated for the President's expenses each year.

e. A percentage of each member's dues per year in the respective areas to be returned to each Area Chairman for expenses. Accounting of these monies to be kept by each Area Chairman.

7. State Organization a. Officers

Officers of the Corporation shall be a pres ident who shall serve, ex-officio, as chairman of the executive committee, a senior vice presi­dent, a vice president, a corresponding secretary and/or a recording secretary, a t reasurer and immediate past president. ONLY full voting members who have served on the Board of Directors for a full term (at any time) may serve as officers except in the event that it becomes

ARTICLE I

As evidenced by the Certification of Incorporation granted by the State of Florida on June 30, 1949 and reincorporated February 3, 1965, the name of this cor­poration shall be:

PURPOSE

Florida Artist Group, Inc. (A Non-Profit Corporation)

ARTICLE II

The purpose of this Corporation is to exemplify the highest standards in exhibit ion of works of art and the stimulation of finer standards of creative effort within the State of Florida.

ARTICLE Ill BY-LAWS

1. The by-laws of this Corporation shall govern the affairs of the organiza­tion. They may be amended or recinded at any annual meeting by majority vote of the membership. Majority vote to be comprised of the votes of members present and/or by proxy.

2. Robert 's Rules of Order (revised) shall be the parlimentary authority when not in conflict with the Charter, the Laws of the State of Florida and the By-Laws of this Corporation.

3. Membership a. Founding Members

Hugh McKean, Hollis Holbrook, Alida Conover, Robert Hunter b. Charter Members

The incorporators named in the Charter are automatically Charter Members as are those elected at the first meeting held June 30, 1949 as officers and members of the Executive Committee. Also those per­sons present and named in the minutes of the first meeting.

c. Members Those arti st members who have met al l the criteria required for

full voting membership and who are in good standing. (Refer to Par. #4 Membership Qualifications)

d. Associate Members Any person who has an interest in the purpose and goals of the

organ ization may be invited to join as a non-voting , non-exhibiting member. An associate member may be active on committees, act as a chairman and help with the business of the organizat ion.

e. Corporate or Institutional Members Those persons who continually contribute generously to the finan­

cial success of the organization's programs. The same voting and exhibiting rights prevail as those for associate members.

f. Honorary Life Members Any member who has given a great amount of time and effort to

further the aims of the organization may be awarded such a member­ship by vote of the members at the annual meeting. There are not dues for this type of membership and the same voting and exhibi­tion rights prevail as before honor was bestowed. Past Presidents who have served a full 2 year term (or more) automatically become Honorary Life Members with the same voting and exh ibiting rights as when serving as President.

ABOUT THE JUROR· 1990

Theodore F. Wolff is the juror of the 41st Annual Exhibition of the Florida Artist Group at the Naples Art Gallery. Mr. Wolff has been the Art Critic of the Christian Science Monitor for the past nine years . Besides weekly reviews, he has written 282 essays entitled "The Many Masks of Modern Art". A book of 50 selections from that series was published last fall. In 1982, he received the National Headliners Award for "Consistently Outstanding Special Column-Art", in 1983, the "Art World Award for Distinguished Newspaper Art Criticism" and in 1989, the Arts Critics Award from the Americ an Association of Feature Editors.

Mr. Wolff has an MS degree in Art and Art History from the University of Wisconsin. Originally a painter, he had gallery representation in San Francisco and New York.

JUROR'S STATEMENT

I seriously studied the Florida Artist Group slides several times, and then once more for the final judgement of entries and awards. This year's exhibition seems to exude "Florida" - warm and sunny.

Actually, I can go even further. "Positive" springs to mind when I think of the entries as a whole, and "highly accomplished" when I think back on those that were accepted. And as for the award winners, well, I never had the slightest doubt about any of them. They all struck me forcibly the minute I laid eyes on them. The only questions I had was the order in which they would finally appear - although I must admit that Gregory Jones' Children Of The Spirit was never in doubt as my top choice.

I have enjoyed the past two years as President largely due to the support and ~elp of the Board in particular; Susan Stair Stevens, Connie Heller, David w. Peter·son, AJ,.ice Durick, Anjal Soler and Marcelle Bear. They made the two Symposiums possible. Thank you and ~11 the .others that helped.

At the May 6th Board Meeting a simplified, more logical procedure to -transfer membership from one Area to another was approved. First: Janeen and Richard Yankowski are transferred from Area III to AreaVII; Fred Messersmith and Marilynne Roland are transferred from Area VI to Area v. In the future transfers have to be submitted to th e Board in writing.

Following through on Olympia Zacchini 1 s suggestion, proposals for an additional show in an out-of-state museum will be sent to the High ~ruseum, Atlanta, G~;the Mint Museum, Charlotte, N.C; the Southeastern Center for Contemporary Art Winston Salem, N.C; the New Orleans Museum of Art and the Chrysler Museum, Norfalk, Va. Any suggestion for additional museums, please send to me. I'll be home mid-October for 5 days.

The 1990-92 slate was approved unamiously, I know Anne w~ll do a superb job as she did 1981 through 84. I'm sure she would appreciate your ideas for the 1991 Symposium and Annual at the Melvin Gallery, Florida Southern College, Lakeland, March 9 - 29 with a theme of architecture which certainly opens up exciting possibilities.

Dorothy Stewart has net been well anough to attend the last two Symposiums. I know she would appreciate hearing from her friends. Besides being President for 6 years, she has done innumerable chores for our group, always efficently and graciously.

A parting thought, this organization is only as active and viable as the par ticipation of all its members. Have a happy, productiTe summer. See you in Lakeland,~
