W elcome to the Fall edition of W4. Now is a great time to redefine

and reshape your business goals. Get ready for the Fall and see how the Chamber can help you reach your full business potential. First, it might be a good idea to look back over the past eight months and see

how your business has performed. Are you where you want to be? Could you be doing more – better? After you have assessed where you’ve been, plan where you want to be, professionally. Perhaps you could write out your plan. The Fall season can be a great time period to re-energize yourself for a strong finish to the year so maybe now is a good time to meet someone for coffee and bounce your ideas off of that person. Is there someone you admire, professionally? Find out their tips and techniques. Send them an email and see if you can connect for a 30 minute cup of coffee. Then, keep them for only 30 minutes. Wrap their advice into your goals. Once you have your fall business plan, visit the Chamber’s website and see how our organization can help you to meet your goals. Mark down dates in your calendar and then attend those functions, armed with a plan of how that event can help move you toward your professional mission. Check out the full list of committees online and see how the one-hour committee meetings can help you with your plans. Maybe there is a committee, like the Film Fest or the Health & Wellness Committee that can serve as a catalyst to your creativity. Or, maybe there is a committee that can help you to connect with your fellow business constituents like Entrepreneurial Assistance or Women in Business. Have you connected with SunBlossom Entertainment to produce your free 30-second video published on the Chamber website? Maybe there are other avenues that could help you to grow your business like taking an advertisement in W4 – check out the online editions; purchasing a subscription to the Chamber mailing labels; or getting some free guidance via the Business Mentor Program. K-N-A Sales

W elcome to Moe’s!” can now be heard on the streets of Doylestown as Moe’s Southwest Grill® opened at 73 Old Dublin Pike, Unit #5 in the

Mercer Square Shopping Center last Wednesday. Unlike other restaurants that may come into a community, the Doylestown Moe’s ushered in a new age of flavor in a big way for community residents. To celebrate the new restaurant, Moe’s hosted two grand opening events on Wednesday, June 18, the day before the official opening date. From 11 a.m. to 2 p.m. that day, Moe’s invited all residents of Doylestown and surrounding communities to a VIP FREE lunch so they can become familiar with the menu. There were no restrictions on the free lunch and Moe’s served over 300 guests, well over what the restaurant anticipated during the three hour promotional event.

Also on June 18, Moe’s hosted an “all you can eat” fundraising dinner from 5 to 8 p.m. As the name implies, guests were able to eat all the fresh and delicious food they wanted for only $10. With one hundred percent of the proceeds going to the charity, guests feverishly filed into Moe’s Wednesday night to support Central Bucks Family YMCA. At the end of the night, Moe’s had raised an impressive $3,000.00 for the group. The donation will fund a service learning trip of Y teens, who will travel to Lima, Peru this summer. In partnership with the YMCA Peru, the youth will be volunteering at a local hospital, a special needs orphanage, building and painting in impoverished areas and working hands-on in a local YMCA summer camp. “A huge thank you to Moe’s Southwest Grill for creating this great opportunity. Funds raised will help develop our young leaders here at the Y and impact special needs youth in Peru,” said Kevin Crail, Senior Director of Youth Development at Central Bucks Family YMCA. The new Moe’s is owned and operated by the franchise group Philmore Southwest, LLC, led by Jeff

Coghlan and Jim O’Brien. Coghlan and his partners also own and operate over 300 Wendy’s restaurants throughout the country. Through their Wendy’s restaurants, the partners have given to countless non-profit organizations and have established a number of charitable programs, notably the Wendy’s Walk For Kids. “This is just the beginning for the Doylestown community, we look forward to giving back to the region and its residents for many years to come. One of our corporate tenants is being community members, not just a brand. We will be giving to a number of not-for-profit and charitable organizations here in the local area. In addition, this is the first of several Moe’s locations we plan on opening in the Philadelphia vicinity and we look forward to giving back even more through additional restaurants. We are proud to be in the region and look forward to serving those in need,” stated Jeff Coghlan, partner in Philmore Southwest, LLC. Title Insurance Who Needs it? What is it?

T itle Insurance is an agreement whereby the insurer, for a valuable consideration, agrees to

indemnify the insured in a specified amount against loss through defects of title to real estate wherein the latter has an interest, either as a

purchaser or otherwise.” Frost on Guaranty Insurance Sec. 162. This definition is probably incomprehensible to most and is emblematic of the lack of interest or understanding about title insurance. Most people and businesses who own real estate are covered under a policy of title insurance. Most are not aware of it. Title insurance is, however, critically important to all real estate transactions’ ownership and financing, whether it be residential or commercial. Title insurance insures that one who purchases real estate is in fact receiving good title, free and clear of defects. It is analogous to a warranty on the title or deed. As a purchaser, title insurance is optional. The additional premium for owner’s coverage is negligible when compared against the amount of money being spent for the purchase of the property.

It is paid at closing and is uniform with all title insurance carriers. On a purchase of $500,000.00, the Owner’s Policy is a little more than one-half of one percent. The premium is paid once and the coverage lasts for the life of ownership of the property. More money is spent annually by owners of real estate for automobile insurance, homeowner’s insurance and life insurance than will be spent at the closing table to insure their largest purchase. Why is this insurance necessary? Simply put, it insures that the largest purchase most people will make in their lifetime is defect free. It insures that ownership to the property will not be questioned; it insures that there are no easements or interests of others which will restrict your use and enjoyment of the property; and it insures that when you sell your property you will not be surprised by title defects which will make your property unmarketable and interfere with the sale. It also protects you against the expense of future litigation. The title insurance company will pay the cost of litigation which may be necessary to defend your ownership interest and use of the property. It can save an owner tens of thousands of dollars in legal fees and costs and preserve a successful sale. W4

Doylestown Tennis Club Handshake and a Prayer

Ed Mullaney has told the story of the history of Doylestown Tennis Club quite a few times since 1973, and with good reason - a great story

should be told over and over. However, many of the articles focused on the financial aspects of how it all began, and the amount of perseverance that went into finally having the dream of owning a business fulfilled. But when I had the pleasure of interviewing Ed and Karen, it was clear that as much as they enjoyed telling the narrative and all of the articles written about it, they hoped that two key points that were often overlooked in the retelling could be shared now: the fact that the business was begun and has succeeded on nothing more than a handshake; and that it may never have begun at all without the help of a prayer. When the corner where the Doylestown Tennis Club stands today was an empty five acre lot, Ed and his friend and future business partner Duane Murner had been trying to decide what type of business they should open and run together. Music? Greeting cards? One February night in 1972 on Ed’s back porch over a cup of coffee, they thought- Indoor Tennis! That seemed to be gaining interest. Not being tennis players themselves didn’t deter them a bit from their determination to make this idea work. They gave themselves a deadline - until the next Christmas - to make it happen. After finding the piece of land that they wanted, Ed and Duane began to ask banks for a mortgage for the building while simultaneously asking investors for capital for the land – quietly letting both assume that the other part had already come through. Duane had kept working during the process, while Ed had quit his career and was living off of a $5000 loan that was dwindling down. By Christmas Eve - their self -imposed deadline - they had not yet found a penny towards a mortgage, or any backers. Duane said, “We’ve called on over 20 banks and thirty-some potential investors. After ten months we have nothing to show for it. Going ahead now would be throwing good money after bad.” Ed agreed but said, “Look, we’ve tried everything we could to make this work, except one. We haven’t prayed on it.” They agreed to go home and pray that night, and if in 48 hours there was still no hope, they’d call it quits. The day after Christmas Ed awoke at 5AM and thought of a book his dear friend and boss, Bob Daly from Scott Paper, had told him about 12 years before - Acres of Diamonds, by Russell Conwell, the founder of Temple University. The story is about not knowing that what you seek may be right in your own backyard. He realized that he and Duane had spoken to over 20 lenders –except for the one in his own backyard. He called as soon as the bank opened, and the rest is history! That bank referred him to another bank, who agreed to a mortgage just as a group of doctors agreed to back the investment, and

literally within 48 hours it had all fallen into place. To this day, Ed is certain that without that prayer it would never have happened. Doylestown Tennis Club just celebrated its 40th Anniversary this past fall, with 4 full time pros, 12 assistant coaches, and 25 other staff. Part of the seven day training each staff member takes is in learning Dale Carnegie’s philosophy, which may be a large part of why the club is so successful, with little turnaround in either staff or membership. The lay out of the club, the two large windows in the clubhouse overlooking each side of the indoor courts with the cozy sitting area in between, were all carefully planned out to be the most comfortable and enjoyable for those both playing and watching. While one of the most unique aspects of Doylestown Tennis Club is their use of the laws of physics to instruct and train each of their members, one could never deny that it is Ed and Karen, and their philosophy of life and love of people, who are the heart of the entire business.. VEG-E Systems, a hydroponic farm located in Bucks County, Pennsylvania, has introduced a new program to bring fresh, local lettuce

T he Central Bucks Family YMCA an important part of the Doylestown landscape. The YMCA strives to

Tips for Back to School Success

I f you’re like most families, you’re saying to yourself, “Where did summer go?”

It seems to fly by faster and faster each year. You may have noticed that the stores are stocked with shiny new notebooks and number 2 pencils. So, it’s time to think about how you can help your

child start the year off on the right foot. Of course, there are differences depending on the age, personality, and special needs of each child. But here are some universal tips that can help every child. #1. Get back on a good sleep schedule. Most families have gotten into a summer sleep routine. As summer winds down, start to gradually work back to what is needed for a solid night’s sleep when school starts. Have a set routine that starts at the same time every night. This allows them to drift off at the right time. Most children do not get enough sleep, which can affect health, mood, cognition, and performance. If your child has a phone or wireless device, have them dock it outside of their room an hour before bedtime. Ideally, younger children should get 10-12 hours of sleep, while teens need to aim for at least 8 hours.

#2. Be sure they are eating well. Often, as they get older, kids will say they’re not hungry for breakfast. However, having some healthy, protein-packed breakfasts that teens can grab on their way out the door helps their brains and bodies get charged up for those early morning classes. Avoid meals that are all carbohydrates and sugar. Peanut butter, eggs, milk, yogurt and nuts all help to give them long lasting energy. Talk to your children about healthy school lunches, whether they pack or buy. It’s important to fuel with healthy food choices, as well as stay hydrated. So, be sure they carry a water bottle and avoid drinking a lot of caffeine. #3. Discuss your child’s goals for the year. What do they want to accomplish academically, socially, personally etc.? For example, “I want to make 3 new friends” or “I want to learn my multiplication tables.” Go into detail about the steps they need to take to get there. Review their progress as the year goes on. #4. Set them up for success. Create a workspace at home for your child and their materials. All school stuff should land there, to avoid things being lost. Depending on your child, it may be somewhere private or they may need to be closer to you for supervision. Silence is not necessary; some children like background music. However, good lighting and limiting distractions, like social media or toys, should be a part of the plan. #5. If your child is anxious, try to visit the classroom, school or even teacher if that is possible, before the first day of school. If there is an older sibling or friend who has been in that grade, as them to talk about their experience, focusing on the positives. If your child is in a new building, you can call ahead and ask to walk around, find classes, and even practice using a locker prior to the first day. #6. Validate your child’s feelings, both positive and negative. Be upbeat and pout allow them to discuss their feelings, without judging or rushing to try to fix or explain them away.

#7. Explore their extracurricular activities and the workload involved. If they haven’t done them before, ask the coach/instructor or an experience peer about what is truly involved before committing. Strike a realistic balance, even if it means cutting out or limiting some things they like. Help your child to understand that the order of their priorities needs to be their health (physical, emotional and social) first, academics second, and then extracurriculars. #8. Get the basics for school, but don’t go overboard. Often, teachers add specific items later. Frequently, things from last year can be re-used. As far as clothing, many kids will modify their style after school starts and won’t need fall items for at least a couple months. Focus on items that help your child be organized. #9. Discuss expectations for homework. Many kids work best in small bursts. So for younger kids, it might be 10 minutes of homework, then take a short break. For older teens, they may be able to do 30 minutes, then take a 10 minute texting and snack break. Encourage your child to think about how they work best, and then guide them toward a plan. #10. Manage your own emotions. How do you feel about your child heading back to school? Relieved? Anxious? Overwhelmed? What was your school experience and does it influence how you feel about your child and the grade they are entering? How do you feel about summer ending? Regrets? Sad? Be aware of how you are feeling and know that your child can pick up on your emotions. I wish you and your child a positive start to the school year! Business Notes Raphael Architects of Doylestown, will serve as lead architect for the design and construction of the North Penn YMCA’s new Lansdale facility, a $6 million capital project that calls for major renovations to 26,600sf of existing YMCA space and 11,250sf of new construction. The North Penn Y’s initiative is one portion of a challenging $27.5 million construction project that will provide affordable senior housing, a senior activity center and food pantry/soup kitchen through three other community nonprofits. Teenagers want to know that we adults really understand them and their journey through adolescence. After all, every one of us has seven years of experience being a teenager! And so, when as parents, educators, employers, therapists etc, we engage teens as they are rather than as how we wish them to be, they begin to understand that we understand them because we have been there ourselves. And of course this is the latest science! The teenage brain is not yet an adult brain. Adolescents can’t possibly think like us. So engage teens based on how they think rather than on how we adults think. And it’s not just about drug abuse. Virtually all bullying arises from the teen peer culture itself. How about suicide? The best suicide prevention trump card a parent can play is to cultivate a positive relationship with your teen’s friends and peers (park your ego at the door!). Teens always know, and they have been known to refuse to leave suicide-thinking friends alone in order to prevent a tragedy. How do we start? Can you remember the intensity of being a teenager? The instantly changing up-and-down emotional surges and mood swings? When you were in your own (real) world with your friends did the adults’ demeanor show they understood your absolute need ( compulsion?) to be who you were ( at that time in your life)? A teenager? Can you remember? Did the adults engage you with adult reasoning and adult logic and so you feigned attentiveness but almost immediately tuned out? Did they “talk down” to you or act as if you were somehow in their way? Were you just someone “to be managed”? Or were there people around you who almost immediately made you feel understood and secure (its called trust!)? All of us adults have the ability to follow current science and create a climate within which teens become much more resistant to all the temptations that litter the teen pathway to adulthood. (You yourself were pretty much able to do it because you wouldn’t be reading these words if you weren’t a survivor). But it’s a difficult journey especially in today’s world where many of the guardrails have been destroyed and the ditches along the way are dark and deep. So—can you let go of the baggage from your past? First, forgive yourself for whatever “mistakes” you may have made back then. You weren’t playing with a full deck! You were in the game but were trying to bat with a hockey stick and play shortstop with a lacrosse net! It was all about learning. All teens struggle daily to learn social constraints on their behavior. Just like you did…You were steering the ship with a teenage brain. You were an apprentice slowly learning the game of life. Do you feel guilty about all the times you crashed while learning to ride a two wheeler? So why now? Question: If it’s just LEARNING why do we adults so quickly rush to judgment? About ourselves and others? If you're still with me, and interested, access the interview with a mother trained in our system on our website. And the Therapeutic Community article, which is the foundation for Peer Integration Therapy©, which teaches us how to penetrate (infiltrate?) the teen peer culture itself and turn it from an absolute negative into an absolute positive. There is indeed a pathway for us adults to follow in addressing the scourge of teen heroin addiction, and a way to be proactive

rather than always reactive. But it begins with us and not them. And it's not an easy walk.

Community ReportA Woman’s Place Celebrates Grand Re-Opening of Thrift Shop

A Woman’s Place, the only domestic violence community benefit organization in Bucks County, is counting down the days till the

grand opening of the organization’s newly designed and relocated thrift shop. Previously known as Full Circle, the new store, In Full Swing, is located at 225 West State Street in Doylestown. A Woman’s Place’s Executive Director, Ifeoma U. Aduba is excited to unveil the new space, stating, “Being In Full Swing is all about moving forward and flourishing. This new location features more space, an improved layout, convenient donation drop-off, and is right in line with our vision – our shoppers, each individual we serve, and our community flourishing.” In Full Swing boasts a wide variety of new and gently used clothing for men, women, and children. Shoppers don't need to break the bank to add some of the trendiest styles to their closet! They can also choose from a variety of housewares and jewelry. The store will open with the best in fall and back-to-school fashions for all ages. In Full Swing accepts donations during regular store hours. Revenue that’s generated supports the organization’s services and programs throughout Bucks County. In addition to

The Five Things Every Business Owner Should Know Before Selling Their Company

M ost business owners think they know what their firm is worth – or worse, don’t think it is very important. Unfortunately, both

approaches are equally disastrous. You only get one chance to sell your firm and it must be done correctly in order to maximize the financial return. The first and most important step is to know exactly what the organization is worth as an ongoing concern and how it will be perceived by the buying community. Starting with this key issue, here are the 5 most important things that every business owner should know and realize before attempting a sale: 1. Industry ‘Rules of Thumb’ Regarding Valuation are Essentially Meaningless These type of value approximations might be comforting to the business owner, but have little basis in analytical fact finding and should certainly not be used to make a sales decision. Even if an owner (or their very qualified CPA) thinks they can determine the valuation correctly, their opinion does not carry much weight in the eyes of the people who ultimately matter – namely the buyers. An independent 3rd party accredited fair-market appraisal is the key component and sets the stage for maximum financial return and an efficient transaction. “Without this in place”, says Achim Neumann, President of A Neumann & Associates, New Jersey “the buyer will almost always request their own valuation which is a seller’s nightmare as this is done prior to the seller having an offer in front of him. If they don’t, then the SBA most certainly will request one as a prerequisite to obtaining funding for the transaction.” It is to the business seller’s great advantage to have this vital analysis in place prior to entering the market – full value is obtained and a quicker closing is achieved. 2. A Local Competitor is NOT the Most Likely Buyer Another common misconception is that a major competitor will be the ultimate buyer. “Over the past 10 years, the sellers have actually previously known the buyer in less than 10% of all our closed transactions over 450 offices nationwide” adds Neumann. For a seller to enter into the market with a preconceived notion as to who the buyer will be only limits the market and the resulting opportunities. 3. Cash Flow (and Not Tangible Assets) is King Assets are nice, but cash flow is king! “Sellers Discretionary Cash Flow (SDCF)” – in short, the total profit, compensation and benefits paid to the owner – is the driving force for market valuation. If total tangible assets outweigh the ongoing concern value of the business, then a liquidation sale will yield a higher value. “The most desirable situation is for a company to have a solid asset base and have that base generate high profit margins which translate into significant cash flow to ownership,” says Michael Feite, Managing Director, with A Neumann & Associates. Once again, the independent valuation process will properly determine and itemize the components of SDCF and ensure that the business is presented at its maximum value. When positioning a company for

sale, it is very important to show every possible dollar and make sure of accuracy and supportability. There are NO ignorant buyers and any deception will surely be brought to light in the due diligence phase. 4. A Letter of Intent is a One-Way Street “At A Neumann & Associates, we only deal with firm Offers to Purchase” stresses Neumann. “The reason is simple, really. A weak Letter of Intent only binds the seller and literally takes the business off the market while the buyer contemplates more. This is simply unacceptable for any serious seller.” A formal Offer to Purchase (OTP) provides a strong deal framework and is usually accompanied by earnest funds deposited into the attorney’s escrow account. Most importantly, the OTP (signed by both parties) details specific date deadlines for financing, definitive agreement, due diligence and the closing. Because this document is so strong it ultimately reduces legal fees and shortens the timeframe to a successful closing. 5. Selling a Business is Not a One Person Job As a business owner, it goes without saying that your primary focus should always be on the performance of the company. This is never more vital than when trying to sell the company as the most recent performance will be scrutinized most heavily by any potential investor. Without a professional team in

place to properly value and market the sale, the business owner is left with performing both tasks. The usual result is both efforts suffer. Proper valuation, comprehensive marketing package, market reach, marketing strategy, buyer qualification, confidentiality, deal structure, tax implications, deal negotiation, financing, due diligence, legal support – these are among the many ingredients to an efficient business transfer. A professional M&A advisor along with a trusted CPA and legal council is the proper team to handle this mission. A well-positioned intermediary working on behalf of the seller allows that business owner do fully concentrate efforts on the performance of the company. The task is challenging even with that team – almost impossible without. “Time is the enemy of every deal” says Feite. “These issues and suggestions are all designed to help the business owner know exactly what goes into the process and the importance of correctly managing the landmines along the way.” If done properly, an efficient transaction is possible – one that quickly maximizes profit in a confidential manner and meets the ultimate goals of the business owner. The Joseph Ambler Inn10 Minutes from Doylestown!

T he Joseph Ambler Inn, with its picturesque setting, deep-rooted history and quiet beauty, is a place where tradition creates memories.
