RE: Budget Amendment - Software Interface between EMD/EFD and CAD

Columbia County uses an El\ID/EFD system from Priority Dispatch called ProQA and the SmartCop CAD system made by CTS America. CTS America provided a "legacy' software interface for the two systems to communicate. However, as the EMD/EFD software was updated, CTS America did not upgrade the interface. The version of EMD/EFD currently used by the County is no longer supported or maintained and the County cannot move to the current ,-ersion ,vi.th the current interface. This also means that we cannot use the updated medical protocols in the current ProQA version. Our ;\Iedical Director highly recommends the County use the updated emergency medical protocols for liability reasons.

CTS America has just completed the certified new "Paramount" interface ,vith ProQA. CTS America charges a one-time Sl0,000 fee for the new software interface with an annual S2,000 maintenance cost. This was not included in the current FY budget because CTS America did not ha,-e the new certified interface at the time and no one, including CTS America, knew that there would be a cost associated with the new interface. Beginning in FY2016, we will include the S2,000 annual maintenance fee. The annual maintenance fee ,vi.11 prm-ide for future certified interface upgrades ,vhen they become necessary.

The 911 Combined Communications Department requests the Columbia County Board of County Commissioners to apprm-e a Scope of Work Modification worksheet to the current CTS America contract for the certified ProQ~\ Paramount interface and annual maintenance. The 911 Combined Communications Department further requests the Columbia County Board of County Commissioners to approve a Budget Amendment for Sl0,000 for the certified ProQA Paramount interface.

Explanation of Work to be Performed

This Change Order is being issued to formally document and outline the terms for the purchase of the ProQA Paramount Interface by Columbia County Sherriff's Office for use with the CTS SmartCAD {Computer Aided Dispatch) system currently in use.

Upon receipt of a Purchase Order, CTS America will deploy an updated version of SmartCAD that contains a Platinum level certified ProQA Paramount to Columbia County Sheriff's Office. Purchase price for the interface is $10,000.

ProQA periodically makes changes to Paramount. When these changes are made, CAD vendors must go through a re-certification process. In order to maintain ProQA Platinum level certification for the interface, a $2,000 annual maintenance fee is required to cover any and all changes made by ProQA to maintain the Platinum level certification.

Exclusions: Please note that this Change Order is ONLY for the work described above. All other work other than explicitly specified above, is excluded from this Change Order

3. This PERMITTEE shall commence actual construction in good faith within _l!l__ days after issuance of pennit, and shall be completed within 30 days after pennitted work has begun. If the beginning date is more than 60 days from date of permit approval, then PERMITIEE must review the pennit with the Columbia County Public Works Director to make sure no changes have occurred in the transportation facility that would affect the pennitted construction.

4. The construction and maintenance of such utility shall not interfere with the property and rights of a prior PERMITTEE.

5. It is expressly stipulated that this pennit is a license for permissive use only and that the placing of utilities upon public property pursuant to this permit shall not operate to create or vest any property right in said holder.

6. Pursuant to Section 337.403(1), Florida Statutes, whenever necessary for the construction, repair, improvement, maintenance, safe and efficient operation, alteration or relocation of all, or any portion of said transportation facility as determined by the Columbia County Public Works Director and/or County Engineer, any or all utilities and appurtenances authorized hereunder, shall be immediately removed from said transportation facility or reset or relocated thereon as required by the Columbia County Public Works Director and/or County Engineer and at the expense of the PERMITIEE.

7. In case of non-compliance with the County's requirements in effect as of the approval date of this pennit, this pennit is void and the facility will have to be brought into compliance or removed from the right of way at no cost to the County.

8. It is understood and agreed that the rights and privileged herein set out are granted only to the extent of the County's right, title and interest in the land to be entered upon and used by the PERMITTEE, and the PERMITTEE will, at all times, and to the extent pennitted by law, assume all risk of and indemnify, defend, and save hannless the Columbia County Board of County Commissioners from any and all loss, damage, cost or expense arising in any manner on account of the exercise or attempted exercise by said PERMITTEE of the aforesaid right and privileges.

9. During construction, all safety regulations of the County shall be observed and the PERMITTEE must take measures, including placing and the display of safety devices that may be necessary in order to safely conduct the public through the project area in accordance with the Federal Manual on the Unifonn Traffic Control Devices, as amended for highways.

10. Should the PERMITTEE be desirous of keeping its utilities in place and out of service, the PERMITTEE, by execution of this pennit acknowledges its present and continuing ownership of its utilities located between

NIA and N/ A within the County's right of way as set forth above. PERMITTEE, at its sole expense, shall promptly remove said out of service utilities whenever Columbia County Public Works Director and/or County Engineer detennines said removal is in the public interest.

11. Special instruction: Minimum cover of thirty inches (30") will be required at all locations. Columbia County will not be fmancially responsible for any damage to facilities with less than thirty inch (30") cover. Cables shall not be located within driveway ditches.

I. Permittee declares that prior to filing this application it has determined the location of all existing utilities, both aerial and underground and the accurate locations are shown on the plans attached hereto and made a part of this application. 2. The Columbia County Public Works Director shall be notified twenty-four (24) hours prior to starting work and again immediately upon completion of work. The Public Works Director is Kevin Kirby ----------located at 607 NW Quinten St, Lake City, FL Telephone Number 386-719-7565 ___ The PERMITTEE's employee responsible for Maintenance of Traffic is Larry Henderson Telephone Number 904-380-6368 (This name may be provided at the time of the 24 hour notice to starting work.)

3. This PERMITTEE shall commence actual construction in good faith within _30_ days after issuance of permit, and shall be completed within 90_ days after permitted work has begun. If the beginning date is more than 60 days from date of permit approval, then PERMITTEE must review the permit with the Columbia County Public Works Director to make sure no changes have occurred in the transportation facility that would affect the permitted construction.


5. It is expressly stipulated that this permit is a license for permissive use only and that the placing of utilities upon public property pursuant to this permit shall not operate to create or vest any property right in said holder.

6. Pursuant to Section 337-403(1), Florida Statutes, whenever necessary for the construction, repair, improvement, maintenance, safe and efficient operation, alteration or relocation of all, or any portion of said transportation facility as determined by the Columbia County Public Works Director and/or County Engineer, any or all utilities and appurtenances authorized hereunder, shall be immediately removed from said transportation facility or reset or

relocated thereon as required by the Columbia County Public Works Director and/or County Engineer and at the expense ofthe PERMJITEE.

7. In case of non-compliance with the County's requirements in effect as of the approval date of this permit, this permit void and the facility will have to be brought into compliance or removed from the right of way at no cost to the County.

8. It is understood and agreed that the rights and privileges herein set out are granted only to the extent of the County's right, title and interest in the land to b entered upon and used by the PERMIITEE, and the PERMIITEE will, at all times, and to the extent permitted by law, assume all risk of and indemnify, defend, and save harmless Columbia County, Florida from any and all loss, damage, cost or expense arising in any manner on account of the exercise or attempted exercise by said PERMIITEE ofthe aforesaid right and privileges.

9. During construction, all safety regulations of the County shall be observed and the PERMIITEE must take measures, including pacing and the display of safety devices that may be necessary in order to safely conduct the public through the project area in accordance with the Federal Manual on Uniform Traffic Control Devices, as amended for highways.

IO. Should the PERMIITEE be desirous of keeping its utilities in place and out of service, the PERMIITEE, by execution of this permit acknowledges its present and continuing ownership of its utilities located between ________ and within the County's right of way as set forth above. PERMIITEE, as its sole expense, shall promptly remove said out of service utilities whenever Columbia County Public Works Director and/or County Engineer determines said removal is in the public interest.

11. Special instructions: Minimum cover ofthirty inches (30'') will be required at all locations. Columbia County will not be financially responsible for any damage to facilities with less than thirty inches (30") cover. Cables shall not be located within driveway ditches.

Permittee declares that prior to filing this application it has determined the location of all existing utilities, both aerial and underground and the accurate locations are shown on the plans attached hereto and made a part of this application. 2. The Columbia County Public Works Director shall be notifies twenty-four (24) hours prior to starting work and again immediately upon completion of work. The Public Works Director is Kevin Kirby located at P.O. Box 969, Lake City, FL 32056 Telephone Number (386) 752-5955 The PERMITTEE's employee responsible for Maintenance of Traffic is Randy Vaughn • Telephone Number (352) 336-5548 (This name may be provided at the time ofthe 24 hour notice to starting work).

3. This PERMITTEE shall commence actual construction in good faith within _lQ_days after issuance of permit, and shall be completed within _@__ days after permitted work has begun. If the beginning date is more than 60 days from date of permit approval, then PERMITTEE must review the permit with the Columbia County Public Works Director to make sure no changes have occurred in the transportation facility that would affect the permitted construction.

4. The construction and maintenance of such utility shall not interfere with the property and rights of a prior PERMIITEE.


6. Pursuant to Section 337.403(1), Florida Statutes, whenever necessary for the construction, repair, improvement, maintenance, safe and efficient operation, alteration or relocation of all, or any portion of said transportation facility as determined by the Columbia County Public Works Director and/or County Engineer, any or all utilities and appurtenances authorized hereunder, shall be immediately removed from said transportation facility or reset or relocated thereon as required by the Columbia County Public Works Director and/or County Engineer and at the expense of the PERMITTEE.

7. In case of non-compliance with the County's requirements in effect as of the approval date of this pennit, this pennit is void and the facility will have to be brought into compliance or removed from the right of way at no cost to the County.

8. It is understood and agreed that the rights and privileged herein set out are granted only to the extent of the County's right, title and interest in the land to be entered upon and used by the PERMITfEE, and the PERMITTEE will, at all times, and to the extent pennitted by law, assume all risk of and indemnify, defend, and save harmless the Columbia County Board of County Commissioners from any and all loss, damage, cost or expense arising in any manner on account of the exercise or attempted exercise by said PERMITTEE of the aforesaid right and privileges.

9. During construction, all safety regulations of the County shall be observed and the PERMITTEE must take measures, including placing and the display of safety devices that may be necessary in order to safely conduct the public through the project area in accordance with the Federal Manual on the Uniform Traffic Control Devices, as amended for highways.

I0. Should the PERMITTEE be desirous of keeping its utilities in place and out of service, the PERMITTEE, by execution of this pennit acknowledges its present and continuing ownership of its utilities located between

NIA and N/ A within the County's right of way as set forth above. PERMITIEE, at its sole expense, shall promptly remove said out of service utilities whenever Columbia County Public Works Director and/or County Engineer determines said removal is in the public interest.

11. Special instruction: Minimum cover of thirty inches (30") will be required at all locations. Columbia County will not be financially responsible for any damage to facilities with less than thirty inch (30") cover. Cables shall not be located within driveway ditches.

Pennittee declares that prior to filing this application it has determined the location of all existing utilities, both aerial and underground and the accurate locations are shown on the plans attached hereto and made a part of this application. 2. The Columbia County Public Works Director shall be notified twenty-four (24) hours prior to starting work and again immediately upon completion of work. The Public Works Director is Kevin Kirby ----------located at 607 NW Quinten St, Lake City, FL Telephone Number 386-719-7565 ___ The PERMITTEE's employee responsible for Maintenance of Traffic is Larry Henderson Telephone Number 904-380-6368 (This name may be provided at the time of the 24 hour notice to starting work.)

3. This PERMITTEE shall commence actual construction in good faith within _30_ days after issuance of permit, and shall be completed within 90_ days after permitted work has begun. If the beginning date is more than 60 days from date ofpennit approval, then PERMITTEE must review the permit with the Columbia County Public Works Director to make sure no changes have occurred in the transportation facility that would affect the permitted construction.



6. Pursuant to Section 337-403( I), Florida Statutes, whenever necessary for the construction, repair, improvement, maintenance, safe and efficient operation, alteration or relocation of all, or any portion of said transportation facility as determined by the Columbia County Public Works Director and/or County Engineer, any or all utilities and appurtenances authorized hereunder, shall be immediately removed from said transportation facility or reset or

relocated thereon as required by the Columbia County Public Works Director and/or County Engineer and at the expense ofthe PERMITTEE.

7. In case of non-compliance with the County's requirements in effect as of the approval date of this pennit, this pennit void and the facility will have to be brought into compliance or removed from the right of way at no cost to the County.

8. It is understood and agreed that the rights and privileges herein set out are granted only to the extent of the County's right, title and interest in the land to b entered upon and used by the PERMITTEE, and the PERMITTEE will, at all times, and to the extent pennitted by law, assume all risk of and indemnify, defend, and save hannless Columbia County, Florida from any and all loss, damage, cost or expense arising in any manner on account of the exercise or attempted exercise by said PERMITTEE ofthe aforesaid right and privileges.

9. During construction, all safety regulations of the County shall be observed and the PERMITTEE must take measures, including pacing and the display of safety devices that may be necessary in order to safely conduct the public through the project area in accordance with the Federal Manual on Unifonn Traffic Control Devices, as amended for highways.

10. Should the PERMITTEE be desirous of keeping its utilities in place and out of service, the PERMITTEE, by execution of this pennit acknowledges its present and continuing ownership of its utilities located between ________ and within the County's right of way as set forth above. PERMITTEE, as its sole expense, shall promptly remove said out of service utilities whenever Columbia County Public Works Director and/or County Engineer determines said removal is in the public interest.

11. Special instructions: Minimum cover ofthirty inches (30") will be required at all locations. Columbia County will not be financially responsible for any damage to facilities with less than thirty inches (30") cover. Cables shall not be located within driveway ditches.

RE: Copier Lease Agreement

The lease on the Emergency Management copier will expire soon and it is time to replace the copier. This copier is funded through the state EMPA grant. Emergency Management is looking to replace the existing copier with a color copier and finisher that can be connected to the computer network. This will enable Emergency Management to shift large print jobs from desktop computer printers to a copier that can handle the volume (EM plans, training manuals, grant applications, etc.). Currently, large, multi copy jobs are taken to commercial printing establishments.

The 911 Center has such a copier in the dispatch area. 1be 911 Center uses their machine as a copier, printer and fax for regular communications with the Sheriffs Office and for large volume print jobs. This machine is in good shape but shmving signs of wear. Because the Center produces a significantlr larger quantity of copies than Emergency Management produces, these two Departments propose mm-e the copier from the Dispatch room to Emergency Management and place the new copier in the 911 Center.

'Ibis will increase the cost to Emergency Management by S49.53 per month (cm-ered by grant) for the next 21 months. The vendor ,vill then provide 911 Dispatch with a heavier duty, higher speed machine as well as a backup machine -- a black and white copy/fax/printer -- for an increase of S43.89 per month for 60 months. Both Departments are able to absorb the increase. 1bis action will place the ne,ver machine in the high demand area and move the older machine to a lower demand location.

The 911 Combined Communications Center requests the Columbia County Board of County Commissioners approve a new 60 month lease agreement from r-.Iarcotek Digital Office Solutions for a Xerox W7855PT at $213.59 per month and modify the existing 911 Combined Communications Center lease of a Xerox to reflect placement in the Emergency Management Department for 21 months at $219.23 per month.

I would like to upgrade the copier/scanner/printer/fax in dispatch and now seems like an opportune time due to some extenuating circumstances. The contract on the B&W copier we have at the Center for Emergency Management has expired. Shayne is seeking to upgrade this copier to a color machine with a finisher. EM produces far less copies that dispatch therefore the machine we currently have in dispatch would suit EM's needs. J have spoken with our Xerox representative Keith Norris, and have obtained a quote to upgrade the machine in dispatch to a faster more substantial machine and transfer the old machine with the upgrade of adding a finisher to EM along with the remainder of the existing contract. I have spoken with Shayne and he is amicable to this and believes our existing machine would be sufficient for him.

The current lease amount for the copier in dispatch is $169. 70 per month which will increase to $219.23 upon transferring it to EM with the addition on the finisher for the remaining 21 months on the current lease. The new machine for dispatch will lease for $213.59 a monthly for 60 months, an increase of$43.89. However in addition Xerox is willing to throw in a smaller B&W Phaser 3320 fax/copier/printer in addition to the new machine to serve as a backup to the new machine in case we experience an outage or issue with the new machine for some reason so that dispatch is not without this essential piece of equipment until Xerox can effect repairs.

I believe that this is a fiscally responsible way of in effect upgrading two departments at a relatively minimal cost the County. The 911 Center should be able to absorb this minimal increase in our contractual services budget and Shayne has verified that his budget can absorb the increase as well.

Terms and Conditions INTRODUCTION: 1. NEGOTIATED CONTRACT. The Products are subject solely lo the terms in the Negotiated Contract identified on the face of this Agreement, and, for any option you have selected that is not addressed in the Negotiated Contract, the then-current standard Xerox terms for such option. GOVERNMENT TERMS: 2. REPRESENTATIONS & WARRANTIES. This provision is applicable to governmental entities only. You represent and warrant, as of the date of this Agreement. that: (1) you are a State or a fully constituted political subdivision or agency of the State in which you are located and are authorized to enter into, and carry out, your obligations under this Agreement and any other documents required to be delivered in connection with this Agreement (collectively, the "Documents"); (2) the Documents have been duly authorized, executed and delivered by you in accordance with all applicable laws. rules, ordinances and regulations (including all applicable laws governing open meetings, public bidding and appropriations required in connection with this Agreement and the acquisition of the Equipment) and are valid, legal, binding agreements. enforceable in accordance with their terms; (3) the person(s) signing the Documents have the authority lo do so. are acting with the full authorization of your governing body and hold the offices indicated below their signatures. each of which are genuine; (4) the Equipment is essential to the immediate performance of a governmental or proprietary function by you within the scope of your authority and will be used during the Term only by you and only lo perform such function; (5) your payment obligations under this Agreement constnute acurrent expense and not a debt under applicable state law and no provision of this Agreement constilutes a pledge of your tax or general revenues, and any provision that is so construed by a court of competent jurisdiction is void from the inception of this Agreement; and (6) all payments due and to become due under this Agreement are payable from sources other than ad valorem laxes. Your payment is due within 45 days of the invoice date. 3. FUNDING. This provision is applicable to governmental entities only. You intend lo remn and reasonably believe that moneys in an amount sufficient to remit all payments due and to become due during the Term can and will lawfully be appropriated and made available to permit your continued utilization of the Products and the performance of ns essential function during the Term. The person in charge of preparing your budget will include in each of your fiscal budgets a request for the payments due and to become due under this Agreement in such fiscal period. You acknowledge that appropriation of moneys for payment required under this Agreement is a governmental function that you cannot contractually commit lo in advance, and this Agreement does not constitute: (1) a multiple fiscal year direct or indirect debt or financial obligation; (2) an obligation payable in any fiscal year beyond the fiscal year for which funds are lawfully appropriated; or (3) an obligation creating a pledge of or a lien on your tax or general revenues. If your governing board does not approve an appropriation of funds at any time during the Term for payments due and lo become due for a fiscal year during the Term, you will have the right terminate this Agreement on the last day of lhe

fiscal period for which sufficient appropriations were received without penalty or expense to you, except as to the portion of payments required hereunder for which funds have been appropriated and budgeted. If you elect to terminate this Agreement you will return the Equipment, at your expense, to a location designated by Xerox and, when returned, the Equipment will be in good condition and free of all liens and encumbrances. You will then be released from any further payment obligations beyond those payments due for the current fiscal year (with Xerox retaining all sums paid to date). At least 30 days prior to the end of your fiscal year, your chief executive officer (or legal counsel) will certify in writing that (a) despite reasonable efforts to obtain sufficient appropriations, funds have not been appropriated for the ensuing fiscal period, and (b) you have exhausted all funds legally available for the payment of amounts due and to become due under this Agreement. To the extent permitted by applicable law, you will not use this non-appropriation provision as a substitute for convenience termination. PRICING PLAN/OFFERING SELECTED: 4. PRICE INCREASES. Xerox may annually increase the maintenance component of the Minimum Payment and Print Charges. For Application Software, Xerox may annually increase the software license or support fees. These adjustments will occur al the commencement of each annual contract cycle. GENERAL TERMS & CONDITIONS: 5. REMOTE SERVICES. Certain models of Equipment are supported and serviced using data that is automatically collected by Xerox or transmitted to or from Xerox by the Equipment connected to Customer's network ("Remote Data") via electronic transmission to a secure off-site location ("Remote Data Access"). Remote Data Access also enables Xerox lo transmit lo Customer Releases for Software and lo remotely diagnose and modify Equipment to repair and correct malfunctions. Examples of Remote Data include product registration, meter read. supply level, Equipment configuration and settings, software version, and problem/fault code data. Remote Data may be used by Xerox for billing. report generation, supplies replenishment, support services, recommending additional products and services. and product improvemenVdevelopment purposes. Remote Data will be transmitted to and from Customer in a secure manner specified by Xerox. Remote Data Access will not allow Xerox lo read, view or download the content of any Customer documents or other information residing on or passing through the Equipment or Customer's information management systems. Customer grants the right to Xerox, without charge, to conduct Remote Data Access for lhe purposes described above. Upon Xerox's request, Customer will provide contact information for Equipment such as name and address of Customer contact and IP and physical addresses/locations of Equipment. Customer will enable Remote Data Access via a method prescribed by Xerox, and Customer will provide reasonable assistance lo allow Xerox lo provide Remote Data Access. Unless Xerox deems Equipment incapable of Remote Data Access, Customer will ensure that Remote Data Access is maintained al all limes Maintenance Services are being performed.

&. TAX TREATMENT. Xerox has accepted this Agreement based on your representation that Xerox may claim any interest paid by you as exempt from federal income tax under Section 103(c) of the Internal Revenue Code ("Code"). You will comply with the information reporting requirements of Section 149(e) of the Code. Such compliance includes the execution of 8038-G or 8038-GC Information Returns. You appoint Xerox as your agent to maintain, and Xerox will maintain, or cause 10 be maintained. a complete and accurate record of all assignments of this Agreement in form sufficient lo comply with the book entry requirements of Section 149(a) of the Code and the regulations thereunder from time to lime. Terms and Conditions INTRODUCTION: 1. TOTAL SATISFACTION GUARANTEE. If you are not totally satisfied with any Xerox-brand Equipment delivered under this Agreement, Xerox ~I. at your. request, replace it without charge with an identical model or, at Xerox's option, with Xerox Equipment with comparable features and capabilities. This Guarantee applies only to Xerox-brand Equipment that has been continuously maintained by Xerox under this Agreement or a Xerox maintenance agreement. For "Previously Installed" Equipment. this Guarantee will be effective for 1year after installation. For all other Equipment, this Guarantee will be effective for J years after installation unless the Equipment is being financed under this Agreement for more than 3years. in which event it will expire at the end of the initial Term of this Agreement. 2. MODIFICATION OF PRIOR AGREEMENT. This Agreement modifies a prior agreement between you and Xerox for the Products identified as "Modifies Prior Agreement". The prior agreement will remain in effect except that any terms in this Agreement that conflict with or are additive to the prior agreement will control. You may be charged a one-time administrative/processing fee for the modification of a prior agreement. GOVERNMENT TERMS: 3. REPRESENTATIONS & WARRANTIES. •11:onvenience termination. SOLUTION/SERVICES:5. PRODUCTS. "Products" means the equipment ("Equipment"). Software and supplies identified in this Agreement. You agree the Products are for your business use (not resale) in the United States and its territories and possessions ru.S.1 and will not be used for personal. household or family purposes. &. CONSUMABLE SUPPLIES. If "Consumable Supplies" is identified in Maintenance Plan features, Maintenance Services will include black toner and/or solid ink and color toner and/or solid ink, if applicable rconsumable Supplies"). Highlight color toner, clear toner. and custom color toner are excluded. Depending on the Equipment model, Consumable Supplies may also include developer, fuser agent, imaging units, waste cartridges, transfer rolls. transfer belts, transfer units, belt cleaner, maintenance kits. print Cartridges, drum Cartridges. waste trays and cleaning kits. Xerox may charge a shipping and handling fee for Consumable Suppfies. Consumable Supplies are Xerox's property until used by you, and you will use them only with the Equipment for which "Consumable Supplies" is identified in Maintenance Plan Features. If Consumables Supplies are furnished with recycling information, Customer will return the used item to Xerox for remanufacturing. Shipping information is available at Xerox.com/GWA. Upon expiration of this Agreement. Customer will include any unused Consumable Supplies with the Equipment for return to Xerox at the time of removal. If your use of Consumable Supplies exceeds Xerox's published yield by more than 10%, Xerox will notify you of such excess usage. If such excess usage does not cease within 30 days after such notice. Xerox may charge you !or such excess usage. Upon request, you will provide current meter reads and/or an inventory of Consumable Supplies in your possession. 7. CARTRIDGES. If Xerox is providing Maintenance Services for Equipment utilizing cartridges designated by Xerox as customer replaceable units, including copy/print cartridges and xerographic modules or fuser modules rcartridges1. you agree to use only unmodified Cartridges purchased direcdy from Xerox or its authorized resellers in the U.S. Cartridges packed with Equipment and replacement Cartridges may be new. remanufactured or reprocessed. Remanufactured and reprocessed Cartridges meet Xerox's new Cartridge performance standards and contain new or reprocessed components. To enhance print quality, Cartridge(s) for many models of Equipment have been designed to cease functioning at a predetermined point. In addition, many Equipment models are designed to function only with Cartridges that are newly manufactured original Xerox Cartridges or with Cartridges intended for use in the U.S. 8. MAINTENANCE SERVICES. Except for Equipment identified as "No Svc.", Xerox (or a designated servicer) will keep lhe Equipment in good working order rMaintenance Services") The provision of Maintenance Services is contingent upon Customer facilitating timely and efficient resolution of Equipment issues by: (a) utilizing Customer-implemented remedies provided by Xerox; (b) replacing Cartridges; and (c) providing information to and implementing recommendations provided by Xerox telephone support personnel. If an Equipment issue is not resolved after completion of (a) through (c) above, Xerox will provide on-site support as provided herein. Maintenance Services will be provided during Xerox's standard working hours in areas open for repair service for the Equipment. Maintenance Services excludes repairs due to: (i) misuse. neglect or abuse; (ii) failure of the installation site or the PC or workstation used with the Equipment to comply with Xerox's published specifications; (iii) use of options. accessories or products not serviced by Xerox; (iv) non-Xerox alterations, relocation, service or supplies; or (v) failure to perform operator maintenance procedures identified in operator manuals. Replacement parts may be new. reprocessed or recovered and all replaced parts become Xerol's property. Xerox will, as your exclusive remedy for Xerox's failure to provide Maintenance Services, replace the Equipment with an identical model or. al Xerox's option, another model with comparable features and capabilities. There will be no additional charge for the replacement Equipment during the remainder of the initial Term. If meter reads are a component of your Maintenance Plan. you will provide them using the method and frequency identified by Xerox. If you do not provide a meter reading for Equipment not capable of Remote Data Access. or if Remote Data Access is interrupted, Xerox may estimate the reading and bil you accordingly. 9. EQUIPMENT STATUS. Unless you are acquiring 'Previously Installed" Equipment. Equipment will be (1) 'Newly Manufactured". which may contain some reconditioned components; (2) 'Factory Produced New Model", which is manufactured and newly serialized at a Xerox factory, adds functions and features to a product previously

disassembled to a Xerox predetermined standard, and contains new and reconditioned components; or (J) "Remanufactured", which has been factory produced following disassembly to a Xerox predetermined standard and contains new and reconditioned components. 10. SOnwARE LICENSE. Xerox grants you a non-exclusive, non-transferable license to use in the U.S.: (a) software and accompanying documentation provided with Xerox-brand Equipment ("Base Software· ) only with the Xerox-brand Equipment with which it was delivered; and (b) software and accompanying documentation identified in this Agreement as •Application Software· only on any single unit of equipment for as long as you are current in the payment of all applicable software license fees. "Base Software· and "Application Software· are referred to collectively as "Software". You have no other rights and may not: (1) distribute, copy, modify. create derivatives of, decompile, or reverse engineer Software; (2) activate Software delivered with the Equipment in an inactivated state; or (J) allow others to engage in same. Title to, and all intellectual property rights in, Software will reside solely with Xerox and/or its licensors (who will be considered third-party beneficiaries of this Section). Software may contain code capable of automatically disabling the Equipment. Disabling code may be activated if: (x) Xerox is denied access to periodically reset such code; (y) you are notified of a default under this Agreement; or (z) your license is terminated or expires. The Base Software license will terminate; (i) if you no longer use or possess the Equipment; (ii) you are a lessor of the Equipment and your first lessee no longer uses or possesses it; or (iii) upon lhe expiration or termination of this Agreement, unless you have exercised your option to purchase the equipment. Neither Xerox nor its licensors warrant that Software will be free from errors or that its operation will be uninterrupted. The foregoing terms do not apply to Diagnostic Software or to software/documentation accompanied by a clickwrap or shrinkwrap license agreement or otherwise made subject to a separate license agreement. 11. SOnwARE SUPPORT. Xerox (or a designated servicer) will provide the software support set forth below ("Software Support"). For Base Software, Software Support will be provided during the initial Term and any renewal period but in no event longer than 5 years after Xerox stops taking customer orders for the subject model of Equipment. For Application Software. Software Support will be provided as long as you are current in the payment of all applicable software license and support fees. Xerox will maintain a web-based or toll-free hotline during Xerox's standard working hours to report Software problems and answer Software-related questions. Xerox, either directly or with its vendors. will make reasonable ellorts to: (a) assure that Software performs in material conformity with ~s user documentation; (b) provide available workarounds or patches to resolve Software performance problems; and (c) resolve coding errors for (i) the current Release and (ii) the previous Release for a period of 6 months after the current Release is made available lo you. Xerox will not be required to provide Software Support if you have modified the Software. New releases of Software thal primarily incorporate compliance updates and coding error fixes are designated as "Maintenance Releases· or "Updates·. Maintenance Releases or Updates that Xerox may make available will be provided at no charge and must be implemented within six months. New releases of Software that include new content or functionality ("Feature Releases") will be subject lo additional license fees at Xerox's then-current pricing. Maintenance Releases. Updates and Feature Releases are collectively referred to as "Releases". Each Release will be considered Software governed by the Software License and Software Support provisions of this Agreement (unless otherwise noted). Implementation of a Release may require you lo procure. at your expense. additional hardware and/or software from Xerox or another entity. Upon instaHation of a Release. you will return or destroy all prior Releases. 12. DIAGNOSTIC SOFTWARE. Software used to evaluate or maintain the Equipment ("Diagnostic Software") is included with lhe Equipment. Diagnostic Software is a valuable trade secret of Xerox. Title to Diagnostic Software will remain with Xerox or its licensoo. Xerox does not grant you any right to use Diagnostic Software. and you will not access. use, reproduce, distribute or disclose Diagnostic Software for any purpose (or allow third parties to do so). You will allow Xerox reasonable access to the Equipment to remove or disable Diagnostic Software if you are no longer receiving Maintenance Services from Xerox, provided that any on-site access to your facility will be during your normal business hours PRICING PLAN/OFFERING SELECTED: 13. COMMENCEMENT & TERM. This Agreement is valid when accepted by Xerox. The Term for each unit of Equipment wil commence upon: (i) the delivery of customer-installable Equipment; or (ii) the installation of Xerox-installable Equipment ("Commencement Date") and will continue for the number of full calendar months

shown as "Lease Term· on the face of this Agreement. Any partial month in the Term will be billed on a pro rata basis, based on a JO day month. Unless either party provides notice of termination at least thirty days before the expiration of the initial Term, it wiU renew automatically on a month-to-month basis on the same terms and conditions. During this renewal period. either party may terminate the Equipment upon at least JO days notice. Upon termination. you will make the Products available for removal by Xerox. Al the time of removal, the Equipment will be in the same condition as when delivered (reasonable wear and tear excepted). 14. PAYMENT. Payment (including applicable Taxes) is due within JO days after the invoice date, with all charges being billed in arrears. This Agreement will not be automatically renewed. 15. LATE CHARGE. If a payment is not received by Xerox within 10 days after the due date. Xerox may charge, and you will pay. a late charge of 5% of the amount due or $25, whichever is greater. 16. FIXED PRICING. If "Pricing Fixed for Term" is identified in Maintenance Plan Features. the maintenance component of the Minimum Payment and Print Charges will not increase during the inltial Term of this Agreement. 17. DELIVERY, REMOVAL & RELOCATION. Equipment prices include standard delivery charges and, for Xerox-owned Equipmen~ standard removal charges. Charges for non-standard delivery or removal and for any Equipment relocation are your responsibility. Relocation of Xerox-owned Equipment must be arranged (or approved in advance) by Xerox and may not be to a location outside of the U.S. 18. TAXES. You will be responsible for all appticable taxes, fees or charges of any kind (including interest and penalties) assessed by any governmental entity on this Agreement or the amounts payable under this Agreement ("Taxes"), which will be included in Xerox's invoice unless you timely provide proof of your tax exempt status. Taxes do not include personal property taxes in j.Jrisdictions where Xerox is required to pay personal property taxes. and taxes on Xerox's income. 19. PURCHASE OPTION. If not in default, you may purchase the Equipmen~ "AS IS, WHERE IS" and WITHOUT ANY WARRANTY AS TO CONDITION OR VALUE. al the end of the inltial Term for the "Purchase Option· indicated on the face of this Agreement (i.e., either a set dollar amount or the fair market value of the Equipment at the expiration of the initial Term), plus all applicable Taxes. 20. DEFAULT & REMEDIES. You will be in default under this Agreement if (1) Xerox does not receive any payment within 15 days after the dale it is due. or (2) you breach any other obligation in lhis or any other agreement with Xerox. If you default, Xerox may. in addition to its other remedies (including cessation of Maintenance Services). remove the Equipment at your expense and require immediate payment. as liquidated damages for loss of bargain and not as a penalty, of: (a) all amounts then due, plus interest from the due dale until paid at the rate of 1.5% per month; (b) the Minimum Payments (less the Maintenance Services and Consumable Supplies components thereof. as reflected on Xerox's books and records) remaining in the Term, discounted at 4% per annum; (c) the applicable Purchase Option; and (d) all applicable Taxes. You will pay all reasonable costs, including attorneys' fees, incurred by Xerox to enforce this Agreement. If you make the Equipment available for removal by Xerox within JO days after notice of default, in the same condition as when delivered (reasonable wear and tear excepted), you will receive a credit for the fair market value of the Equipment as determined by Xerox, less any costs incurred by Xerox. 21. DATA SECURITY. Certain models of Equipment can be configured to include a variety of data security features. There may be an additional cost associated with certain data security features. The selection. suitability and use of data security features are solely Customer's responsibility. Upon request. Xerox will provide additional information to Customer regarding the security features available for particular Equipment models. GENERAL TERMS & CONDITN>NS: 22. NON-CANCELABLE AGREEMENT. your financial condition. 24. LIMITATION OF LIABILITY. Except for liability under lhe indemnification obligations set forth in this Agreement. Xerox will not be liable to you for any direct damages in excess of $10,000 or the amounts paid hereunder, whichever is greater. and neilher party will be liable to the other for any special, indirect, incidental, consequential or punitive damages arising out of or relating to this Agreement. whether the claim alleges tortious conduct (including negligence) or any other legal theory. Any action you take against Xerox must be commenced within 2years after the event that caused it. 25. CREDIT REPORTS. You authorize Xerox or its agent to obtain credit reports from commercial credit reporting agencies. 26. FORCE MAJEURE. This Agreement is a "finance lease" under Article 2A of the Uniform Commercial Code and, except to the extent expressly provided herein, and as permitted by applicable law. you waive all of your rights and remedies as a lessee under Article 2A. 29. INTELLECTUAL PROPERTY INDEMNITY. Xerox will defend, and pay any settlement agreed to by Xerox or any final judgment for, any claim that a Xerox-brand Product infringes a third party's U.S. intellectual property rights. You will promptly notily Xerox of any alleged infringement and permit Xerox to direcl the defense. Xerox is not responsible for any non-Xerox litigation expenses or settlements unless it pre-approves them in writing. To avoid infringement. Xerox may modily or substilute an equivalent Xerox-brand Product. refund the price paid for the Xerox-brand Product (less the reasonable rental value for the period it was available to you}, or obtain any necessary licenses. Xerox is not liable for any infringement based upon a Xerox-brand Product being modified 10 your specifications or being used or sold with products not provided by Xerox. 30. TITLE & RISK OF LOSS. Until you exercise your Purchase Option: (a) title to Equipment will remain with Xerox; (b) Equipment will remain personal property; (c) you will not attach the Equipment as a fixture to any real estate; (d) you win not pledge, sub-lease or part with possession of it. or file or permit to be filed any lien against it; and, (e) you will not make any permanent alterations to it. Risk of loss passes to you upon delivery and remains with you until Xerox removes the Equipment. You will keep the Products insured against loss or damage and the policy will name Xerox as a loss payee. 31. ASSIGNMENT. Excepl for assignment by Xerox to a parent, subsidiary or affiliate of Xerox, or to securitize this Agreement as part of a financing transaction ("Permitted Assignment'), neither party will assign any of its rights or obligations under this Agreement without the prior written consent of the other party. In the event of a Permitted Assignment (a} Xerox may, without your prior written consent, release lo the proposed assignee information it has about you related to this Agreement; (b) the assignee will have all of the rights but none of the obligations of Xerox hereunder; (c) you will continue to look to Xerox for performance of Xerox's obligations, including the provision of Maintenance Services; (d} you waive and release the assignee from any claim relating to or arising from the performance of Xerox's obligations hereunder; (e) you shall not assert any defense, counterclaim or setoff you may have against an assignee; and (I) you will remit payments in accordance with instructions of the assignee.

32. MISCELLANEOUS. Notices must be in writing and will be deemed given 5 days after mailing, or 2days after sending by nationally recognized overnight courier. Notices will be sent to you at the "Bill to" address identified in this Agreement, and to Xerox at the inquiry address set forth on your most recent invoice, or to such other address as either party may designate by written notice. You authorize Xerox or its agents to communicate with you by any electronic means (including cellular phone, email, automatic dialing and recorded messages) using any phone number (including cellular) or electronic address you provide to Xerox. This Agreement constitutes the entire agreement as to its subject matter, supersedes all prior oral and written agreements, and will be governed by the laws of the State of New York (without regard to conHict-of-law principles). In any action to enforce this Agreement, the parties agree (a) to the jurisdiction and venue of the federal and state courts in Monroe County. New York, and (b) to waive their right to a jury trial. If a court finds any term of this Agreement unenforceable, the remaining terms will remain in effect. The failure by either party to exercise any right or remedy will not constitute a waiver of such right or remedy. Each party may retain a reproduction (e.g., electronic image, photocopy, facsimile) of this Agreement which will be admissible in any action to enforce it, but only the Agreement held by Xerox will be considered an original. Xerox may accept this Agreement either by signature or by commencing performance. Changes to this Agreement must be in writing and signed by both parties. Any terms on your ordering documents will be of no force or effect. The following four sentences control over every other part of this Agreement. Both parties will comply with applicable laws. Xerox will not charge or collect any amounts in excess of those allowed by applicable law. Any part of this Agreement that would. but for the last four sentences of this Section. be read under any circumstances to allow for a charge higher than that allowed under any applicable legal limit. is modified by this Section to limit the amounts chargeable under this Agreement to the maximum amount allowed under the legal limit. If, in any circumstances, any amount in excess of that allowed by law is charged or received, any such charge will be deemed limited by the amount legally allowed and any amount received by Xerox in excess of that legally allowed will be applied by Xerox to the payment of amounts legally owed under this Agreement, or refunded to you. 33. REMOTE SERVICES. Certain models of Equipment are supported and serviced using data that is automatically collected by Xerox or transmitted to or from Xerox by the Equipment connected to Customer's network ('Remote Data") via electronic transmission to a secure off-site location ("Remele Data Access"). Remote Data Access also enables Xerox to lransmit to Customer Releases for Software and 10 remotely diagnose and modily Equipment to repair and correct maWunctions. Examples of Remote Data include product registration, meter read, supply level, Equipment configuration and settings, software version. and problem/fault code data. Remote Data may be used by Xerox for billing, report generation, supplies replenishment, support services, recommending additional products and services, and product improvement/development purposes. Remote Data will be transmitted to and from Customer in a secure manner specified by Xerox. Remote Data Access will not allow Xerox to read, view or download the content of any Customer documents or other information residing on or passing through the Equipment or Customer's information management systems. Customer grants the right to Xerox, without charge, to conduct Remote Data Access for the purposes described above. Upon Xerox's request, Customer will provide contact information for Equipment such as name and address of Customer contact and IP and physical addresses/locations of Equipment. Customer will enable Remote Data Access via a method prescribed by Xerox, and Customer will provide reasonable assistance to allow Xerox to provide Remote Data Access. Unless Xerox deems Equipment incapable of Remote Data Access. Customer will ensure that Remote Data Access is maintained at all times Maintenance Services are being performed.

Financial Information 34. TAX TREATMENT. Xerox has accepted this Agreement based on your representation that Xerox may claim any interest paid by you as exempt from federal income tax under Section 103(c) of the Internal Revenue Code ("Code"}. You will comply with the information reporting requirements of Section 149(e) of the Code. Such compliance includes the execution of 8038-G or 8038-GC Information Returns. You appoint Xerox as your agent to maintain, and Xerox will maintain, or cause to be maintained, a complete and accurate record of all assignments of this Agreement in form sufficient to comply with the book entry requirements of Section 149(a) of the Code and the regulations thereunder from time to time. Should Xerox lose the benefit of this exemption as a result of your failure to comply with or be covered by Section 103(c) the Code or the regulations thereunder, then, subject to the availability of funds and upon demand by Xerox, you will pay Xerox an amount equal to its loss in this regard. 1.0 Purpose

The E911 Rural County Grant Program is to assist rural counties with the installation and maintenance of an Enhanced 911 (E911) system and to provide "seamless" E911 throughout the State of Florida.

2.0 Eligibility

The Board of County Commissioners in any county in the State of Florida with a population of less than 75,000 as per the most recent published data from the Florida Association of Counties' directory is eligible to apply for this grant program. Funding priorities are established in Addendum I.

3.0 Definitions

A Enhanced 911 (E911 ): As defined by subsection 365.172(3)(h), Florida Statutes, and as referenced in the State E911 Plan under section 365.171, Florida Statutes.

8. E911 Maintenance: Means the preventative, routine and emergency maintenance required by the State E911 Plan, in order to maintain the E911 System in operable working condition.

C. E911 System: Means the Public Safety Answering Point equipment, in accordance with the State E911 Plan, including 911 call routing, processing, mapping and call answering communications equipment.

D. Next Generation 911 (NG-911 ): Means the designation for an advanced 911 emergency communications system or service that provides a communications service subscriber with 911 service and, in addition, directs 911 emergency requests for assistance to appropriate public safety answering points based on the geographical location from which the request originated, or as otherwise provided in the State E911 Plan under Section 365.171, Florida Statutes, and that provides for automatic number identification and automatic location identification features and emergency data information through managed IP-based networks.

E. Public Safety Answering Point (PSAP): As defined by paragraph 365.172(3)(y), Florida Statutes, and as referenced in the State E911 Plan under section 365.171, Florida Statutes.

General Conditions

The applicant must provide one original of the pages for Application Form items 1 through 14 and the associated quotes. The grant application package must be postmarked or delivered on or before April 1 or October 1 of each year, dependent on the spring or fall application period. Failure to provide these documents will result in automatic rejection of the grant application. One scanned copy of the entire submitted package should also be provided on a CD-ROM, to ensure quality of the documents to be reviewed.

The E911 Board will consider remotely provided hosted 911 answering point call-taking equipment and network services directly attributable to establishing and provisioning E911 or NG-911 services. Warranty and maintenance costs shall be calculated to account for only the first year warranty and maintenance costs and shall not include upfront maintenance costs to reduce the yearly service amount.

All grant applications shall be accompanied by at least one complete quote for equipment or services. Grant applications totaling $35,000.00 or more must be accompanied by at least three written substantiated competitive complete quotes from different vendors. Complete quote submittals shall include a detailed scope of work, all pages included in the vendor proposal, breakdown of all costs including equipment, service tasks and deliverables. The E911 Board will compare the three quotes to any existing state contract in order to determine appropriate funding. Any county that has made a good faith effort to obtain at least three competitive quotes and has not been able to obtain the quotes can request E911 Board review based on substantiated proof of request for quotes or posting of the request with documentation of the limited responses.

If the grant application does not exceed the threshold amount of $195,000, the county can initiate a request for approval for sole source funding. These will be considered on a case-by-case basis. Justification for sole source funding shall be provided with the application. Sole source will be approved if provided in accordance with Chapter 287, Florida Statutes, or with provision of a letter from the county's purchasing department that the project is a sole source procurement based on the county's purchasing requirements, which shall be provided with this grant application.

Rather than submitting multiple application requests for maintenance, all eligible maintenance requests should be combined into a single application request and include a breakdown of the individual components of the E911 system maintenance costs that are requested for funding assistance in the application. Grant applications for maintenance, where the county obtained a grant or utilized county funds to purchase equipment and obtained three competitive quotes for the first year of maintenance, or met the requirements of General Conditions items 5.4 or 5.5, are not required to provide three written quotes with an application for an additional year of maintenance.

5. 7 All maintenance requests should include on the vendor's quote for service the beginning and ending term for each maintenance request. Grant awards will be limited to maintenance contracts beginning prior to or within the maintenance cycle of the grant program. Spring cycle maintenance requests should be submitted for maintenance beginning May through October. Fall cycle maintenance requests should be submitted for maintenance beginning November through April. Complete quote shall include a detailed scope of work, all pages included in the vendor proposal, breakdown of all costs including equipment, service tasks and deliverables.

5.8 Applicants requesting items from different funding priorities should complete a separate application for each priority. See Addendum I - Funding Priorities for the E911 Rural County Grant Program for a listing of funding priorities. Items from the same funding priorities should be combined in the same application and shall comply with General Condition items 5.4 and 5.5.

5.9 Should two or more rural counties jointly apply for a grant, each county will be required to complete and submit a grant application detailing the funds requested and the county responsible for the funds. In addition one combined grant application detailing the entire project and a memorandum of understanding of all counties involved shall be submitted. The combined grant application shall comply with General Condition items 5.4 and 5.5.

5.1 O Procurement shall be based on the county's purchasing requirements and the applicable State purchasing requirements, including Section 112.061, Florida Statutes. All travel and associated per diem costs proposed shall be in compliance with General Conditions item 6.3.5.

5.11 Funding application requests must include a scope of work that clearly establishes the tasks to be performed. The applications shall include all tasks that are required for successful completion of the project. The project shall be divided into quantifiable units of deliverables that shall be received and accepted in writing by the county before payment. Each deliverable must be directly related to the scope of work and must specify the required minimum level of service to be performed and the criteria for evaluating the successful completion of each deliverable.

5.12 Funding requests must include all necessary costs required for full implementation of the proposed solution including that of any third party. Should the county grant application request or grant award be less than the projected cost of the equipment or service, the county should provide verification of the ability to fund the difference. Pricing submitted cannot be contingent upon "yet to be" determined fees for products and services by the proposer or any other third party required for implementation.

5.13 The county shall provide information on the county's preceding year E911 fee revenue amount, the preceding year carry forward funding amount and the total carry forward balance amount in the county E911 fund. The amount of grant funding award, for allowable carry forward expenditures, is limited based on the total amount of carry forward funding in the county E911 fund in excess of an amount calculated based on the allowable 30 percent carry forward amount for a two year basis. The county shall include the amount of their county carry forward funding being utilized for this grant in the Applied County Carry Forward or other Funding (if applicable) line in the Application Form item #12. Budget/Expenditure Report.

5.14 Detailed information is required for any grant application requesting funding for systems that require immediate system replacement for provisioning of enhanced 911 in the county. Include detailed justification and explanation for any E911 system with an expected remaining life of less than 1 year.


5.15 Funding requests contingent upon "beta testing" or for products and services not in general production and installation will not be funded.

6.0 Limitation on Use of Funds

6.1 Only eligible expenses for E911 service listed in subsection 365.172(10), Florida Statutes, (Appendix I) that are not specifically excluded in this application will be funded.

6.2 Specifically excluded E911 expenses:

6.2.1 Salaries and associated expenses for 911 coordinators and call takers or other 911 personnel will not be funded.

6.2.2 Wireline database costs from the local exchange carrier, vehicle expenses, outside plant fiber or copper cabling systems, consoles, workstation furniture and aerial photography expenses will not be funded.

6.3 Funding limitations are specified on the following items:

6.3.1 Grant funding shall be limited to eligible equipment maintenance and warranty costs for a primary PSAP and one other PSAP per county; either a primary, a secondary or a backup.

6.3.2 Grant funding shall be limited to eligible mapping maintenance and warranty costs for a primary PSAP and one other PSAP per county; either a primary, a secondary or a backup.

6.3.3 Grant funding for customer premises equipment shall be limited (per grant cycle) to eligible expenditures for a primary PSAP only.

6.3.4 Training cost funding is limited to new system & equipment training.

6.3.5 The allowable grant funding for travel expenses is limited to the authorized amounts established in Section 112.061, Florida Statutes, and the Department of Financial Services Guidelines for State Expenditures. Allowable costs for daily per diem shall not exceed $186.00.

7.0 Approval and Award

7.1 The E911 Board will review each application for compliance with the requirements of terms and conditions.

7.2 Grant awards will be withheld for any county that has a grant with a past-due quarterly report or past-due final documentation and closeout of previous rural county grant awards.

7.3 Applications will be awarded based upon the priorities set by the E911 Board as listed in Addendum I - Funding Priorities for the E911 Rural County Grant Program.

minimum system requirements for performing the needed E911 function as specified in the State E911 Plan, or documented factors provided in the grant application submission.

Any county that requires Board of County Commissioner approval of the grant program funding, prior to commencement of the project, shall notify the E911 Board in Application Form item #10. Grant funds for approved grant applications will be held until the county provides written notification to the E911 Board of the Board of County Commissioners approval of the project prior to the funds being disbursed from the E911 Trust Fund.

Any conditional hold, for documentation submittal referenced in 7.2 and 7.5, is limited to the last regularly scheduled E911 Board meeting application vote established in the grant program calendar.

Financial and Administrative Requirements

Grant funds shall be provided on a cost reimbursement basis. Grant funds shall be deposited in an interest bearing account maintained by the grantee, and each grant shall be tracked using a unique accounting code designator for deposits, disbursements and expenditures assigned by the county. All grant funds in the account maintained by the grantee shall be accounted for separately from all other funds. Any interest generated shall be returned to the E911 Board.

Each grantee may submit reimbursement claims to the E911 Board as needed; however claims are limited to one request per month. Receipt of reimbursement funds from the E911 Board is contingent on the timely and accurate submittal of funding requests. Requests for reimbursement of expenditures must be submitted on the approved Appendix IV Financial Reimbursement of Expenditures Reporting Form. Incomplete claims forms or claims not submitted on the correct form cannot be processed and will be returned for corrections. Submit only for the amounts in each budget categories in which you have incurred expenditures.

Upon written request and accompanying documentation justifying the need, a county may receive a payment of funding with a completed Expenditures Reporting Form, with the vendor invoice, and county certification that the specific grant items including all tasks and deliverables included in the funding request are complete. Within 45 days of transfer of funding or the check date, the grantee shall submit verification of payment to the vendor.

Reimbursement claims shall include only expenditures claimed against the specific grant number awarded and include copies of purchase orders and paid vouchers, invoices, copies of check processing, journal transfers. To assure prompt processing, complete reimbursement claims should be e-mailed to:

Grant funds, can only be used between the beginning and ending dates of the grant term, unless the E911 Board authorizes an extension. The right to incur costs under this grant expires two years from receipt of award and funds. The grantee may not incur costs and request payment or final reimbursement of funding past the expiration date.

Responsibility for grant funding and any failure to perform the minimum level of service required by the grant application and the application scope of work cannot be transferred under any circumstances from the County. Failure to perform the scope of work or expenditure of funds for other than allowable 911 costs as stated in the grant application shall require the county to return the awarded funds to the E911 Board.


8. 7 Responsibility for property and equipment obtained under a grant cannot be transferred under any circumstances. If a sale or transfer of such property or equipment occurs within five years after a grant ends, funds must be returned to the E911 Board on a pro rata basis.

8.8 The grantee agrees that any improvement, expansion or other effect brought about in whole or part by grant funds will be maintained for a minimum of five years or thereafter until the effective replacement date of the system.

8.9 If a grantee materially fails to comply with any term of an award, the Board shall take one or more of the following actions, as appropriate in the circumstances:

Temporarily withhold grant payments pending grantee correction of the deficiency, Disapprove all or part of the cost of the activity or action not in compliance, Suspend or terminate the current award for the grantee's project, Suspend or deny future grant awards.

The Board will provide the grantee an opportunity for a hearing, appeal, or other administrative proceeding to which the grantee is entitled under Florida Statute or regulation applicable to the action involved.

8.10 Grant awards may be terminated in whole or in part by the Board, with the consent of the grantee, in which case the two parties shall agree upon the termination conditions, including the effective date and in the case of partial termination, the portion to be terminated. Grant awards may be terminated by the grantee upon written notification to the Board, detailing the reasons for such termination, the effective date, and return of all funding.

8.11 Grant funds provided in excess of the amount to which the actual cost incurred to meet the terms and conditions of the grant agreement must be refunded to the E911 Board and sent to the Florida E911 Board's Post Office Box address:

The refund shall include transmittal information detailing the amount of returned funds that are excess grant funding and/or returned interest and shall include the number of the associated grant.

9.0 Grant Reporting Procedures

9.1 Grantees will be required to submit quarterly reports summarizing cumulative expenditures and status of the grant project. Quarterly reports shall include an updated Application Form item #12 Budget/Expenditure Report and a completed Appendix Ill Quarterly Report Form.

9.1.1 Reporting will begin at the conclusion of the first full quarter after the award. The report periods will end on March 31, June 30, September 30, and December 31 of each year. Reports are due within 30 days of the ending report period.

9.1.2 Earned interest shall be reported cumulatively and included with each quarterly report.

At project completion, a final report shall be submitted based on the same reporting requirements described in grant reporting item 9.1. The county shall determine the final completion date based on the final payment date, or the initiation date of the warranty period. Final documentation including copies of all expenditures and corresponding invoices shall be submitted within 90 days of the final report.

Change requests shall be submitted prior to deviation from any awarded grant applications. No changes or departures from the original request are authorized unless approved in writing by the E911 Board. Such requests shall be submitted using the form attached in Appendix II, Request for Change Form. Any unauthorized change shall require the return of grant funds, plus any interest accrued.

9.3.1 Time extension requests will not be granted unless the county has executed a contract for the grant equipment and/or services, or demonstrates good cause for failure to execute a contract within twelve months of award. Good cause documentation shall include a new project timeline schedule.

9.3.2 Time extensions shall be limited to a maximum of one additional year when approved by the E911 Board.

9.3.3 Request for Change forms and associated information should be e-mailed to E911 [email protected].

The Appendix Ill Quarterly Report Form shall inform the E911 Board of significant impacts to grant supported activities. Significant impacts include project status developments affecting time schedules and objectives, anticipated lower costs or producing beneficial results in addition to those originally planned. Additionally, problems, delays, or adverse conditions which will materially impair the ability to meet the timely completion of the award must be reported. The disclosure must include a statement of the action taken, or contemplated, and any assistance needed to resolve the situation.

The county's Board of County Commission chairperson shall be notified when overdue quarterly reports or final reports are not received before the next E911 Board meeting following the month after the end of the quarter in which they are due.

Funding continuance will be based on timely submission of quarterly reports.

Final document submission and close-out of a grant does not affect the E911 Board's right to disallow costs and recover funds on the basis of an audit or financial review. The county shall remain obligated to return any funds expended that do not comply with the terms and conditions of the grant award.

5. Describe your county's existing E911 system. Include specific information on existing system equipment upgrades and when the installation of this equipment was completed.

Columbia County operates a Type 4 Enhanced 911 System with state of the art geo-diverse, Airbus DS Communications (formerly Cassidian) Sentinel Patriot 911 equipment which was installed in 2010. It includes a seven (9) position primary PSAP center and, as the County Center is the only PSAP in Columbia County, a four (4) position side B Auxiliary PSAP designed and engineered to provide redundancy and minimize the chances of a total 911 system outage. The County also utilizes two (2) Exacom G2 Time Gate logging recorders which were installed in July 2012 and 2013 respectively. AT&T provides the 911 circuits, ANI/ALI data and selective routing services.

6. Describe the scope of work for the proposed project including any goal(s) and objectives. Include the tasks to be performed as part of the project. Provide scope of work in quantifiable units of deliverables that shall be received and accepted. For each deliverable specify the required minimum level of service to be performed and the criteria for evaluating the successful completion of each deliverable.

Columbia County's E-911 system is currently maintained under contract with AK Associates. The scope maintains the E-911 system and provides Airbus OS Communications support for the four (4) positions on Auxiliary Side Bas well as VESTA Locate Mapping, Aurora, VISTA Analytics and support and ORION Date sync. It also includes provisions of Exacom "Second Tier" support for the primary Exacom logging recorder used for 911. The goal of this grant project is to renew the maintenance and support agreements with AK associates to insure the continued functionality of the E-911 system in Columbia County.

The scope includes Airbus DS Communications support ofthe 911 CPE and logging recorder (Exacom) support. The goal ofthis grant project is to renew the maintenance and support agreements to insure the continued functionality ofthe £911 system in Columbia County. Routine and emergency maintenance shall be provided for all £911 systems, including: • Comprehensive 24/7 telephone supports. • Weekly on-site preventive maintenance service during regular business hours. • Parts, materials and Tier I & II maintenance and emergency service support on Cassidian

and Exacom 911 equipment. • Software patches, fixes, upgrades and Tier 1 & II maintenance support on Cassidian and

Exacom 911 equipment. The maintenance support will be monitored and reviewed monthly with the vendor to assure the level ofservice is provided and the system is being maintained in operable working conditions.

7. Justification of the need for the proposed project. Provide detailed information on the existing system's condition including a detailed justification for any system with an expected remaining life of less than 1 year.

Without the Airbus OS Communications, Exacom, Aurora, VESTA Analytics and VESTA locate map support, Columbia County would not be able to effectively maintain the County's E-911 system.

8. Describe why your county will not be able to complete this project without this grant funding.

The 911 fee revenues received do not cover all of the cost associated with provision and maintenance of the E-911 system in Columbia County. Additional funding assistance is needed to cover these maintenance cost. County funds are not allocated for these items and are limited in our rural county.

9. Briefly describe how this grant project would be in concurrence with the State E911 Plan.

In the State E-911 Plan, coordinators are required to develop and maintain plans to limit the impact of system failures and expedite restoration of E-911 services. Our comprehensive equipment maintenance agreement currently in place with AK Associates addresses this requirement. It is our goal to continue to provide reliable, uninterrupted 911 services. The grant funding will provide the equipment maintenance and emergency repair resources necessary to ensure operation of our E-911 system.

10. Describe the required steps with an anticipated time schedule with procurement and payment milestones and a total project completion date.

Columbia County currently contracts with AK Associates for E-911 system service and maintenance. We will renew the AK Elite Premier Maintenance Services / Airbus OS Communications support, Exacom support (7/1/2015 - 6/30/2015) for our primary recorder and Orion Vela VISTA Locate mapping support (6/1/2015- 5/31/2016). Receipt of these funds will allow continuance of our current maintenance contracts without interruption or lapse in maintenance coverage.

Funding Priorities for the E911 Rural County Grant Program The criteria for determining acceptability for disbursement of funds from the State of Florida E911 Rural County Grant Program will be made on a priority basis. There will be six priorities as identified below:

PRIORITY 1: Rural counties with E911 Phase II Primary PSAP systems that require immediate system replacement to maintain enhanced 911 status or when the expected remaining life of the system is less than 1 year.

PRIORITY 2: Rural counties with E911 Phase II systems that require maintenance or warranty agreements for maintaining enhanced 911 status. This may include the following, listed in order of funding priority a through b:

a: E911 System Maintenance (pertaining exclusively to items listed in Priorities 3a-h only) b: Hosted E911 System Service for subsequent years, after the first year. c: E911 Map Maintenance (pertaining exclusively to items listed in Priority Sa only)

Grants awards will be funded in order of priority assigned. Total funding for any priority may be adjusted based on the remaining funds available, the number of applications and the anticipated requests in the next funding cycle. The acceptability for disbursement of funds from the State of Florida E911 Rural County Grant Program for any E911 expense items not expressly provided for in Priorities above shall be determined at the discretion of the E911 Board pursuant to its authority under sections 365.172 and 365.173, Florida Statutes.

POLICY AND PROCEDURES FOR DISPOSITION OF UNCLAIMED OR INDIGENT BODIES

PURPOSE: The purposes ofthese policies and procedures is to provide for the disposition of any unclaimed or indigent dead body in Columbia County, Florida and for payment of the expenses incurred by the County for the disposition of the deceased, all pursuant to chapter 406, Florida Statutes.

POLICY: Any deceased person whose identity is known and whose body is unclaimed, who is known to be indigent, or whose identity is unknown, whether a resident or non-resident of the County, shall be eligible for County cremation or burial if the death occurred within Columbia County, Florida. Columbia County residents who die outside of Columbia County shall not be eligible for County cremation or burial under this policy and may be cremated or buried following procedures set forth in the county where the death occurred.

Disposition of unclaimed and indigent bodies shall be made at County expense under any one of the following conditions:

• The deceased person is unidentified or cannot be identified and the body is unclaimed;

• The deceased person, whether identity is known or unknown, is found to be indigent and is required to be disposed of at public expense (see attached income guidelines);

• The deceased person, whether identity is known or unknown, has no relatives, friends or responsible parties who come forward to claim the deceased person's body; or

• The deceased person, whether identity is known or unknown, has no non-indigent relatives, friends or responsible parties who come forward to claim the deceased person's body.

Determination of indigency shall be the responsibility of the Funeral Director utilizing the Disposition of Unclaimed and Indigent Bodies Application form and the Indigent Burial Next of Kin Statement form attached hereto and made a part of this policy.

Prior to the County certifying eligibility of the deceased for County cremation or burial, the Funeral Director shall attempt to recover expense from funding sources applicable to the deceased person. Examples of such sources include but are not limited to Social Security benefits, nursing home reimbursement, estate assets, life insurance, and veterans' service benefits.

As provided by Florida Statutes section 406.51, all Funeral Directors subject to this policy shall comply with the requirements of Florida Statutes section 406.50(2) and follow the procedures set forth in 38 C.F.R. s. 38.620 with respect to any known or suspected deceased veteran of the Armed Forces. If the deceased person is entitled to burial in a national cemetery, then the Armed Forces shall be notified to make arrangements for burial services. The Funeral Director shall be responsible for contacting the Armed Forces to ensure arrangements for burial in a national cemetery are made for any eligible deceased veteran.

Columbia County shall not provide for shipment of the deceased to or from any location outside Columbia County, Florida, for burial or cremation.

The Funeral Director shall not proceed with disposition of human remains without written authorization from the County.

A certified copy of the death certificate, a copy of the Disposition of Unclaimed and Indigent Bodies Application form, and Indigent Burial Next of Kin Statement must accompany any request for payment from the County to any funeral establishment for cremation or burial services.

Funeral establishments that participate in the Funeral Home Rotation Roster as approved by the Columbia County Board of County Commissioners and administered by the Columbia County Sheriff's Office shall adhere to this policy as a condition of continued participation in the rotation program.

The maximum authorized payment to funeral homes and/or crematories pursuant to this policy is $500.00.

As provided by an lnterlocal Agreement between the Columbia County Board of County Commissioners and the Lake Shore Hospital Authority dated the 3rd day of January 2008, each party to that agreement shall pay the costs and provide funding in accordance with that agreement.

UNCLAIMED DEAD BODIES/REMAINS DISPOSITION: In accordance with Florida Statutes section 406.50, the State Anatomical Board located at the University of Florida Health Science Center, must be immediately notified each time any public officials, agents, or employees of Columbia County and every person in charge of any prison, morgue, hospital, funeral parlor, or mortuary and all other persons coming into possession, charge, or control of any dead human body or remains which are unclaimed or which are required to be cremated at public expense.

Notification of the anatomical board is NOT required if: 1) Death was caused by crushing injury, 2) The deceased had a contagious disease at the time of death,

3) An autopsy was required to determine cause of death, 4) The body is in a severe state of decomposition, 5) A relative, by blood or marriage, claims the body for burial at the expense of the

relative, or 6) Any friend, or any representative of a fraternal society of which the deceased was a

member, or a representative of any charitable or religious organization, or a governmental agency which was providing residential care to the indigent person at the time of his or her death, claims the body for burial at the expense of the claiming party.

Unless notification of the Anatomical Board is not required, then such dead human bodies shall be delivered to the Anatomical Board as soon as possible after death.

The County Manager or his designee shall be the person in charge or control of the remains as provided in Florida Statutes section 406.50(2), and a licensed funeral director under chapter 497, Florida Statutes, shall assume responsibility for the unclaimed remains from the County Manager or his designee as provided by section 406.50(3). The funeral director shall not be liable for any damages resulting from the cremation of a dead body at the direction of tt,e County Manager or his designee or in furtherance of the funeral director's duties under this policy.

The person or entity in charge or control of the dead body or human remains shall make a reasonable effort to determine whether or not the deceased person is entitled to burial in a national cemetery as a veteran of the Armed Forces and, if so, shall make arrangements for such services in accordance with the provisions of 38 C.F .R. For purposes of this subsection "a reasonable effort" includes contacting the Columbia County Veterans Service Officer or regional office of the United State Department of Veterans Affairs.

PROCEDURE: If an individual initiates a request for disposition services with the County rather than with a funeral establishment, that individual shall be advised by the County to contact the funeral establishment which originally transported the deceased to the Medical Examiner's office on rotation. If the deceased was not transported to the Medical Examiner's office and the individual indicates no preference of a funeral establishment for disposition, the County shall then provide a referral to a funeral establishment participating under this policy.

After exhausting all possibilities for private compensation, the Funeral Director shall complete the Indigent Burial Application and the Indigent Burial Next of Kin Statement (attached hereto) certifying that the deceased lacks the adequate income, assets, and/or support from family and friends, and other service agencies as may be appropriate in determining the financial status of the deceased. The Funeral Director shall apply the poverty threshold of 100% of the Poverty Income Guidelines as established and published annually in the Federal Register. If the available assets of the deceased are sufficient to cover the costs or portion of the costs of disposition, the assets will also be considered in determining eligibility and for payment to the funeral establishment. If the deceased is eligible for death benefits, such as Social Security, Railroad

Retirement, Union Death Benefits, Victim Services, or Veteran Death Benefits, the County will either pay the balance after the death benefits have been applied up to the maximum authorized payment amount or seek reimbursement up to the maximum amount of the maximum authorized payment amount of $500.00. The County will not accept a case if death benefits from insurance or other funds are equal to or exceed the County maximum payment for indigent disposition ($500.00).

The County Manager or designee shall review the request for indigence or unclaimed status approval and authorize payment to the requesting funeral establishment in the maximum authorized payment amount from the County.

Upon approval by the County Manager, the funeral establishment shall notify the State Anatomical Board, if the deceased meets the criteria set forth in section 406.50, Florida Statutes. If the remains are accepted by the State Anatomical Board, the funeral home shall proceed according to subsection 406.50(2), Florida Statutes. The University of Florida Health Science Anatomical Board shall be responsible for the cost of preparation and transportation of the body to the Center. If the body is not accepted, the funeral establishment shall proceed with the cremation of the deceased.

The funeral establishment shall submit an itemized invoice for payment to the Columbia County Board of County Commissioners Office, along with documentation that contact was made with the State Anatomical Board.

To avoid overnight or prolonged storage of remains at the Medical Examiner's office, before the funeral establishment transports any remains to the Medical Examiner's office the funeral establishment shall contact the Medical Examiner's office to determine whether the remains can be processed by the Medical Examiner's office on the same day as the transport. If the Medical Examiner indicates that the remains can be returned to the funeral establishment on the same day, then the funeral establishment shall wait at the Medical Examiner's office until the remains are released back to the funeral establishment so overnight storage of remains at the Medical Examiner's office will not be necessary.

The County shall make payment in the amount indicated under Policy Guidelines upon receipt of invoice.

Placement of the remains is the Funeral Director's Responsibility.

The Columbia County Board of County Commissioners met in a regular meeting at the auditorium of the School Board Administrative Complex at 5:30 p.m. The meeting opened with prayer and the Pledge of Allegiance to the Flag of the United States of America.

Public Comment

Ralph Kitchens asked the Commission to devise a plan for keeping Rum Island Park clean prior to spending $100,000 on renovations. Commissioner DePratter pointed out that the maximum amount allocated by the County on this project is $35,000.

Sandra Buck-Camp offered stated her opinion is that the Commissioners are not attentive when citizen are speaking at the meetings. Commissioners Frisina and DePratter replied that many times they making notes regarding what a speaker is saying.

Stewart Lilker spoke regarding "the rules". Mr. Lilker was not clear as to which "rules" he was addressing.

Development Disabilities Awareness Day Proclamation No. 2015P-2

Commissioner Frisina read the Proclamation designating March 21, 2015, as Development Disabilities Awareness Day in Columbia County.

MOTION by Commissioner Frisina to approve Proclamation 2015P-2. SECOND by Commissioner Williams. The motion carried unanimously.

2015 Healthiest Weight Champion

Mark Lander, Administrator of the Columbia County Health Department and Wendy Brackin, Healthiest Weight Coordinator, announced that Columbia County has been recognized as one of the healthiest Florida counties.

CM Williams asked that item #3 be pulled for discussion prior to the vote.

Commissioner Nash commented on item #10 prior to the vote. He informed staff that he wanted to see the bids included in the meeting packet. Discussion then ensued regarding item 3.

Discussion and Action Items

Sports Advisory Committee ("SAC") Recommendations

(a) The SAC recommended the Commission approve the purchase of new safety netting at the Girl's Softball Complex in the amount of $48,000.

MOTION by Commissioner Williams to approve the purchase. Second by Commissioner Frisina.

Commissioner Nash asked that the purchase of new netting for the boys complex also be considered since it will save the County approximately $18,000 by doing them both simultaneously.

MOTION AMENDED by Commissioner Williams to approve purchasing the netting for both fields. Second by Commissioner Frisina. The motion carried unanimously.

(b) The SAC recommended the Commission approve Clint Pittman or his designee to have the final authority for granting or denying permission to play ball at any county owned ball field.

MOTION by Commissioner Williams to approve giving authority to Mr. Pittman or his designee authority as recommended. Second by Commissioner Nash. The motion carried unanimously.

Meeting Rules and Procedures

Staff advised that the changes made to the proposed Meeting Rules and Procedures by Attorney Foreman are in accordance with the directives of the Board of County Commissioners. Approval was recommended.

MOTION by Commissioner Frisina to approve the rules as amended. Second by Commissioner Phillips. The motion carried unanimously.

County Manager Transition Plan

CM Williams asked that the Board begin contract negotiations with ACM Scott for the position of County Manager, and that the Board approve advertising for an Assistant County Manager position.

Commissioner Nash recommended a timeline be established. It was suggested that the ACM position be filled by June 1, and that ACM Scott begin serving as official CM on August 1, and that CM Williams' last day be on October 1, 2015.

MOTION by Commissioner Nash to approve staff's requests and the time line as stated. Second by Commissioner Williams. The motion carried unanimously.

Unclaimed Bodies

Medical Examiner's Office in Jacksonville request Columbia County take possession of four unclaimed bodies for disposal.

MOTION by Commissioner Williams to approve. Second by Commissioner Frisina. The motion carried unanimously.

Public Comment

Citizen Ralph Kitchens asked that the Board include in the meeting packet all of the information they intend to discuss at the meeting. He used Rum Island as an example.

Citizen Merrillee Malwitz-Jipson reiterated her support of a tracking ordinance or resolution, and spoke in support of the Rum Island Park project.

Citizen Stewart Li Iker spoke in opposition of the Rum Island Park project; he also spoke in support of Mr. Kitchens request for all information to be included in the agenda packets. Mr. Lilker offered his opinion that it is not necessary to have three people running the county from June 1 to October 1 and questioned the cost of doing so.

Citizen Sammy Dunn commented very briefly on the Rum Island Project.

Commissioner Comments

Commissioner DePratter offered to Mr. Kitchens that the dollar amount for the Rum Island Project was provided to the public.

Commissioner Williams asked the Board to approve correcting a drainage problem at two driveways located in District 1 and 4 on 780 NE Voss Road (Geiger - Davis). This is in his and Commissioner Phillips districts.

MOTION by Commissioner Williams to approve repair. Second by Commissioner Phillips. The motion carried unanimously.

Commissioner Nash addressed Mr. Lilker's concern regarding a time line and the costs associated with the positions of ACM and the CM. Commissioner DePratter also commented on the time line.

There being no further business, the meeting adjourned at 6:30 p.m.

Enclosed is the report of activities and expenditures of the Columbia County Health Department for the periods October 1, 2014 through December 31, 2014. Chapter 154, F.S. and the contract between the Department of Health and Columbia County require these report be submitted on a quarterly basis.

These reports are made up of the following sub-reports produced by the Department's Contract Management System.

1. DE 385.- "Contract Management Variance Report" which compares the planned services, clients/units, FTEs and expenditures with actual figures.

2. DE 580 - "Analysis of Fund Equities" shows total CHO year-to-date revenues, expenditures, beginning cash balance and year-to-date equity. In accordance with Chapter 154, this report also splits cash balances/equity into state and county components.

3. "Columbia CHO Program Service Variance Analysis" which explains variances in actual expenditures that is greater or less than 25 percent of planned expenditure levels.
