That CENTURY OIL COMPANY ("Assignor"), a Kentucky corporation,

f o r and in consideration of one Hundred Dollars ($100.00) and other

good and valuable considerations, the receipt and s u f f i c i e n c y of

which i s ackncwledged, does hereby grant, bargain, s e l l , convey,

t r a n s f e r , a*6 i»t»j »nd deliver his f o l l o w i n g separate property unto

SETTLE OIL AND OA3 COMPANY, ("Assignee"), a Kentucky Corporation,

having i t s p r i n c i p a l place of business at 400 East Vine Street,

Suite 400, Lexington, Kentucky 40507, an overriding r o y a l t y

i n t e r e s t in the amount of an undivided One and Percent of Six-

Sixths (1.145833 of 6/6ths) in and to a l i of the o i l , gps and othe«-

rainerals in and under that may be produced from the following o i

and gas lease: oil and Caa Lease bearing Serial No. OCS-G ettertive as ot July 1, 1983, from the Unit* America, as lessor, to Exxon Corporation, a. covering all ot Block 107, South Timbalier Area, aa .,.„>wn ot OCS Leasing Map, Louisiana Map No. 6.

The overriding royalty i n t e r e s t herein assigned s h a l l be free

and clear of a l l costs and expenses of development and operation of

the lands covered by said lease but s h a l l bear i t s proportionate

p a r t of a l l applicable taxes. The overriding r o y a l t y s h a l l be

paid, credited and delivered in tho same manner as provided in the

lease for payment of royalty reserved to the lessor therei n .

i n t e r e s t unto Assignee and his successors and assigns forever; and

assignor does hereby bind i t s e l f and i t s successors and assign* to

warrant And defend t i t l e to the above described O i l and Gas Lease

and the overriding royalty interest assigned to Assignee and his

successors and assigns against every person whomsoever l a w f u l l y

claiming or to claim the O i l and Gas Lease described herein or a
