Award of the Design-Build &bort:e:mcnt to Swinc:non Builders in the amount of$66,668,531 for the Tenninal Improvements Project will pn)\•ide patruns of John Wayne A i rport with numerous safety. code compliance. rom fort, C01Wenience, and aesthetic improvements, primarily in Terminals A and B, and allow patrons to c:tperiencc a unifonn level of quality and service throughout the Thomas F. Riley Tcnninal.

BACKGROUND INFORMATION:

On September 10, 2013, tbe ll<.1ard awarded an Architet;t-Enginec:r (AE) agreementt<1 IDS Group, lne. (lOS) fi)r bridging document preparation sen•ices. On May 6, 20 14, the Board approved Amendment #I to IDS for additional design services for the seismic retrofit design services for the Tenninals A and B. On November 25. 2014, the Board authorized the Airport to issue a Request for J•roposals to the two top~rankcd prcqunlified Design-Builder for Design-Build of the Tcnninal Improvements Projcc.t.

The TenninaJ Improvements Project will bring various improvements to the 11\omas F. Riley Terminal. The project includes, but is not limited to improvements in the following areas: Title 24 compliance. Americans with Disabilities Act oompliancc; architecture; nonMstructural seismic re1rolits~ electrical infrastruclurc~ hCJ.ting, ventilation, air-conditioning and mechanical systems; plumbing systems; lighting systems; infiJrmO.tion tc:chnol()gy systems; fire sprinkler and alann systems and general aesthetics. These improvements will enhance efticiency and extend the useful lives of the Tenninal components, and allow the patrons of the Airport to experience a unifomt level of quality and service throughout the RHey TcnninaJ.

The Design-Build ccmtractor will be: responsible fur design and umstruction of the Tenninal Improvements Project and seismic retrofit of non-structural elements, utilizing bridging documents - plans, specifications. and other documents prepared by the Airport. Title 24 compliance entails meeting the requirements of the CaUfomia Building Standards Code, otherwise known as Title 24 of the California Code of Regulations.

The seismic rttrufit of struc.tural elements component, which was referenced in the pte-qualification process, will he deferred for later implementation.

Otslgn~Bulld ProposaJ: The Terminal improvements Project will require complex phasing and sequencing in order to implemc:nt numerous construction tnsks while minimizing disruption to airport patrons and businesses. With prior Boanl appnwal, the AirpCJrt conducted a detailed pre-qualifications pmcess in which the two cop~ranked Design~Build entities were asked to submit Design~ Build Pn)posaJs in respon.~e to a Request for rroposals (RFP).

Public Contract Code Sections 2216()..22169 allows the County of Orange ('"County'") lo award a Dcsif,'ll­Build agreement utilizing a • Best Value• selection process. Public Contrat;..1 Code 22 161 defines "Best Value" as "a value determined by C\'Aiuatit'm of c'1bjective criteria that may indude, but not be limited to price, features, functions. life..cyde costs, experience, and past performance. A best value determination ma}• involve tl1e selection of the lowest cost proposal meeting the interests of the local agency and meeting the objcclives of the project, selection ofthe best proposal for a stipulated sum established by the procuring agency, or a tradeoff between price and other specified factors." The Airpon conducted a "best value" selection and evaluation process for the Projec..1; the results are prcsentt:t.l below.

Additionally, in accordance with Public Colltract Code 22164, a county has the right to hold discussions or negotiations with responsive bidders. TI1e opponunity for such discussions was specified in the Request for Proposals. The Airport complied with all applicable rules and procedures to ensure that discussions or negotiations were cc.mducted in good faith.

Enluation PrOC'fSS: Initial proposals were submitted on February 22, 2015. An Evaluation Committee of five Airport employees was formed to purtidpate in the negotiations and evaluation. Every individual involved in the evaluation process was required to sign a non-disclosure agreement to maintain confidentiality.

The evaluation and negotiation process was completed using three interview/discussion meetings that occurred after the initinl proposals were submitted. The meetings wc:re held onee a week for three weeks. Both Design-Builder firms wt.'ft intcrviewc:cll)n the same day to ensure that neither finn bencftted from recei\•lng instructions and infl)nn.ation sooner than the other. Each meeting focused on obtaining darification and additional infonnation on specific topics. These topics included team orgunizntion, scupe. schedule. proposed approach by the Design-Builders, the components of the agrt.."t:ment pricefoost propt)SaJ, and detailed line item cost breakdowns on a task-by-task basis.

9. WARRANTY WORK. Failure by the DESIGN-BUILDER to take corrective action within 24 hours afier personal or telephonic notice by IWA on items aff~ing use of facility. safety or the preservation of propeny, and within ten days following written notice on other deficiencies., will result in lhe COUNTY taking wha!C\'Cr rorrtctive action it deems necessary. 10. WAC£ RATES. DESIGN-BUILDER shall post a copy of the wage rates at the job site and shall pay che adopted pre,•ailing wage rates as a minimum. Pursuant co the ptO\'isiozu of Section 177J of the Labor Code of the State ofCaliforni3,lhe Board ofSupen.•isors has obtained from the Director of the Department of industrial Relations the genera) prevailing rate of per diem wages and the general prevailing rate for holiday and overtime Work in this lncahty for each craft, clas:nfication, or type of workman needed tn execute this ContraCt. These rates are o<t file with the Clerk of the BO&'d of Super'o·ison, Copies may be obtained at cost at JWA Administration building.

11. WITHHOlniNG OF WAGt DIFFERENTIALS. ln adclition to retention proceeds, COUNTY mny withhold from the DESIGN·BUILDER u much of any accrued pa)meats as may be nocessary to JXIY laborers, craft workmen. and mechanics employed on the Project, any diffCTCtbCC between the rate of wages required to be raid pwsuant to California law and the rate of wages actually paid to such laborers, craft workmen, and mechanics.

ll. TRADE LABOR TIME RECORDS. The DESIGN·BUILDER shall keep full, tllle, arul aa:uratt records of the names and actual hours worked by the n:spective workers and laboms employed under •hil Coruract in accordance with caJjfomiA Lab<rr Code Section 1776, and shall allow access t() the same at any n:asonable hour to COUNTY, its agents or representatives, <~nd any peoon htlving. the authority to inspect the same u oontemplated under the provisions of said Labor Cede, or when requested by COUNTY
