I. PURPOSEThe purpose of these Professional Rules of Conduct is to:
(i) Strengthen and facilitate the internal governance structures of Harambe-Cameroon,(ii) Provide standards of performance with regard to: The effectiveness of Harambe-Cameroon
in the quantity, quality and responsiveness of its activities; the independence, transparency
and reliability of its institutional structures, and the adherence to its mission as well as to a
set of core values, guiding principles, and policies.
As with greater influence comes greater scrutiny and responsibility, Harambe-Cameroons accountability
is an issue of major attention, to ensure both the legitimacy and effectiveness of its operations.
II. MISSIONHarambe Cameroons mission is To inspire a new generation of young leaders and
entrepreneurs who see problems as opportunities in need of solutions and have the poise and
wherewithal to engage others to make long-lasting social impact.
III. VALUES AND PRINCIPLESHarambe-Cameroon commits to adhere to the following values that inspire its daily operations: justice,
equity, transparency, objectivity, honesty, openness, respect for fundamental rights and freedom,
impartiality, participation, professionalism. The core values of Harambe-Cameroon are listed below in
order of importance, starting by the most essential one.

VI. ELECTRONIC/VIRTUAL IDENTITYAll Harambe-Cameroon Members, as defined by the Bylaws, Article IV section 14, shall create the
following virtual identity, to facilitate organizations efficiency; no more than a week after beingrecruited in Harambe-Cameroon:
1. Create a Skype account (or communicate an existing one)a. Reason why: Given the nature of Harambe Cameroon with its member all across the nation,
and the world, many meetings will be done via Skype. Conference calls, conference discussions
and more. Skype is the selected way to conduct such meetings in an affordable and inclusiveway.
2. Open a Gmail account (or communicate an existing one), which will be the preferred email withwhich Harambe-Cameroon and its members communicate with you. Go to gmail.com, and create
an account.a. Reason why:
i.Within Harambe-Cameroon we communicate mostly by email. Gmail has many emailfacilities that would render work effective.
ii.To facilitate the creation of documents using Google Docs. Create a virtual office online.iii.Plan and organize events using Google Calendar.iv.Keep an updated Carta of membership, using a Harambe-Cameroon Roster.
3. Get familiar with the following 21st Century websites:a. Scribd.comfor sharing documents online.b. Facebook.comTo promote Harambe-Cameroon, share events, publish results, and more.c. Twitter.comTo obtain/discover information about selected topic, themes, and more.d. LinkedinTo connect with professionals all over the world.e. Youtube.comTo upload and find videos related to Harambe-Cameroon field of intervention.

V - EMAILING STANDARDS
a.Any electronic message on behalf of Harambe-Cameroon should be sent from the currentofficial Harambe Cameroon email, as of 2011 is:[email protected]
i. The exception could be emails by the President and the Secretary General. Each must havean email signature, stating his/her affiliation and/or position in Harambe-Cameroon.
b. Emails shall be responded no more than 48hrs after reception, unless the Harambe member is inan area with limited or no internet connection for more than 2 days. With three unexcused failure
to respond to messages, the member will be subject to a disciplinary sanction.

VIMEETINGS AND MEETING MINUTES
According to ARTICLE VII, Harambe-Cameroon will hold meetings at least twice a month. In times
of planning for activities, Meetings will be planned accordingly, to deliver results on time.
a) Notice of MeetingsWritten or printed notice stating the place, date, and hour of any meeting shall be delivered
either personally or by mail or e-mail to each member entitled to vote at such meeting not less
than five (5) days before the date of such meeting. In case of a special meeting, the purpose or
purposes for which the meeting is called shall be listed in the notice.
b) QuorumAt any General Meeting of the HCam Executive Board or the Harambe Advisory Board, a
simple majority of those entitled to vote shall constitute a quorum.
c) Online VotingVoting may take place via electronic vote. Discussion may take place electronically until such
time when the HCam President or a designated member of the HCam Executive Board calls for
a vote. Once there is a call for a vote, the members will have twenty four (24) hours to cast a
vote. A quorum of votes must be received by the deadline in order to be a valid vote. Approval
of non-time sensitive matters must be by simple majority. Should there be a tie; the HCam
President shall cast the deciding vote. Should there not be enough votes to invoke quorum, the
measure is tabled until the next regularly scheduled or Special Meeting.
d) Ad-hoc MeetingsAd-hoc meetings can be organized by different members, committee, and think-tanks. In order
for any of the ideas or propositions raised at such meeting to be considered, the involved
parties must submit a typed report of their meeting to the Harambe-Cameroon Executive
Board.
e) Meeting MinutesMeeting Minutes will be taken by Secretary General. The Minutes shall respect the DocumentsStandard of Harambe-Cameroon. The Meeting Minutes shall be typed, and sent via Harambe-
Cameroons official email to all the officers of Harambe Cameron. Meeting Minutes must be
published no later than 48hours after the meeting.

VII - HARAMBE-CAMEROON DOCUMENT STANDARDS
All Harambe-Cameroon Documents should strictly respect the following standards.
You can print out this page, to use as a checklist every time you create a Harambe-Cameroon document.1

Cameroon, and Letter in USA. Please check it.

VIII - PHILOSOPHY OF EDUCATION
Harambe-Cameroons Seminars, Orientation and Speaker Sessions are based on all of the following
principles, modeled after Transform America Teachers Manual: copyright 2007 THE
TRANSFORMATIVE ACTION INSTITUTE
1. Innovative education2 : Most traditional education is deadening. Teachers rely on lectures far too much,even though studies continually show that this is the least effective method of learning. The best
education will involve and engage the students in learning. The root of the word education comes from
the Latin educate, which means to draw out. We are attempting to draw out of the students the best that
they have to offer.
Education is not about filling a bucket, but lighting a fire. Yeats
We do things differently. We use a lot of innovative exercises, in which students learn by doing. We
have the students use improvisational techniques, which have proven to be one of the best ways to get
students to think quickly, spontaneously, and creatively. It inspires greater creativity and innovation. As
Einstein said, We cannot solve the problems of the world with the same type of thinking that created
them. We need to develop leaders who can think in new, creative ways.
2. Transformative education: The eminent Brazilian educator Paolo Freire decried this banking methodof education, a model in which professors are the experts who possess all the knowledge, and where
they need to make deposits of facts into the empty brains of the students. (Perso nally I call this the
bulimic form of education, because students gorge themselves on tons of facts for the test, then
regurgitate all the answers out onto the exam, and theyre gone; people dont retain any of thisinformation within hours of the test.)As Freire puts it, liberation education is the action and reflection of men and women upon their world
in order to transform it. It strives for the emergence of consciousness and critical intervention in reality.
3. Intrinsic motivation There will be no busywork: True learning needs to come from intrinsicmotivation in other words, the natural passion and excitement that students find in a subject all by
themselves.
4. Students take the leadership and initiative for their education: The success of this course dependson the students, not the teacher. It requires them to take leadership over their education.
5. Fun: This class ought to be a joy. Students should love to come to class.6. Inspirational and empowering: Finally, this course should be inspirational. This is a class about hope
and optimism. Unlike most courses at the university, which analyze problems, this is a course about
solutions. Most of all, it should empower the students to come up with their own solutions to claimtheir own power to make a difference in the world.

IX - GENERAL WORK RULES IN THE OFFICE
Harambe-Cameroon wants to encourage a safe and pleasant work atmosphere. This can only happen
when everyone cooperates and commits to appropriate standards of behavior.
The following is a list of behaviors that the company considers unacceptable. Any member found
engaging in these behaviors will be subject to disciplinary actions including reprimand, warning,layoff, or dismissal:
1. Failure to be at the work place, ready to work, at the regular starting time9:00am5:00pm.2. Willfully damaging, destroying, or stealing property belonging to fellow employees or the
company.
3. Fighting or engaging in horseplay or disorderly conduct.4. Refusing or failing to carry out any instructions of a supervisor.5. Ignoring work duties or loafing during working hours.6. Coming to work under the influence of alcohol or any drug, or bringing alcoholic beverages or
drugs onto company property.
7. Intentionally giving any false or misleading information to obtain employment or a leave ofabsence.
8. Using threatening or abusive language toward a fellow employee or non-Harambeans.9. Falsifying any record.10. Smoking contrary to established policy or violating any other fire protection regulation.11. Willfully or habitually violating safety or health regulations.12. Failing to wear clothing conforming to standards set by the company:
Business Professional for meetings, and Business Casual for daily operations.
13. Being tardy or taking unexcused absences from work.14. Not taking proper care of, neglecting, or abusing company equipment and tools.15. Using company equipment in an unauthorized manner.16. Possessing firearms or weapons of any kind on company property.

X - EVALUATION FORMS
In accordance with the Harambe By-Laws, ARTICLE IV Section 9, each month the performance of each
person in the Harambe Bunge will be graded. Evaluations shall be submitted by each active member beforemidnight of every last Sunday of the month between November and June.
The final grade will be the weighted average of the scores assigned to each person by four different
evaluators. The evaluations shall offer an opportunity for:i. Team mates to evaluate other team mates performance.
ii. Officers to evaluate Associates performance
iii. The Executive Board to evaluate team performance.
At the discretion of the Executive Board people with low grades may be downgraded or be subject to
disciplinary actions. It is imperative that these evaluations be done as objectively, honestly and blatantly as
possible, because the success of each group as well as Harambe as a whole depends on them.

XIDISCIPLINARY MECHANISMS
a. Legally-Binding Confidentiality ActIn order to pursue Administrative procedures, Harambe-Cameroon and its members recognizes
the need to disclose to one another certain confidential information of each party to be used onlyfor the Project Purpose and to protect such confidential information from unauthorized use anddisclosure.
i. This Agreement will apply to all confidential and proprietary information disclosed byone party to the other party which the disclosing party identifies as confidential or
which otherwise is reasonably understood by the receiving party to be confidential
and proprietary ("Confidential Information").
ii. More information on the Confidentiality Act Addendum.
b.
Conflict of InterestA conflict of interest is defined as an actual or perceived interest by a member in an action that
results in, or has the appearance of resulting in, personal, organizational, or professional gain not in
the best interest of HCam. Elected and appointed officers of the HCam Executive Board and all
Harambe members shall abide by the conflict of interest policy as laid out in the HCam Conflict of
Interest Addendum.
c. Due Diligence ProcessAccording to the Harambe-Cameroon By-Laws, Article IV Section 13.iii, on Due Diligence, any
members of the Harambe Bunge in violation of the organization's By-Laws, Professional Rules ofConduct, or disruptive to the purpose and mission of Harambe will be subject to the measures
below:
i. First Incident - consultative meeting will ensue with the goal of addressing the issue, with theofficer/staff/intern/member in charge.
ii. Second Incidence - A written warning from the Secretary General.iii. Third Incidence - removal at the discretion of the President.
d. Complaints Proceduresi. To facilitate the reporting of wrongdoing or actions perceived to be against the standards of the
code, an Ombudsman will respond to members, staffs, and stakeholders concerns. The
Ombudsman will make sure to keep the organization operations focused on its mandate,
mission, values and principles.
ii. In case the Ombudsman is unavailable, members can refer to the Project Manager, who wouldforward the complaint to the Executive board. Following the published Due diligence process,
actions will be conducted accordingly.
