END USER LICENSE AGREEMENT
WHERE CAN I PURCHASE AUTODESK SOFTWARE & HOW CAN I TELL THAT IT IS GENUINE?
Genuine Autodesk Software is available either from Autodesk Authorized Reseller or online at
the Autodesk Store.
You can check that your software vendor is a duly authorized before purchase by checking your
local Autodesk website or by locating an Autodesk Authorized Reseller here.
HOW CAN I TELL THAT MY AUTODESK PRODUCT IS A FAKE?
The production and print quality of illegal software is frequently very poor. Fake products are
sold at a significant discount from the usual price at which Autodesk products can normally be
purchased.
Additionally, fake products often come just as a CD in a plastic sleeve with a photocopy (black
and white or colour) of the Autodesk box cover.
If the price is “too good to be true”, it probably is. Only purchase from Autodesk Authorized
Reseller or Autodesk Online Store.
IF A USER IS BEING AUDITED BY AUTODESK OR IF AUTHORITIES CHECK FOR UNAUTHORIZED USE OF AUTODESK
SOFTWARE DURING ENFORCEMENT ACTIVITIES, HOW WILL THE USER BE ABLE TO PROVE THAT THE AUTODESK
SOFTWARE IS FULLY LICENSED?
Users are encouraged to maintain a few very important documents as proof of ownership of
their license.
These documents are:
Registration records, including the software’s serial number, CD-Key, and Authorization
Code ;
Original purchase invoices from their Autodesk Authorized Resellers ;
Original discs, manuals and packaging where applicable
Registration of your software is also very important to establish ownership of Autodesk
software, particularly if the user has failed to keep or has misplaced invoices and original
materials.
WHAT ARE THE BENEFITS FOR A USER OF REGISTERING HIS SOFTWARE WITH AUTODESK?
Registration is necessary to install and activate your Autodesk software. Only registered users
will receive important information regarding their products, product support and new products.
In addition, registration will be required in order to upgrade from a previous version of
Autodesk software. Finally, registration allows the End-User to verify with Autodesk that their
Autodesk software is legitimate.

WHERE CAN I FIND THE SOFTWARE’S LICENSE & SERVICE AGREEMENT?
The License & Service agreement appears during the process of installation. Please see below
the snapshot where you can find the license agreement. It might vary slightly depending on the
product E.g. in AutoCAD you type about at the command line, in Revit you select
Licensing>Licensing Information.
Please read this agreement carefully and print it for future reference.
If you accept the terms of Autodesk License & Service Agreement, you will proceed with the
installation of the software and the terms & conditions of the agreement will apply.

CAN I SELL OR TRANSFER MY LICENSE?
Autodesk will generally grant you a license to use the software.
This license is generally not transferable. This means that the user may not reproduce the
software, sell or otherwise transfer ownership of the software, without the authorization of
Autodesk. However, in certain cases a license transfer is possible if certain conditions are
satisfied.

CAN I MAKE A COPY OF THE SOFTWARE FOR USE ON MY HOME PC?
Users of commercial versions of Autodesk Stand-alone software only (not educational licenses)
may make ONE additional copy of the software on a home or laptop computer. All users must
make sure they meet the terms of the applicable license agreement.
For example, from the 2014 License Agreement in Exhibit B, under License Type, Section 1
confirms –
1. Stand-alone (Individual) License. If the License Identification identifies the License Type as a
“Stand-alone License” or as an “Individual License," Licensee may Install a single primary copy of
the specific release of the Licensed Materials designated in the applicable License Identification
on one (1) Computer, on a Stand-alone Basis, and permit Access to such primary copy of the
Licensed Materials solely by Licensee’s Personnel, and solely for Licensee’s Internal Business

Needs. Licensee may also Install a single additional copy of such Licensed Materials on one (1)
additional Computer, on a Stand-alone Basis; provided that (i) such additional copy of the
Licensed Materials is Accessed solely by the same person as the primary copy; (ii) such person is
Licensee (if Licensee is an individual) or an employee of Licensee; (iii) such person Accesses the
additional copy solely to perform work while away from that person’s usual work location and
solely for Licensee’s Internal Business Needs; and (iv) the primary and additional copies are not
Accessed at the same time. Stand-alone (Individual) License is for a perpetual term, except as
otherwise provided in this Agreement.
2. Multi-seat Stand-alone License. If the License Identification identifies the License Type as a
“Multi-seat Stand-alone License," Licensee may Install primary copies of the specific release of
the Licensed Materials designated in the applicable License Identification on up to the Permitted
Number of Computers, on a Stand-alone Basis, and permit Access to such copies of the Licensed
Materials solely by Licensee’s Personnel, and solely for Licensee’s Internal Business Needs.
Licensee may also Install additional copies of such Licensed Materials on additional Computers
in an amount up to the Permitted Number of Computers, on a Stand-alone Basis; provided that
(i) each additional copy of such Licensed Materials is Accessed solely by the same person as the
primary copy; (ii) such person is Licensee (if Licensee is an individual) or an employee of
Licensee; (iii) such person Accesses the additional copy solely to perform work while away from
that person’s usual work location and solely for Licensee’s Internal Business Needs; and (iv) the
primary and additional copies are not Accessed at the same time. Multi-seat Stand-alone License
is for a perpetual term, except as otherwise provided in this Agreement.
MAY I USE AUTODESK SOFTWARE ANYWHERE IN THE WORLD?
According to the Autodesk License & Service Agreement which you accept when you install the
software, you may only use the software in the country (identified as ‘territory’ in the license
agreement) in which you purchased it.
If you purchased the software in a country part of the European Union (“EU”) or of the European
Free Trade Association “EFTA”), then you may use the software in any country within the EU or
EFTA. But the license must always be registered under the correct entity using the software.
For example, if you purchase Autodesk software in the United States, you will not have a license
to use it in the United Kingdom but if you purchase the software in Germany, you can use it in
the United Kingdom as long as it is registered under the correct entity name.
ENGINEERS ARE TRAVELING OUTSIDE THE COUNTRY & ARE CARRYING THEIR LAPTOP WITH THEM. CAN THEY USE
THE LICENSE IN THAT COUNTRY & FOR HOW LONG?
Yes this is possible for a period of 90 days in a 12 month period, if you are running an active
subscription contract.
From the Subscription terms & conditions it confirms the following -
“(iii) Extra Territory Use Rights
Notwithstanding anything to the contrary contained in the applicable Autodesk Software
License with respect to Territory, during the Term and subject to the requirements set forth in
this Section 2.C.(iii), You may Install or permit an employee to Install the Covered Software

during the Subscription Term on a portable Computer and Access that Covered Software outside
the Territory for a period not to exceed ninety (90) days in any twelve (12) month period
without Autodesk’s written consent. Extra Territory Use Covered Software may be used solely
for Your own internal business needs as provided in the applicable Autodesk Software License.
Extra territory Use is not available for all Covered Software or in all countries.
Your Extra Territory Use is subject to all of the following:
a) except as otherwise provided in this Section 2.C.(iii), You comply with all provisions of
the applicable Autodesk Software License, including, but not limited to compliance with
all U.S. or other applicable export control laws;
b) Your Access is solely on a portable Computer that will travel with You while outside the
Territory;
c) the Covered Software may not be copied or transferred to any other Computer or
Accessed by anyone other than You while outside the Territory; and
d) if You are entitled to Support the Available Support Hours for the type of Subscription
and Your Territory apply.”

Please note that this benefit is not intended to afford the customer any additional licenses or
rights to Access the software programs other than as explicitly set forth herein and any use
outside of the terms of this Extra Territory Rights Agreement shall be considered a violation of
your Autodesk Subscription Terms and Conditions and the Autodesk Software License
Agreement. Autodesk reserves the right to modify, change, cancel or terminate this Extra
Territory Rights benefit at any time, without prior notification. Hence, always refer the Autodesk
License Agreement of the product that is installed.
AUTODESK’S SELLS DIFFERENT “VERSIONS” OF ITS SOFTWARE (E.G. COMMERCIAL VERSIONS, EDUCATIONAL
VERSIONS, EVALUATION VERSIONS ETC.). WHAT’S THE MAIN DIFFERENCE BETWEEN THESE VERSIONS?
The main difference between these versions is the licensing rights which Autodesk grants with
each of them. For example, an educational version may only be purchased by a qualifying
educational institution and may only be used for educational purposes. Likewise, an evaluation
version or Not For Resale version may only be used for the purposes of evaluating the software’s
functionality. Neither Educational, Evaluation nor NFR versions may be used for commercial
purposes (including for providing commercial training).
The difference between the versions is also reflected in the Suggested Resale Price for those
versions. For example educational versions are significantly cheaper than commercial versions
(because those educational versions may only be used for educational purposes and NOT for
commercial purposes).
Users who are found to be using educational, evaluation or NFR versions for commercial
purposes will be breaching Autodesk copyright and therefore risk prosecution and sanctions.
A USER HAS UPGRADED HER AUTOCAD 2011 LICENSED SOFTWARE TO THE LATEST AUTOCAD SOFTWARE. CAN SHE STILL USE THE AUTOCAD 2011 SOFTWARE TO WORK ON HER OLD DRAWINGS?
No unless the user is running an active subscription agreement.

Where no subscription agreement is running, the Autodesk License & Service Agreement
confirms that the licensee must cease all use of any prior version & uninstall all copies of the
prior version within 120 days from the termination of subscription validity.

DOES AUTODESK ALLOW THE LICENSES TO BE USED IN VIRTUAL ENVIRONMENTS? E.G. – IS REMOTE ACCESS
ALLOWED?
Autodesk License & service agreement does not support virtual environments. Only Citrix is
supported to run remote applications & there are specific licenses that have to be purchased.
DOES AUTODESK ALLOW EXTENDED LICENSE USE?
The “family” of Extra Territory Rights (ETR), extends customers’ ability to float licenses in
their organization and with subsidiaries, across a country, throughout a GEO, or around the
Globe
Extra Territory Rights are time-bound, limited right to extend the deployment of Autodesk
network version software beyond the territorial restrictions within the Software License
Agreement.
Global ETR extends access to network seats Worldwide & Regional ETR extends access to
network seats within GEO APAC, EMEA, or AMER.

WHO CAN USE THE LICENSE? CAN A THIRD PARTY OR A SUBSIDIARY USE THE LICENSE?
The use of the license is limited to the Licensee, this is the single, specifically identified legal
entity or individual, and does not include any subsidiary or affiliate of any such legal entity or
individual or any other related person.
As Autodesk’s software licenses (except for specific cases and by satisfying certain conditions)
are not transferable without the written consent of Autodesk the licenses may not be used in a
company or organization that were purchased by and registered to another company.
However, there are certain exceptions in the event of corporate activities, such as a merger,
acquisition or divestiture, among others. Autodesk’s consent to a transfer of license under these
circumstances is required, and other conditions may apply.
Section 1 of the 2014 Autodesk License and Service Agreement describes the Licensee, the terms
of who may use the software and any limitations that are applied;
“1. License
1.1 License Grant. Subject to and conditioned on Licensee’s continuous compliance with this
Agreement and payment of the applicable fees, Autodesk grants Licensee a nonexclusive,
nonsublicensable, nontransferable, limited license to Install and Access the Licensed Materials,
in each case solely (a) in the Territory, (b) within the scope of the License Type and Permitted
Number specified in the applicable License Identification, and (c) in accordance with the other
Autodesk Licensing FAQ 8
terms of this Agreement. Various License Types are described in Exhibit B. In any case where the
License Identification does not specify a License Type or Permitted Number, or there is no
License Identification, the License Type will, by default, be the Evaluation License and the
Permitted Number will, by default, be one (1).”
The definition of Licensee is detailed in Exhibit A, section 17;
“Licensee” means (a) the company or other legal entity on behalf of which Autodesk Materials
are acquired, if the Autodesk Materials are acquired on behalf of such an entity (e.g., by an
employee, independent contractor, or other authorized representative), or (b) if there is no such
entity, the individual who accepts this Agreement (e.g., by selecting the “I accept” button or
other button or mechanism associated with this Agreement or otherwise indicating assent to
this Agreement, or by installing, downloading, accessing, or otherwise copying or using all or
any portion of the Autodesk Materials). For clarification, “Licensee” refers only to a single,
specifically identified legal entity or individual, and does not include any subsidiary or affiliate of
any such legal entity or individual or any other related person.”

PRODUCT ACTIVATION DETAILS WHAT IS PRODUCT ACTIVATION?
Activation is the process of verifying the serial number and product key of an Autodesk product,
and licensing it to run on a specific computer. Activation is initiated the first time the product is
launched and if you are connected to the Internet, the process is completed automatically
WHY IS PRODUCT ACTIVA TION NECESSARY?
Product activation is an important part of licensing Autodesk software. The process protects
both your rights as a consumer and our rights as a software developer by verifying that you have
installed a genuine Autodesk product and that it has not been activated on more computers than
are allowed by your Software License Agreement.
IS PRODUCT ACTIVATION THE SA ME AS PRODUCT REGISTRATION?
No. They are different, but connected, procedures. Product activation is a process that verifies
your product serial number and product key and licenses it to run on your machine. Product
registration is a separate process where you create an Autodesk ID associated with an individual
or company account and which prevents unauthorized use of your product by another person.

DO I NEED TO BE ONLINE TO ACTIVATE AUTODESK SOFTWARE ?
No. However, we recommend that you do activate your software over the Internet because it is
the easiest and fastest method. Manual activation can be done offline; however, this process can
take up to two business days as you will have to contact Autodesk for Activation Assistance.
HOW LONG DOES PRODUCT ACTIVATION TAKE ?
Online activation takes only a few minutes to complete, while manual (offline) activation can
take up to two business days.
WHAT HAPPENS IF I DON 'T ACTIVATE MY PRODUCT?
Most Autodesk products have a "grace period" of 30 days, during which you can use the
software without activation. However, after this period ends the software will stop working
until you activate it.
W I LL RE INSTALLING THE SOFTWARE PROVIDE A N EW GRACE PERIOD?
No. Only one initial grace period is supported per product, per computer.
WHAT IF I USE MORE THAN ONE COMPUTER TO DO M Y WORK? HOW MANY ACTIVATIONS
ARE PERMITTED PER L I CENSE?
We understand you may need to use the software when you are away from your usual work
location—for example, while working from home. Therefore, most Stand Alone Autodesk
products can be installed and activated on a second computer owned or controlled by you (the
software license owner). The software may only be used by you and only one of the two copies
may be used at one time. Consult your Autodesk Software License Agreement for complete
details about using the software on a second computer.

WHAT IF I GET A NEW COMPUTER , CAN I ST ILL USE THE SOFTWA RE?
Yes. Most Autodesk products (starting with 2010 releases) include a License Transfer Utility
(LTU) that enables online transfer of stand-alone licenses from one machine to another. The LTU
can be used to transfer your license to a temporary machine (for repairs or when working in the
field) or when permanently switching to a new machine. For more information, see How to
Transfer Stand-Alone Autodesk Licenses.
W I LL REFORMATTING MY HARD DRIVE HAVE ANY IMPACT ON MY SOFTWAR E L ICENSE?
Yes. Replacing or reconfiguring hardware on your computer can invalidate your Autodesk
license, requiring you to reactivate it before you will be able to use it again. You can avoid this
problem by using the LTU to transfer your license online before making any major system

DOES THE ACTIVATION P ROCESS EVER SEND DAT A TO AUTODESK AFTER I ACTIVATE MY
PRODUCT?
No. After you have finished the activation process, no data will be transmitted to Autodesk. The
only time data would need to be resent, is if product reactivation is required.
WHEN MANUALLY ACTIVAT ING MULTIPLE SOFTWAR E SEATS (LICENSES) , DO I NEED
MULTIPLE ACTIVATION CODES?
Yes. Each software seat (except those managed with a network license server) requires a unique
activation code. You cannot use an activation code from one machine on another machine.
I USE A NETWORK LICENSE TO MANAGE MY AUTODESK SOFTWARE L IC ENSES . HOW DOES
THIS AFFECT PRODUCT ACTIVATION?
Product activation only applies to stand-alone and multi-seat stand-alone licenses for most
Autodesk products and is not required for network licenses. However, selecting the wrong
license type during installation (such as “Stand-Alone”) can prevent you from installing your
network license on multiple computers.
I USUALLY BUY MULTIPLE COPIES OF AUTODESK SOFTWARE , BUT USE JUST ONE OF THE CD
SERIAL NUMBERS FOR A LL THE INSTALLATIONS . W I LL THIS DEPLOYMENT METHOD WORK
WITH PRODUCT ACTIVATION?
No. For these situations, Autodesk recommends purchasing a multi-seat stand-alone license. You
then receive a single CD and a single serial number good for a specified number of licensed
computers. See your reseller for details.

HOW TO ACTIVATE AND REGISTER AUTODESK SOFTWARE
During product activation, your serial number and product key are verified and licensed to run
on your computer. When done over the Internet, this is an automatic process that occurs when
you launch your product for the first time.
To activate and register your product, follow the below steps or watch our video walkthrough.
Note: Activation is only required for Stand Alone Autodesk licenses.
1. Launch your Autodesk product by clicking on the (product name).exe file, which is
typically saved under your Programs (Windows) or Applications (Mac) folder.
If you're launching your product for the first time, you'll need to read and agree to the Autodesk
Privacy Statement. Check the box and click I Agree.
2. When the Activation Wizard starts, click Activate.

3. Select Connect now and activate! and click Next. If you can't connect or have restricted
Internet access you'll need to manually activate your product.
When activating from a Free Trial version, you'll also be prompted to enter the serial
number and product key you received when purchasing the full product license.

4. Enter your Autodesk ID and Password and click Login. If you don't have one, click Create
User ID Now and follow the on-screen instructions
5. If you have multiple Accounts, select the one you want to register your product to and click
Next.

the specified location. Click Finish to close the activation wizard.

ONLINE LICENSE TRANSFER CAN I MOVE MY SOFTWARE LICENSE TO ANOTHER COMPUTER?
Yes. The Online License Transfer allows you to transfer your software license from one machine
to another. Online License Transfer (OLT) is a feature that uses the License Transfer Utility
(LTU) to move an active stand-alone license to another computer over the Internet. The LTU
exports your license and “parks” it on Autodesk servers. Once a license has been exported, the
product is disabled on the exporting computer. You can then import your license onto another
machine and activate an installation of the same product and serial number.

WHICH PRODUCT VERSION S USE THE LTU?
The LTU is only available with our 2010 and later products. If you're using a 2009 or earlier
version, you need to use the Portable License Utility instead.
IS THERE DOCUMENTATIO N EXPLAINING HOW TO USE THE PLU?
Yes. The PLU documentation is installed with your Autodesk software. More information & step
by step procedure on PLU is available in this link.
CAN I RUN THE LTU FROM WITHIN MY AUTODESK PRODUCT?
No. The LTU is a standalone application and cannot be run from within your product. It can be found in the Start menu for the Autodesk product you want to transfer.
Note: The LTU can only transfer previously activated licenses of the same Autodesk product and serial number. For example, you can’t export a license from Revit Architecture 2013 and import it into AutoCAD 2013. Similarly, you can’t export a license from one serial number of AutoCAD 2013 and import it into a different serial number of AutoCAD 2013.
HOW OFTEN MAY I USE THE L ICENSE TRANSFER UTIL ITY?
There is no limit on how many times you can export and import your license; however, you
cannot export more licenses than you actually own.
MY AUTODESK PRODUCT IS I NSTALLED ON TWO MACH INES (HOME AND WORK ) , CAN I
EXPORT A L ICENSE FOR EACH?
No. While some Autodesk products allow installation on a home and work machine, you can only export the number of licenses you actually own.
WHICH LICENSE TYPES D OES THE LTU WORK WITH?
The LTU only works with Stand-Alone and Multi-Seat Stand-Alone licenses. It does not work with Network licenses, which continue to use the license borrowing feature.

WHAT HAPPENS IF I DON 'T EXPORT MY LICENSE BEFORE MAKING CHANGE S TO MY SYSTEM?
Replacing or reconfiguring hardware on your computer before exporting your license can cause your license to be invalidated, meaning you will have to reactivate your product before using it again. For more information, read our Product Reactivation FAQs
