The Enterprise Europe Network is organizing the co-operation forum future match in Hall 9 to bring together companies, universities and researchers from throughout Europe to find partners for technology partnership. The Enterprise Europe Network offers a central presentation area for products and services to 12 companies or organisations at the European presentation area, covering the future match forum and presentation of Lower Saxony research organisations and spin-off companies.

The primary aims of this event are: Presentation of ideas, innovations and visions of tomorrow to ICT specialists working in scientific research and industry.

1. Contractual relationship KRISPIN Marketing Management (hereinafter termed the organiser) is organising the fair presentation in cooperation with Enterprise Europe Network at the CeBIT on 2-6 March. Contractual relations between the exhibitor and the organiser are established solely on the basis of these general terms and conditions. Any contrary contractual and business terms and conditions of the exhibitor will not become an element of the contract, even in the absence of any explicit objection by the organiser. Sub-letting of the areas to third parties is not permitted. Registration of the exhibitor for the CeBIT 2010 requires the approval of Deutsche Messe AG. Should Deutsche Messe AG therefore decline the exhibitor's registration, the contract becomes null and void. Participating companies are treated as exhibitors and therefore have all the rights and obligations of an exhibitor at the CeBIT 2010 in accordance with the Deutsche Messe AG’s Terms and Conditions of Participation. Deutsche Messe AG’s Terms and Conditions of Participation will be forwarded on request. 2. Registration Applications for space on the joint stand must be sent in writing using the registration form to the following address: KRISPIN Marketing Management Vahrenwalder Str. 7 30165 Hannover Germany Fax: +49 (0)511 9357-749 The exhibitor will receive a registration confirmation from the organiser, on receipt of which the registration is binding. 3. Conditions Participation in the joint stand is offered at a price of € 3.990 incl. VAT which covers the stand rental, costs for fixtures and fittings, erection and dismantling of the rented stand in accordance with the quotation below and pro rata costs for the joint fixtures and fittings, marketing measures and services. The price is quoted exclusive of the applicable rate of valued-added tax which is currently 19%. There is a charge for the approval of co-exhibitors of € 1.380 per company. 4. Service and operating costs - Telephone, fax and internet connection with connection costs - Stand operating costs (electricity / water) - Stand cleaning and security - Catering for exhibitors and visitors (drinks, biscuits/pastries) 8. Additional services The quotation does not cover exhibitor-specific costs such as additional catalogue entries, internet connections, additional media technology equipment, day visitor passes, parking permits and similar. The costs of any additional services booked will be billed after the end of the event. 9. Exhibits / graphics The choice of exhibits is left up to the exhibitor. However, these must be such that neighbouring exhibitors are not impeded and shared areas and surfaces are left free. The number of exhibits and type of presentation must be agreed with the organiser. The exhibitors are responsible for erection and dismantling of the exhibits and also for their transport and insurance. Exhibitors’ own graphics and lettering must fit in with the overall image.

General Terms and Conditions for Participation at Enterprise Europe Network presentation at CeBIT 2010, 2-6 March

10. Fair period Acceptance of the stand and decoration shall take place on March 2nd by an employee of the exhibitor. The exhibitor is obliged to have the stand occupied for the duration of the event. 11. Payment terms / cancellation The stand area charge is payable in two instalments, the first instalment of 50% within 30 days of the order confirmation date, and the second instalment on 12.01.2010. If the contract is concluded later than 01.12.2009, the second exhibitor instalment is payable within 21 days of conclusion of the contract. In the event of payment default, the organiser shall levy interest at the statutory level of 8% p.a. plus a dunning charge of € 25 for the second reminder of payment due. After a second unsuccessful reminder, the organiser reserves the right to withdraw from the contract. The exhibitor may cancel this contract in writing without penalty within 14 days of receipt of the order confirmation. On expiry of the 14-day right of cancellation, the organiser shall levy a cancellation fee of 50% of the overall sum due. Receipt by the organiser is the determining criterion with regard to punctuality of any such cancellation. In the event of cancellation after 30. November 2009, the exhibitor is obliged to pay the full sum due to the organiser. The exhibitor’s fee is also still payable if participation in the joint stand is impossible for reasons that are beyond the organiser’s control. If the organiser is able to rent the area to another company, the exhibitor will be charged a contractual penalty of 30% of the overall charge. The organiser reserves the right to pursue further claims for damages in addition to the contractual penalty. In all cases, the exhibitor has the right to prove that no loss was incurred or that any loss is substantially smaller. 12. Exclusion of liability The organiser accepts no liability for any damage to or theft of the exhibitor’s property. Nor is any liability accepted for claims by third parties caused by the performance / utilisation of the service or by the provision of products by the participant. The exhibitor indemnifies the organiser against all claims by third parties, irrespective of their extent. No liability is accepted for claims as a result of force majeure. The information about the planned site of the exhibition area does not justify any legal claim to receipt or use of this site. Should the CeBIT 2010 not take place, the organiser is released from all obligations arising from this contractual relationship. Where unforeseen political or economic events, force majeure or a significant increase in risks make it impossible to operate the joint stand, no right to damages accrues for the exhibitors. Claims for damages against the organiser, particularly damages which did not occur directly on the joint stand may only be made by the exhibitor if the organiser can be shown to have been grossly negligent or if he is culpably in breach of essential elements of the contract, though only to the extent that this endangers performance of the purpose of the contract, with regard to foreseeable damage typical of the contract. No other liability is accepted by the organiser. 13. Withdrawal The organiser may withdraw from the contract if the exhibitor infringes against the General Terms and Conditions for Participation in the Enterprise Europe Network presentation or Deutsche Messe AG’s Terms and Conditions of Participation. 14. Legal venue The legal venue for all disputes arising from the contract is Hanover, provided the exhibitor is a general merchant within the meaning of Germany’s Commercial Code, a legal person under public law or a public-law special asset.
