Terms and Conditions

1. EXCLUSIVE STATEMENT OF TERMS. An acknowledgment shall operate as an acceptance of Customer’s order

on the condition that the transaction described on the acknowledgement is subject to all of the terms and

conditions contained in the acknowledgment, and that no other terms and/or conditions shall be

applicable (including any standard, printed terms in any purchase order or other form used by Customer),

unless specifically agreed to in a separately signed document executed by the Company’s authorized

personnel in Holland, Michigan.

2. PRICES AND PAYMENT. Unless otherwise stated on the Customers acknowledgment, prices shown do not

include freight, storage, handling, local delivery charges or installation. Payment in full is due thirty (30)

days from the date of invoice, and the Company reserves the right to modify, in whole or in part, its credit

arrangements if, at any time prior to shipment the Company judges Customer’s financial conditions to be

inadequate to support existing credit arrangements.

3. TAXES. All applicable sales, use, excise gross receipts and other similar taxes (excluding only taxes on the

net income of the Company) are the responsibility of the Customer. At the companies option, such taxes

will be charged to the customer. If Customer claims an exemption from such taxes, an exemption

certificate must be furnished to the Company.

4. SHIPMENT AND CLAIMS. Unless otherwise shown on the acknowledgement, goods shall be shipped F.O.B.

the Company’s factory with routing selected by the Company. Extra costs incurred by the Company as a

result of special shipping instructions requested by the Customer will be charged to the Customer. Risk of

loss shall pass to Customer when goods are placed in the hands of a common carrier, and Customer shall be

responsible for examination of the goods upon receipt and processing of any claims with the carrier.

Claims as a result of damage or shortages must be made by Customer against the carrier. Claims against the

Company for apparent shortages in shipment must be filed in writing with the Company within twenty-four

(24) hours of receipt of the goods at job site or storage, otherwise such claims shall be deemed to have

been waived. Claims for defects and errors must be filed in writing within five (5) working days of receipt

of the goods at job site or storage, otherwise, such claims shall be deemed to have been waived.

5. SHIPPING SCHEDULES. Any shipping date shown on the acknowledgement represents the Company’s best

estimate of the approximate shipping date as of the date of this acknowledgment. However, the Company

shall not incur any liability of any kind whatsoever for failure to ship on any particular date unless the

Company has expressly agreed to an unconditional firm shipping date in separately signed writing by the

Company’s authorized personnel in Holland, Michigan.

6. CHANGES AND CANCELLATIONS. After the date of the acknowledgement, Customer may not change or

cancel the order in whole, or in part, without the Company’s written approval. Changes approved by the

Company shall be priced at the Company’s prevailing prices at the time of the change, and the Company

may charge the Customer for added manufacturing costs resulting from any change. The Company may

condition its approval of any cancellation on reimbursement from the Customer for costs and expenses

incurred in connection with the order prior to its approval of the cancellation. If Customer requests a delay

in shipment after the goods have become work in process, the Customer is responsible for obtaining

storage for the finished goods.

7. WARRANTY MATTERS. See Page 3 for full warranty document.

8. DAMAGE EXCLUSION. Under no circumstances shall the Company be liable for any lost profits or any other

incidental or consequential damages of any kind for any reason whatsoever with respect to this transaction

or the goods which are the subject of this transaction.

9. EXCUSE. In no event shall the Company be liable for any loss or damage resulting from any delay or failure

in shipment or other failure to perform with respect to the goods shown on the face hereof, where such

delay, failure or loss or damage is the proximate result of any act of any governmental authority,

revolution, riot, civil disorder or disturbance, act of enemies, delay or default in transportation, disputes

with or among labor unions, inability to obtain materials or facilities from normal sources, fire, flood, act of

God, or any other cause not within the control of the Company, whether of the class of causes enumerated

or otherwise. Without limiting the generality of the foregoing, the Company may, without causing a breach

or incurring liability, allocate goods which are in short supply, irrespective of the reasons therefore, among

Customers in any manner which the Company, in its sole discretion, deems advisable.

10. GOVERNING LAW. The transaction, with respect to the goods which are the subject of this

acknowledgment, shall be governed by and interpreted and construed in accordance with the laws of the

State of Michigan and any disputes shall be adjudicated in Michigan courts.

Terms and Conditions

1. EXCLUSIVE STATEMENT OF TERMS. An acknowledgment shall operate as an acceptance of Customer’s order

on the condition that the transaction described on the acknowledgement is subject to all of the terms and

conditions contained in the acknowledgment, and that no other terms and/or conditions shall be

applicable (including any standard, printed terms in any purchase order or other form used by Customer),

unless specifically agreed to in a separately signed document executed by the Company’s authorized

personnel in Holland, Michigan.

2. PRICES AND PAYMENT. Unless otherwise stated on the Customers acknowledgment, prices shown do not

include freight, storage, handling, local delivery charges or installation. Payment in full is due thirty (30)

Worden Limited Warranty

Worden wood case good and shelving products sold are warrantied for ten (10) years from the date of

ini tia l del ivery of the products to the insta l lation and/or from the date of completion of insta l lation i f

ins ta l lation i s accompl ished according to the Company’s insta l lation procedures . Worden warrants i ts

seating products for a period of two (2) years (exclus ive of uphols tery materia ls ) a fter del ivery and

insta l lation.

Worden warrants the products sold to be free from materia l defects in materia l and workmanship.

During the Warranty Period, Worden's sole obl igation and the Customer's sole remedies pursuant to

this Warranty are l imited to repair or replacement, at Worden's option, of any product, part, or

component covered by this Warranty and sold after the effective date of this warranty which fa i l s under

normal use and service as a result of a materia l defect in materia l or workmanship.

Worden does not warranty products that are exposed to extreme environmental conditions or that have

been subject to improper s torage.

Warranties on purchased hardware and finished components , including but not l imited to hinges ,

pul ls , handles , legs , and s teel frames , are l imited to the hardware and component manufacturer’s

warranty, and this Warranty does not apply to such components .

Any misuse, abuse, modification, neglect, negl igence, accident, improper testing, improper insta l lation,

improper s torage, improper handl ing, abnormal phys ica l s tress , abnormal environmental condition, or

use contrary to any instructions i ssued by Worden voids the Warranty and this Warranty does not apply.

Notwithstanding the foregoing, Worden does not warrant and this Warranty does not apply to:

- natura l variations in wood gra in or figure or the presence of character marks

- changes in surface finishes , including colorfastness , due to aging or exposure to l ight

- fa i lure resulting from normal wear and tear

- the matching of colors , gra ins , or textures of natura l materia ls

- damage from sharp objects or imprinting from wri ting instruments , or prolonged exposure to sunl ight

- individuals purchas ing Worden's products for personal , fami ly, or household use

WORDEN SHALL NOT BE LIABLE FOR LOSS OF TIME, INCONVENIENCE, COMMERCIAL LOSS, OR INCIDENTAL OR

CONSEQUENTIAL DAMAGES.

Purchaser shal l indemnify and hold harmless Worden and i ts officers , di rectors , shareholders ,

employees , agents , and affi l iates (the "Indemnified Parties"), from any loss , damage, cla im, l iabi l i ty or

expense that the Indemnified Parties may suffer aris ing from Purchaser's des ign, speci fications or

materia l provided by Purchaser.

Worden's l iabi l i ty with respect to i ts products shal l not exceed that express ly set forth herein,

i rrespective of the theory upon which any cla im might be based, including breach of warranty, breach of

contract, negl igence or s trict l iabi l i ty, and no person or enti ty i s authorized to assume any l iabi l i ty on

behal f of the Company in connection with the sa le or insta l lation of the Company's products except as

set forth herein.

THE WARRANTIES SET FORTH HEREIN ARE THE SOLE WARRANTIES MADE BY WORDEN IN REGARD TO ITS

PRODUCTS. WORDEN HEREBY EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED,

INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR

WARRANTY AGAINST INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY, WHETHER

ARISING BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE, OR OTHERWISE.

PURCHASER ACKNOWLEDGES THAT IT HAS NOT RELIED ON ANY REPRESENTATION OR WARRANTY MADE BY

WORDEN, OR ANY OTHER PERSON ON WORDEN'S BEHALF, EXCEPT AS SPECIFICALLY PROVIDED HEREIN.

General Ordering Information

PRICES. These prices supersede all previous issues. Prices and product specifications are subject to

change without notice. All prices shown are LIST prices. The most current pricing information can be

found on www.wordencompany.com.

RESALE RIGHTS. The only resellers who have a continuing right to purchase products from The Worden

Company are those who have become authorized dealers. By accepting orders from resellers who are

not authorized Worden dealers, The Worden Company makes no representation or promise, express or

implied, that it will continue to accept such orders on subsequent occasions.

TERMS. Net 30 days from date of invoice. F.O.B. Factory, unless otherwise stated. A delinquency

charge of 1-1/2% per month will be applied for late payment. All prices shown include our standard

packing and packaging arrangements. Specially requested or required packing and/or packaging will

entail an additional charge.

SCHEDULING. Orders will not be scheduled into the manufacturing queue until all required information

has been provided by Buyer. Lead time begins at the time of order scheduling.

STORAGE. The Worden Company is not responsible for storing product beyond the scheduled

shipment date. Buyers are responsible for securing storage of product unless other storage

arrangements are made.

FREIGHT. Freight rate must be applied to the net price of all orders. To determine the freight percentage,

reference the Freight Classification on page 8 of the Price List. The minimum freight rate or the

applicable freight percentage (whichever is higher) will be applied to the net amount of the invoice.

CANCELLATIONS. All orders are considered firm orders and cannot be cancelled without written

permission from The Worden Company. A charge will be levied based on the expense incurred in

processing and/or production for an order up to the date of cancellation.

ORDER CHANGES: Changes to purchase orders may incur additional charges dependent upon timing of

the order in the manufacturing process.

RETURNS. No merchandise may be returned for credit without previous agreement by The Worden

Company. Written authorization MUST be received from The Worden Company office or returns will

not be accepted.

FREIGHT CLAIMS. Shipments delivered to the common carriers are in good condition, and The Worden

Company’s l iability ceases at that time. Merchandise should be inspected for possible freight damage

upon delivery. Damage should be noted by carrier’s driver whenever possible. Claims should be fi led

with common carriers immediately upon discovery.

PRODUCT CLAIMS. Any claim against The Worden Company for shortages must be made by the Buyer

in writing within 48 hours of receipt of shipment. Any defects or errors must be claimed in writing

within 5 working days after delivery. Failure to make such a claim shall constitute full acceptance of

the merchandise.

PATENTS. Certain Worden designs and mechanical features may be protected under patents, either

obtained or pending.

ORDERS:You must list all items on your purchase order with QUANTITY, PRODUCT NUMBER, and the ITEMIZED COST, as determinedfrom the Worden Price List. If your order is based on a quotation, include a copy of that quotation with your purchaseorder for reference. In addition to the above information, each section lists specific information that may be required for the different catagories of equipment within each product category.

When shop drawings are required, please request them by noting it on your purchase order.

If you provide us with the complete information needed, your order will be processed promptly. An improperlyprepared order will be placed on hold until all of the required information is received.
