Structure Tip:
Bylaws and Committee Charters must be carefully crafted to ensure the committees serve their intended purpose but do not exceed their authority
Bylaws should focus on basic aspects of function and roles
Charters should focus on specifics - keeping the team nimble and responsive to changes

Standing vs. Ad Hoc
• Standing committees are needed on an ongoing basis.
• Ad Hoc committees are temporary, set up for a specific event or goal, and dissolved when completed
Committee Work Plan –Operational Goals
One of the best ways to ensure effective board committees is through use of a committee work plan.
The plan specifies goals for the committee, strategies to meet the goals and timelines for completion of the goals.
The goals of the committee should be closely aligned with achieving the strategic goals determined during strategic planning session.
Committee Reporting
• Committee reports are a communication tool.
• The board can decide how often the committee submits a report, which can be monthly, yearly, or some other timeframe.
• Typically, standing committees submit reports at every board meeting.
• Committee reports become part of the minutes and should be kept for historical and recording value. These reports could also be called upon if a legal issue arises, so committees must document their findings in writing.
