2.

Definitions

Unless the context reqUires otherwise; in this

Proc1amation:-

1) "Agricultural Product" means a product as m ay;

from tim e to tim e be determ ined as an agricultural

p ro du ct b y th e M in istry o r its d esig nate.

2) "Bailee" m eans a person who, by a warehouse

receipt o r sim ilar o th er in strum en t; ackn ow led ges

posses si on of goods; i nc lud ing a gr ic ul tu ra l p roduc ts ;

and undertakes to deliver them to the bailer or his

tran sferee in ac co rd an ce w ith th e p ro visd io ns o f th is

Proclamation.

3) "Bailor" means a person who, on his own or

through a lawful agent, delivers goods to a

warehouseman for the purpose of storage in the

latter's w areh ouse w ith th e inten tio n o f reclaim in g

the goods, transferring them to a third party or

o fferin g th em a s co llateral to a len din g in stitu tio n o r

o ther pe rsons.

4) "Contract of warehousing" means a contract

w hereby one party, the w arehousem an, being duly

licensed by the appropriate organ, undertakes to

receive and store goods on behalf of either of the

bailor or of the purchaser of the goods or of a person

w ho rec eiv es it in p led ge.

5) "D elivery" m eans the process of voluntary transfer

of possession of goods by a bailer to a

warehouseman and the redelivery thereof to the

b aile r h is tra nsfe ree o r h is p led gee .

6) "Docum ent" means an instrum ent on which any

m atter of substance is expressed or described by

m eans of letters, figure, m arks, or by m ore than one

of these m eans and intended to be used or w hich m ay

b e used fo r th e p urpo se o f record ing that m atter.

7) "Document of title to goods" means a written

d escrip tio n; iden tificatio n o r declaratio n o f go od s

w hich , in th e reg ula r co urs e o f b usin ess o r fin an cin g,

is trea te d as e vid en cin g th at th e p erso n in p os sessio n

of it is entitled to receive, hold and dispose of the

d ocu ment an d the go od s it co vers.

8) "Electronic document" m eans a document

generated, sent, received or stored by electronic,

o ptic al o r sim ila r m ea ns in clu din g, b ut n ot lim ited to ,

electronic data interchange, electronic m ail,

te le gr am te le x o r te le co py .

9) "Fungibles" m eans goods of which any unit is, by

nature or usage of trade, treated as the equivalent of

an y o th er u nit.

10) "Goods" means all corporeal m ovables which

m ay be subject to a contract of w arehousing under

this Proclamation.

11) "Holder" m eans a person who is in possession of a

w arehouse receipt issued or endorsed to him or to

his order or to bearer or in blank.

3) W ithout prejudice to the provisions of this

Proclamation pertaining to the obligation of a

w areh ou se o perator to d eliv er the go od s o n d em an d

and to his duty of care and diligence, a w arehouse

receipt m ay contain in it any other term that better

d efin es th e relatio nsh ip o f th e p artie s to th e tra nsa c-

tion.

4) W here a warehouse operator om its to include any

o ne o f th e p articu la rs sp ec ified u nd er S ub -A rticle (2 )

hereof, he shall be liable for dam ages arising out of

such om ission provided, how ever, that no receipt

shall be deemed not to be a warehouse receipt by

reas on o f su ch o m issio n.

5) A warehouse receipt shall provide enough space to

register its negotiation thereof to som e specified

person in accordance with the provisions of this

Proclamation.

6) Subject to reasonable service charges, a w arehouse

operator, may upon request by the holder of a

w areh ou se rec eip t, rep la ce a w are ho use rece ip t w ith

W are ho use re ceip ts o f s malle r d en om in atio n w hic h

are o f th e lik e ten ure and w areho use charge as th e re-

placed one. H e m ay likew ise replace w arehouse re-

ceip ts o f sm aller d en om in ation w ith g reater o ne (s).

Legal S ta tu s

of

a Wa reho use R ec eip t

1) A duly drawn up warehouse receipt delivered to a

bailor shall constitute a valid contract between a

w areh ou se o perato r an d a b ailo r.

2) The relevant provisions of the 1960 Civil Code of

E th io pia o n C on tracts in G en eral an d o n C ontracts of

Bailm ent in particular may supplement this

P ro cla ma tio n in g ov er nin g th e r ela tio ns hip o f p ar tie s

to a w are ho use rec eip t.

Over I ss ue

of

Warehouse Rece ip ts

1) W ithout prejudice to the provisions of A rticle 6(6) of

this Proclamation, no more than one warehouse

receipt shall be issued in respect of the sam e goods

already represented by an outstanding w arehouse

receipt except in substitution for lost, stolen or

dest royed rece ipts .

2) The holder of the original receipt or his transferees

sh all retain title to th e g oo ds.

3) A warehouse operator over issuing warehouse

rece ip ts sh all b e lia ble fo r d am ag es ca used to h old ers

o f s ub se qu en t w ar eh ou se r ec eip ts .

4) W here it cannot be ascertained who the original

h old er is, th e w are ho use o pe rato r resp on sib le fo r th e

o ve r issu e sh all b e s ev erally liab le to a ll th e h old ers.

9. A lte red Warehous e Receip ts

1) W here a blank in a negotiable w arehouse receipt has

been filled in by a person without authority, the

holder in due course of such a receipt shall have full

title o n th e g oo ds rep rese nted b y th e in stru me nt.

2) Any other unauthorized alteration leaves any

warehouse receipt enforceable against the

w areh ou se o perator in acco rdan ce w ith its o rig inal

terms;

1) In the event of loss of, theft or injury to a negotiable

warehouse receipt, the holder shall advise the

w are ho use o pe ra to r in w ritin g o f th e circu mstan ce s

w ithin tw enty four hours of becom ing aw are of this

fact.

2) A person claim ing to be the holder of a lost, stolen or

destroyed negotiable w arehouse receipt shall for-

th with ap ply to a co urt fo r an o rd er fo r d eliv ery o f th e

goods or issuance of a substitute negotiable

w areh ou se receip t. T he co urt m ay grant the req uest

u po n re qu irin g th e h old er to p ost ad eq uate sec urity to

indemnify anyone who m ay sustain damages as a

resu lt of the o rd er. S uch security shall b y o peration

of the law , lapse if no one appears to claim his rights

th erefro m in tw o y ears fo llo win g th e cou rt o rder.

3) A warehouse operator on whom due notice is served

in accord an ce w ith the p ro vision s o f S ub -A rticle (1 )

h ereo f w ho , w ith ou t a c ou rt o rd er, d eliv ers th e g oo ds

to a person claim ing under a missing negotiable

w arehouse receipt is liable to any person injured

thereby.

11. Attachment

G oo ds kep t in a w areh ouse fo r w hich w areh ouse receip ts

are issued in the name of a person other than the

w arehouse operator shall not be liable to attachm ent on

account of debts or bankruptcy of the warehouse

operator.

2) He may foreclose his lien by selling sufficient

am ount of the stored goods by public auction or

p riv ate sale on su ch term s an d u po n su ch con dition s

as are co mm ercially reaso nab le u nder the circu ms-

tances.

3) A warehouseman may, however, exercise his right

u nd er S ub-A rticle (1 )and (2 ) hereo f sub ject to co m-

p lia nc e w ith th e f ollo w in g c on ditio ns :

(a) the storage and other charges for w hich the right

arises m ust be d ue:

(b) all persons known to claim an interest in the

go od s m ust b e d uly no tified :

(c) the noification m ust include a statem ent of the

claim , a d es crip tio n o f th e g oo ds su bje ct to lie n,

a d em an d fo r p ay me nt w ith in a sp ec ified p erio d

of tim e and an indication that the goods w ill be

sold by public or private sale if the claim is not

p aid w ith in th e tim e stated th erein ;

(d) the right should only be exercised w ith respect

to claim s in relation to the goods stored and in

th e p osse ssio n o f th e w areh ou se o perato r;

(e) the lien holds good only as to the goods covered

b y th e p articu lar w areh ou se rec eip t o ut o f w hich

the right arises or on the proceeds thereof and

n ot ag ain st an y o th er p ro perty o f th e sam e b ailo r

in th e p osses sio n o f th e w areh ou se o pe ra to r.

4) A person claiming a right in the goods may, at any

time before the sale, pay the am ount required to

satisfy th e lien an d o th er reaso nab le exp en ses o f th e

warehouse operator and stop the sale. The

W arehouse operator shall in such cases retain the

goods subject to the term s of the w arehouse receipt

a nd th e r ele va nt p ro vis io ns o f th is P ro cla m atio n.

5) A warehouse operator who, in the course of exer-

cising his right of lien. fails to comply with

req uirem en ts stated hereo f is liab le fo r dam ag es he

c au se s to o th er s.

6) The relevant provisions of the law of obligations

m ay su pp le men t th e p ro visio ns o f th is A rticle.

Negotiation of Warehouse Rece ip ts

20.

Negotiation

1) A warehouse receipt

-

may be negotiable or non-

negotiable.

2) A non-negotiable warehouse receipt shall always

carry the w ords "N onnegotiable" on the face of it.

Failure to observe this rule shall have the effect of

render ing the i ns trume nt negotia b le .

3) Rights and obligations arising out of a non-

negotiable w arehouse receipt shall only be trans-

ferred to third parties in accordance with rules

g ov ern in g sa le o r th ose o n o rd in ary a ssig nm en t.

4) A negotiable w arehouse receipt m ay be transferred

to third parties by endorsement and delivery. A

provision in a negotiable warehouse receipt that

lim its n eg otia bility sh all b e o f n o e ffe ct.

5) For the purpose of this Proclamation, an endor-

sement may be in blank, to bearer or to a named

person, and if the endorsem ent is to a nam ed person

th e rece ip t m ay a gain b e n eg otiated b y en do rse men t

in blank, to bearer or to another named person.

Subsequent negotiations m ay also be m ade in like

manner.

6 ) D ue n eg otia tio n o f a n eg otiab le w areh ou se re ce ip t

necessary endorsem ent which, by default or

otherwise , i s miss ing from the ins trument.

22.

Warranties

A tra ns fe ro r fo r co nsid era tio n o f a n eg otiab le w areh ou se

r ec eip t s ha ll w ar an ty th at

1) the w arehouse receipt is genuine;

2) he has no knowledge of any fact that would impair

the validity and w orth of the receipt; and

3) his negotiation is rightful and effective w ith respect

to the title of the w arehouse receipt and the goods it

represents.

23.

Defea ted R igh ts

1) A good faith purchaser who, in the ordinary course

of business. buys fungibles and takes delivery

thereof from a warehouse operator who is also

lic en sed to s ell su ch g oo ds tak es th e fu ng ib les free o f

any claim un der the w areh ouse receip t even th oug h

th e rec eip t h as b ee n d uly n eg otia te d.

2) A transferee of a negotiable w arehouse receipt w ho

has taken it for consideration shall only acquire the

title a nd r ig hts o f th e tr an sf er or .

24. WarehouseReceipts as Secur ity Devices

1) A holder of a negotiable warehouse receipt m ay

bo rrow m oney from banks or sim ilar au tho rized

lending institutions by offering such receipt as

collateral.

2) A bank or a lending institution holding a w arehouse

receipt as collateral in accordance with the

p ro vis io ns o f S ub A rticle (1 ) h ere of m ay n ot tran sfer

the receipt to third parties unless the borrow er is in

default.

3) W here the borrower defaults to pay the debt upon

m aturity, the bank or the lending institution, upon

serving due notice on the borrow er, m ay cause the

goods covered by the receipt to be sold fifteen days

after the date of paym ent specified in the notice is

due.

4) Subject to the w arehousem en's right oflien, the bank

o r th e len din g in stitutio n th at has caused th e g oo ds to

be sold as per the provisions of this Article shall

deduct all outstanding debts of the borrower for

w hich the receipt is given as security as w ell as the

expenses of the sale and shall hold the balance at the

d is po sa l o f th e b orr ow er .

5) N on-com pliance w ith the requirem ents hereof shall

entail the liability of the banker or the lending

in stitu tio n to an yo ne su stain in g d am ag es th erefro m.

6) The manner and effect of offering non-negotiable

w areh ou se re ce ip ts as co llateral sh all b e g ov ern ed b y

ru les o n o rd in ary p le dg e.

W here a person, having sold or pledged goods that are in

a w areh ouse for w hich a nego tiab le w areh ou se receip t is

issued or having sold or pledged the negotiable receipt

itself, continues to be in possession of the receipt,

good faith for consideration and w ithout notice of the

27. Licensing

T he M in istry o r its d esig nate sh all:-

1) issue business licenses for the conduct of the

business of w arehousing to the entitues specified

u nd er A rticle 2 6 of th is P ro clam ation p ursu an t to th e

com mercial R egistration and B usiness L icensing

procam ation No. 67/1997, Federal Government

com mercial Registration and B usiness L icensing

council of M inisters R egulations N o. 13/1997 and

pursua nt to t hi s Procla mat ion ;

2) classify w arehouses in term s of their capacity or the

sp ec ific se rv ice s fo r w hich th ey are lic en sed ;

3 ) issu e to an y perso n, u pon p resentation o f satisfacto ry

proof of com petence, licenses to inspect, classify,

grade, w eigh or sam ple agricultural products to be

sto re d in a w are ho use

4) w ithout prejudice to the provision of Sub A rticle (3)

of this A rticle any person engaged in the grading of

agricultural products as provided for in this

Proclamation shall obtain the delegation of the

E thio pian Q uality an d S tan dard s A uth ority to d o the

g rad in g o f th e sam e.

28 . Publicity

1) A w arehouse operator shall, upon due registration,

cause to be published in a newspaper of national

circulation inform ation with respect to its head

office. Location of each w arehouse under his con-

tro l, th e ty pe o f g oo ds its w are ho use s are au th orized

to accept, its financial standing as w ell as any other

relevant m atter w hich he deem s is appropriate to be

d isclo sed . S uch p ub licity sh all be m ade n o later than

t hir ty days fol lowing i ts reg is tr ati on .

2) A reg istred w areh ouse o perato r sh all also p erm an en -

tly d isp la y o n c on sp icu ou s p lac es in a ll its p rem ise s a

statem en t sh ow ing th at it is licensed in acco rd ance

29 . Maintaining Records

1) A warehouse operator shall keep complete and

co rrect record s of all g oo ds stored in his w areho use

and w ithdraw n therefrom in a licked fire resistant

container.

(e) a daily position record (DPR) evidencing all

goods held in the w arehouse and m ovem ent of

goods into and out of the w arehouse.

3) A ll w arehouse receipts against sUITender of w hich

goods covering them have been delivered either to

the bailor, his transferee, a pledgee or any other

p erso n w ith a v alid title s ha ll fo rth with b e ca ncelled .

4) It shall be incum bent upon warehouse operators

registered under this Proclam ation to maintain

proper books of accounts in accordance w ith law s

governing the sam e and to have their accounts duly

au dited at th e end o f ev ery E th iop ian fin an cial year.

30. Publication of Tariffs

1) A w arehouse operator shall have his storage charges

published in a new spaper of national circulation no

later th an thirty d ays fo llo win g th e co mm en cem en t

of every Ethiopian financial year. The published

ta rif f s ha ll b e p er ma ne ntly d is pla ye d o n c on sp ic uo us

places in each warehouse and shall, am ong other

things, include levies w ith respect to receiving,

storing and discharging of goods as well as the

ch arg es fo r issu an ce o f w areh ou se re ceip ts.

2) A warehouse operator m ay not charge a tariff in

excess of those that he has caused to be published.

3) Notw ithstanding the provisions of Sub A rticles (1)

and (2 ) hereo f, a w areh ouse o perato r m ay cau se new

w arehouse charges to be 'published w henever cir-

c um sta nc es w a IT an t p r ov id ed , h ow ev er, th at o uts ta n-

ding w arehouse receipts shall be charged at the rate

p re va le nt u po n is su e.

31 .

Bondin g a nd In su ra nc e

1) Every warehouse operator shall, as a condition for

re ceiv in g o r re ne win g a licen se , e xecu te a nd file w ith

th e M in stry o r w ith a reg ulato ry o rg an d eleg ated fo r

this purpose by the M inistry a bond or an under-

taking sufficient to secure performance of his

obligations towards his customers. The type and

am ount of said bond or undertaking shall be deter-

m ined by a directive to be issued by the M inistry or

i ts designate.

2) A warehouse operator shall in addition insure all

goods for which warehouse receipts are issued in

a cc or da nc e w ith th e p ro vis io ns o f th is P ro cla m atio n.

32 . Non Discr iminations

1) W here a person offers to a w arehouse operator goods

that are of the kind custom arily stored therein, the

latter shall take delivery of the goods thereof

provided the goods tendered are in a suitable

condition and provided further that there is space

available.

2) A w arehouse operator registered in accordance w ith

the provisions or this Proclam ation shall not m ake

any discrim ination w ith respect to availability of

facilities o r as to tariffs b etw een p erso ns av ailin g o r

d esirin g to a vail th em selv es o f h is serv ic es.

33. Establishment of Standards

1 ) T he M in istry , h avin g d ue reg ard to o th er ap pro priate

laws pertaining to establishm ent and control of

national standards and in close consultation w ith

relevant organs of public adm inistration, m ay es-

tablish or m ay cause to be established standards for

a gric ultu ra l p ro du cts th at m ay b e s to re d in r eg is te re d

warehouse.

2) The M inistry may likewise set or cause to be set

c rite ria o f p ro fe ss io na l c om p ete nc e fo r c er tif ic atio n

of persons engaged in the business of inspecting,

classifying, grading. W eighing and sampling of

agricultural products to be stored in a registered

warehouse.

34.

Inspection

of

Warehouses

1) The M inistry or its designate m ay inspect or cause to

be inspected any warehouse licensed under this

P ro clam atio n. H e sh all in p articular in vestig ate th e

m anner of receiving storing handling classifying

according to grade and other wise, weighing and

g ra din g o f a gr ic ultu ra l p ro du cts .

2) The M inistry or its designate may examine or cause

to be examined all books of accounts records and

p ap ers o f a w are ho use o pe ra to r.

3) The ministry or its designate may investigate or

cause to be investigated the activities of persons

lic en se d a s in sp ec to rs , c la ss if ie rs , g ra de rs , w e ig he rs

o r s am p le rs o f a gr ic ultu ra l p ro du cts .
