RESOLUTIONTOAPPROVEANDAUTHORIZETHE SULLIVAN COUNTYMAYORAFTER THE PASSAGE OF TWENTY (20) YEARS TO RELEASE ANY AND ALLCLAIMS, LIENS AND RESTRICTIONS AGAINST FIRETRUCKS AND RESCUETRUCKS PURCHASED WITH MONEY DONATED BY SULLIVAN COUNTY TOSULLIVAN COUNTYVOLUNTEERFIRE DEPARTMENTSAND VOLUNTEERRESCUESQUADS.
WHEREAS,during fiscal year 1996-1997 Sullivan County donated approximately $125,000 to aSullivan County volunteer fire department for the purchase of a fire truck; and
WHEREAS,it was the plan at that time to donate similar money annually to each SullivanCounty volunteer fire department on a rotating basis; and
WHEREAS,by Resolution number 3 passedon September 15, 1997, the Cities of Bristol andKingsport were added to such plan; and
WHEREAS,by Resolution number 3 passed on September 15, 1997 such donations wereconditioned on the approval andsigningof anAgreement(hereinafter“Agreement”) whereintherecipients, among other things, agreed to name Sullivan County as a lienholder on the title to saidfire truck andforbade the recipients from sel]ing, trading, giving away or encumbering such firetruckswithout the approval of Sullivan County; and
WHEREAS,by Resolution number 13 passed on October 19, 1998 a similar plan was adoptedby Sullivan Countyproviding for an annualmonetarydonationby Sullivan County to SullivanCountyvolunteerrescuesquadson arotatingbasisto be usedfor the purchaseofrescuevehicles;and
WI-IEREAS, by Resolution number 13 passed on October 19, 1998 such donations to SullivanCounty rescue squads were conditioned on the approval and signing of an Agreement(hereinafter “Agreement”) wherein the recipients, among other things, agreed to name SullivanCounty as a lienholder on the title to said rescue vehicle and forbade the recipients from selling,trading, giving away or encumbering such rescue vehicles without the approval of SullivanCounty; and
WHEREAS,the term of these Agreements has been for twenty (20) years;and
WHEREAS,Sullivan County has continued to fund these doaations through the 2014-2015fiscal year and will probably continue to fund these donations hereafter and the Agreement hascontinued to be signed; and

WHEREAS, the first of thesevehicleswill turn twenty (20) yearsold beginning in 2016 withanother fire truck and rescue vehicle turning twenty (20) years old each year thereafter; and
WHEREAS,it is the desire of Sullivan County to release any andall claims,liens,and interestithas in such vehicles, and to release any and all restrictions it has on the use of such vehicles,upon the 20 year anniversary of the signing of each Agreement such that upon the 20 yearanniversary of the signing of each Agree~i~umsuch volunteer fire depa~ ment and volunteerrescuesquadmay sell, trade,encumber,pledgeor disposeof its fire truck or rescuevehicle asitseesfit;
NOW THEREFORE BE IT RESOLVED that upon the twenty (20) year anniversaryof thesigning of each Agreement,the Sullivan County Mayor is herebyauthorizedto releaseany andall claims, liens, and interest Sullivan County has in the vehicle being the subject matter of such20 year old Agreement, and to release any and all restrictions it has on the use of such vehicle,and therespectivevolunteerfire departmentandthe respectivevolunteerrescuesquadis herebyauthorized upon said release to sell, trade, encumber, pledge or dispose of its fire truck or rescuevehicle as it sees fit. The Sullivan County Mayor is hereby authorized to take any action and tosign anydocumentsnecessaryto effectuatesuchrelease.

WHEREAS, undertaking hazardmitigation actions before disastersoccur will reduce thepotentialfor harmto peopleandpropertyandsavetaxpayerdollars; and
WHEREAS,an adoptedhazardmitigationplanis requiredasaconditionoffuturegrantfundingfor mitigation projects;and
WHEREAS,Sullivan County participated jointly in the planning processwith the other localunits of government within the County to prepare the Multi-Jurisdictional Local HazardMitigation Plan.

SULLIVAN COUNTY TENNESSEEDebt Management Policy
Goal/Mission: To provide management with appropriate guidelines and direction to assist in makingSound debt management decisions, To further demonstrate strong financial management practices forour county citizens, outside investcrs, and credit agencies.
Objectives: To enhance the decision process by identifying the methodology of decision ii:nking andoutline the criteria on which the principles utilized are based.
A. ENHANCE TRANSPARENCY OF DECIflIONS BY WAY OF ANNUAL DEBT REPORT,ANNUAL BUDGETS, ANDSPECIFIC NLWISSUE REPORT
a. Annual debt reports shall be submitted to the county legislative body by June 301h of eachyear either with the annual budget document or separate. In addition to the outstanding debtand requirements it should also include:
i. Calculationsof percentage of total debt to assessed valueh. Calculation of debt to per capita income
iU. Sullivan County shall prepare a multi-year debt budget for at least 5 years
b. Sullivan County shall comply with legal requirements for notice and for public meetingsrelated to debt issuance. In the interest of transparency, all costs (including interest,issuance, continuing, and one-time) shall be disclosed to the citizens/members,governing body, and other stakeholders in a timely manner.
c; Debt issuance shall comply with the State Form CT-0253, as ‘well as, any other staterequired forms that detail all associated cost for the issuance of the proposed debt.These records shall be available for public and county commission inspection prior to thecommissionapproval of the debt issuance.
B. ACQUIRING OF PROFESSIONALSERVICESFORTHE ISSUANCEOF DEBT
a. Sullivan County shall require all professionals engaged in the process of issuing debt toclearly disclose all compensation and consideration received related to services providedin the debt issuance process by both Sullivan County and the lender or conduit issuer, ifany. This includes “soft’ costs or compensations in lieu of direct payments.
b. Counsel: Sullivan County shall enter into an engagement letter agreement with eachlawyer or law firm representing Sullivan County in a debt transaction, (No engagementletters required for any lawyer who is an employee of Sullivan County or lawyer or lawfirm which is undo:’ general appointment or contract to serve as counsel to the County.The County does not need an engagement letter with counsel not representing theCounty, such as underwriters’ counseL)
c. Financial Advisor: If Sullivan County chooses to hire financial advisors, Sullivan Countyshall enter into a written agreement with each person or firm serving as financial advisorfor debt management and transactions.
d. Whether in a competitive or negotiated sale, the financial advisor shall not be permitted tobid on, privately place or underwrite an issue for which they are or have been providingadvisory services.
e, Underwriter: If there is an underwriter, Sullivan Countri shall require the underwriter toclearly identify itself in writing as an underwriter and not as a financial advisor from theearliest states of its relationship with Sullivan County wfth respect to that issue. Theunderwriter must clarify its pritnary role as a purchaser of securities in an arm’s-iength

commercial transaction and that it has financiar and other interests that differ from thoseof Sullivan County. The underwriter in a publicly offered, negotiated sale shall berequired to provide pricing information both as to interest rates and to takedown permaturity to the governing body or it’s designated representative in advance of the pricingof the debt.
C. ESTABLISHING STANDARDS TO ASSURE AGAINST CONFLICTS OF INTEREST FOR BOTHINTERNAL AND EXTERNAL PROFESSIONALS
a. Professionals involved in a debt transaction hired or compensated by Sullivan Countyshall be required to disclose to Sullivan County existing client and business relationshipsbetween and among th~ professionals to a transaction (including but not limited tofinancial advisor, swap advisor, bond counsel, swap counsel, trustee, paying agent,underwriter, counterparty, and remarketing agent), as well as conduit issuers, sponsoringorganizations sufficient to allow Sullivan County to appreciate the significance of therelationships.
b. Professionals who become involved in the debt transaction as a result of a bid submittedin a widely and publicly advertised competitive sale conducted using an industry standardelectronic bidding platform are not subject to this disclosure, No disclosure, is requiredthat would violate any rule or regulation of professional conduct.
c. Review the representatives of the County Staff and the other representatives of theCounty involved in the decision making process and their adherence to knowledge of theCounty Ethics Policy.
D. OTHER REQUIREMENTS FOR MANAGING AND ISSUING DEBT
a. The Debt Service Fund(s) shall maintain minimum balances equal or greater than therequirements for the first half of the fiscal year less any designated recurring revenues forthe respective debt.
b. Sullivan County shall service all debt principal and interest payments through the debtservice fund with the exception of leases for less than $100,000 principal.
c. Sullivan County shall not utilize variable rate debt for any debt beyond 3 years without aspecial advertised public hearing before the issuance.
d. All debt repayment schedules shall use the straight-line method of repayment. Otherrepayment schedules must be approved by the comptroller’s office in writing and’fullydisclose the additional interest cost compared to straight-line repayment method.
e, Borrowing using capital outlay notes, the county shall solicit a minimum of three rates andissuance cost quotes and select the lowest and best offer. The county may use the Stateloan pool as one of the three quotes.
g. In the case of refInancing, an analysis report shall be provided which fully explains thereasons for th.e refinancing and the net savings and cost of the refinancing which willinclude not only interest charges but also the fees associated with the transactions for theissuance.
h. Sullivan County shall not issue debt that exceeds the life of the capital asset funded bythe debt.
i. All elected and appointed officials, as well as. de~artmert he3ds should DCknowledgeable that the Sullivan County Purchasir.g laws gcvern the approval an~signing of all contractual commitments ~ncludThglesse agreements.
