WHEREAS,Mr. Geismar’s mortgage company would not assign a Bloomingdale Road address to aparcel of property not fronting on that street; and,

WHEREAS, theGoverningBody of Sullivan County.Tennessee,(the ‘Local Government”)hasdeterminedthat it is necessaryand desirableto issuecapitaloutlay notesin orderto providefunds for thefollowing public works project: RoofReplacementat Sullivan EastHigh School (the‘Project”) at a costnot to exceed$1,500,000with an economiclife of 15 years;and

WHEREAS, theGoverningBody hasdeterminedthat the Projectwill promoteor providea traditionalgovernmentalactivity or otherwisefulfill a public purpose;and

WHEREAS, underthe provisionsof Parts I, IV andVI of Title 9, Chapter21,TennesseeCodeAnnotated

(the ‘Act”), local governmentsin Tennesseeareauthorizedto financethe cost of this Projectthrough theissuanceand sale of interest-bearingcapital outlay notesupon the approvalof the Comptrollerof theTreasuryor Comptroller’sDesignee;and

WHEREAS,the GoverningBody finds that it is advantagcousto the Local Governmentto authorizetheissuanceof capitaloutlay notesto financethe cost of the Project;

NOW, THEREFORE,BE IT RESOLVED,by the GoverningBody of Sullivan County,Tennesseeasfollows

Section I. That, for the purposeof providingfundsto financethe costof the Project in and for the LocalGovernment,the Chief Executive Officer of the Local Governmentis hereby authorizedin accordancewith the termsof this resolution,and upon approvalof the Comptrollerof the Treasuryor Comptroller’s

Designee,to issueand sell interest-bearingcapital outlay notes in a principal amount not to exceedOneMillion Five HundredThousandDollars ($1,500,000)(the “Notes”) by an infonnal bid processpursuantto the terms, provisions, and conditions permitted by law’. The Notes shall he designated“SchoolRenovationCapital Outlay Notes, Series 2015”; shall be numberedserially from I upwards;shall bedatedas of the dateof issuance;shall be in denomination(s)as agreedupon with the purchaser;shall hesold at not less than99% of parvalue andaccruedinterest;andshall bear interestat a rateor ratesnot toexceedthreepercent(3%) perannum,and in no eventshall the raleexceedthe legal limit provided bylaw,

Section2. That, the Notesshallmaturenot later than ten (10) fiscal yearsafter the fiscal yearof issuanceand,unlessotherwiseapprovedby the Comptrollerof the TreasuryorConiptroller’s Designee,the Notesshall he amortized in an amount reflecting at least level debt service on the Notes approximatelyaccordingto the following schedule:

The final maturity of the Notesshall not exceedthe reasonablyexpectedeconomic life of the Projectwhich is herebyestimatedto beatleast15 years.

Section 3. That,theNotesshall be subjectto redemptionat theoption ofthe Local Government,in wholeor in part, at any time, at the principal amount andaccruedinterestto the dateof redemption,without apremium,or, if sold atpar, with orwithout a premiumofnotexceedingone percent(1%) ofthe principalamount.

Section 4. That, the Notes shall be direct general obligations of the Local Government, for which thepunctual payment of the principal and interest on the notes, the fill faith and credit of the LocalGovernment is irrevocably pledged and the Local Government hereby pledges its taxing power as to alltaxable property in the Local Government for the purpose of providing funds for the payment of principalof and intereston theNotes.The Board of the Sullivan County Department of Education intends to findthe paymentofthe Notesfrom theirGeneralPurposeSchoolFundastheNotesmature. In the eventtheyare unable to do so, the Governing Body of the Local Government will authorize the levy and collectionof a special tax on all taxable property of the Local Government over arid above all other taxes authorizedby the Local Government to create a sinking fund to retire the Notes with interest as they mature in anamountnecessaryfor thatpurpose.

Section5. That,theNotesshall be executedin thenameof the Local Government;shallbearthe manualsignature of the chief executive officer of the Local Government and the manual signature of the countyclerk asauthorizedby thegoverningbody togetherwith theLocal Governmentsealaffixed thereon;andshall be payable as to principal and interest at the office of the local government official as authorized bythe Local Government or at the office of the paying agent duly appointed by the Local Government.Proceeds of the Notes shall be deposited with the county trustee. All proceeds shall be paid out for thepurpose of financing the Project pursuant to this Resolution andas required by law. —

Section 6. That, the Notes will be issued in fully registered form and that at all times during which anyNote remains outstanding andunpaid,the LocalGovernmentor its agentshall keepor causeto be keptatits office a note register for the registration, exchange or transferoftheNotes.Thenoteregister,if heldbyan agent of the Local Government, shall at all times be open for inspection by the Local Government orany duly authorized officer of the Local Government.EachNote shall havethe qualitiesand incidentsofa negotiableinstrument and shall be transferableonly upon the note register kept by the LocalGovernmentor its agent,by the registeredowner of the Note in personor by the registeredowner’sattorneyduly authorizedin writing, uponpresentationandsurrenderto the LocalGovernmentor its agenttogether with a written instrument or transfer satisfactory to the Local Government duly executed by theregisteredowneror the registeredowner’sduly authorizedattorney. Uponthe transferofany suchNote,

The Local Governmentshall not heobligatedto makeany suchNote transferduring the fifteen (15) dassnext precedingan interestpaymentdate on the Notes or, in the case of any redemptionof the Notes.during the forty-five (45) days nextprecedingthe date of redemption.

Section 7. That, the Notesshall be in substantiallythe tbrtn authorizedby the Comptrollerof the Treasuryor Comptroller’s Designeeand shall r~citethat the Notes are issuedpursuantto Title 9, Chapter21,TennesseeCodeAnnotated.

That, prior to the sale of the Notes, the Local Government shall submita copy of this resolutionauthorizingthe Notes to the Comptrollerof the Treasuryor Comptroller’s Designeefor approvalandacopy of the proposed disclosure statement, if any, and a statement showing theestimatedannualprincipaland interestrequirementsfor the Notesand a detailedstatementshowingthe estimatedcostof issuancewhich shall include at least the following, if applicable: (1) fiscal agent and/or financial advisor fees; (2)bond counsel fees; (3) other legal charges if any; (4) credit enhancement fees; (5) trustee fees; (6)registration fees; (7) paying agent fees; (8) rating agency fees; (9) underwriters’ discount or charges; (10)remarketingagent fees; (II) printing, advertisingand other expenses;(12) the number of financialinstitutions contacted by telephone or by letter (which should be at least three if possible) for the purposeof obtaining interest rates, and if only one institution was contacted a statement as to why only oneinstitution was contacted.

In its request for approval, the Local Government shall state and demonstrate that the proposed sale by theinformal hid process is feasible, in the best interest of the Local Government, and that the LocalGovernment should be able to amortize the proposed indebtedness together with all the obligations thenoutstanding.

Section 9. The Notes shall not be sold until receipt of the Comptroller of the Treasury or Comptroller’sDesignee’s written approval for the sale of the Notes.

Section 10. That, the notes are hereby designated as qualified tax-exempt obligations for purpose ofSection 265(h) (3) of the Internal Revenue Code of 1986.

Section II. That,after the saleof the Notes,and for eachyear that any of the notesare outstanding,theLocal Government shall prepare an annual budget in a form consistent with accepted governmentalstandards and as approved by the Comptroller of the Treasury or Comptroller’s Designee. ‘Ilie budgetshall be kept balanced during the life of the notes. The annual budgetshall he submitted to theComptroller of the Treasury or Comptroller’s Designee immediately upon its adoption; however, it shallnot becomethe official budgetfor the fiscal yearuntil such budgetis approvedby the Comptrollerof theTreasuryor Comptroller’sDesigneein accordancewith Title 9, Chapter 21, Tennessee Code Annotated(the “Statutes”.)If the Comptrollerof the Ireasuryor Comptroller’s Designeedeterminesthat the budgetdoesnot comply with the Statutes,the GoverningBody shall adjust its estimatesor makeadditional taxlevies sufficient to comply with the Statutes,or as directed by the Comptroller of the Treasury orComptroller’s Designee.

Section 12. That, if anyof the Notesshall remainunpaidatthe end of ten (10) years from the issue date,thenthe unpaidNotesshall be retiredfrom the fundsof the Local Governmentor be convertedinto bondspursuantto ChapterII of Title 9 of the TennesseeCode Annotated,or any other law, or be otherwiseliquidatedas approvalby the Comptrollerof the Treasuryor Comptroller’sDesignee.

Section 13. That, all ordersor resolutionsin conflict with this Resolutionare herebyrepealedinsofarassuch conflict exists;andthis Resolutionshall becomeeffective immediatelyupon its passage.

The Office of Stateand Local Finance(“OSLF”) received a requestfrom SullivanCounty (the“County”) on July 13, 2015, to approvethe issuanceof tax and revenueanticipationnotes(“TRANs”) for fiscal year 2016 in a principalamountnot to exceed$5,217,332for theGeneralFund, $5,745,785for the GeneralPurposeSchool Fund and $557,759 for the School CafeteriaFund.

The requestincluded ResolutionNo. 2015-06-42adoptedon June 15, 2015, by the CountyCommissionauthorizingthe issuanceofTRANs for anyoftheCounty’s Fundsuntil theadoptionof’ the County’sFiscal Year 2016AppropriationResolution. The requestincludeda cashflowforecastfor theGeneralFund,General Purpose SchoolFund andtheSolid Waste Fund, preparedby theCounty,supportingtheneedto issuetheTRANs andtheCounty’sability to repaythenotesby June30,2016.

TAXAND REVENUE ANTICIPATION NOTEAPPROVAL

This lcttcr constitutes approval for the issuance of $5,217,332 General Fund TitANs, $5,745,785

General PurposeSchool Fund TRANS, and $557,759 School Cafeteria Fund TRANs.

The approval of the TRANsis contingent upon agreementwith the following termsby the County

Board of Commissioners:

• A copy of this letter shall be provided to all the members of the County Commission,be presented at the next meeting of the County Commission, and be entered into theminutes of the meeting.

• The County shalt comply with the rcquirements of Title 9 Chapter 21 of the TennesseeCodc Annotated, and shall provide this Office verifiable documentation ofcompliance for Fiscal Year 2016.

• The County shall use the Tax and Revenue Anticipation Note Form enclosed with thisletter as its loan document

• The County shall report the execution of the TRANs and the amounts on the “Reporton Debt Obligation” (Form CT-0253) for each TItAN. The County will include theexecutedNoteForms and minutes ofthe meeting the Reportson Debt Obligation weresubmittedto the County Commission.

• The County shall adopt an appropriation resolution buplementirig a cash~basisbalanced budget that pays all debt service.

• The County shall maintain a balanced budget with no cash deficits and be sufficientto pay operatinganddebtservicecosts.

• The County shall repay the TRANs no later than June 30, 2016, and provide thisOftica documentation within 15 days of the repayment, no later than June30, 2016.
