1. Introduction
The primary purposes of this Manual are to reaffirm
the high standards of excellence, integrity, honesty
and fairness expected of those who work within UBS
in Brazil (hereafter referred to as UBS or the Firm),
and to serve as a guide and reference tool for these
aforementioned standards. UBS’s success depends upon adherence to these standards and compliance
with the letter and spirit of all applicable laws, rules,
regulations, and Firm policies and procedures. UBS
therefore endeavors to be in compliance with all laws,
rules, and regulations that are applicable to the
businesses in which it engages. Laws and regulations
may sometimes be difficult to interpret and may also
have extraterritorial effects, especially in connection
with cross-border transactions or activities.
The policies and procedures referenced in this Manual
apply to the conduct of all UBS staff within the Firm
and are in addition to, and supplemented by, among
other things, the Code of Conduct and Ethics of UBS,
the Human Resources Manual for UBS Brazil Staff
(“Manual de Recursos Humanos”), Policies published on POLO, desk policies and procedures, written

supervisory procedures, C&ORC bulletins, and
materials published by UBS management. If there is
any inconsistency between requirements, the higher
standard applies.
UBS has a responsibility to supervise the activities of
its personnel in order to ensure reasonable
compliance with applicable laws, rules, and
regulations. Under no circumstances may any
individual from UBS´s Staff, directly or indirectly,
engage in, condone, or aid and abet any corrupt or
illegal activities including, but not limited to: market
manipulation, bribery, the misuse of material, non-
public information, money laundering, or making or
receiving payments, gifts, or entertainment to obtain
business.
This Manual is not intended to address every possible
situation that may be encountered in the course of
working within UBS, or all the applicable rules and
regulations and issues they present. Accordingly, the
good judgment all the staff working at UBS is

Os principais objetivos deste Manual são os de
destacar os elevados padrões de excelência,
integridade, honestidade e imparcialidade esperados
de quem trabalha no UBS Brasil, (doravante referido
como UBS ou a Empresa), e de servir como um guia e
uma ferramenta de referência desses padrões
supracitados. O sucesso do UBS depende da adesão
a esses padrões e a conformidade com todas as leis,
regulamentações, políticas e procedimentos da
Empresa. O UBS, portanto, despende todos os
esforços para estar em conformidade com todas as
leis e regulamentações aplicáveis aos negócios aos
quais se dedica. Todavia, leis e regulamentações
podem, às vezes, serem difíceis de interpretar, bem
como ter efeitos extraterritoriais, especialmente em
conexão com operações ou atividades cross-border.
As políticas e procedimentos mencionados neste
Manual aplicam-se à conduta de todos os
colaboradores dentro da Empresa e são,
adicionalmente, complementados por, dentre outros,
o Code of Conduct and Ethics of UBS, o Manual de
Recursos Humanos para os colaboradores do UBS
(“Manual de Recursos Humanos”), Políticas publicadas no POLO, procedimentos locais,
comunicados de esclarecimento e ou alertas e
materiais publicados pela diretoria do UBS. Se houver
qualquer inconsistência entre quaisquer dos
documentos citados, aplicar-se-á a regra mais
conservadora.
O UBS possui como responsabilidade supervisionar as
atividades de seus colaboradores para assegurar o
cumprimento das leis e regulamentações aplicáveis.
Sob nenhuma hipótese, nenhum colaborador pode
participar, direta ou indiretamente, consentir, ajudar
e estimular quaisquer atividades corruptas ou ilegais,
incluindo, mas não se limitando a: manipulação de
mercado, suborno, uso indevido de informações
privilegiadas, lavagem de dinheiro ou, efetuar ou
receber pagamentos, presentes ou entretenimento
para realizar negócios ou obter qualquer vantagem
indevida.
Este Manual não possui a intenção de indicar as
principais situações possíveis que possam ocorrer no
curso do trabalho dentro do UBS, bem como as
principais leis e regulamentações aplicáveis e as

required. consequências que esses possam apresentar em caso
de descumprimento. Assim, é extremamente
necessário o bom senso de cada colaborador que
trabalha no UBS dentro do exercício de suas
atividades.
If any member of UBS´s staff is in doubt about
the propriety of any action, or the regulatory
requirements applicable in a given set of
circumstances, the individual should seek the
advice of his/her manager or the Legal and/or
C&ORC Department prior to taking any action.
Similarly, UBS Staff is required to escalate significant
legal, C&ORC, and reputational risk problems or
issues clearly and effectively to the Legal and/or
C&ORC Department or Management where
appropriate. Because the financial services industry is
highly regulated, escalation is everyone’s responsibility. If you are uncomfortable about
elevating a particular matter, you may escalate it via
the Firm’s Whistleblowing Form available on the website goto/whistleblowing. Under applicable law
and Firm policy, staff escalating matters under the
Firm’s Whistleblowing process is protected from retaliation.
In addition, all staff is expected to cooperate fully
with the Firm in connection with internal inquiries
and regulatory matters. Failure to comply with any
applicable policy or procedure may result in
disciplinary action, including, but not limited to,
dismissal.
The policies and procedures contained in and referred
to in this Manual are subject to interpretation by the
Firm’s Legal & C&ORC Department and Senior Management. UBS´s staff is encouraged to seek
guidance regarding the interpretation or applicability
of any provision of this Manual from his/her manager
or the Legal and/or C&ORC Department.

Se um colaborador tiver dúvidas sobre qualquer
ação ou os requisitos regulatórios aplicáveis em
um determinado conjunto de circunstâncias,
deverá procurar o entendimento de seu gerente
ou o Departamento Jurídico e/ou de C&ORC
antes de tomar uma decisão final.
Da mesma forma, os colaboradores devem escalar
problemas ou questões jurídicas, de C&ORC, risco
reputacional ou qualquer outra demanda relevante,
de forma clara para o Departamento Jurídico e/ou de
C&ORC ou Diretoria, conforme apropriado. Como o
mercado financeiro é altamente regulado, escalar
eventuais problemas é de responsabilidade de cada
um dos colaboradores. Caso você não esteja
confortável em levantar uma determinada questão,
você pode encaminhá-la pelo Formulário de
Denúncia da Empresa (Whistle Blowing Form) no
website goto/whistleblowing. De acordo com a lei e
políticas aplicáveis da Empresa, os colaboradores que
encaminharem questões por meio do processo da
Empresa para denúncia são protegidos de retaliação.
Adicionalmente, os colaboradores devem cooperar
plenamente com a Empresa em relação às
investigações internas e questões regulatórias. O não
cumprimento de qualquer política ou procedimento
aplicável poderá resultar em ações disciplinares,
incluindo, mas não se limitando, a demissão.
As políticas e procedimentos contidos e referidos
neste Manual estão sujeitos à interpretação pelo
Jurídico e/ou de C&ORC e a Diretoria da Empresa.
Incentiva-se que os colaboradores busquem

2. Corporate and Regulatory Structure.
This section of the Manual provides an overview of
the main categories of laws and regulations
applicable to the Firm’s businesses. As a Swiss-registered company, UBS's home country regulator
is the Swiss Financial Market Supervisory Authority
(FINMA). However, UBS's operations are global and
are therefore regulated and supervised by the
relevant authorities in each of the jurisdictions in
which it conducts business. UBS aims to comply
with all applicable provisions and to work closely
and maintain good relations with regulators in all
jurisdictions where the firm conducts business.
Numerous laws and regulations govern these
businesses that UBS engages in. Some apply only to
certain aspects of the Firm’s business. Others, such as the anti-money laundering laws, apply to all of
the Firm’s businesses. In addition, the activities of the Firm and its staff are governed by a variety of
policies and procedures, including those of UBS AG
and associations that UBS AG agrees voluntarily to
adopt.
In regard to conducting business in Brazil, it is
imperative that your business activities are
strictly limited to what is permitted by Brazilian
law by local UBS policies and procedures.
Further, many business activities require
specific licenses; registrations and qualifications
to conduct such activities (see Section 8). If you
have any questions or doubts as to what
activities are permissible or are not permissible
and under what circumstances, please contact
Legal & C&ORC immediately.
2.1 Corporate Structure UBS Brasil:
▪ UBS Brasil Administradora de Valores Mobiliários Ltda. (“UBS AdVM”) - is a subsidiary of UBS AG, which engages in Wealth Management
activities and is duly licensed with CVM (CVM
Instruction 558/15).
2. Estrutura Societária e Regulatória
Esta seção do Manual fornece uma visão geral das
principais categorias de leis e regulamentações
aplicáveis aos negócios da Empresa. Na qualidade de
Empresa constituída na Suíça, o regulador do país de
origem do UBS é a Autoridade Federal de Supervisão
dos Mercados Financeiros da Suíça (FINMA).
Entretanto, as operações do UBS são globais e,
portanto, reguladas e supervisionadas por autoridades
competentes em cada uma das jurisdições em que
opera. O UBS visa cumprir todas as disposições
aplicáveis, trabalhar conjuntamente e manter boas
relações com os reguladores em todas as jurisdições em
que a Empresa conduz os seus negócios.
Diversas leis e regulamentações regem os negócios
com os quais o UBS se envolve. Algumas se aplicam
apenas a determinados aspectos dos negócios da
Empresa. Outros, como as leis referentes aos crimes de
“lavagem” ou ocultação de bens, direitos e valores, aplicam-se a todos os negócios da Empresa.
Adicionalmente, as atividades da Empresa e de seus
colaboradores são regidas por uma série de políticas e
procedimentos, incluindo os do UBS AG e de
associações que o UBS AG concorda voluntariamente
em adotar.
Em relação à realização de negócios no Brasil, é
imperativo que as atividades comerciais sejam
estritamente limitadas ao permitido pelas
legislações e regulamentações brasileiras e as
políticas e procedimentos internos do UBS.
Adicionalmente, muitas atividades comerciais
exigem licenças específicas, registros e
qualificações para que sejam realizadas (consulte
Seção 8). Se houver quaisquer perguntas ou
dúvidas a respeito de quais atividades são
permitidas ou não e sob quais circunstâncias,
favor entrar em contato com o Jurídico e/ou
C&ORC imediatamente.
2.1 Estrutura Societária UBS no Brasil:
▪ O UBS Brasil Administradora de Valores Mobiliários Ltda. (“UBS AdVM”) – uma subsidiária do UBS AG, que exerce atividades de Wealth
Management (Gestão de Patrimônio) e é devidamente
registrada perante a CVM (Instrução CVM 558/15).

▪ O UBS Consenso Investimentos Ltda ("UBS Consenso") - is a subsidiary of UBS AG, which
performs activities related to a Multi-Family Office
business model and is duly licensed by CVM (CVM
Instruction 558/15).
▪ UBS Brasil Corretora de Câmbio, Títulos e Valores Mobiliários S.A. (“UBS CCTVM”) – is a subsidiary of UBS AG and is a broker-dealer licensed
by the Central Bank of Brazil (BACEN) and regulated
by the Securities and Exchange Comission of Brazil
(CVM) and is a market participant of B3.
▪ UBS Brasil Serviços de Assessoria Financeira Ltda. (“UBS Serviços”) is a subsidiary of UBS AG that renders financial consulting and securities
advisory focused on real estate assets and is
regulated by ICVM 592.
▪ UBS Brasil Banco de Investimento S.A. (“UBS BI”) – this Legal entity was constituted and authorized by the Central Bank of Brazil (BACEN) to
operate as an investment bank, however, currently
has its activity reduced to only performing its cash
and capital management.
2.2 The Brazilian Regulatory Environment
The Primary Brazilian Regulators and Self-regulatory
Organizations (SROs) include:
○ Brazilian Financial and Capital Markets Association (ANBIMA): Anbima is the Brazilian
Financial and Capital Markets entities Association
and has four key objectives:
(i) Promote dialogue and defend the
interests of its members to increase the
attractiveness of the capital market and
encourage its sustainable growth;
(ii) Create conditions to market participants
establishing, rules, parameters and operating
principles and monitors its compliance;
(iii) Being a reliable source of information
and knowledge access;
(iv) Raising the market quality standards
through education initiatives and professional
certification.
○ The Central Bank of Brazil (BACEN): Its main function is to conduct the National Financial System

Consenso") - uma subsidiária do UBS AG, que
exerce atividades inerentes ao modelo de negócios
de um Multi-Family Office e é devidamente
registrada perante a CVM (Instrução CVM 558/15).
▪ UBS Brasil Corretora de Câmbio, Títulos e Valores Mobiliários S.A. (“UBS CCTVM”) – é uma subsidiária do UBS AG e é uma corretora de valores mobiliário
licenciada perante o Banco Central do Brasil (BACEN), e
regulada pela Comissão de Valores Mobiliários (CVM),
e é participante do mercado da B3.
▪ UBS Brasil Serviços de Assessoria Financeira Ltda. (“UBS Serviços”) – é uma subsidiária do UBS AG; que presta assessoria financeira e consultoria de valores
mobiliários com foco em ativos imobiliários, atualmente
éentidade reguladapela Instrução ICVM 592.
▪ UBS Brasil Banco de Investimento S.A. (“UBS BI”) – Esta entidade legal foi constituída e autorizada a funcionar pelo Banco Central do Brasil (BACEN) para
operar como um banco de investimentos, entretanto,
atualmente, possui sua atividade reduzida realizando
apenas o seu gerenciamento de caixa e de capital.
2.2 Ambiente Regulatório Brasileiro
Os principais reguladores e Organizações
Autorreguladoras (OAR) brasileiros incluem:
○ Associação Brasileira das Entidades dos Mercados Financeiro e de Capitais (ANBIMA):
A ANBIMA, agência autorreguladora, possui quatro
principais objetivos:
(i) Promover o diálogo e defender os interesses de seus
membros para aumentar a atratividade do mercado de
capitais, incentivar seu crescimento sustentável;
(ii) Criar condições para os participantes no mercado
estabelecendo regras, parâmetros e princípios
operacionais e monitorar seu cumprimento;
(iii) Ser uma fonte confiável de acesso à informação e
conhecimento; e
(iv) Aumentar os padrões de qualidade do mercado por
meio de iniciativas de educação e certificação
profissional.
○ Banco Central do Brasil (BACEN): Tem como função principal conduzir o Sistema Financeiro Nacional

(SFN). BACEN had endorsed the National Monetary
Council (CMN) on being skilled to oversee: (i)
commercial banks; (ii) multipurpose banks; (iii)
development banks; (iv) investment banks; (v) the
Federal Savings Bank (CEF); and (vi) credit, financing
and investment companies.
○ Brasil, Bolsa e Balcão S.A. (B3): B3 was established in March 2017 when the securities,
commodities and futures exchange activities of
BM&FBOVESPA were combined with the activities of
Cetip, a provider of financial services for the
organized OTC market. This combination
consolidated the Company’s position as a financial market infrastructure and enabled it to extend the
range of services and products offered to customers
while creating efficiencies for the Company and for
the market.
○ BM&FBovespa Market Supervision (BSM): BSM is a non-profit organization that is part of the
BM&FBOVESPA Group which was created for the
autonomous execution of self-regulation in the
markets operated by BM&FBOVESPA.
BSM monitors operations, orders and trades
executed in our trading environments, supervise
market Participants and, if necessary, apply penalties
against those who infringe regulations.
○ Securities and Exchange Comission (CVM): The Brazilian securities market is regulated and
monitored by the Brazilian Securities and Exchange
Commission – CVM, vested with independent administrative authority to direct, regulate and
monitor the agent's activities on the Brazilian
Securities Market. Its regulatory powers attach to all
matters related to the securities market. The CVM
has the power to issue regulations and interpretive
guidance. CVM Instructions are regulations of
general applicability.
○ Association of Capital Market Analysts and
Investment Professionals (Apimec): Prior to the
publication of CVM Instruction n ° 598/2018,
APIMEC had as activity the certification,
accreditation and supervision of the Securities
analysts Natural Person. However, after the
(SFN). O BACEN atribuiu ao Conselho Monetário
Nacional (CMN) a competência de fiscalizar: (i) bancos
comerciais; (ii) bancos múltiplos; (iii) bancos de
desenvolvimento; (iv) bancos de investimento; (v) a
Caixa Econômica Federal (CEF); e (vi) empresas de
crédito, financiamento e investimento
○ Brasil, Bolsa e Balcão S.A. (B3): A B3 foi criada em março de 2017 a partir da combinação de atividades
da BM&FBOVESPA, bolsa de valores, mercadorias e
futuros, com a CETIP, empresa prestadora de serviços
financeiros no mercado de balcão organizado. Essa
combinação consolidou a atuação da Companhia como
provedora de infraestrutura para o mercado financeiro,
permitindo a ampliação do leque de serviços e
produtos oferecidos aos seus clientes e a criação de
eficiências para a Companhia e para o mercado.
○ BM&FBOVESPA Supervisão de Mercados (BSM): Organização sem fins lucrativos, integrante do grupo
BM&FBOVESPA e constituída para realizar, com
autonomia administrativa e orçamentária, as atividades
de autorregulação dos mercados administrados pela
BM&FBOVESPA.
A BSM monitora as operações, as ofertas e os negócios
realizados nos ambientes de negociação,
supervisionando os Participantes do mercado e, caso
necessário, aplicam penalidades aos que cometem
infrações às normas.
○ Comissão de Valores Mobiliários (CVM): O mercado brasileiro de valores mobiliários é regulado e
monitorado pela Comissão de Valores Mobiliários – CVM., investida de autoridade administrativa
independente para dirigir, regular e acompanhar as
atividades do agente no Mercado de Valores
Mobiliários. Os seus poderes regulatórios são atribuídos
a todos os assuntos relacionados com o mercado de
valores mobiliários. A CVM tem a competência de
emitir regulamentações e orientações interpretativas.
As Instruções da CVM são regulamentações de
aplicação geral.
○ Associação dos Analistas e Profissionais de Investimento do Mercado de Capitais (Apimec):
antes da publicação da Instrução CVM n° 598/2018 a
APIMEC tinha como atividade a certificação, o
credenciamento e supervisão do Analista de Valores
Mobiliários Pessoa Natural e após a publicação da
instrução, adicionou a função a autoregulação das

2.3 Monitoring and Tracking of Regulatory
Changes (Regulatory Tracking)
C&ORC does a daily check of all regulations
published by regulators and self-regulators
mentioned on item II. There is a global flow in which
all regulations captured are recorded in a tool by
Thomson Reuters (TR Connect). This tool allows a
standardization of this control in a global scope,
simplifying in terms of the analysis of regulations
with cross-border impact and allowing the archiving
of documents and evidence that supports the
demonstration of compliance with regulatory
requirements. This flow is coordinated by IB
Compliance and involves Subject Matter Experts
(SMEs) of business and support areas of UBS Brazil
and, sometimes, other global entities of the Group.
2.4 Communication with the Regulator or Self-
Regulator (Regulatory Inquiry)
Regulatory Inquiry is a more restricted channel
between the Regulator or Self- regulator with UBS
Brazil. When making a comparative analysis, while
the Regulatory Tracking, aforementioned, refers to
regulations published to the Financial Market as a
whole, the Regulatory Inquiry consists in a
Communication sent by the regulator/self-regulator
only to UBS Brazil, in order to: (i) clarify some
information; (Ii) request additional information; (Iii)
communicate something; and (iv) monitor certain
activities to understand whether they are in
compliance with local laws and regulations.
If you are contacted by or receive a communication
from an outside regulatory body concerning any
aspect of our business, or you wish to contact a
regulator, you must immediately notify C&ORC.
This includes all inquiries, regulatory examinations
and investigations.

UBS staff works in a complex business environment
and are exposed to numerous potential internal and
external conflicts of interest. Firm staff is,
accordingly, subject to a variety of laws, rules,
regulations, and policies and procedures designed to
minimize or prevent such conflicts. This Section
covers certain of these conflict of interest situations
and the Firm’s expectations with regard to the manner in which staff are expected to act when
faced with such conflicts of interest. Specifically, this

3.1 Personal Investment
3.1.1. Personal Securities Transactions
Insider Trading laws and best practice require
securities firms to adopt policies and procedures
addressing staff’ personal investments and securities transactions. UBS has adopted a Global Policy on
Personal Investment and a Supplemental Annexe
which sets out additional requirements, guidelines,
procedures and processes relating to the personal
investment activities of UBS staff in particular
divisions, locations and business units. The Policy
applies to all Firm staff in Brazil and to all
transactions in publicly traded securities, non-public,
privately traded securities, and other investments in
hedge funds, and limited partnerships.
3. Conflitos de Interesse

Staff who engage in securities transactions or whose
family or other household members engage in
securities transactions are responsible for
familiarizing themselves with the Global Policy and
the Supplemental Annexe and for assuring C&ORC
with them. The Global Policy and Supplemental
Annexe require, among other things, that:
Securities accounts to be disclosed in Affirmation Online (http://goto/AOL). Personal account
activity will be subject to monitoring and
surveillance by C&ORC;
Account Disclosure and Location - all UBS staff based in Brazil must disclose in Affirmation
Online their Covered Accounts (e.g. personal
investment accounts, accounts of spouses or
domestic partners, minor children and other
household members who are financially
dependent upon the employee). Covered
Accounts must be centralized at UBS or at an
approved designated broker.
UBS Brasil CCTVM (Broker-dealer) Staff - all UBS Brazil staff employed by the Brazilian broker-
dealer are required by ICVM 505/2011 regulation
to maintain their Covered Accounts at the
broker-dealer, UBS Brazil CCTVM (except for fully
discretionary or managed accounts). Exceptions
may be made by C&ORC to maintain accounts at
a designated third broker-dealer for products /
financial instruments that UBS Brazil CCTVM
does not offer (e.g. government bonds through
Tesouro Direito).
Discretionary or Managed Accounts - Exclusive Funds, "Restricted Funds and Investment Clubs,
have the same treatment as Discretionary or
Managed Account as defined in the Policy and
must be disclosed. If an staff member participates
directly or indirectly in investment decisions,
Covered Transactions are subject to pre-clearance
and other restrictions;
Securities transactions be pre-cleared with C&ORC via the Global Trade Pre-clearance
System (GTPS) (http://goto/GTPS) and, in some
instances, receive prior approval from the staff
member’s manager (e.g. all private securities transactions require senior management
approval and C&ORC pre-clearance and all IBD
transactions require IBD management approval);

membros da família que sejam financeiramente
dependentes do colaborador). Contas Cobertas
devem ser centralizadas no UBS ou em uma
corretora de valores por ele designada e
aprovada.
Colaboradores do UBS considerados vinculados segundo a ICVM 505/2011 devem manter suas
Contas Cobertas na UBS CCTVM (salvo as
contas totalmente discricionárias ou
gerenciadas). Exceções podem ser solicitadas ao
C&ORC para manter contas em corretoras de
valores terceiras para produtos/instrumentos
financeiros que o UBS CCTVM não ofereça.
Contas Discricionárias ou Administradas -“Fundos Exclusivos”, “Fundos Restritos” e “Clubes de Investimentos” recebem o mesmo tratamento de conta Discricionária ou
Administradasconforme definido na Política e
devem ser divulgadas. Se um colaborador
participar direta ou indiretamente das decisões
de investimento, as Operações Cobertas estão
sujeitas à aprovação prévia e a outras restrições;
Operações com ativos financeiros devem ter aprovação prévia pelo C&ORC por meio do

Securities positions be held for minimum periods of time; and
Conflicts must be avoided (e.g. a trader purchasing a security that he/she trades, an
research analyst dealing in a company he/she
covers or an investment banker dealing in a
security in his/her sector). Further, staff can
generally not purchase any securities on the
Restricted List and staff behind an information
barrier or brought “over the information barrier”, can not deal in securities on the Grey List (see

3.2 Lending and Borrowing
No UBS staff or members of their family may lend
money to or borrow money from suppliers or clients.
Managers cannot lend money to or borrow money
from their subordinates. Staff who borrow money
from banks or other institutions that regularly lend
money may not accept favored treatment based
upon their position with UBS.
3.3 Exercising Authority
Staff are prohibited from exercising authority or

3.2 Empréstimos
Nenhum colaborador do UBS ou membros de sua
família pode emprestar dinheiro a ou pedir dinheiro

behalf of UBS or making credit recommendations to
UBS with respect to:
Members of their families;
Any individual or organization lending money to the staff member or any individual or
organization lending money to or employing
members of his/her family; or
Any organization with which the staff member or members of his/her family are associated or in
which a material financial interest is held.
Rules regarding the signing of documents on behalf
of UBS and representing and exercising authority on
behalf of UBS are contained in the Organization
Regulations of UBS AG, the Group Policy on Signing
Authority (POLO #1-P-000052), and the UBS-IB
Powers of Attorney Policy (POLO #5-P-001300). In
Brazil the representation and exercise of authority on
behalf of UBS can be performed by its staff only
pursuant to a specific Power of Attorney granted by
local Legal Department. Staff are responsible for
familiarizing themselves with the rules governing
their authority.
3.4 Outside Activities
3.4.1. Outside Activities
Outside business activities and board memberships
of UBS staff are governed by the Human Resources
Manual for Brazil and UBS Group. These provisions
require UBS staff to obtain the prior written approval
of the Line Manager and the C&ORC Department,
and/or the CEO or his deputy, as necessary, before:
Serving as officers, directors, partners, or staff of any business outside the Firm; or
Engaging in other outside activities that may impact the Firm, including:
– Serving as an agent, deputy, custodian, or in any signing capacity on any account of any
person other than persons related to the staff
member by blood or marriage;
– Receiving compensation for serving as an executor/rix, administrator, trustee, guardian,
custodian, or in any other fiduciary capacity
for any person except a person related to the
staff member by blood or marriage;

Empresa, ou
Envolver-se em outras atividades externas que

Firm policy also requires disclosure of any kind of
engagement that is not a directorship or mandate in
any other business activity or business organization.
Staff must obtain prior written approval for those
activities from their line manager, Human Resources,
and Local C&ORC.

4. Information Barrier Policy and Procedures
UBS’s reputation and its commercial success depend on your skills to protect confidential
information from the clients and other classified
information that UBS persons have access. The
main purpose of the Information Barriers is to in
prevent the unauthorized disclosure of Sensitive
Information and the misuse (or perceived
misuse) of those information. Information
Barriers also seek to help on ensuring that
Sensitive Information is only communicated to
UBS persons who have a legitimate business
necessity of having access to these information.
Additionally, by assisting in the prevention of
unauthorized disclosure of Sensitive
Information, Information Barriers provide
support on the management of perceived or
actual conflicts of interest. With the Information
Barrier setting, UBS areas that are not in
possession of Sensitive Information are able to
continue carrying on with their activities as
usual, without any interference of the areas
that are in possession of Sensitive Information.
Both UBS´s Investment Bank and Wealth
Management/ Multi-Family Office maintain
specific Information Barrier procedures.
Nonetheless, all the Brazilian staff is required to
adhere the "Information Barriers - 1-P-004686"
Policy.
There are several permanent Information
Barriers within UBS. As examples, the barriers
located between Corporate Client Solutions,
Investment Banking, Securities Research, Credit
Risk Control, WM Corporate Advisory Group
(CAG) and WM IPS can be mentioned. It is
possible to verify an updated list of the
permanent barriers on the Annex of the
Information Barriers Policy.

indevido (ou suspeita de uso indevido) dessas
informações. As barreiras de informações também
buscam garantir que Informações Privilegiadas sejam
exclusivamente compartilhadas aos membros do UBS
que tenham necessidade legítima de ter acesso à tais
informações.
Adicionalmente, ao prevenir a divulgação não
autorizada de Informações Privilegiadas, as Barreiras
de Informações auxiliam na gestão de potenciais e
reais conflitos de interesse. Com o estabelecimento
de Barreiras de Informações, áreas do UBS que não
estão em posse de Informações Privilegiadas podem
continuar com suas atividades normalmente, sem
interferências das áreas que possuem tais

4.1 Confidentiality Principles and the “Need to Know” Principle
All Sensitive Information must be considered as
confidential. The laws and regulations that are
relevant to the handling of Sensitive
Information will vary according with the
different businesses areas of UBS and with each
jurisdiction.
4.2 The “Need to Know” Principle
The confidential nature of Sensitive Information
must be preserved within UBS at all times. Staff
members are prohibited from sharing Sensitive
Information with anyone from UBS who does
not have a legitimate business necessity of
being aware or having access to that
information. Sharing Sensitive Information may
be in accordance with the following:
The provisions of any relevant data protection, banking secrecy, or other
legislation or regulation;
Any relevant confidentiality undertaking; and
The terms of this policy and any other relevant UBS policies and/or procedures.
The amount of Sensitive Information that is
shared under the Need to Know principle in
each particular case must be kept to a
minimum. Adherence to the Need to Know
principle is essential. Any failure to do so may
lead to loss of business, legal liability, and/or
regulatory sanctions regarding UBS and/or its
staff members.
4.3 Information Barriers
Permanent information barriers are established and
maintained in accordance with the applicable
policies around areas of UBS that constantly hold
high levels of Sensitive Information (especially, but
not exclusively, where the Sensitive Information are
unpublished info regarding prices and other
sensible information).
4.3.1. Status

“Need to Know”, deverá ser mantida na medida do mínimo necessário para cada caso. A adesão ao
princípio “Need to Know” é essencial. Qualquer falha em respeitá-lo pode levar a danos referentes à
responsabilidade comercial, jurídica e/ou sanções
regulatórias em relação ao UBS e membros de sua
equipe.
4.3 Barreiras de Informação
Barreiras de Informações permanentes são
estabelecidas e mantidas de acordo com as políticas
aplicáveis em torno das áreas do UBS que
rotineiramente mantêm altos níveis de Informações

them by C&ORC. The confidentiality of Sensitive
Information must be preserved within UBS at all
times. You are reminded that when you are in
possession of Sensitive Information you are

4.3.1. Status

4.3.2. Information Barrier Crossing
Procedures
An Information Barrier (“Barrier”) crossing occurs when Sensitive Information housed on
one side of a Barrier needs to be shared with a
staff member on the other side of the Barrier.
A staff member should only cross the Barrier
when their involvement is essential for the
business and it must be done in accordance
with the Policies and Procedures mentioned
above. These documents establish rules and
indicate how a staff member may proceed on
crossing a determined Barrier.
4.3.3. Global Grey List and Restricted List
UBS maintains “Grey” and “Restricted” Lists. The main purpose of the mentioned lists is to
assist on the integrity monitoring and on the
UBS´s Information Barrier effectiveness.
The “Grey List” is a highly confidential document that presents the companies of
which UBS contains Sensitive Information about
it.
The “Restricted” List is a document for internal use only that presents companies which UBS is
involved in a publicly announced transaction or
due to other reasons, such as Bank Holding
Company Act or the provision of reports to the
shareholders. All the staff members may be
aware of the companies that are presented on
Restricted List and the nature of the applicable
restriction to assure that their activities are
conducted in a consistent manner in order to
comply with the Information Barrier Policies and
the Procedures regarding the Global Grey and
Restricted List.

4.3.2. Procedimentos para Ultrapassar as
Barreiras de Informação:
A ultrapassagem de uma Barreira de Informação
(“Barreira”) ocorre quando Informações Privilegiadas armazenadas de um lado de uma Barreira precisam
ser compartilhadas com um colaborador que se
encontra do outro lado da barreira mencionada. Um
colaborador deve somente ultrapassar uma Barreira
de Informação quando seu envolvimento for
essencial para o negócio, e ainda, deverá estar em
acordo com a Política e o Procedimento acima
mencionado. Tais documentos estabelecem regras e
indicam como todas as pessoas do UBS devem
proceder ao ultrapassar uma determinada Barreira.
4.3.3. Listas Globais "Grey List" e "Restricted
List"
O UBS mantém as listas denominadas "Grey List" e
a “Restricted List”. O propósito principal das listas
mencionadas é auxiliar no monitoramento da
integridade e a efetividade das Barreiras de
Informação do UBS.
A “Grey List” é um documento estritamente confidencial que apresenta as Empresas sobre as
quais o UBS encontra-se em posse de Informações
Privilegiadas.
A "Restricted List” é documento de uso interno e apresenta empresas com as quais o UBS está
envolvido em uma operação publicamente
anunciada ou também por outros motivos, como por
exemplo, o Bank Holding Company Act ou a
disponibilização de relatórios aos acionistas. Todos
os colaboradores devem estar cientes das empresas
apresentadas na Restricted List e o tipo de restrição
aplicável para assegurar que suas atividades sejam
realizadas de forma consistente com as Políticas e
Procedimentos de Barreiras de Informação e os
Procedimentos referentes às "Grey List" e
"Restricted List".

UBS is committed to assisting in the fight against
money laundering, including corruption and terrorist
financing and to comply with local and global
sanctions, by operating an effective and – where appropriate – risk based approach. In doing so, UBS's aim is to manage legal, compliance, regulatory and
reputation risk actively, across the entire UBS Group,
mitigating those risks and thereby seeking to
prevent, detect and report suspicions of money
laundering.
UBS Brazil Financial Crime Program is consistent with
both Global and Brazilian legal and regulatory
requirements and follows the guidelines and
standards of the UBS Group aligned with UBS's
commitment to protect its business from being used
to facilitate money laundering, terrorism, corruption,
or other illicit activities.

All UBS Legal Entities are subject to and must comply with the US Foreign Corrupt Practice Act ("FCPA"), the UK Bribery Act ("UK Act") and, in addition, UBS Brazil is subject and must comply with the requirements established by Law 12.846/2013.

5.2 Conflicts of Interest
UBS and its staff must take all appropriate steps to
identify conflicts of interest that arise or could arise in
the course of conducting business.
A failure to identify and manage these conflicts of
interest appropriately could harm our clients and
undermine the integrity and efficiency of the
financial market, as well as UBS's reputation and
brand. It could also cause us to breach our legal
and/or regulatory obligations.
For the purposes of identifying the types of conflict
of interest that arise, or may arise, in the course of
providing a service and whose existence may entail a
material risk of damage to the interests of client or
the integrity of the financial market, UBS and its staff
must take account of whether:
UBS or its staff is likely to make a financial gain or avoid a loss, at the expense of the client; the interests of UBS or its staff are different to those of the client, i.e. there is an interest in the outcome of a service provided to the client or a transaction carried out on behalf of the client, which is distinct from the client's interest in that outcome; there is the potential for a financial or other incentive to favor the interests of one client over another; receipts from a third party could be seen to amount to an incentive/inducement in relation to a service supplied to the client; UBS or that person carries on the same business as the client; the interests of one client may be preferred to that of another client; business is being placed on behalf of the client with another group entity, which may not be in the client's best interest; UBS is considering or assuming multiple roles, or it or its staff have multiple roles.

5.2 Conflitos de Interesses
UBS e seus colaboradores devem tomar todas as
medidas necessárias para identificar conflitos de
interesse que surjam ou possam surgir no curso da
condução de negócios.
A incapacidade de identificar e gerir adequadamente
esses conflitos de interesses pode prejudicar os
nossos clientes e prejudicar a integridade e eficiência
do mercado financeiro, bem como a reputação e a
marca da UBS. Isso também pode nos levar a violar
obrigações legais e / ou regulatórias.
Para a identificação dos tipos de conflitos de
interesses que surjam ou possam surgir no âmbito da
prestação de um serviço e cuja existência possa
implicar um risco material de prejuízo para os
interesses do cliente ou para a integridade do
mercado financeiro, o UBS e seus colaboradores
devem:

5.3 Donations
Donations are defined as payments made by UBS
Brazil to external organizations which hold non-profit
activities, charitable, cultural, educational, sporting,
scientific, economic or political purposes. UBS Brazil
can become a member of an external organization
whose activity is of UBS interest.
As a rule, the member of an external organization is
UBS Brazil itself. Exceptions may be granted if an
employee wants to represent UBS as a member in an
external organization. However, in both above
situations, the payment of membership fees or any
related cost is the responsibility of UBS Brazil.
UBS Brazil and its employees are allowed to make
donations to charitable causes as long as the
donation does not create the appearance of a conflict
of interest, impropriety or undue influence and is pre-
approved by the Community Affairs Team
([email protected]). Charitable
donations made at the suggestion or direction of a
Public Official requires ABC Compliance Americas pre-
approval ([email protected]).
Charitable entertainment (e.g a Charitable Dinner) or
attendance at an Event sponsored in whole or in part
by UBS, will be subject to the Gifts and Entertainment
Global Policy (1-P-001056) in the same way as other
Business Entertainment or Event requirements.
Charitable donations made at the suggestion or
direction of a Public Official must be reviewed and
approved in accordance with procedures established
in the Guidelines for the Global Community Affairs
Guidelines and related Business Division policies.
