.On October 30, 2014, Sarangani Energy Corporation (SEC)filed an application for authority to develop, own, and operatededicated point-to-point limited transmission facilities to connect itsphase II of its power substation to the General Santos Substation ofthe National Grid Corporation of the Philippines (NGCP), with prayerfor provisional authority.

2. It may be served with orders and other processes throughthe undersigned counsel.

NATURE OF THE APPLICATION

3. Pursuant to Section 9 of Republic Act No. 9136 (R.A. No.9136) or the "Electric Power Industry Reform Act of 2001"or the EPIRA and Section 5, Rule 5 of its ImplementingRules and Regulations (IRR), the application is submittedto secure authority from the Commission for it to develop,own, and operate dedicated point-to-point limitedtransmission facilities connecting the second phase of its 2x 105 MW power station, located in the Municipality ofMaasim, Sarangani Province, to the Mindanao Grid throughthe General Santos Substation of the NGCP;

STATEMENT OF THE FACTS

4. Need for additional long-term power supply in theMindanao grid. According to the Department of Energy(DOE), the Mindanao grid has been experiencing undergeneration since 20101• This is expected to continue, if notworsen, if the rapid growth of the region's electricitydemand is not met:

a. To illustrate, the demand in Mindanao is projected toincrease at an average annual growth rate of 4.57percent - the highest growth rate among the threegrids2. Its peak electricity demand of 1,407 MW in2012 is seen to increase to 2,068 MW in 2020, andwill increase further to 3,259 MW in 20303;

b. Meanwhile, the supply situation in Mindanao is criticalsince its power supply is barely sufficient to meet itscurrent demand, and it lacks the reserve powerneeded to provide stability in the grid4. A total of1,600 MW in additional capacity is needed to meetthe electricity demand and reserve margin of thegrid5;

c. To underscore the perilous state of Mindanao'spower supply, the DOE has confirmed that anybreakdown or shutdown of a large power plant unitwill already cause outage on the grid6;

d. The Mindanao grid is vulnerable to power outage,especially during the long dry seasons due to itsreliance on hydroelectric power plants?, which aredependent on the availabilit¥ of water and areaffected by weather conditions. To note, half of theregion's existing capacity is supplied by hydroelectricpower plants9;

5. There is, thus, an urgent need to ensure that power supplyin the Mindanao grid will be sufficient to meet its steadilyincreasing demand. Otherwise, the entire region willcontinue to suffer from outages. Needless to say, the lackof sufficient and reliable power supply has long hinderedthe much-needed capital investment that would spur theregion's economy;

6. Private Sector Initiated Power Projects. To address theneed for long-term power supply, the government hasencouraged and mandated private sector investment in theelectric power industry, particularly in power generation, toensure additional capacity in Mindanao and the entirecountry for the coming years;

7. Additional supply from SEC. To help address such needfor additional supply, it has undertaken to construct, own,operate, manage and maintain a 2 X 105 MW CirculatingFluidized Bed Combustion Boiler Coal-Fired power stationin the Municipality of Maasim, Sarangani Province (SECPower Station):

a. The SEC Power Station is a committed generatingplant in the Mindanao grid as indicated in the DOEList of Private Sector-Initiated Power Projects, theDOE Supply-Demand Outlook and the TransmissionDevelopment Plan 2012 (TDP)1o. Attached to theapplication as Annexes "B" an "B_1" are copies of theDOE List of Private Sector-Initiated Power Projectsand the DOE Supply-Demand Outlook, respectively;

b. The SEC Power Station is being implemented in two(2) phases, each for one unit with a net generatingcapacity of 105 MW;

c. The construction of the second phase (SEC Phase IIPlant) is expected to commence in early 2015, andcommencement of full commercial operations isexpected in 2017. The SEC Phase II Plant shall beconnected directly to NGCP's General SantosSubstation through the connection assets that will bedeveloped, owned and operated by SEC. The saidassets are the subject of the application;

d. The SEC Phase II Plant shall provide much-neededpower supply to the people of Mindanao, particularlythe consumers of Davao del Sur ElectricCooperative, Inc. (DASURECO), Cotabato ElectricCooperative, Inc. (COTELCO), South Cotabato IElectric Cooperative, Inc. (COTELCO), lIigan Lightand Power, Inc. (ILPI), Zamboanga del Norte ElectricCooperative, Inc. (ZANECO), Zamboanga del SurElectric Cooperative, Inc. (ZAMSURECO-I) andCagayan Electric Power and Light Company, Inc.(CEPALCO);

8. Under R.A. No. 9136, authorization from the Commission isrequired for a generation company to develop, own, andoperate point-to-point limited transmission facilities.Hence, the application.

ABSTRACT OF THE PROJECT, THE CONNECTION ASSETSAND RELATED INFORMATION

9. Connection of the SEC Phase II Plant to the Grid. Asmentioned earlier, the SEC Phase II Plant shall beconnected directly to NGCP's General Santos Substationthrough the connection assets to be developed, owned,and operated by SEC (Project):

a. The Project is more particularly described in theProject Description and its supporting attachments,attached to the application as Annex "C" (ProjectDescription) and series;

b. The proposed connection is illustrated in a diagram, acopy of which is attached to the application as Annex"C-1'" ,

c. Necessity of the Project. The connection assetsare essential to the delivery of power from the SECPhase II Plant to the Mindanao grid in order tocomply with the N-1 contingency provision of thePhilippine Grid Code (PGC) and to ensureinterconnection reliability;

10. Connection Assets. The connection assets are dedicatedpoint-to-point limited transmission facilities in the purview ofR.A. No. 9136. They are required only for the purpose ofconnecting the SEC Phase II Plant to the Mindanao grid,and will be used solely by the said Plant. They are notintended to serve end-users or suppliers directly:

a. Technical Configuration. The connection assets'involve 138 kV double circuit 1-795 MCM ACSRtransmission line, which will start from the plant sitelocated inside the Kamanga Agro-IndustrialEconomic Zone, and which will connect to theMindanao grid through the NGPC's General Santos

Substation, which will serve as the connection point.The said line will traverse Barangays Kamanga andTinoto of Maasim, Sarangani Province as well asBarangays Sawing, San Jose, Sinawal, Siwlay-7,Klinan-6, and Klinan-5 of General Santos City;

b. The location map (Proposed 138 kV TransmissionLine Route) and the Transmission Line Route Planand Profile, copies of which are attached to theapplication as Annexes "C-2" and "C-3," respectively,to illustrate the route and plan of the said line;

c. Further, the connection assets are more particularlydescribed in the 138 kV Transmission LineEngineering Designs, 138 kV Structures List, the LineInsulators and Line Protection Technical DataSheets, the Klinan 138 kV Switchyard EngineeringDesigns and the Protection System Technical DataSheets, which are attached to the application asAnnexes "C-4" to "C-9," respectively;

d. Selection of Connection Configuration. Theproposed connection configuration is the most viableconnection to the Mindanao grid;

e. The route was selected because it is the safest andshortest possible route to NGCP's General SantosSubstation without traversing heavily populatedareas. The route likewise considers the safeoperations of the General Santos Airport;

f. Further, the 138 kV line will utilize the route and theright-of-way of the existing 69 kV line of SouthCotabato II Electric Cooperative, Inc. (SOCOTECOII). Consequently, the proposed connection not onlyoptimizes the existing right-of-way, but is also cost-efficient since it dispenses with additional cost ofacquiring new right-of-way. A more detailedexplanation on the selection of the said route isattached to the application as Annex "0";

11. Results of the Grid Impact Study. NGCP has conducteda Grid Impact Study (GIS) to determine the technicalfeasibility of connecting the SEC Phase II Plant to theGeneral Santos Substation, as well as to ensure thestability of the system:

a. The GIS report reveals that the entry of the two-phased power plant is generally feasible;

b. The said report likewise indicates that, with the saidconnection in place, the resulting fault level in thearea will not require upgrading or replacement ofexisting circuit breakers. Further, load flowsimulations reveal that during maximum dispatch,either peak or off-peak load scenarios, no majorsystem degradation will be experienced by the grid.Evaluation on voltage also shows that magnitudes ofthe grid are within the standard limits;

A copy of the GIS report is attached to the applicationas Annex "E'" ,

12. Result of the Facility Study. A third-party Facility Study(FS) was likewise secured in preparation for the actualconstruction and connection of the SEC Power Station:

a. The FS describes the facilities required in order tosecure the intended delivery of the generatedcapacities from the SEC Power Station. It alsodiscusses the system's protection,telecommunications and metering, which are amongthe most important aspects of the interconnectionfacilities. It likewise presents the technical data andspecifications of the major equipment and materialsto be used. To note, the said data and specificationsare generally in accordance with the specificstandards being adopted by NGCP, the Nationa'l,Power Corporation (NPC) and the NationalTransmission Corporation (TRANSCO). A copy ofthe FS is attached hereto as Annex "F";

13. Indicative Timeline. A copy of the Project Timeline andSchedule of the proposed connection assets is attachedhereto as Annex "C-11":

a. Notably, the SEC Phase II Plant is scheduled tocommence commercial operations by 2017. Asmentioned above, it will provide supply power tovarious distribution utilities;

b. The connection assets should be completed at thesoonest in order to immediately complete thenecessary testing and commissioning activities, andultimately to provide the considerable powerrequirements of several areas in Mindanao;

14. Estimated Project Cost. The total project cost of theconnection assets is estimated at US$33,41 0,000.00;

A detailed breakdown of the said project cost is attached tothe application as Annex "G";

TECHNICAL AND FINANCIAL CAPABILITY OF SEC

15. As discussed below, it is fully equipped to own, operateand maintain the connection assets:

16. Technical Capability. it is a majority-owned subsidiary ofthe Alsons Consolidated Resources, Inc. (ACR), a publiclylisted company engaged in the development, construction,operation and maintenance of power generation facilities;

17. ACR is an established presence in the power industry,having gained extensive experience not only in powergeneration, but also in the operation and maintenance offacilities for the conveyance of electric power;

18. ACR owns, operates and maintains the followinggeneration facilities, including the facilities connecting thesame to the Mindanao grid:

a) Western Mindanao Power Corporation's (WMPC)100 MW bunker C-fired diesel station in Sangali,Zamboanga City, which is connected to theMindanao grid;

b) Southern Philippines Power Corporation's (SPPC) 55MW bunker C-fired diesel power station in Alabel,Sarangani, which is connected to the Mindanao grid;

c) Mapalad Power Corporation's (MPC-IIigan) 114 MWbunker C-fired diesel station in IIigan City, Lanao delNorte, which is connected to the Mindanao grid; and

d) PT Makassar Power's 60 MW diesel-fired powerstation in Makassar, Sulawesi, Indonesia, which isconnected to the Indonesian transmission grid.

19. ACR, through MPC, also manages the power plantoperations of the following generation facilities which areconnected to their host distribution utilities:

'.

a) 12 MW diesel-fired modular power station in the Cityof Koronadal, South Cotabato; and

b) 15 MW diesel-fired modular power station in DigosCity, Davao del Sur;

20. The said generation facilities have their own substation andswitchyard facilities that have been in constantcommunication with the grid operator and with thedistribution utilities being served by the said facilities.Significantly, ACR has been operating and maintaining thetransmission lines involved;

21. The above-said bunker stations of WMPC, SPPC, andMPC-lIigan are connected to the grid through 138 kV lines.The same applies to the PT Makassar power station;

22. To note, the ACR has been operating and maintaining thesaid substation and switchyard facilities as well as thetransmission lines involved;

23. ACR, through its former subsidiary, the Lima UtilitiesCorporation (LUC), also acquired extensive experience inthe operation and maintenance of power distributionsystem:

a. LUC is located within Lima Land, Inc. (LLI) aneconomic zone in Batangas that is registered with thePhilippine Economic Zone Authority (PEZA). ACRowned the LUC from 2000 to 2013. In 2013, ACRdivested itself of its holdings in Lima Land, Inc. inorder to shift more focus to power generation,particularly in Mindanao;

b. LUC operates and maintains its own distributionsystem within Lima Land, Inc. (LLI) in order toprovide power to the locators within the saideconomic zone. The said distribution systemincludes a 50 MVA substation directly connected toNGCP's Batangas substation with an alternateconnection to the Mak-Ban geothermal line;

c. LUC operated and maintained the said substationand transmission line from 2000 until 2013;

d. In its Decision dated March 12, 2012 in ERC CaseNo. 2009-036MC1

1, the Commission approved theacquisition by LUC of the said line from TRANSCO.Notably, the Commission ruled that LUC is qualifiedto take over the responsibility of operating,maintaining, upgrading and expanding the said line;

e. The existing management group of SEC is the samemanagement group of LUC. For reference, a copy ofthe said Decision is attached to the application asAnnex "H" hereof',

24. Indeed, SEC, through the ACR's collective experience inoperating and maintaining power facilities used for theconveyance of power, has the technical knowledge,manpower and over-all technical capability to operate andmaintain the connection assets subject of application. Thetechnical capability of SEC to operate and maintain theconnection assets is likewise discussed in the CompanyProfile and Track Record of SEC, attached to theapplication as Annex "I";

25. To complement its technical capability to operate andmaintain the connection assets, as well as to ensure fullcompliance with pertinent rules, it intends to work withcontractors for the construction and management of thesaid assets. The prospective contractors have proventrack record in the construction, erection, installation andoperation of lines and related facilities;

26. It is worthy to note that the power circuit breakers andassociated equipment located within the NGCP's GeneralSantos Substation perform transmission functions.Consequently, NGCP has the responsibility to operate andmaintain the said equipment;

27. Financial Capability. SEC, on its own, is capable offinancing the cost of the Project. A copy of SEC's latestAudited Financial Statements is attached hereto as AnnexUJU.,

28. Compliance with the Rules and Standards. SECundertakes to ensure that the SEC Phase II Plant will fullycomply with the applicable rules and standards set by thePGC and Philippine Distribution Code (PDC). A summaryof the statement of compliance with the standards of thePGC attached to the application as Annex "K";

ALLEGATIONS IN SUPPORT OFTHE MOTION FOR PROVISIONAL AUTHORITY

29. As discussed earlier, the construction of the SEC Phase IIPlant is expected to commence in early 2015. It willprovide the much-needed power supply of electricityconsumers in Mindanao, particularly the consumers ofCOTELCO, DASURECO, SOCOTECO I, ILPI, ZANECO,ZAMSURECO I and CEPALCO;

30. The provisional approval of the application will allow it toimplement the timely construction and installation of theconnection assets, which will, in turn, enable it to supplythe power requirements of the electricity consumers inMindanao in a timely manner. Clearly, the proposedconnection of the said Plant to the Mindanao grid, throughthe connection assets to be owned, operated andmaintained by it, is indispensable to providing such powersupply;

31. Moreover, the provisional approval of the application isnecessary for it to continue securing the financing neededfor its Phase II Plant and its associated interconnectionsystem. Needless to state, the sooner its Phase II Plant iscompleted, the sooner it can supply power to the above-cited distribution utilities:

a. To illustrate, as a condition for the approval of thesaid financing, SEC must secure the necessarygovernment permits for it to supply power from thesaid Plant. Such permits include the requiredauthorization subject of the application; and

b. Moreover, the release of the proceeds of the loan isnecessary for the issuance of the Notice of Proceedto its engineering, procurement and constructioncontractor. The issuance of such Notice is, in turn,necessary to commence with the construction of itsPhase II Plant and associated interconnectionsystem;

32. Given the foregoing, the issuance of a provisional approvalwill enable it to connect to the grid in a timely manner, andto expedite the supply of power to Mindanao. Hence, itmoves for the provisional approval of the applicationpursuant to Rule 14 of the Commission's Rules of Practiceand Procedure. A copy of a sworn statement supportingthe said motion is attached to the application as Annex "L";and

33. It prays that the Commission immediately issues an Orderprovisionally approving the instant application and, afterdue hearing, render judgment approving the instantapplication with finality.

Finding the said application to be sufficient in form and insubstance with the required fees having been paid, the same ishereby set for jurisdictional hearing, expository presentation, pre-trialconference and evidentiary hearing on February 26, 2015(Thursday) at ten o'clock in the morning (10:00 A.M.) at the ERCHearing Room, 15th Floor, Pacific Center Building, San MiguelAvenue, Pasig City.

SEC is hereby directed to cause the publication of the attachedNotice of Public Hearing, at its own expense, once (1x) in anewspaper of general circulation in the Philippines, at least ten (10)days before the scheduled date of initial hearing. It is also directed toinform the consumers, by any other means available and appropriate,of the filing of the instant application, its reasons therefor and of thescheduled hearing thereon.

Let copies of the application, this Order, and the attachedNotice of Public Hearing be furnished the Office of the SolicitorGeneral (OSG), the Commission on Audit (COA) and the Committeeson Energy of both Houses of Congress. They are hereby requested,if they so desire, to send their duly authorized representatives at thescheduled hearings.

Likewise, let copies of this Order and the attached Notice ofPublic Hearing be furnished the Offices of the Governor of SaranganiProvince and the Mayor of the Municipality of Maasin, SaranganiProvince for the appropriate posting thereof on their respectivebulletin boards.

SEC is hereby directed to furnish all those making requeststherefor with copies of the application and its attachments, subject toreimbursement of reasonable photocopying costs.

On the date of the initial hearing, SEC must submit to theCommission its written Compliance with the jurisdictionalrequirements attaching therewith, methodically arranged and dulymarked, the evidences of the actual posting and publication of theNotice of Public Hearing consisting of certifications issued to thateffect, signed by the afore-mentioned Governor and Mayor or theirduly authorized representatives, bearing the seals of their offices, andthe affidavit of the Editor or Business Manager of the newspaperwhere said Notice of Public Hearing was published together with thecomplete issue of the said newspaper, and such other proofs ofcompliance with the requirements of the Commission.

SEC and all interested parties are directed to submit, at leastfive (5) days before the date of initial hearing and pre-trial conference,their respective Pre-Trial Briefs containing, among others:

(a) A summary of admitted facts and proposed stipulation offacts;

(b) The issues to be tried or resolved;

(c) The documents or exhibits to be presented, stating thepurposes thereof and proposed markings therefore; and

(d) The number and names of the witnesses, with their writtentestimonies in an individual affidavit form, to be attached tothe Pre-Trial Brief.

Failure of SEC to submit the required Pre-Trial Brief andJudicial Affidavits of its witnesses within the prescribed period shallbe a ground for cancellation of the scheduled hearing, and theresetting of which shall be six (6) months from said date ofcancellation.

As part of the pre-trial conference, SEC must also be preparedto make an expository presentation of its application, aided bywhatever communication medium that it may deem appropriate forthe purpose, in order to put in plain words and explain, for the benefitof the consumers and other concerned parties, what the application isall about and the reasons and justifications being cited in supportthereof.
