PEOPLE. POWER. PURPOSE. These three words seem so simple, yet together, they say it all.
This year’s annual meeting theme may be our favorite yet. At the end of the day, when you push away the clutter of ill-considered regulations, changes in the way we do business and challenges in meeting rapid load growth, all roads lead back to these three words, and the strength behind them.
This past year marked a number of history-altering shifts in the way we operate. We joined Southwest Power Pool (SPP) after years of study and evaluation with our membership. This historical change impacts our decision making in so many ways – be it how we operate our units or how we approach load growth to determining locations of future generation units. This pivotal move changes our relationship with the Western Area Power Administration Upper Great Plains Region, who also joined SPP. While Western will no longer dispatch our power, our relationship remains strong and our story will continue. Today, we no longer operate in an increasingly shrinking island. We have access to the market, which opens up opportunities for selling excess power and buying needed power in times of peaks. While this was a complicated and challenging move for all parties, we were guided by doing the right thing for our membership.
We also changed our relationship with the Rural Utilities Service (RUS), formerly the Rural Electrification Administration. Changes in the RUS mission and increased National Environmental Policy Act restrictions made siting projects a lengthy and difficult process. When we were faced with bringing on additional generation to serve the rapidly growing Williston Basin region, time was not on our side. Ultimately, Basin Electric followed suit with many

other G&Ts across the country and bought out of RUS. This was a difficult decision, but a necessary one. The silver lining in all of this was watching our cooperative business model in action when our team went to the financial community seeking the capital to take on our debt formerly held by RUS.
Our relationship with our members shined brightly, and our long-term, stable power supply contracts paid off. We raised $1.5 billion, $700 million more than our goal. Why? We are backed by 138 member cooperatives who collectively know that hanging together for the long haul is better than going alone. Furthermore, a longstanding history of solid ratings and sound business practices demonstrated that we’re a safe investment.
But, our story isn’t all roses. We were dealt a mighty blow in August when the Environmental Protection Agency announced its final Clean Power Plan rule, which limits carbon dioxide (CO2) emissions from stationary power sources.
The differences between the proposed rule and the final rule are quite simply mind boggling. In fact, eight of the 12 states hit the hardest are in our service territory. The plan gives no credit for the membership’s foresight years ago to harness our renewable resources and diversify our portfolio to include 10 percent or more of our capacity from green sources. More than 800 megawatts of wind generation later and after 30 million tons of CO2 captured at our Great Plains Synfuels Plant, we were hit with the most punitive regulation in our history.
While challenges are not new to cooperatives – just look at our history – this rule is a threat to our members. We are fighting this with all we’ve got – legally, legislatively and publicly. If we can’t beat this rule, we must meet it with a plan that doesn’t severely impact our member-consumers. This will involve close work with our membership, other states in the region and our congressional delegations. Over the coming months, Paul Sukut, CEO and general manager
you’ll hear more about this rule and we’ll be asking for your help to elevate this within your membership. The costs are just too high.
This year’s annual meeting will feature a Clean Power Plan Town Hall, where we will break down this rule and hear from other G&Ts also grappling with its implications.
Furthermore, we’re excited to announce that our keynote speaker will be former U.S. Sen. Byron Dorgan. Sen. Dorgan is now with Arent Fox LLP, Washington, D.C. and will provide his ever wise perspective on the future of electric cooperatives and how we might approach the Clean Power Plan. Sen. Dorgan has been a long-time friend to cooperatives and will no doubt ignite and inspire us.
We’re also structuring our staff reports a little differently this year. Our 2015 Cooperative Plan centers on commitment to cooperative, workforce and community; operational excellence; and supporting growth and innovation. Staff reports will be integrated and structured around these themes to reflect the close work between departments to keep Basin Electric moving forward.

Resolutions CommitteeThe Basin Electric Resolutions Committee met
Sept. 14-15 at Headquarters in Bismarck, ND, to review the cooperative’s resolutions. The resolutions serve as a guidepost for Basin Electric’s public policy positions for the coming year.
The committee re-elected David Sigloh, Upper Missouri G&T Electric Cooperative, chairperson of the committee.
Basin Electric staff updated the committee on items of interest to Basin Electric including the Southwest Power Pool (SPP) integration; generation and transmission projects under way; the National Energy Regulatory Commission (NERC) compliance audit currently in process; power supply planning; resource development strategy; the potential of expanding the cooperative’s relationship with Minnkota Power Cooperative; the Environmental Protection Agency’s Clean Power Plan; and legislative issues.
The committee then reviewed the current resolutions, starting with the Statement of Ideals and Objectives. Consid-ered the bedrock of Basin Electric membership, the committee proposed revisions to portions of the Statement of Ideals and Objectives to reflect Basin Electric joining SPP and its changing relationship with Western Area Power Administration.
Two new resolutions were added. The first pertains to arbitrary raises in federal coal lease royalties, and the second is in regard to the U.S. Department of the Interior’s stream protection rule that could interfere with coal mining operations.
The committee will meet again Nov. 3 prior to Basin Electric’s annual meeting in Bismarck, and members will vote on resolutions during the meeting Nov. 5.
Bylaw Review CommitteeBasin Electric’s 2015 Bylaw Review Committee met July 23.
During the meeting, the committee elected a chairman and voted to recommend minor amendments to several bylaws.
The committee, made up of one manager and one director of each district, elected Vic Simmons, Rushmore Electric, as chairperson. The committee’s role is to review the bylaws and propose amendments, review amendments proposed by other members or the board of directors, and provide recommendations to the membership.
The proposed amendments were included in the Notice of Annual Meeting mailed on Oct. 13, 2015. The membership will have an opportunity to vote on the proposed amendments on Nov. 5.

Sen. Dorgan has had a prolific career in public service at both the state and federal levels. He served as the elected State Tax Commissioner for the state of North Dakota followed by 12 years in the U.S. House of Representatives and 18 years in the U.S. Senate. Over the course of his
career, Sen. Dorgan consistently promoted and defended the economic needs of rural America, and he advocated for renewable energy and energy independence and for sound economic policies.

Keeping its members informed and engaged while delivering a professional and effective Annual Meeting is BasinElectric’s mission each year. From planning to production, much of the work for this event is done primarily in house.This requires a team of many skilled and talented employees from various areas of the cooperative working behindthe scenes. Departments involved in this year’s event included: Communications and Creative Services;Administration; Information Systems and Telecommunications; Security and Response Services; and CorporateServices. This group carried out the following roles to accomplish a successful Annual Meeting including: planningand implementation of facility logistics, producing all print and digital graphic designs, composing speeches forsenior staff, organizing volunteers, coordinating guest transportation and hospitality, facilitating catering servicesand decorator, creating all video production, designing of the stage, reporting on Basin Electric’s website and socialmedia and coordinating cooperative partner vendors.

Restrictions/Limitations * Basin Electric successfully conducted its 2015 Annual meeting byworking within a $170,000 budget. The cooperative was limited as to what venues were available.Ultimately, the Bismarck Event Center serves as the best location toaccommodate Basin Electric’s large number of attendees each year. There were also restrictions in regards to service providers available,such as catering and shuttling businesses. However, the serviceproviders Basin Electric chose to work with were professional andeffective.

That was the theme of Basin Electric Power Cooperative’s 2015 Annual Meeting, held Nov. 3-5 in the beautiful newaddition of the Event Center in thriving downtown Bismarck, ND. This professional event, which rivals the prestige ofa cinematic awards ceremony in both look and feel, took months of planning, continuous cross-departmentalcollaboration and exceptional communication efforts.Basin Electric is owned by its 138 member cooperatives, and realizes they deserve an Annual Meeting that: 1)updates them on new business, like ongoing projects and new efforts to commit to the cooperative way; 2) helpsthem understand important industry issues, such as the Environmental Protection Agency’s Clean Power Plan; 3)informs them of the cooperative’s financial standings; 4) and reminds them of their invaluable role of providing safe,reliable and affordable electricity to rural American communities.Staff worked closely with senior management on writing, continuity and PowerPoint structures within Annual Meetingpresentations. Employees also participated in three dry run practice sessions – twice at Basin Electric Headquartersand once at the Event Center – before the meeting officially kicked off.This event was made possible by individuals from multiple departments who worked tirelessly to organize a high-scale event. From the early stages of brainstorming an appropriate theme, to following meetings that involvedlogistics for the physical event layout, process flow and brand, the capabilities of Basin Electric’s workforce shinedthrough their work, which was done mostly in house.Basin Electric has a cooperative plan that works to align all employees’ efforts to assure everyone is working towardthe same mission. The cooperative’s departments don’t work in silos; their efforts are continuously integrated intothemes that follow the cooperative plan.Departments involved in the Annual Meeting include: Communications and Creative Services; Administration;Information Services and Telecommunications; Security and Response Services; and Corporate Services.Basin Electric staff met continuously in the months leading up to the Annual Meeting. Groups brainstormedeverything from how attendees would find their way around the event hall, to registrant check-in, food availabilityand shuttle services.This was mostly an event for Basin Electric’s membership. The cooperative also catered to those unable to attend, vialive web streaming and timely web/social media reporting.Staff who manned the 2015 Annual Meeting were part of a well-oiled machine, operating in a collaborativeworkspace on site. Web/social media content, photos, graphics and overall logistics were handled by a team ofcooperative service representatives just outside the main event hall. A total of 1,097 people attended the event (814 registered, with 283 guests), which had a $170,000 budget. Theweek of the Annual Meeting, Facebook analytics showed 118,821 impressions and 3,827 engaged users. Twitteranalytics showed 19,300 impressions, 44 clicks, 20 retweets, 26 likes and seven replies.YouTube live streaming received 241 views, and Google Analytics shows the cooperative’s website received 2,609page views.Planning, implementation and results of the Annual Meeting were very successful. The event accomplished BasinElectric’s number one goal – to serve its members.
