Songwriter Co-Writing and Collaboration

Collaboration between songwriters can be a fun and

rewarding experience. While many songwriters co-write

songs with other songwriters, collaborating can also mean

helping each other with their song by offering critiques and

suggestions. It would be more like friends helping each

other out. Co-writing vs. collaboration is all about the

relationship you have with the person. It may be a co-write

if the relationship is clear, but it can be blurry. For

example, a singer or musician, who is performing the

song, might want a share of royalties, as their

interpretation of the song could be considered co-writing.

Another example would be collaboration with a DJ, where

the songwriter brings the melody and the DJ adds the

music. A song is lyrics and melody. Music added later by

a DJ or producer may not necessarily be considered a co-

write. They are producing or arranging music underneath

the song.

The best thing to do is to define the relationship on PAPER

in a songwriter agreement.

Song splits should be clear and organized ahead of time.

Song splits determine the percentage of ownership for

each party involved in the collaboration process and what

each party owns, i.e. melody, lyrics, music, etc.

Here are some things to consider when drawing up a

songwriter agreement:

1. Joint Work

This section is where you state the name of the

song and who is responsible for lyrics and music.

2. Ownership

Each party normally owns 50% of the song and co-

owns the joint work.

3. Grant of Rights

As joint owners either party may exploit the song

and grant nonexclusive licenses. However, each co-

owner must account for the money that is generated

from the nonexclusive license and reimburse the

other co-owner when money is received.

Public Performance Agreements must be entered

into with such companies as ASCAP, BMI, SESAC,

or SOCAN. All income must be divided.

a) Mechanical Licenses. Any co-owner can grant

them but must account to and pay the other co-

writer.

b) Print Rights. All co-owners must agree.

c) Sub-publishing rights. All co-owners must

agree.

4. Division of Income

Any and all income is to be shared by the co-

owners 50/50 or whatever percentage defined in the

ownership section.

5. Pursuit of Infringement

It is an obligation between all co-owners to protect

the copyright.

6. Copyright Duration

According to the U.S. Copyright Office,

The term of copyright for a particular work depends on several factors, including whether it has been published, and, if so, the date of first publication. As a general rule, for works created after January 1, 1978, copyright protection lasts for the life of the

author plus an additional 70 years. For an anonymous work, a pseudonymous work, or a work made for hire, the copyright endures for a term of 95 years from the year of its first publication or a term of 120 years from the year of its creation, whichever expires first. For works first published prior to 1978, the term will vary depending on several factors. To determine the length of copyright protection for a particular work, consult chapter 3 of the Copyright Act (title 17 of the United States Code). 7. Copyright Transfers

Each collaborator, independently of the other collaborator, has the right to transfer his copyright ownership to another party. The transfer may be for the full copyright share of the collaborator to a publisher, or a partial copyright transfer to a co-publisher. A collaborator may also grant all administration and supervision rights of the collaborator's share to a third party as the publishing administrator, while still retaining ownership of the copyright. If one collaborator transfers his copyright interests to a third party, but the second collaborator does not do the same, then the third party would co-own the copyright with the other collaborator. At the same time, the second collaborator has the option to transfer his copyright interest, in whole or in part, or just the administration rights, to the same new owner as did the first collaborator or to a different party. Unless either collaborator has granted to the other collaborator administration rights in the copyright for the song, the new co-owner will have to share decision making and the publisher's income share with the collaborator who did not transfer his interest.

8. Different Performing Rights Society Affiliations

Each co-author may belong to a different Performing Rights Society. If that is the case, than a share of the performance income will be allocated to each collaborator's affiliated Performing Rights Society. Each performing rights group, would receive its allocated share and report to the collaborator/member affiliated with it the latter's performance income share as songwriter and as co-publisher.

9. Songwriters as Members of Different Band

In the event one of the collaborating songwriters is a member of a band and the other is not, the collaborator who is a member of the band will have the authority to allow the band to rehearse and perform the collaborated song in live concerts and to record the song for release on phonorecords, CDs, MP3, Real Audio, or other Internet media. However that band member collaborator must account to the other collaborator.

10. Controlled Composition Clause

The recording artist/collaborating writer will be required to obtain permission from the collaborating member that is not a band member for a reduced mechanical royalty for any record contracts the band member enters into.

11. Co-Accounting

Any income that either collaborator writer receives from the commercial exploitation of the song, whether it is from their own use or from use by an authorized third party, must be accounted for and

apportioned to the other collaborating songwriter. Such payments should be made in a timely manner, for example, no less than 30 days after receipt. Also, any statements that accompany the payments to the first collaborator should be copied and forwarded with payment to the other collaborator.

12. Future Generations

The rights of each deceased co-author will pass on to the benefit of the heir(s) and descendant(s) of that co-author, either by way of a will (testate) or without a will (intestate). If there is no will the distribution will be governed by state statutes, usually to surviving spouses and children, on a first priority basis, before other relatives. It then will be the heir or executor of the state of the deceased who will have the authority to grant and make decisions with respect to the use of a collaborated composition. As well, the surviving collaborator will have the authority to continue to exploit the song while having a reporting and payment sharing obligation to the deceased's descendants or executor. The estate of the deceased collaborator can exploit the song too, but, in turn, must account to the surviving co-author.

13. Governing Laws

This agreement is governed by the laws the State or Province you reside in.

All notices issued under the terms of this Agreement shall be in writing delivered by fax, personal service, first class mail, postage prepaid or by registered mail to the following location:

If any clause is held to be invalid, illegal, or

unenforceable, the validity, legality, and enforceability of the remainder of this Agreement will continue unaffected.

Neither party will be responsible for failure or delay in performance due to circumstances beyond its reasonable control such as labor disputes, natural disaster, war, riot, embargo, or any act or condition beyond the reasonable control of the non-performing party.

The agreement constitutes the entire agreement between the parties relating to its subject matter and supersedes all prior representations, discussions, negotiations and agreement, whether written or oral.

The agreement should be signed and witnessed by both parties. All famous song writing teams have Collaboration Agreements, signed, sealed and witnessed.

Songsalive! Orange County March Showcase - Songsalive! Orange County

welcomed two lovely ladies to the stage — one returning, and one for the first

time. Annie Calder joined us once again on another one of her bi-coastal

jaunts, entertaining the crowd with her pretty voice, her mini Taylor guitar, and

the stories of her inspiration. Right after Annie was a new voice, Pamela

Pruett. We’ve heard her impressive voice and her expressive piano playing

solo before (including at the NAMM Show Songsalive! Showcase last

January), but this time around she brought a full band to fill out her country-

rock sound. And the effect was a blast of pure energy! Since both performers

brought along friends and family to see there, there was a good-sized crowd to

hear these fine performances. -Rod O’Riley

Songsalive! Chicago March Workshop - Chicago Songsalive! hosted

another fabulous songwriters workshop on April 12th. Three attendees

brought their songs to be played for the critique session. There were lots of

positive comments as the songs were of high quality, and they all sounded

amazing. For the second half of the workshop, music supervisor, Joy

Wellington Tillis, explained the ins and outs of music licensing. She talked a

bit about the creative process and how music is chosen for commercials,

television, and film. She also gave the songwriters in attendance tips on how

to get your music noticed and into the hands of decision makers. She was an

excellent guest speaker! -Mary Lemanski

Songsalive! & Songnet Los Angeles April Showcase - Songsalive (with

Songnet) had another successful Showcase for 2014 its Pro Members at The

Cork Lounge, Sherman Oaks. Performers were Songsalive! president gilli

moon and her band, J.Walker the Rhymecologist spoken word artist, RD

Girard, Costis, Jimi Yamagishi and newcomer spoken word artist Rachael

McLoughlin (who happens to also be the bar tender). We will be running our

showcase at The Cork Lounge the 3rd Sundays of the month from June, but

May is still on the first Sunday, May 4. Come out next month, and be blown

away by more talented songwriters from our global nation. -Gilli Moon

REVIEWS OF RECENT EVENTS

Songsalive! Online March Workshop – Songsalive! hosted another

online workshop on March 18th. All the participants introduced

themselves, said where they were from, and told how they found out

about Songsalive! The topic of discussion was “How Songwriters Can

Collaborate/Co-Write.” Several attendees talked about their personal

experiences with co-writing. We talked quite a bit about what it means

to collaborate, song splits, and how Songsalive! can help with

collaboration. Songsalive! Director of Operations, Mary Lemanski

mentioned a couple Songsalive! partners, SongSplits and jamLink,

that offer products to help songwriters in the collaboration process.

Songsalive! President, Gilli Moon, also discussed ideas for a

songwriters agreement between collaborators. She took detailed

notes on the discussion and sent them to all participants after the

meeting, so they could refer back to all the helpful information at a

later time. In the future, we would like to include song critiques, so

register for a future workshop and share a link to your song on

YouTube! Original self-written songs only. -Mary Lemanski

Songsalive! Los Angeles March Workshop – The Los Angeles

chapter of Songsalive! Workshop series continued on Sunday, March

16th at The Cahuenga General Store with “The Talk” music

coordinator Kristin Summers. Kristin guided the 20 attendees through

an 11 song critique session followed by her topic on “How to Obtain a

Publishing Contract”. Her presentation covered publishing contracts,

quality of song production and styles most likely to attract the ears of

music supervisors and publishers. -Rik Lawrence

REVIEWS OF RECENT EVENTS

Songsalive! Orange County March Workshop - Getting into theswing of 2014 with another evening of music and discussion here inthe County of Orange, California. Eight songs were presented andcritiqued at the Spires Restaurant in Westminster. Kate Albrightbegan with one of her always-inspiring tunes on piano, setting up agood mood for the evening. Sherif Guirguis of course knocked thehouse down with one of his powerful bluesy love songs, featuringsome fine guitar playing and an interesting open tuning that createda sort of “raga” feel. Gil Mosard performed a re-written version ofone of his songs originally created back in the 70’s, with cleverwordplay and a story structure that’s typical of him. Newcomer DavidHigbee (new to Songsalive!, new to California!) joined in with ayearning love song that he had re-arranged for solo performanceafter originally playing it with his former band. Always nice to hearnew voices! Kip Corley followed with an out-and-out rockabillynumber about a daddy warning his little girl about the big, meanworld — and wolves in sheep’s clothing. Host Rod O’Riley presenteda song which he’d “workshopped” at Songsalive! previously, a rockerabout a bullied young boy who turns the tables on his tormentors —in a good way! RD Girard followed with a folky, conversational songabout the classic thought of getting out of the big city with your lovedone and hitting the road for a simpler life. And finally, RickWillingham showed a collaboration he had worked on — with a hard-rock band from Russia, putting words to their music and evensinging lead! That was a lot to go through, but the participants gotright into it and had a great time. Our round-table discussion for theevening was about current trends in pop music that we’re hearing onthe radio and the Internet. One of the trends that was discussed was“genre mashing”, or the blending of musical styles, often inunexpected ways. Like Avicii’s popular “folk-electronica”, or countryartists blending in elements of rap, or even Sharif with his raga-blues. The cool thing about genre mashing, of course, is that whenit’s done right it can bring in bigger audiences and show them awhole different style of music they may not have been exposed tobefore. -Rod O'Riley

Songsalive! Orange County April Showcase - Continuing with a trend we’ve beensetting of late, Songsalive! Orange County welcomed a new performer to our monthlySongwriter Showcase and welcomed back one seasoned performer — but with a twist!First up newcomer Debbie Opp took the opportunity of being on our stage to assemblea set of six songs revolving around very personal stories from her life — some lively,some laid back, even somber. All presented in her own piano-bar style. After that, ourfriend Jimi Yamagishi returned, fronting his own 3-piece band for some serious old-style rock and roll. The evening went by too quickly! -Rod O'Riley

Songsalive! Orange County April Workshop - Our chapter coordinator, RodO'Riley, had a busy day on Saturday the 26th of this month! First he spent most of theday in Hollywood attending the ASCAP Expo, then he zipped right back to OrangeCounty for the monthly Songwriting Workshop in the evening! As soon as he caughthis breath, it was time to listen to some fine music. Gil Mosard began things withanother of his poetic good-old-fashioned-folky ballads. Kip Corley was up next,presenting a song with a bossa-nova feel and a decidedly adult-oriented lyric! Moretraditional perhaps was R.D. Girard's song of devotion to your loved one -- and joy ateverything about them. Newcomer Angela Nguyen took things in a different directionwith a song about a pushy lover -- and refusing to give in to their attitude. Then finallyLucius Austin presented a sprightly Christmas song that was rather poetic in its ownright too.

After the song presentations, Rod O'Riley took the opportunity to discuss hisexperiences at the Expo -- and to hand out lots of the give-away information he pickedup there! Rodney started off his day with a lecture by Ralph Murphy, discussing hisbook "Murphy's Laws of Songwriting". With his humorous delivery Mr. Murphy wentover not only song structure and "the parts", but the importance of WHY you usecertain structures and parts. His thoughts on lyrics? "The listener has no imagination.Tell 'em, tell 'em what you told 'em, then remind 'em what you told 'em." "One-syllablewords are your friend. They connect the 'meaty' multi-syllable words." "What bringsyou to a song is melody. What keeps you there is lyric." All that and many importantnotes about "feel" and tempo -- from 60 beats per minute for relaxing music up to 140BPM or more for modern dance hits!

Later, Rodney got to see an interview with the great Desmond Child. His statisticsspeak for themselves: 4,000 songs written, 2,000 songs recorded, 70 Top-40 hits.Working with groups as diverse as Bon Jovi, Aerosmith, KISS, Bonnie Tyler, and manymany more, this guy knows his way around The Song! His secret to writing greatsongs? Write lots of bad ones, he says. And don't wait for inspiration -- get used togetting your head into a creative, un-distracted space, and write regularly. Alwaysremember that a song is just a compressed story. He quoted a great writer whosuggested always start with a title and write the lyric up front: "You start by making themovie, then you add the soundtrack". Desmond suggested chatting with friends andfamily about their lives, or your own -- often lyrical ideas will just pop up from thatalone. And never be afraid to steal from yourself -- especially if you come up with agood riff! -Rod O'Riley

DAN SCHTEINGART

BIO: Dan Schteingart's work as a composer and songwriter has yielded praise from industry professionals for over a decade. He was recently named a suggested artist by "Song of the Year", and his work "Keely's Song" was a finalist in last year's John Lennon Songwriting Contest. His songs are "poignant, colorful, and written with powerful emotion and harmony". He combines the academia of music theory and composition learned at The Juilliard School with raw instinct and a rich sound, and has played at venues from New York to Los Angeles. Born and raised in Ann Arbor, Michigan, Schteingart received a Bachelor of Arts from the University of Southern California. He was a DJ at two of the largest radio stations in Anchorage, Alaska, before moving to New York. Dan is also an accomplished video and television producer. He has produced for HBO's on-air promotion department, as well as for the PBS music series "Great Performances", where he has worked with many high profile musicians and orchestras. He is currently the executive producer of Victory Films, and lives with his wife and son in New York City.
