To : Swarnamahal Financial Services PLC Re : Directive Issued in Terms of Section 13 (cc) of the Securities & Exchange Commission of Sri Lanka Act No.36 Of 1987 (as Amended)
The Securities and Exchange Commission of Sri Lanka (SEC) at its 381st meeting held on 10th January 2017 deliberated upon several matters concerning Swarnamahal Financial Services PLC (SFS) including the following:
A. repeated non-compliance with mandatory corporate Governance Requirements in terms of Rules 7.10.2(a), 7.10.5(a) and 7.10,6(a) of the Listing Rules of the Colombo Stock Exchange (CSE);
B. extensive related party transactions without required checks and balances; C. the negative impact on the interests of investors due to the above mentioned non-compliance; D. a Negative Net Asset Value over rs. 1 billion, indicating a dire financial status; and E. Significant issues relating to going concern status and the company's inability to infuse capital as of ate despite
regulatory requirements of the Central Bank of Sri Lanka (CBSL).
In light of the above significant issues and in the interest of investors, the Commission decided to issue a directive to SFS prohibiting it from entering into any Related Party Transactions including any write-off of outs�ending or making of adjustments which will reduce the outstanding balances (except by way of recovering outstanding debt from Related Party Transactions) until such time The Corporate Governance Requirements of the Listing Rules of the Colombo Stock Exchange are complied with.
Therefore, the company is hereby directed to comply with the above mentioned prohibition. This directive shall be effective from the date hereof until compliance by Swarnamahal Financial Services PLC the Rules 7.10.2(a), 7.10.5(a) and 7.10.6(a) of the Listing Rules of the CSE.

RE: THE ADOPTION OF RULES MANDATING STOCK BROKER AND/OR STOCK DEALER FIRMS TRADING IN EQUITY AND/OR DEBT SECURITIES TO MAINTAIN A MINIMUM SHAREHOLDER'S FUND REQUIREMENT
The Securities and Exchange Commission of Sri Lanka (SEC) at its 381 st Meeting held on 10th January 2017 having deliberated upon the several measures taken as at date to protect the interests of the clients of Stock Brokers and Stock Dealers decided to mandate all licensed Stock Brokers and Stock Dealers trading in equity and/or debt securities to fulfil and maintain a minimum requirement of shareholder funds to strengthen the financial position of such Brokers and Dealers irrespective of losses sustained in the past as part of a risk assessment framework.
It was also the view of the Commission that mandating a minimum shareholder's fund requirement will uplift the standards of Stock Brokers and Stock Dealers and equip them better to play a greater role in the development of the market. Therefore all licensed Stock Broker and/or Stock Dealer firms trading in equity and/or debt securities are hereby directed as follows:
• to maintain a minimum shareholder's fund requirement of Rs. 100 million or 50% of the firm's Stated Capital, whichever is higher.
Licensed Stock Brokers and Stock Dealers who are also Primary Dealers regulated by the Central Bank of Sri Lnaka (CBSL) are exempted from the application of this Directove,
The Colombo Stock Exchange (CSE) is hereby directed: I. to inform all Stock Brokers and Stock Dealers of this Directives:
II. to take steps to incorporate the above mentioned requirement to the Stockbroker Rules of the CSE to be effective
from 01 st January 2018; and III. to develop a suitable enforcement mechanism in the event of non-compliance with this requirement and submit
same for the approval of the SEC.

RE: REVISION OF SHARE TRANSACTION FEES OF THE COLOMBO STOCK EXCHANGE (CSE) AND CENTRAL .DEPOSITORY SYSTEMS (PVT) LTD (CDS)
The Securities and Exchange Commission of Sri Lanka (SEC) at its 381st meeting held on 10th January 2017 considered a request from the CSE to review the transaction fees applicable to CSE and CDS which are currently in force by:
a) adopting a step-up fee structure rather than the present flat fee structure when consolidating transactions for the purpose of computing fees; and
b) increasing the threshold for the two-band fee structure from the present Rs. 5OMn to Rs. lOOMn. The basis for the request was that levying fees on a 'flat' basis is not equitable since transaction fees payable on a marginally lower turnover is higher than fees payable for a marginally higher-value transaction.
The Commission having deliberated on the proposal put forth by the CSE approved the transaction fee structure which appears in the Annexure hereto.
The CSE and the CDS are hereby directed to levy the CSE and CDS fees with regard to all share transactions carried out at the CSE in accordance with the table appearing in the Annexure.
All licensed Stock Brokers and Stock Dealers trading in equity securities are hereby directed to ensure compliance with the fee structure as depicted in the table appearing in the Annexure, when paying the CSE and CDS fees in respect of all share transactions.
This directiove shall be effective from 15th March 2017. ANNEXURE

The Securities and Exchange Commission of Sri Lanka (SEC} writes in reference to the above-captioned Directive bearing reference number SEC/LEG/17/02/01 issued by us on 311i February 2017, whereby the CSE and CDS were directed to levy their fees with respect to share transactions in accordance with the step-up fee structure and the revised threshold of Rs. 100 Mn stipulated therein. This Directive was due to have effect from 15th March 2017. However, the CSE and CDS are hereby instructed to postpone the implementation of the abovementioned revised share transaction fees until the requisite publication of the revised threshold of the SEC Cess in the Government Gazette takes place.

South Asian Stock Exchanges to meet in Colombo
The Colombo Stock Exchange (CSE) will host the Executive Committee Board Meeting for the current term of the South Asian Federation of Exchanges (SAFE) on the 27th of February 2017. Chief Executives of Stock Exchanges in South Asia will attend the Meeting and Workshop on the theme, “Way forward for Exchanges in South Asia”. CSE Chairman Mr. Vajira Kulatilaka is presently the Chairman of SAFE.
The CEOs of the Bombay Stock exchange (BSE), Pakistan Stock Exchange (PSX), Chittagong Stock Exchange, Maldives Stock Exchange, Royal Securities Exchange of Bhutan, Central Depository Bangladesh, Mercantile Exchange Nepal and the CSE will meet to review its activities and plan out the next term of office. The participants will also finalize the next chairmanship of SAFE and the host country in which the AGM will be held later this year.
The post-lunch session will feature a segment where the two CEOs of BSE and PSX will share their experiences and transformational strategies of their exchanges with SAFE Member exchange representatives and CEOs of Member Firms of the CSE. This will be followed by a panel discussion featuring the CEOs of SAFE Member Exchanges.
The Chairman of the Securities and Exchange Commission of Sri Lanka Mr. Thilak Karunaratne will grace the occasion as the Chief Guest while Mr. Vajira Kulatilaka will be the guest of Honour in his capacity as the Chairman of SAFE.
Commenting on the initiative, SAFE and CSE Chairman Mr. Vajira Kulatilaka stated “The Executive Committee Board Meeting is a key event in the South Asian capital market’s calendar and we are pleased to host the event in Colombo this year. The event will strengthen cooperation among our exchanges and create opportunity for cross-border investment linkages. Collaboration of our fellow exchanges will play a vital role in accelerating economic integration in South Asia going forward.”
SAFE aims to foster collaboration and co-operation among its members in order to develop their respective capital markets. Presently SAFE has members comprising of stock and commodity exchanges across South Asia and several depositories and clearing houses in the region as associate members. Sri Lanka has held the Chairmanship of the SAFE Secretariat since 2015. A key initiative during the period has been the introduction of the “SAFE Vision 2025”, which hopes to encompass the future direction of SAFE. The vision deals with a number of areas that are vital to the development of the capital markets in the region, including improving financial literacy, co-operation among member exchanges and cross border financial trade.

New S&P SL 20 Entrant Teejay Lanka PLC opens trading at CSE
Teejay Lanka PLC (Teejay) rang the Opening Bell to commence trading at the Colombo Stock Exchange (CSE) recently. The Bell Ringing ceremony was organized by the CSE to celebrate Teejay as the latest addition to the S&P Sri Lanka 20 Index. The index includes the 20 largest stocks by total market capitalization which meet minimum size, liquidity and financial viability thresholds. CEO and Managing Director Mr. Sriyan De Silva Wijeyeratne, CFO Mr. Salman Nishtar, COO - Operations Mr. Pubudu De Silva, COO - Marketing & Business Development Mr. Rodney Arland, COO - Engineering, Planning & Special Projects Mr. Janaka Gamage, COO - Commercial Mr. Moiz Rehmanjee and DGM - Corporate Communications & CSR Ms. Samadhi Weerakoon from Teejay were present at the ceremony while the CSE was represented by Chairman Mr. Vajira Kulatilaka, CEO Mr. Rajeeva Bandaranaike and the Senior Management. The fact that we were public gave the company the ability to leverage on the opportunity as part of our growth momentum. Currently we have invested in Synthetic capabilities in Sri Lanka. The capacity expansion ongoing in India is the largest the group as ever undertaken, and with GSP round the corner, we are gearing for the next wave of growth”. Chairman of CSE Mr. Vajira Kulatilaka congratulated Teejay on the company’s rise and stated that both the exchange and investors alike have benefited by the presence of an emerging player in the manufacturing sector in the market. He went on to add that the company’s listing helped enhance the CSE’s value proposition, by adding variety to the market and a considerable level of interest among investors. Teejay is a producer of value-added knitted fabric, specializing in the manufacture of high quality, well-knitted and dyed stretch fabrics. Leaders from the South Asian capital market were united in their call for improved integration of regional markets as they shared their views on the way forward for exchanges in South Asia, at an event recently held at the Colombo Stock Exchange (CSE). The views were expressed by Chief Executives of Stock Exchanges from around South Asia, who gathered in Colombo for the Executive Committee Board Meeting and workshop of SAFE.
SAFE aims to foster collaboration and co-operation among its members in order to develop their respective capital markets. Presently SAFE has members comprising of stock and commodity exchanges across South Asia and several depositories and clearing houses in the region as associate members. Sri Lanka has held the Chairmanship of the SAFE Secretariat since 2015.

“As we all know, capital markets globally, regionally and even in our nations, are constantly evolving and embracing transformation. The role and impact of an exchange today, is well beyond what was defined at the inception of SAFE as an organization. This is even more so for emerging and developing countries, which many of us are a part of. It is therefore quite relevant that SAFE today looks at evolving as an organization.
We are well aware that our members are at different junctures in their bid for growth and improvement, which is a something that works to our advantage. It also outlines the importance and relevance of an organization such as SAFE. Our diversity is our strength, and our ability to learn from each other through collaboration and knowledge sharing is a key benefit of being a part of an organization of this nature. Smaller exchanges in the region for an instance, have the ability to benchmark more developed peers, while our more developed peers have the privilege of shaping the future of fellow regional exchanges – a process that is brought into the table through affiliation. The CSE takes great pride in our involvement with SAFE over the years, and we are pleased to have taken the initiative to advance and protect the interests of the South Asian region and our fellow regional exchanges since inception. The Forums, which are set to take place in Sydney (20th March), Melbourne (23rd March) and Auckland (25th March) are conducted with the objective of promoting capital market investment opportunities to ANZ investors and individuals of Sri Lankan origin residing in the two countries. The Invest SL Forums are expected to draw a combined participation of over 500 Institutional Investors, High-net-worth individuals and residents of Sri Lankan origin in the region. The Invest Sri Lanka Investor Forum hosted in Sydney today by the Colombo Stock Exchange (CSE) in association with the Securities and Exchange Commission of Sri Lanka (SEC) drew over 150 participants including Institutional Investors, High-net-worth individuals, Sri Lankans living in Sydney and other individuals with a business interest in Sri Lanka. The interest in Sri Lanka was evident from the lively interaction the participants had with the Sri Lankan delegation at the Question and Answer (Q&A) session, with topics ranging from opportunities in the stock market, foreign investor participation in future infrastructure developments, the ease of investing in the Sri Lankan stock market and the future economic potential of Sri Lanka. Making the keynote address at the event, Hon. Niroshan Perera the State Minister of National Policies and Economic Affairs stated “I urge you to recognize the enormous promise and potential of the emerging New Sri Lanka, built on the foundation of the Government’s new agenda of administrative and economic reforms and ease of doing business. The Colombo Stock Exchange (CSE) and the Sydney Stock Exchange (SSX) recently entered into a memorandum of understanding (MoU) to broaden mutual development and create new links between Australian and Sri Lankan businesses and capital markets. The agreement was inked at the backdrop of the Invest Sri Lanka Forum that took place in Sydney last week. The agreement is intended to foster greater communication between both firms through staff exchange, training and the sharing of information relating to market development and dual listing opportunities. Mr. Tony Sacre, CEO of SSX, said “The collaboration between SSX and CSE will ensure an active and efficient market as well as enhancing the confidence and integrity of capital markets between Australia and Sri Lanka.
