-- 02 -- $170,000,000 capital lease obligations.

Line of Credit: In 2012, Co. executed a five-year syndicated senior unsecured revolving credit facility (the "Credit Facility") totaling $1,300,000,000. The Credit Facility includes 24 participating banks with commitments ranging from $23,000,000 to

$115,000,000 and expires on Mar. 31, 2017. Under the terms of the Credit Facility, Co. may borrow up to the maximum borrowing limit, less outstanding letters of credit or banker's acceptances, where applicable. At Dec. 29, 2012, Co.'s unused Credit

Facility totaled $1,200,000,000 net of outstanding letters of credit of $63,000,000. There were no borrowings outstanding under the Credit Facility at Dec. 29, 2012. The interest rate for most borrowings under the Credit Facility ranges from 1.00% to

at least quarterly.

1.75% over the London Interbank Offered Rate ("LIBOR"). The exact spread over LIBOR under the Credit Facility depends upon Co.'s performance against specified financial criteria. Interest on any outstanding borrowings under the Credit Facility is payable

The Credit Facility is unconditionally guaranteed by Co.'s principal domestic subsidiaries. This agreement contains financial covenants relating to maintenance of leverage and fixed charge coverage ratios and also contains affirmative and negative

covenants including, among other things, limitations on certain additional indebtedness and liens, and certain other transactions specified in the agreement. Given Co.'s strong balance sheet and cash flows, Co. was able to comply with all debt covenant

requirements at Dec. 29, 2012 with a considerable amount of cushion. Additionally, the Credit Facility contains cross-default provisions whereby Co.'s failure to make any payment on its indebtedness in a principal amount in excess of $125,000,000, or the

acceleration of the maturity of any such indebtedness, will constitute a default under such agreement.

Incorporated in North Carolina in 1997 as Tricon Global Restaurants Inc. Prior to Oct. 6, 1997, the business of Co. was conducted by PepsiCo, Inc. Present name adopted on May 16, 2002.

On May 4, 2009, Co. acquired an additional 7% ownership in the entity that operates more than 200 KFCs in Shanghai, China for $12,000,000, increasing Co.'s ownership to 58%.

On June 2, 2009, Co. acquired 19.99% interest in Little Sheep Group Ltd. for $63,700,000.

On Feb. 2, 2010, Co. acquired 7.3% interest in Little Sheep Group Ltd. for $38,700,000 in cash.

On July 1, 2010, Co. completed the exercise of its option with its Russian partner to purchase their interest in the co-branded Rostik's-KFC restaurants across Russia and the Commonwealth of

Independent States. As a result, Co. acquired company ownership of 50 restaurants and gained full rights and responsibilities as franchisor of 81 restaurants, which its partner previously managed as

master franchisee. Upon exercise of its option, Co. paid cash of $56,000,000, net of settlement of a long-term note receivable of $11,000,000, and assumed long-term debt of $10,000,000. The remaining

balance of the purchase price, anticipated to be $11,000,000, will be paid in cash in July 2012.

During the fourth quarter of 2011, Co. sold the Long John Silver's and A&W All American Food Restaurants brands to key franchise leaders and strategic investors in separate transactions.

On Feb. 1, 2012, Co. paid $584,000,000 to acquire an additional 66% interest in Little Sheep Group Limited, net of cash acquired of $44,000,000, a Chinese casual dining concept with approx. 450

system-wide restaurants headquartered in Inner Mongolia, China. This acquisition brought Co.'s total ownership to approx. 93% of the business.

In July 1998, Co.'s board of directors adopted a shareholders rights plan under which rights will be distributed as a dividend at the rate of one right for each share of common stock, without par value, of Co. held by shareholders of record as of Aug. 3,

1998. The rights will expire on July 21, 2008. The rights generally will be exercisable only if a person or group acquires beneficial ownership of 15% or more of Co.'s common stock (or 20% or more if such person or group presently owns more than 10% of
