Sealed tenders in two bid system are invited for installation and erection of 10
Semi Automatic bottling plants at various Reduction Centres of Company on
TURNKEY basis. Prescribed Tender Form containing Detailed Specifications can be
obtained on payment of Rs. 500/- (Rs. 550/- by post) upto 2.00 P.M. till 18.11.2011
and filled up tender offers shall be accepted till 2.30 PM Technical bid including Rs.
4.00 lac EMD is to be kept in a separate envelope which shall be opened on same date

SPECIAL TERMS AND CONDITIONS FOR TENDER OF SEMI- AUTOMATIC
BOTTLING FILLING PLANTS
1. The Semi-Automatic Plants should be designed, installed, Erected and
commissioned. Plant should match the requirement stated as per (Annexure-A). The
Machine shall be installed on TURNKEY BASIS with one year comprehensive
guarantee.
2. Service and Support:- The contractor shall have to ensure service and support within
48 yours of complaint failure in providing service within 48 hours shall be treated as
breach of contract and the contractor shall be liable for penal/ legal action whichever
is deemed fit by the Management. Any loss of production or otherwise due to the
negligence of the contractor or the machine supplied by the contractor shall be the
responsibility of the contractor and the same shall be deducted from his security
amount/ balance payment as per deduction clause. The contractor shall have to
provide complete maintenance support for a period of one year along with training to
our staff (For a minimum of 10 days at each centers) to enable them to run the plant
independently.
3. Safety: All moving parts shall be adequately guarded to prevent accidents to the
operators and others working in the vicinity. All openings, platform, staircase, etc.
shall be provided with hand railings, casing and enclosures, wherever necessary, for
the safety of the operators.
4. Name Plates:- The equipments shall be provided with name plate (including of
bought out items) wherever necessary indicating the following information:-
a) Name and address of the Manufacturer
b) Type, Size and Serial No.
c) Capacity and year of Manufacturer.
5. Mistake in Drawings:- The contractor shall be responsible for any discrepancies
errors or omissions in the drawings and other particulars supplied by the contractor,
whether such drawings and particulars have been approved by the RSGSM or not.
6. Insurance:- During erection, supervision of commissioning the contractor shall at
their own cost insure for all their staff at site engaged in such erection and
supervision of commissioning, for death or physical injury suffered by them and all
claims under workman’s compensation act or fatal accidents act etc, shall be
concluded by the contractor only, the contractor shall haul the equipment with his
own labour from the place of storage/ transportation to the place of erection through
the rout to be granted by the RSGSM.

7. Warranty:
a) The contractor warrants that all the machinery and equipment supplied shall be
new, of good quality material and of first class workmanship.
b) Any part of the equipment found defective within one year shall be replaced or
repaired by the contractor free of cost, upon receipt of notice in writing of the
defect, from the RSGSM . If the action is not taken immediately by the contractor
to replace the part, the RSGSM shall be at liberty to replace such part and its cost
shall be recovered from the contractor.
8. Contractors other Obligations:
a) The contractor shall supply test certificates for all the lifting equipment and other
wherever applicable to verify the duty conditions and meet requirement as per
factory act/Indian Elecricity Rules. Site Test also to be given by the contractor in
the presence of competent authority to be appointed by warehouse inspector, in
accordance with the provision of the factory act.
b) The contractor shall supply list of spare parts, electrical circuit diagram alongwith
complete specifications and name of manufacturers by the end of completion of
erection.
c) The contractor shall provide at site adequate number of supervisors, skilled and
unskilled personal to carry out the work smoothly and satisfactorily.
d) No part of the contract shall be sublet and number on roll employee of the
warehouse shall be employed at site without written permission of the
RSGSM.
9. Scope of Work: The Contractor shall have to Design, Install, Erect and commence
the complete Plant as per the given specification, terms and condition, All
equipment and work required in between the process, like electrification (The Main
Swithc/MCB of the required capacity etc), plumbing, civil work, piping, pumps, etc,
shall be under contractors scope of work. The contractor shall have to provide all
items/switches as required to run the plant including power cabling from the Control
Panel to the equipment.
10. Technical Specification of Automatic & Semi-Automatic Bottling Plant as per
enclosed.
11. Payment terms:
a) 60% payment shall be made from Head Office on recipt of machine at respective
centres, against verified bills from unit concerned.
b) 30% shall be released after successful commencement/running of the
machince/equipment supplied for which the unit concerned shall report that the
machine is in operation.
c) Balance and the security deposit shall be released against Bank Guarantee of equal
amout in favour of Rajasthan State Gangangar Sugar Mills Limited, Jaipur valid
for a period of 12 months from the date of issue. The Bank Guarantee shall be
treated as retention money. The Bank Guarantee should be of any Scheduled Bank
preferably situated at Jaipur.
Offer for payment terms other than stipulated in the Tender condition shall not be
accepted.

12. Deduction Clause: In case of delay in serice, deduction shall be done as under:
a) By 3 days (After 48 hrs.) 1%
b) By 4 days upto 7 days 2%
c) More than 7 days 5 %
13. E.M.D/Security Deposit: Contractor shall have to deposit Rs. 4,00,000/- as EMD
and after finalisation of order balance sum making it equal to 5% of the total value
as Security. This shall be returned as per clause 11 (c) above. In case non fulfilment
of the contract, security amount so deposited can be forfeited in full or in full or in
part. Decision of the Director in Charge in this regard shall be final. No interest shall
be paid on such deposit. No adjustment of any previous balance against EMD will
be allowed.
14. The contractor shall have to strictly adhere to required schedule. In case of non
maintenace of service as per monthly schedule or requirement the service may be
got done from any other manufacture at any point of time on the risk and cost of the
contractor under clause 20 {Note (c)}
15. The contractors will have to enter into an Agreement before commencement of
supply of the required Plants at the Reduction Centres of RSGSM.
16. Cancellation: In case RSGSM do not require part or entire ordered quantity, due to
any extended period, for which no claim of the contractor shall be entertained.
17. Any duty, taxes etc. paid at the time of purchase shall be refunded to us in the event
of the same being held to be not payable.
18. Contractor shall ensure continuous proper functioning of the Bottling Plants supplied
as per the given specifications.
19. No counter condition shall be accepted.
20. Submission of Documents : the Tenderer shall have to provide documents regarding
past experience to having supplied Semi-Automatic plants upto the scale and
quantum (3 Plants) required by the RSGSM during the last one year with requisite
copy of invoices. The documentary evidence supplied shall be true and valid. The
RSGSM is at liberty to scrutinize them by their own means and method and it the
documentary eveidence provided is found to be false or unsafactory the
EMD/security Deposit of the Tenderer shall be forfeited.
21. Analysis of the Documents: The documents submitted shall be anaysed. Tenderer
whose documents regarding experience are unsatisfactory shall not be considered
for opening of the Finacial bid. The decision of the Management in this regard shall
be final and binding on all the Tenderers, any claim or counter claim by any
Tenderer shall not be entertained and the management is not liable to specify/reply
to any claim or give reasons for disqualification.

22. Finalisation of Tender : Finalisation of the Tender shall be done purely on the basis
of experience is unsatisfactory shall not be considered for opening of the
Finacial bid. The management reserves the right to finalise a single party on
Technical grounds for the reasons of not having to maintain inventory of various
spares of defferent makes.
23. The Tenderer should have a sales and Serice Office anywhere in Rajasthan.
24. Inspecton : The Management reserves the right to inspect the works or the site of
installation as stated in the Tender of the Tenderer without prior intimation and if
the details found is otherwise than as stipulated in the Tender the EMD/Security
Deposit of such Tenerer shall be forfeited.
25. Tender must be submitted in the Tender Envelope containing the Technical Bid and
Finacial Bid. The Technical Bid along with the EMD should be kept in a separate
Technical Envelope and the Financial bid should be kept in the separate Financial
Envelpe as provided along with the Tender document.
26. Supply/ Installation and Commissioning Period: 90 days from the date of placemnet
of order. Bottling Plants is to be installed as per ANNEXURE-B
27. Income Tax/Work Contract Tax shall be Deducted at source as per rules, wherever
applicable.
28. The Special Terms and Conditions shall prevail upon where ever the same are
in contradiction with the General Terms and Conditions. In case of dispute
regarding interpretation of any terms and condition in the Tender Document
the same should be got clarified by the Tenderer before submitting the Tender
Bid At any stage of the Tender decision of the Management shall be final and
binding on all the Tenderers. Any request for changing of any
conditions/Quoted price or inclusion of any document etc. After submitting the
Tender Document unless called for by written fax shall not be entertained.

CONDITIONS OF TENDER AND CONTRACT
1. The Tenderer shall have to carefully study and understand the conditions,
specifications, size, make etc. of the goods to be supplied. If he has any doubt about
the meaning of any terms, conditions. The decision of the Company regarding
interpretation of the conditions and specifications shall be final and binding on the
Tenderers.
2. Tender should be filled with ink no tender filled by pencil or otherwise shall not be
considered. No addition and alteration should be made in the tender no ovre
wiritings should be done. Corredctions, if any should be done clearly and should be
initialled.
3. Quolation moust be submitted in properly sealed envelope according to the
directions given in the Tender notice and must reach this office in time and date as
notified. Envelope must be inscribed with the subject of Tender and name of
Tender.
4. Tenderers are hereby explicitly warned that the Individuals signing the Tender must
specify as follows :-
a) Whether signing as sole proprietor of the firm?
b) Whether signing as registered active partner of the firm?
c) Whether signing for the firm i.e. or procurationem?
d) Incase of companies and registered firms whether signing as secretary,
manager, Partner, Director, etc. will submit an authorisation from the company
to do this. A copy of any document under which such authority is given should
be forwarded with the tender if a copy has not already been sent to the
company.
5. Only such Tenderers who are bonafide Manufacturers/dealers into the goods for
which they tender shall be eligible.
6. No dealer, who is not registered under the Sales Tax Act, prevalent in the State
where his business is located, may not be eligible for Tender. The Sales Tax
Registration numbers should invariably be quoted.

8. If a Tenderer imposes conditions which are in addition to or in conflict with the
conditions mentioned herein, his Tender may be rejected.
9. The unit rates must not under any circumstances be altered and the rates must be
entered in figures as well as in words.

10. (a) The rates quoted should be F.O.R. distillery/warehouses inclusive of all duties,
taxes and charges. However the tenderers should indicate whether supply will
be made from within or outside Rajasthan.
(b) Any increase in Excise Duty or any other Tax imposed by Central Govmment or
state Govemment after the due date of the tender will be paid extra. Similarly
any reduction in the Excise Duty or any other Tax after the due date of the
Tender will be paid less to the Party.
10. The Tenderer shall not Assign or Sublet his contract or any part thereof to any other
Agency. Subletting may be allowed by the company provided the subletee is a
Registered Firm under the Rajasthan Sales Tax Act.
11. The Tenderer should sing the Tender form at the ed of each page as token of his
acceptance of all the terms and conditions of the Tender.
12. The Tender must be accompanied by an Earnest Money equilvalent to 2% (0.5% i.e.
in case of SSI/Cottage industries registered with the Industries Department of
Rajashtan) of the value of the items tendered or the supplies to be made by him
without wich the Tender shall not be considered. The earnest money should be
deposited by the tenderer in one of the following forms only.
Bank draft or Pay Order of any Scheduled Bank in favour of ‘ Rajasthan State
Ganganagar Sugar Mills Limited’ payable at jaipur.
Note : (1) The Rate should be qouted in a sealed cover and DD should be in a
separate enclosure with the sealed cover.
(2) The EMD will be refunded to unsuccessful Tenderer after final
acceptance of the tender whereas in case of successful tendterer, it
will be treated as part of the Security Deposit.
13. No request for adjustment of outstanding claim of any kind against the company
towards EMD/SD will be entertained and Failure to deposit the EMD/SD in full will
always result in cancellation of the Tender/acceptance.
14. Successful Tenderers will have to deposit Security money or an amount equal to 5%
(1% incase of SSI/Cottage industries of Rajasthan registered with Industries
Department) of the estimated value of articles by way of demand Draft/Pay Order in
favour of the Rajasthan State Gananagar Sugar Mills Ltd, for which tenders are
accepted within 15 days or any other specified period from the date of issue of
Purchase Orde. The Purchase Order duly accepted and signed by the tenderer will be
an agreement for supplies. The Security Deposit will be refunded within six weeks
after expiry of the contract on the Security Deposit. If a Tenderer fails to deposit the
required security within the period specified, such a failure will be treated as breach
of the terms and conditions of the tender and will result in the forfeiture of the
earnest money in part or in full at the discretion of the Director Incharge for reasons
to be recorded.

15. TENDERS SHALL BE VALID:
a) For a period of 90 days (Or any specified from the date of opening of Tenders)
b) After the Tender has been accepted, the rates shall remain valid through out the
Financial Year OR for the period for which tenders are invited.
16. The Tenderer shall be responsible for the proper packing of goods so as to avoid
damages under normal conditions of transport by road, rail or air and delivery of
the material in good conditions to the consignee at destination.
17. The Tenders should be submitted alongwith Samples, if required.
18. The quantities shown in the Tender Notice are approximate and subject to varation
upto 50% at the discretion of Director Incharge. The supplies shall have to be
arranged according to requirements as and when orderas are placed out the
contract.
19. The time specified for Installation, erection and commencement of Semi-Automatic
Bottling Plants shall be deemed to be the essence of the contract and the successful
tenderer shall arrange supply work within that period on receipt of work/supply
order from the company.
20. (i) Should the contractor fai to execute the order/contract within the period
specified in the Tender and if such failure to deliver/complete in prescribed
time as aforesaid have arisen from, any unforeseen cause such as strike, fire,
accident, act of GOD resulting in stoppage of work in the factory, of the
manufacturer or similar reasons which the Director Inchargae may find valid
for an extension of the time he may extend the period without charging any
agreed liquidated damages. His decision shall be final regarding the sufficiency
or otherwise of ground for extension of time.
(ii) Should the Tenderer fail to execute the order/contract within the period
specified in the Tender Form, the Director Incharge may at his discretion allow
extension of time, subject to recovery from the tenderer as liquidated damages
and not by way of penalty, as sum equal to the following percentage of the
value of goods which the tenderer has failed to supply for the period of delay
as stated below :- a) Delay upto one fouth period of the prescribed delivery period – 2.5%.
b) Delay exceeding one fourth but not exceeding half of prescribed delivery period – 5%.
c) Delay exceeding half but not exceeding three fourth of the prescribed delivery period- 7.5% .
d) Delay exceeding three fourth but not exceeding the period equal to the prescribed delivery period-
10%.
Note: a) Fraction of a day in reckoning the period of delay in supplies shall be eliminated
if it is less then half a day.
b) The Maximum amout of liquidated Damages shall be 10%
c) When the Successful tenderer is unable to complete the order/contract within the
specified or extended period the Company. Shall be entitled to accept supply get

work done from the open market without notice to the Tenderer, but at his risk
and cost i.e. Tenderer’s Account and risk the goods or any part thereof which the
Tenderer has failed to supply or if not avilable, the best and nearest available
substitute thereof or to cancel the contract and the Tenderer shall be liable for any
loss or damage which the company sustained by reason of such failure on the part
of the tenderer. But the tenderer shall not be entitled to any other contract with the
company. If recovery is not possible from the bills and the contractor fails to pay
the loss or daage within one mouth, the recovery shall be made under any law for
the time being in force or from any other Bills outstanding with the company.
21. When the Security Deposit in full or in part is proposed to be forfeited, a notice will
be given to the Tenderer to explain within 10 days as to why the Security Deposit
should not be forfeited for failure to complete the supplies in time.
22. In the event of any breach of conditions of the contract at any time on the part of the
contract, the contract may be terminated summarily by the Director Incharge with
such conditions as may be deemed fit.
23. The mode of payment made shall be according to special conditions of contract
enclosed herewith. Normally, 100% payment is released after acceptance of supply
and receipt of verified bills at Head Ofiice.
24. Remittance charges on pyament made to firms except through cheques will be borne
by the supplier unless specifically agreed by the company.
25. All legal proceedings, arising out of this contract shall be subject to the jurisdiction of
the courts situated at Jaipur City only.
26. Directoro or indirect canvassing on the part of tenderers or their representatives will
disqualify them.
27. Director Incharge of RSGSM Ltd. shall be sole Arbitrator, In case of any dispute
arising in the contract. The matter will be referred to Director Incharge of RSGSM,
whose decision shall be final and binding on both the parties.
28. (i) The company reserves the right to accept any tender not necessarily the lowest,
reject any tender without assigning any reasons and accept any tender for all or
any one or more of the goods for which the tender has been given.
(ii) If the tenderer resiles from his offer or offers new terms after opening of the
tender, his EMD is liable to be forfeited.
(ii) The submission of more than one tender and under different names is prohibited.
(iv) Any relationship or business connection that may exist between the Tenderer and
any ofiicial of the Rajasthan State Ganganagar Sugar Mills Ltd., should be
declared. If this information is found to have been suppressed, then Contract, if
any, entered into may be cancelied forthwith without notice and compensation and
any amout wich may have been deposited Forfeited and Credited to the company.

Conditions of Financial Bid
01. Contract Price: The Contract price of the equipment shall include design,
manufacture, supply, civil work of foundations, trial runs, primary and final
painting, if required, lifting tools and tackles and other working tools and
machinery testing instruments, packing, forwarding, transit, site storage insurance,
freight to site, loading unloading/ unloading, shifting to erection site, Sales Tax,
C.S.T., Excise Duty, import Duty, if any on fabricated and bought-out items as
applicable, erection, supervision and commissioning on TURNKEY Basis.
The Contract price shall be firm till commissioning of equipment. No
escalation on any account shall be allowed by the RSGSM, except Central Excise
Duty and other Governmental Taxes as per the Terms and condition of the Tender.
Increase in Excise Duty due to increase in turnover shall not be allowed.
A complete set of maintenance tools necessary for maintenance of the plant
shall be supplied alongwith the plant/ equipment and shall form the part of the
main supply.
02. Separate Rate FOR reduction Centres should be quoted for each Destination as per
their capacity given in the Annexure.
03. No additional charges for transportation of machinery or travelling, loading,
boarding charges for the service engineers at various destinations shall be given
during the entire contract period.
04. Tenders shall remain valid for a period of 90 days from the date of opening of the
Technical Tender.
05. No counter conditions shall be accepted.
06. All the columns of the Schedule of Rate are to be filled by the Tenderer.
07. Rates should be mentioned in words as well as figures, Over writing and cutting
should be avoided.
