BACKGROUND The Houston Inventors Association (HIA): Serving the Houston Gulf Coast region, HIA supports the commercialization efforts of 100-150 members annually. It hosts monthly meetings in which the members receive hands on problem solving feedback on the entire scope of “go to market” challenges. The Young Inventors Showcase (YIS): The YIS program is an annual competition, running from November through the finals in the end of May. Local science teachers educate their students on the invention process, using the attached study guide. The program typically sees 2,000-2,500 invention submittals that have preliminary judging events at the local school, with about 120 inventions reaching the finals. Typically, about 5% of the inventions are consistently commercially viable, making nearly all of the final inventions candidates for taking to market. PROPOSAL SPECIFICS:

1. Number of Inventions: Both HIA and YIS would work with QBDC to identify up to 10 inventions from each program, for a total of up to 20 inventions, that would be attractive commercialization projects applicable to the Gulf Arab States.

2. Exclusive Distribution Rights: QBIC would be granted exclusive distributor rights to the Gulf Arab States region, at minimum, with options that would extend to other regions, such as Africa, Europe, Asia, etc.

3. Nature of Relationships:

a. QBIC would assign a student from within its Center that would have a direct relationship with the Inventor.

b. Neither HIA and YIAA would have any equity interest in the individual inventor’s invention. An agreed upon royalty interest would vest with HIA or YIAA, respectively, as a residual interest.

c. QBIC would establish it’s own contractual relationships with the QBDC student and the HIA/YIAA inventor.

4. Scope and Funding: QBIC would set aside a one time fund of $5 million, to be drawn down as the individual inventions are launched. After the “up to” 20 inventions are fully launched, an assessment will be made by all of the parties as to the next phase of the program.

INCUBATOR

All parties to this agreement will create a task force to establish the most effective and efficient business model for the “go to market” channels of the aggregate inventions.
