Terms and Conditions

The terms for the supply of goods are as follows:

1. Specifications & System Requirement: Complete specifications & system requirement for mentioned Software are highlighted in attached Product Datasheet

2. Period of Delivery: Software shall be dispatched within 30 working days of receipt of firm order and completion of all reqired documents. If applicable, Road Entry Certificate / Octroi Certificate to be issued by the Institution with the Institutional Order.

3. Warranty: Normal commercial warranty/guarantee for a period of One Year has been supplied with the goods. The period of warranty shall commence from the date of receipt of the goods. The arrangements for support and maintenance during the period of warranty/guarantee shall be in accordance with “Bentley SELECT” Services and shall be activated on signing of “SELECT” Agreement. The Bentley SELECT subscription program continues to deliver the most comprehensive investment protection program for your Bentley software, your team and the information they create. Renewal of Bentley SELECT (http://www.bentley.com/en-US/Subscriptions/Bentley+SELECT/) will ensure continuity of the following

benefits: • Flexible Licensing Options, including portfolio balancing and pooled licensing • 24/7/365 Support • Anytime Software Upgrades, to name a few

Your Bentley SELECT Agreement is our commitment to continue to provide you and your organization with the highest levels of service. As an immediate benefit to you, we will be upgrading your SELECTserver to the latest version that will help you with better management of your Bentley assets. 4. Bentley Software licenses (unless they are subscription based) are perpetual use licenses. • For customers who are on a Bentley SELECT contract, Bentley makes available via "Bentley SELECT

Server" software (an additional software which can be downloaded by customer from our support-website) the ability to use the node-locked licenses (with few exceptions) over a network. However the following conditions apply:

Ø The total users on the network are restricted to the number of original licenses actually bought. Ø The Select Server license is "termed" to the date of the Select Contract. Cancellation of the Select

contract will automatically void the Select Server license and therefore the ability to use the software license over a network. Customer may choose at that stage transfer the license to a perpetual node-locked scheme.

Ø For contractual details please refer to your Select Agreement attached along with. Further details can be found at http://selectservices.bentley.com

• For Bentley SELECT customers who move from a node-locked license to network based Select Server licensing, the following additional terms apply-

Ø You will need to provide a written undertaking that the node-locked software is no longer in use. Ø You will need to return back to Bentley any hardware locks/dongles issued. The dongle can be

reclaimed if you return to node-locked license in the future. • Bentley has moved to the concept of web downloads of Select using the Select Stream or the concept of

cutting your own CD using MY Select option on Select Stream. This will be the only mode of delivery

5. Supply of Updates: Updates and upgrades can be downloaded or can be ordered from “MY SELECT CD” in the Bentley “SELECT” program. Bentley Systems India Private Limited shall not be sending any CD’s of updates or upgrades directly. All the updates and upgrades shall be posted on the website, you shall have to download or order a CD from the website. Upgrades and updates for 01 year from the supply of software shall be covered under the SELECT warranty.
