The complete Möhlenhoff experience gathered in two decades was put into the 5th gene-

ration of the OEM valve drive. Proven functions have been further improved and safeguard

a familiar handling of the product. Due to the continuation of the plug concept, the valve

adapter concept and the working behaviour, the OEM Actuator 5 is 100% compatible to his

predecessor, but there is more: The energy consumption has been reduced by

approximately 45%.

The OEM Actuator 5 product family is available in different models, types, designs and

variants, for almost all valves in the range of floor heating/cooling as well as building

automation systems, in thermal or motor driven versions.

OEM Motoric Valve Drive:

With the OEM Motoric Valve Drive failsafe, the

world market leader for thermal drives is expand-

ing its range of motorized linear drives. Many

OEM Actuator 5 product highlights, such as the

valve adapter system, the pluggable cable as well

as IP 54 for 360° mounting position and others

are also implemented in this product innovation.

Function

If the operating voltage fails, the OEM Motoric

Valve Drive failsafe moves to a parking position

until the operating voltage is restored. The

necessary energy is drawn from the internal

storage.

Variety of types

Available as a continuous 0–10V drive or as a

2/3-point drive, the OEM Motoric Valve Drive

failsafe covers all applications. Adapted to the

valve and the application, the product is available

with 125 or 200 N actuating force, with actuating

times of 30 or 15 s/mm and a maximum stroke of

8.5 mm.

Continuous, thermo-electric valve drive for heating and coo-ling applications. The control of the valve drive is performed by a 0-10 V DC signal via a central DDC system or by a room thermostat. The valve drive has a back channel for giving out a 0-10 V signal. This signal transmits information about the current valve position as well as about possible errors to the DDC installation. Principal area of application is the building management systems range.

Continuous, thermo-electric valve drive for heating and cooling applications. The control of the valve drive is performed by a 0-10 V DC signal via a central DDC system or by a corresponding room thermostat. Principal area of application is the building management systems range.

Due to the special controlling behaviour of the OEM Actu-ator 5: Pulse-Proportional, a trouble-free parallel operation of several valve drives is possible independent from the valve characteristics.

In the heating and heating/cooling types, the

room-temperature control OEM Alpha Room

thermostat direct Analog has been reduced to

the max. This adds up to temperature control

that’s highly precise. The slim, modern design

integrates superbly with any interior. Due to its

excellent value, the various versions of the OEM

Alpha Room thermostat direct Analog round off

any product range to perfection.

The set-point temperature is adjusted by a conveni-

ent rotatable knob with easy-to-read numbers. An

actuator to adjust the set value and an optio nal

actuator to limit the set point are located below

the rotatable knob. When the user is absent, the

control temperature is cut by 2 K via the timer input.

As a stand-alone device the OEM Alpha Room

thermostat direct Analog can also control up to 5

valve actuators, or is used as part of a system with

the OEM Alpha Base station direct.

Heating and cooling

The Alpha Control Unit Analog HK is mainly

used for heating and cooling panels. The switch

between the two operating modes is automa-

tically carried out via the change-over input. If

required, the cooling function on the device can

be prevented for a particular room (e.g. a bath-

room). In this version, the control has a frost

and a valve protection function.

Alpha Base station direct is the central connect-

ing unit and provides power for all Alpha System

direct components. In a clear layout, actuators

and controls are easily and conveniently connect-

ed with one another. The tried-and-tested wire

management system and standard-compliant

strain relief, as well as the screwless plug/clamp

method guarantee reliable and fast wiring.

The Alpha Base station direct is optionally

available in a 6 or 10 heating-cooling-zone

design. A maximum of 10 room thermostats

and 18 actuators (21 connections) are supplied

with power. In the Komfort version the device

has ports to connect a pump and a boiler, or

another electrical device. Ports for external time

switches which feature timer signals on room

thermostats and (in the maximum configuration)

a timer module in the lid of the housing allow

time-controlled reduction of room temperature.

A dip switch adapts the device to NC or NO

systems and adjusts the pump’s overrun times.

The CO input makes this control system suitable

for heating and cooling. The switch variant

allows a fully functional customer specific pre-

Temperature control unit of the OEM Alpha 2: System BUS for precise temperature registration and maximum user comfort. The desired room temperature in the allocated zone can be set comfortably via a rotary control with fine ratchet and the clearly visible scale. General sales terms and delivery conditions

I Scope of application1. These general sales and delivery conditions apply to all business relations, i. e. for all contracts and further

services with our business customers (to entrepreneurs and companies).

Our conditions apply exclusively, unless otherwise agreed in writing.

2. Any changes or amendments to these Terms of Sale and Delivery as well as any waiver of the requirement of the written form require the written form.

II. Offers / Contract Conclusion1. A closing of a contract (Sales or Delivery Contract) will only become effective after our written confirmation.

This also applies if any documents, as e. g catalogues, brochures, copies etc. are transmitted or handed over, which only contain approximate descriptions or indications.

2. Our offers are non-binding. Changes to the delivery terms due to technical further developments are reserved.

3. Technical and creative deviations from brochures, catalogues, and other written documents, as well as model, construction or material changes in the course of technical progress and the further development, reasonable for the buyer, are reserved, without enabling the consumer to derive any rights from this against us.

III. Prices and payment

1. Our prices apply in EURO plus the legally valid value added tax, including packaging.

2. If not otherwise specified, we are bound to the prices contained in our offers for 30 days as of their date. Otherwise, the prices listed in our order confirmation plus the respective VAT shall be authoritative.

Any additional deliveries and services shall be separately invoiced.

3. Invoices are payable free of expenses net within 30 days from the date of invoice. Payments are considered received only from the day of value crediting by our bank.

4. Counterclaims by the buyer that are contested by us or that have not been legally confirmed shall not entitle the buyer to withhold or offset payments. This does not apply to rights to refuse performance from the same contractual relationship.

5. If the time for payment was exceeded, we shall charge an interest rate of 5 percentage points above the cor-responding base interest rate of the European Central Bank (ECB). Furthermore we reserve the right to charge all other resulting costs, e. g. charges due to increased bank expenses, etc.

6. Upon payment default of the buyer, or fundamental deterioration of his credit-worthiness after contract conclusion, all claims will become payable immediately, even in the case of deferral. Moreover, in this case we are entitled to demand pre-payment or security deposits and rescind all existing conclusions after a suitable grace period. The buyer will meet all the costs thereby incurred.

IV. Deliveries1. We endeavour to keep stated delivery times. The agreement of binding delivery dates requires the written

form.

2. If any given delivery times, or agreed delivery dates or delivery deadlines, cannot be met or are delayed due to cases of Force Majeure, war, industrial action, lock-out, political unrest, transport impediments, official measures etc., possible claims of the buyer resulting from the delivery delay are excluded. The same applies if delivery times are delayed due to unforeseeable, other hindrances, no matter whether these occur in our premises or in the premises of our subcontractors (e. g. interruption of operation, fire damage, unforeseeable difficulties in material sourcing, etc.).

3. Partial deliveries are permissible as far as these are reasonable to the buyer.

4. We are liable towards the buyer for delivery delays according to the legal provisions, if the delivery delay is based on a premeditated or grossly negligent breach of duty for which we are responsible. If the delivery delay is not based on a premeditated or grossly negligent breach of contract, our liability is limited to the foresee-able, typically occurring damage.

5. Order changes coming in before or after order confirmation reception can only be processed if possible cost arising through these are assumed by the purchaser and if a corresponding delay of the delivery time is accepted.

V. Transfer of risk1. The buyer has to bear the risk of shipping.

2. The risk is transferred to the buyer as soon as the delivery leaves our factory, and even if freight-free delivery and assembly has been agreed. If the shipment is delayed at the request of the buyer, the risk shall transfer to the buyer with the notification of readiness for shipment. If requested by the buyer, the delivery will be insured against transportation and fire damages at the expense of the buyer.

3. Without other instructions of the buyer, the mode of transport, the transport route and the packaging will be chosen as usual in trade at our discretion at the buyer‘s cost.

VI. Guarantee / Indemnification1. Apparent defects of our delivery shall be communicated in written form without delay or within ten days at

the latest from delivery. Hidden defects must be notified in written form within 10 working days after discov-ery thereof. Items complained about must be kept ready for a visual inspection by us or by our representatives in the status they had at the time of the detection of the alleged defect. No liability shall be accepted for normal wear and tear.

2. We shall rectify justifiably asserted defects in our performance by supplementary performance. We have the right to choose whether the supplementary performance is done by remedying the defect or delivering an item free of defects. In case of failure of the supplementary performance within an adequate time scheduled herefore, the buyer has the right to withdraw from the contract or to demand an adequate price reduction.

3. In general the warranty period lasts for 36 months from the date of production. Different warranty periods are expressly stated in our quotations.

4. Indemnification claims of the buyer on whatever legal grounds are excluded. This does not apply to cases of premeditation or gross negligence, due to hazard to life, body or health, for liability according to the product liability law, for warranty we have assumed for which damage due to a liable violation of fundamental con-tractual duties or in other cases of a legally obligatory liability.

The liability for the culpable breach of fundamental contractual obligations is however limited to compensa-tion to the extent of assessable damage, which is typical in these contractual contexts.

5. Any claims from warranties shall only be the prerogative of the direct buyer and are not assignable.

VII. Reservation of proprietary rights1. We retain the title to the goods delivered until the complete settlement of all our claims, to which we are

entitled to as a result of the business transaction with the buyer.

The buyer must insure the goods subject to retention of title against theft, damage, destruction and acciden-tal loss (in particular fire and water) and has to prove the coverage on our request. The buyer must give us information on the whereabouts of the goods subject to retention of title and shall permit us and persons we have authorised to enter the place where the goods are stored.

2. In case of a processing of the delivery items and their connection we shall acquire co-ownership of the new item created in the ratio of the value of the goods subject to retention of title to the value of the new item created through the processing. The invoice value, alternatively the market value, is applicable to the value of the goods subject to retention of title and the value of the new item, for which the point of time of process-ing is applicable for the value of the processing. The buyer will become active for us during the processing, however without acquiring any claims against us with respect to the processing.

3. The buyer has the right to sell or process the goods subject to retention of title in the ordinary course of business, as long as he has not fallen behind in payments. The buyer herewith already now assigns the claims to which he is entitled from such sales, to the full extent by way of security, to us. Subject to revocation we authorize the buyer, acting on his behalf, to collect all debts or claims assigned to us for his account. Upon our request, the buyer will declare such assignment, and submit to us any required information or documents.

4. If the value of the securities exceeds our demands about more than 25%, we have the obligation to release the exceeding part of the securities due to us to the buyer at his demand or on demand of his creditors.

5. The buyer must inform us immediately, if execution is levied over goods subject to retention of title, or over claims transferred to us by assignment of future claims. The buyer shall bear any costs and damages.

VIII. Export orders Deliveries to other countries will only be carried out using our Terms of Sale and Delivery.

If the goods are being delivered to another member state of the European Union (EU), the buyer is obliged to forward his VAT identification number applicable for the delivery plus a declaration of professional sector before the dispatch of the goods.

If the legislation of the ordering party’s country aggravates the transfer of the purchase price to us, or if the value of the currency of that land decreases, we are entitled to reject the deliveries, without any claims for compensation, or to claim a corresponding modification of the terms of purchase and of the periods of delivery. Furthermore, the ordering party is entitled to immediately settle possible exchange rate fluctuations which are unfavourable for us, if orders are paid in another currency than Euro.

According to the Rules of Conciliation and Arbitration of the International Chamber of Commerce, disputes will be finally adjudicated by one or more arbitrators nominated according to these rules, if both parties agree to these proceedings.

IX. Design changes We reserve the right to carry out design changes at any time, however we are not obliged to perform such

changes also at products already delivered.

X. Copyright If any deliveries are made according to drawings, samples, or further indications of the buyer, and if patent

rights, model rights or trademark rights of third parties are violated by this, the buyer is liable to us for the damages resulting from this and for the lost benefits.

XI. Data protection We use an EDP system. The buyer hereby grants us his express agreement for the processing and storage

of data which have become known in the scope of contractual relations and which are necessary for order processing.

XII. Place of performance and jurisdiction The place of delivery shall be the respective place of dispatch. The place of performance for payment is the

headquarters of Möhlenhoff, Salzgitter.

The headquarters of Möhlenhoff, Salzgitter is the agreed and exclusive place of jurisdiction for all disputes arising from the contractual relationship.

XIII. Final clauses Should individual stipulations of this Terms of Sale and Delivery be or become ineffective, the legal validity of

the remaining stipulations stays unaffected by this. The respective stipulation must be replaced by an effective stipulation coming as close as possible to the aspired commercial purpose. The same applies to contractual gaps.
