M u l h e a r n . Mr. Mulhearn was elected by member banks in Group 3 and his successor will be chosen by this group.  Member banks in Groups 1 and 2 will not participate in this election. The classification of member banks for the purpose of nomination and election of class A and B directors of the Federal Reserve Bank of New York is as follows: Group 1 consists of banks with capital and surplus of more than $185,000,000; Group 2, of banks with capital and surplus of $5,000,000 to $185,000,000, inclusive; and Group 3, of banks with capital and surplus of less than $5,000,000. For the purposes of this election, a member bank’s classification will be determined by its capital and surplus as of the date of this circular, even though its capital and surplus may change before the polls close. The list of banks comprising Group 3 begins on page 3.  Nomination of Class B Director 

For Unexpired Portion of Term Ending December 31, 1981

To the Member Banks of the Second Federal Reserve District:

An election will be held under the provisions of section 4 of the Federal Reserve Act, asamended, to fill the vacancy in the office of class B director of this Bank for the unexpired portionof the term ending December 31, 1981, resulting from the death of J o h n   R. M u l h e a r n .

Mr. Mulhearn was elected by member banks in Group 3 and his successor will be chosen bythis group.  Member banks in Groups 1 and 2 will not participate in this election.

The classification of member banks for the purpose of nomination and election of class Aand B directors of the Federal Reserve Bank of New York is as follows:

Group 1 consists of banks with capital and surplus of more than $185,000,000;

Group 2, of banks with capital and surplus of $5,000,000 to $185,000,000, inclusive; and 

Group 3, of banks with capital and surplus of less than $5,000,000.

For the purposes of this election, a member bank’s classification will be determined by its capitaland surplus as of the date of this circular, even though its capital and surplus may change before

the polls close. The list of banks comprising Group 3 begins on page 3.

Except in the case of any member banks that are subsidiaries of the same bank holdingcompany,0 each member bank in Group 3 will be permitted to nominate a candidate for class B

director, f The nominations should be made by resolutions of the boards of directors of the nominat-ing banks (or by resolutions of the banks’ executive committees, if such committees are empoweredto take such action), and certified copies of such resolutions should be sent to me so as to reachme on or before February 28, 1980. The enclosed printed form shows the appropriate form ofresolution, and one executed copy  of the form should be returned to me.

On February 29, 1980, copies of the list of candidates (indicating by whom nominated)and preferential ballots will be mailed to the banks in Group 3. The law provides that the ballotshall be cast within 15 days after receipt of this list. The polls will be open at 10 a.m., March 3,1980, and will close at 12 noon on Tuesday, March 18, 1980. Upon the closing of the polls, the

 ballot box will be opened in the board room of this Bank, the votes counted and checked by tellers,and the results of the election announced. The candidates may, if they so desire, be present orrepresented on that occasion.

In order to be counted as valid, the ballot must be executed by an officer authorized to castthe vote and must be received by me at or before the time thus fixed for the closing of the polls(i.e., at or before 12 noon on Tuesday, March 18, 1980). The officers heretofore designated forthis purpose by each bank are shown on the list tha t begins on page 3. Any bank that desires tochange its authorization should do so by resolution of its board of directors; a certified copy of such

’resolution must reach me before the polls close. A form for this purpose will be furnished uponrequest.

 Because banks in Groups 1 and 2 will not participate in this election, this circular is sent to 

them without forms and for their information only.

“Class B shall consist of three members, who shall represent the public and shall be elected withoutdiscrimination on the basis of race, creed, color, sex, or national origin, and with due but not exclusiveconsideration to the interests of agriculture, commerce, industry, services, labor, and consumers. . . . Nodirector of class B shall be an officer, director, or employee of any bank/’

Recommendation of Candidate in Election ofClass B Director of the Federal Reserve Bank of New York

To All Member Banks in the 

Second Federal Reserve District:

The Federal Reserve Bank of New York will hold an election to fill the vacancy in the office ofClass B director on its Board of Directors for the unexpired portion of the term ending December 31,1981, resulting from thedeath ofJohn R. Mulhearn. Memberbanks in Group 3— that is, memberbankswith capital and surplus of less than $5,000,000— will participate in this election.

The undersigned committee, appointed by the bankers associations of New York, New Jersey, andConnecticut to make recommendations to member banks of candidates for directors of the FederalReserve Bank of New York, and to inform member banks of the qualifications of these candidates,

recommends for nomination by Group 3 banks the following individual, who has consented to serveif elected:

Edward L.Hennessy, Jr., wasborn in Boston,Mass., on March 22, 1928. He received a B.S. degreefrom Fairleigh Dickinson University in 1955 and has attended NewYork University Law School.

Mr. Hennessy’s varied career in business and finance has included service as controller withTextron, Inc., LearSiegler, Inc.,and International Telephone&Telegraph Corporation, director offinancefor the European, Middle East, and African operations of the Colgate-Palmolive Company, and senior

vice president in charge of administration and finance for Heublein, Inc. In 1972, he became a seniorvice president and director of United Technologies Corporation and was promoted to executive vicepresident and chief financial officer in 1977.

Mr. Hennessy joined Allied Chemical Corporation as its president and chief executive officer inMay 1979. Hewasalso named Chairman of the Board in December of that year.

Among his many civic and professional activities, Mr. Hennessy is a director of Automatic DataProcessing, Inc., Travelers Insurance Co., and the Coast Guard Academy Foundation, Inc. He is alsoa trustee of Fairleigh Dickinson University, and a regent of St. Joseph College.
