The Pre-Bid Meeting was held on 3rd June 2019 at 1300 hours in the Conference

Room, Circuit House, SSNNL, Kevadia, Gujarat.

List of participants attended the pre-bid meeting is given at Annex-1. Meeting

was chaired by the Joint Managing Director of SSNNL and concerned officers from

Gujarat Maritime Board (Advisers), the Shipping Corporation of India Ltd.

(Consultants), and SSNNL were present in the meeting.

The suggestions, queries and issues of bidders as summarized in the table given

below were deliberated in threadbare and the final decision to each of such

1.1.1.1 The selected/successful operator has to provide at least two boats within two months of LOAtowards commencement of the project; remaining boats as per the Concession Agreement would have to be provided within 6 months of the LOA as per the traffic demand

The first two boats towards commencement of the boat service, operator can deploy boats of any suitable material including FRP and Aluminum(except wooden boat). However, eventually the operator has to bring in new construction vessels (Catamaran � Hull: steel or Aluminum, superstructure: Steel /Aluminum / FRP) in a phased manner within 6-10 months of LOA, as per

demand/ requirement and as indicated below: 2 months from LOA: 2 boats (initial boats towards commencement of service) 6 months from LOA: 2 boats. 10 months of LOA: remaining vessels as per requirement

4 SSR Marine

1.1.3 The operator has to make good the project assets handed over by the Authority in case of any break down maintenance without any delay.

Normal wear and tear of jetty and SSNL Infrastructure to be take care bythe SSNNL rather than boat operator. - Pls Confirm

During the transfer of assets at the end of contract period, normal wear and tear for the jetty will be acceptable. However,in case of considerable damage to the project assets, same to be made good before handing over at the time of transfer of project assets. Operator has to maintain the project assets in proper & good condition.

2.1.23 Necessary operational permissions, clearances and certificates from GMB (GoG) & other authorities as may be required shall have to be obtained by the Bidder prior to thecommencement of the ferry Service. Certified/Notarized copy of such approvals has to be submitted to the authority.

Classification: Conforming to GMB IV Rules and Class Rules.

Boat is to be classed, same will increase the cost of construction and operation. Boats will be running in river only, lot many vsl is not classed, can we have exemption from Class?

Boats are to be Class certified complying to applicable rules/regulations as passengers safety is the utmost concern. It is also clarified that any IACS Class authorized by GMBwill be acceptable.

7.4 (l) Crew accommodation: No sleeping accommodation for crew on board.

Accommodation of Crew/Operator personnel arrangement will be provided bySSNNL?

SSNNL may provide around 20 rooms for accommodating around 80-100 Crew on chargeable basis and the rates shall be as per Government Rules / regulations. Operator has to arrange for other amenities/facilities, if required.

7.4 Bunkering, FW filling, shore supply etc: No provision to take bunker will be provided bySSNNL and same has to be ensured by the operator with due regard to safety requirements like provision of sufficient fire extinguishers, saw dust etc. Fresh water source (Filtration plant) for the boat shall be provided by SSNNL on

SSNNL may provide one tapping of Fresh water line available at Shrestha Bharat Bhavan at reasonable charges. Shore power supply and electricity consumed for terminal lights would be on chargeable basis. On a query, it is clarified that the charges would be nominal/reasonable.

7.4 Passenger amenities: A Kiosk will be provided onboard by the operator to sell food, beverages and souvenirs (on revenue share basis).

Revenue sharing would be on sale proceeds of passenger tickets only.

5.1 (feasibility study report)

Provision for Toilet

Toilet facility will be provided by SSNL, Does boat require toilet facility if so then shore reception of Toilet waste will be arranged by SSNL?

One W.C to be provided onboard. Disposal of sewage shall be to shore reception by the operator. Even treated sewage and garbage shall not be discharged in the river. There shall be no oil pollution from the boat. List of empanelled vendors for garbage disposal is provided on GMB website. Operators are expected to avail the services directly. SSNNL may provide a designated waste land space for dumping of garbage.

Once operational, the inlet of shore STP (Sewage Treatment Plant) would be made available to the operator for sewage discharge. Notwithstanding above, the basic responsibility lies with the Operator.

General What will be the difference in water depth in the specific channel in October after monsoon, and in May every year? Any strong water currents likely?

SSNNL shall maintain minimum 2.0M water depth throughout in the navigation channel. SSNNL shall regulate the water in channel accordingly. Further, joint survey would be done as and when required and the survey report shall be endorsed by GMB. In case of flooding conditions,

SSNNL would give sufficient advance intimation to the operator. Operator has to ensure safety of boats and personnel. SSNNL would provide place for parking of boats. Operators may suggest suitable place after site visit that may be earmarked for said purpose.

7.4 Operation days in a year: 312 days (timing 08:00 Hrs . 22:00 Hrs)

Is there certainty of 312 operating days every year? Likely days and types of bad weather?

300 operating days to be considered, considering weekly off on every Monday and other maintenance/draft issues. Operator has to project accordingly.

General How do you assure 5000 tickets are sold every day? What will be Operator's safeguard in case of shortfall?

Management shall try to give priority to boat operator for first 4000 Viewing Gallery tickets as discussed in pre-bid meeting.

General Can the Operator hold back the boat service until the seats in each boat are 100% filled? Or if he must leave on schedule, who will cover reduced income or even loss due to underutilization?

Operator has to do the scheduling of boats for optimum capacity utilization. And, boats should ply as per schedule.

7.4 Speed: abt. 10 -12 Knots. Is it a fast transport service from point A to point B, or is the speed adjustable to give travelers a comfortable site seeing experience?

Fast craft is not envisaged. Speed requirement of Boats as mentioned in RFP is for guidance only, it is not a restrictive clause. However, the

operator has to study the feasibility of speed requirements taking into consideration the current, draft, passengers� comfort, safety, etc.

7.4 Bidder may earmark 2 boats of 75 Pax with dining facility if feasible.

The two Cafeteria boats suggestion - how will it be incorporated in the Concession Agreement? It may be just an extra option to the Operator, not a compulsion.

It is an optional item and may be considered by operator in order to generate additional revenue.

The tickets of the ferry boat service shall be collected by the Licensee and the revenue share shall be remitted to the Licensor on a monthly basis as per the terms and conditions of the Concession Agreement. Since the bank will be lending almost 40 crore rupees, the banks are demanding that the revenue be deposited directly into the account of the Licensee over which the banks would have a lien to the extent of the monies lent. Banks are not agreeable to the money being deposited with the Licensor and then the Licensor paying the due amounts to the Licensee as the banks are carrying most of the risk, they want to have first charge over the proceeds. We suggest the proceeds be sent to an escrow account where the banks would have first charge, Licensor would have second charge, and Licensee would have the third charge.

Passenger tickets would be collected by SSNNL and the proceeds (after deduction of revenue share)would be transferred to Operator�s account on fortnightly basis i.e. 1st and 16th of every month or the next banking day.

A navigable depth of 2.5 meters to be imperatively provided so that the safety of the vessels as well as the passengers can be ensured. This navigable depth will also ensure sufficient under-keel clearance (UKC) as well as submergence of the propellers. It should be also kept in mind that the seabed is hard rock and the ferry is carrying people. Therefore, keeping the safety of people in mind, UKC of 0.5 meters for different sea states is not reasonable; minimum UKC of 1 meter is imperative.

Kindly refer the clarification/ decision given at Sl. No. (21) above. While deciding on ferries/ boats, operator is expected to study the operational feasibility of ferries/boats taking into consideration the current, draft, passengers� comfort, safety, etc.

Zero Date

��Zero Date: The date on which both the terminals and navigational channel, jetty, with berth facilities/ site is handed over.

Zero Date will mean the date on which the entire site is handed-over and the first ferry is able to commence operations so that the �operations� can be initiated as envisaged in the Concession Agreement.

At the moment the Zero Date has been reckoned as the date of handing over of the facilities by the Authority. However, the zero date may be considered as the date on which the facilities are handed over / commencement of ferry service whichever is later but in any case not exceeding two months from issuance of LOA. Boat operations should commence from 1st October 2019 by the selected bidder.

We request you to give us an additional time of 4 months as the design approval from Indian Register of Shipping requires a time period of 2 months; further, the construction of 10 boats within a period of 4 months during the monsoon period is impractical.

3.7 In case the ferry operation has to be stopped due to maintenance / repair of dam or due to over flooding / planned release of excess water, in such case the operator cannot claim dues from SSNNL for the loss of business / revenue.

Commensurate extension of time to be provided to the License Period for stoppages on account of reasons attributable to the Licensor or its representatives.

If the ferry operations get hampered for considerable period (continuous 5 days or more) due to any reasons beyond the control of the Licensee, the firm contract period of 10 years would be extended to the equivalent period of non-operation of ferry service.

3.5.1 What will be average rate of siltation? What is the average depth available during each month of calendar year? Has there been an instance (low reserves in the dam, shortage of rainfall, etc.) that the depth has fallen below navigable ranges? Will there be regular maintenance dredging in-order to maintain depth continuously?

Length Overall: 15~20 M

2. Overall length of 15~25 meters may be allowed. This will allow for availing ship-building subsidy from Government of India as per the prevalent rules, which is17.5% of the capital cost. The resultant saving in the capital cost can be shared with SSNNL by allowing quoting for a higher revenue share. The relevant excerpts from the ship-building subsidy policy of GoI are attached. The other advantage is that for longer boats, the vessel drafts can be reduced. This will form a win�win situation for the Licensee as well as Licensor.

2. Mentioned ferry dimensions are for guidance only. Operator is expected to do the proper assessment of maneuverability of boats of such length at the available channel/jetty and accordingly decide/propose on the dimensions. However, the dimensions of the proposed boats would be reviewed by SSNNL/GMB.

We request that Performance security is to be limited to 10% of the Annual Contract Value as per the standard Industry practice. Please confirm.
