Become an Authorized Partner

Step 1: Register your company

Complete a simple online company registration form available at: https://microfocuspartner.force.com/s/.

For partners seeking to procure through Distribution, agree to the standard Micro Focus Tier 2 click-through terms and conditions.

o Or if you wish to procure directly from Micro Focus, an extended due diligence process is required.

Note: Direct Buy Reseller (DBR) applications require annual revenue in excess of USD $500k. (4-6 week process)

Legal and Regulatory screening – processing time is typically less than 48 hours.

Upon successfully completing your company onboarding, you will receive a Partner Registration Complete and Welcome Onboard email containing a copy of your agreement and SFDC Account ID.

Step 2: Register as a Partner User for Micro Focus Partner Portal Access

Complete a simple online company registration form available at: https://microfocuspartner.force.com/s/.

Use your Company SFDC ID (optional) or we will attempt to match you based on your corporate domain and country.

Upon registration, you will receive an email with a “validate my email” link to then login to the Portal.

Become a Gold Partner

Six Product Group Specializations Authorized Partners can earn Gold membership status by completing two sales and two technical certifications within one of the six product groups.

Reserved for our largest partners

Platinum Partner status is awarded to Gold Partners who achieve $1M in total new business, add-on, or upgrade resell bookings across all product groups. Total revenue is calculated by cumulative bookings for the prior 12 month MF fiscal period across License, SaaS, and Initial Support. Platinum Partners are required to develop a formal business plan with their assigned Partner Business Manager (PBM), which the regional channel VP must sign off.

Become a Portfolio Expert

Showcase the depth of your product knowledge

Complete two technical certifications for each portfolio you specialize in and earn your portfolio expert badge. These will be highlighted within the Micro Focus partner locator and can be published on your website.

5.0 Partner Level Calculations

Membership Level Assessment All accounts of a partner within a named Partner Territory outlined within the table will count towards certification and revenue requirements. For example, in the US and Canada Partner Territories:

Example-Partner California – has two sales certs (ITOM) + $800k USD ($150k Sourced in EMEA only)

Example-Partner Toronto – has two tech certs (ITOM) + $200k USD ($50k Sourced in EMEA only) Both accounts would qualify as Platinum (ITOM)

Micro Focus operates a monthly leveling process to upgrade partners who have attained the relevant level of certifications for Gold level status and the relevant level of certifications and revenue requirements for Platinum Level status.

Partners who have achieved the qualifying number of certifications within the prior month will be upgraded within the first week of a new month.

Gold partners who have achieved $1M (>$200k Sourced in EMEA only) in qualifying License, SaaS, and Initial Support business across a rolling twelve month period will be upgraded to Platinum. The lookback period will include a one month gap, in order to allow consolidation of financial data.

If a partner does not hold the necessary number of certifications to maintain Gold or Platinum status (either when a certified employee exits the business or new certification criteria are issued) the partner Community

Administrator will be notified (if one has been designated) and a grace period of one quarter will be granted. At the end of this period, the partner’s level will be downgraded if the certification has not been replaced within the required one-quarter timeframe.

For Platinum partners, the downgrade process is based on revenue only and is completed annually in November (FY1) based on qualifying shipments achieved within the prior Fiscal Year (FY0).

“Portfolio Expert” insignias are automatically generated by the system and are leveled upwards or downwards monthly based on program rules. Obtain your Insignias (aka “Program Marks”) via the Micro Focus Partner Portal home page:

Recognizing that partners often require transactions across multiple legal entities, the program clusters countries into “Partner Territories.” All accounts of a partner within a partner territory will count towards certification and revenue requirements and will enjoy the same level of benefits. In most cases, partners with multiple legal entities across a Partner Territory may still be required to transact business in the country where the legal entity exists.

Note: Additional options are available for partners who develop a Micro Focus Center of Excellence (CoE).

Partners with a Micro Focus Technical CoE

Multi-country partners who wish to harmonize their Gold or Platinum level across a cluster of Partner Territories (outside of the standard Partner Territory Matrix) can centralize their Technical Certifications to a hub country and may apply based on the following rules.

For each participating country:

Minimum of two Sales certifications by Product Group within each participating Partner Territory.

Partner shall have a legal entity and sales presence in each participating Partner Territory.

Each legal entity must have a relevant Micro Focus reseller contract (Tier 1 or Tier 2) in place.

Partner provides a single point of contact to own the business plan.

Partner complies with the tax requirements in the country of sale (VAT registration, etc.)

Local Channel and Alliances Management approval of multi-country status is required.

Collection of benefits are accrued and paid in each individual participating country, typically to the relevant transacting entity.

Across the multi-country cluster:

The partner is free to distribute or centralize technical certifications across the named set of countries, as long as the total number of technical certifications is at a minimum equal to the aggregate requirement for all participating countries.

The revenue threshold is calculated as the result of all of the participating countries.

Once a partner holds 10 technical certifications in one single Business Group, they have attained Global Gold status.

Where can I find information on certifications that count towards the program? All on-demand course content and certifications necessary to meet the program requirements are available free of charge to partners. Partners may access detailed enablement and certification information, including the Certification Criteria Guide, via the Micro Focus Partner Portal Certifications from the Micro Focus Education organization are applicable toward technical certification attainment for Gold and Platinum membership. These certifications are at the installation and configuration level and come at a cost. To access, sign up on the Education webpage to take either the on-demand or Instructor-led courses.

Certification Lifecycle Whenever new certification content is ready, we will extend availability to partners. If the new certification supersedes existing content, the old certification status will revert to “unavailable,” and will no longer be accessible. All certifications that move to an “unavailable” status will continue to count towards program requirements for 12 months plus the period until the end of a financial quarter. At that time, they will “expire” and will no longer be applicable Gold and Platinum membership attainment.

7.0 Deal Registration

The Micro Focus Deal Registration rebates are designed to contribute to your profitability by providing a back-end rebate for deals that meet our program guidelines. Deal Registration is open to Micro Focus Gold and Platinum Partners to acknowledge and reward the significant investment you have made in developing sales and technical competence in our products. The primary focus of deal registration rebates is to reward Gold and Platinum Partners for transacting new business. “New business” is defined as new license, SaaS, and first-year initial maintenance support sold to new and existing customers. Rebates will be approved based on program criteria, at Micro Focus’ discretion. Ensure maximum margin by registering your deal early.

Rebate Percentage Deal Registration is available exclusively to Gold and Platinum Partners, in those product groups where specialization has been achieved. For partner sourced deals, only one partner may register a deal registration or referral for any rebate. Where multiple partners register for the same partner sourced deal, the first qualifying partner to register will be approved. Multiple partners are allowed to register deals sourced by Micro Focus. The partner that secures the resell transaction is eligible for the Deal Registration rebate. All rebates require deal registration (Tier, Sourced, or both). Resell: Partner Fulfilled Order

Tier Deal Registration rebate is offered to Gold and Platinum Partners against “new business” opportunities fulfilled by the partner. “New business” is defined as new license, SaaS, and first-year initial maintenance support sold to new and existing customers.

Sourced is defined as a net new sourced opportunity that was not known to Micro Focus’ sales team before the partner registered the opportunity and is a stackable benefit offered in addition to the Tier benefit.

For deals where Micro Focus approves a “Special Price” (rate higher than contractual discount), deal registration will pay out at 50% of the rebate amount.

Minimum eligible order value for any benefit to be paid is $5k USD.

New deals must have an expected close date of 15 or more calendar days from the date the deal is submitted and from an order being placed.

Registered deals expire 180 days after the approval date. Partners may apply for an extension subject to approval.

Request for Proposal (RFP) and other bid requests are excluded and ineligible for Deal Registration until the bid is awarded.

For partner-soured opportunities, only one partner may register a single opportunity. In the case of duplicate deals, the rebate offer will be awarded to the first partner who meets the approval criteria.

Deal Registration Process—Step 2

Approved Deal Registrations are valid for 180 days from the time of approval.

Thirty days before the deal registration expiration date, an option to extend your deal registration will automatically appear within the opportunity.

Thirty days and 15 days before the deal registration expiration date, a reminder notification email will be issued to you.

Eligibility Criteria

Your approved deal registration must have an expiration date of fewer than 30 days. Deals that have already expired will not be considered and a fresh deal registration application is necessary.

To apply for an extension, navigate to the deal registration and hit “apply for extension.”

Your application will trigger an approval process for the Micro Focus Deal Registration Desk to validate your request.

Your deal registration can be extended twice. Each approved extension is valid for 180 days from the time of approval.

Micro Focus currently operates three order management systems:

STACK A: For products associated with the former Software business unit of Hewlett Packard Enterprise, orders are placed through the SFDC-Apttus self-service portal.

STACK B: For Products associated with the former brands of Novell and NetIQ, orders are placed through the POST self-service portal. All other orders are managed manually with partners submitting POs to the Micro Focus order management team

Deal Registration Rebate Payments

Deal Registration Process—Step 4

All deal registration rebate payments are made quarterly and in arrears. Micro Focus will endeavor to execute payments within 60 days of quarter close.

All rebates are calculated using the “net-to-Micro Focus” license value, i.e., the value of the license to Micro Focus after any contractual, special discounts, or both.

Eligibility to receive rebates is dependent on the Partner maintaining its membership in the Partner Program and being in good standing at the end of the Fiscal Quarter in which the deal is closed

All compensation amounts below the equivalent of $100 USD per bonus calculation (using internal pricing exchange rates) will not be paid out and cannot be claimed.

For SaaS transactions, payments will only be made when the end-customer has activated the service and Micro Focus has received payment.

Payments will typically be made from the Micro Focus legal entity where the order was booked. Your Bank Details

In order to ensure we can issue payment of the earned rebate, we need to set up your organization’s bank details within our payment system.

To update or amend your payment details, please contact the Partner Payments team by emailing: [email protected].

The payments team will re-validate your bank details every six months. Please ensure that your bank details and administrative contact details are correct to allow for timely payments.

Bonuses calculated in accordance with the Program Terms are exclusive of VAT. Where applicable, Micro Focus will apply local mandatory VAT when processing the payments. The receiver of the payments should fulfill any tax obligations imposed by local tax legislation.

Rebate Claim-back Conditions

Micro Focus reserves the right to claim back any compensation payments made for wrong instances of reporting. Examples of these instances are mentioned below, though this list is not exhaustive: Margin Corrections Reported as Sales. Compensation paid on business that is returned to the Distributor and not correctly reported as

such. Products for internal use reported as Sales. Sales made to Distributors, other Resellers, or any other reseller or distributor of Micro Focus

Products, unless explicitly authorized by Micro Focus

Micro Focus reserves the right to claim any erroneous compensation payments made to the Partner and brought to the knowledge of Micro Focus within two years from the date the payment is made.

In the event that Micro Focus makes a compensation payment, Micro Focus reserves the right to recover the money in the manner that it determines to be the most expedient under the circumstances, including without limitation: by issuing a claim to the partner for reimbursement of the overpayment, in which case the Partner

agrees to pay within 30 days of the claim date; or deducting the overpayment from subsequent compensation payments to the Partner.

8.0 Referral Rebates

We recognize that customers may sometimes choose to purchase through a preferred procurement channel. To recognize your investment throughout the sales cycle, we offer a “referral” rebate program to Gold and Platinum partners. Access is limited to product groups where specialization has been achieved. The percentage of rebate depends on partner tier. Only one partner may register a deal registration or referral. Where multiple partners register for the same deal, the first qualifying partner to register will be approved. A Referral is defined as a partner sourced and registered lead that turns into a “new business” sale that is either fulfilled by Micro Focus Direct Sales or is channel fulfilled by a third party. Once the order is booked, two “proof of performance” criteria are required to be submitted with your claim.

through the POST self-service portal. All other orders are managed manually with partners submitting purchase orders to the Micro Focus order management team.

Definition of Referral Proof of Performance

Sourced Deal Registration—Deal registration number for the approved Sourced Deal Registration.

Assessment—Partner provides the customer with an assessment study that highlights the specific business challenges and makes recommendations to address those challenges.

Needs analysis—Partner provides a report or document highlighting the specific requirements of known business problems or elements of a strategic initiative for the specified customer, which will be addressed by a Software solution and the partner’s expertise.

Return on Investment (ROI) study—Partner provides a report or presentation to the customer highlighting the benefits and ROI of implementing a solution that leverages Software.

Product presentations—Partner provides proof that they developed and delivered a presentation defining the customer business problems and then presents the proposed solution along with the benefits and credentials on how Software solutions will deliver tangible value to the customer. Acceptable proof includes presentation of the following: an agenda that shows customer name, date, agenda items, and presenter’s name; and a sign-in sheet that shows signatures from the customer, partner, and Software personnel in attendance. If a sign-in sheet is not used, then an email invitation or meeting notes confirming the attendees is acceptable.

Customer demonstration—Partner provides proof that they conducted a demonstration tailored to demonstrate how Software solutions meet the customer’s specific requirements. Acceptable proof includes an agenda that clearly notes customer name, date, agenda items (associated presenters of partner personnel [their names] should be listed next to at least one agenda item), and a sign-in sheet that includes signatures from the customer, partner, and personnel in attendance. If a sign-in sheet is not used, then an email invitation or meeting notes confirming the attendees is acceptable.

Proof of concept—Partner provides a document that defines the specific objectives and desired outcomes of the proof of concept activity. The documentation should define the customer requirements and steps the partner will take to prove the Software solution met the requirements. The level of effort (resources and hours) required to accomplish the tasks must be documented. A statement of work that addresses the above is desirable documentation.

Bid response—Partner provides a copy of the bid response (RFI, RFP, or other proposals), which includes a description that clearly indicates a software solution is being recommended. The Partner may remove items that are considered client confidential.

Design and architecture—Partner provides an architectural diagram or a specific configuration that defines the software components, dependencies, assumptions, and specific requirements (minimum hardware and software) to support the Software solution being proposed. This document should make recommendations regarding sizing and performance considerations to meet the anticipated user environment.

Referral Payments

All Referral payments are made quarterly and in arrears. Payments should be executed within 60 days of quarter close.

9.0 Market Development Funds

Extending a Partner‘s market reach and accelerating growth Market Development Funds (MDF) are provided to eligible partners to subsidize their marketing and sales costs that generate awareness and drive demand for Micro Focus products and solutions. The MDF Program Provides:

Resources to support the partner in their planning and execution of sales and marketing activities that drive demand generation and sales opportunities

An offset to partners’ cost of demand generation activities that drive new business across the Micro Focus portfolio of products and services

Access to Micro Focus tools, campaigns, and third-party resources to help generate leads and grow the business, including a network of Marketing Services Agencies to help you deliver measurable, effective, and integrated co-marketing campaigns

MDF Program Management:

Planning and execution occurs semi-annually

Micro Focus leverages a claiming model that reimburses partners after an activity is executed

MDF activities are governed by the “Eligible Activity Matrix” (EAM) and MDF Program terms. Both are posted on the Micro Focus Partner Portal MDF site.

MDF activity requests, claiming process, and invoice submission (where applicable) are managed via the Micro Focus Partner Portal.

MDF End-to-End Process

Develop and Communicate MDF Plan

MDF—Step 1

The semi-annual planning cycle is a collaborative process engaging you, your Micro Focus Partner Business Manager (PBM), and/or your Field Marketing Manager (FMM).

The plan will include defining market development goals as well as targeted activities supporting those goals in advance of execution.

MDF-funded activities are planned in advance with a six-month execution window.

Micro Focus has established a global network of Marketing Services Agencies (MSA) to help you deliver measurable, effective, and integrated co-marketing campaigns.

MSAs may work with you to plan and execute MDF-funded activities and campaigns on your behalf.

Discuss and evaluate the results of your plan with your PBM, FMM, or MSA regularly. MDF Eligibility Criteria

Gold and Platinum partners are eligible for MDF.

Funding is discretionary. Micro Focus management reviews and approves funding based on expected results and return.

MDF must be spent on activities that drive demand for products, services, and solutions.

Submit Activities for Review and Approval in Tool

MDF—Step 2

Partners manage activities using the Micro Focus MDF tool accessible via the Micro Focus Partner Portal.

Users must have a valid user ID or email for access following the standard new user registration process on the Micro Focus Partner Portal.

MSA may create pre-approved activities on behalf of the partner in the MDF tool.

When activity creation is complete, the partner must submit the activity for approval by Micro Focus where it will be reviewed for eligibility and against plan.

The partner will receive an email with the status of submission once the activity is approved or rejected, along with final amount of MDF allocated for activity.

Approved activities are to be executed by, on behalf of, or with the partner within semi-annual activity execution window.

Activities must be entered before the end of the Planning period (fifteenth day of the month, six of planning and execution cycle).

Any available funds not utilized by the deadline will result in loss of funds

Submit Claims for Review and Approval in Tool

MDF—Step 3

After the activities are executed, the Partner creates and submits claims to initiate reimbursement.

Partners (or MSAs) manage claims using the Micro Focus MDF tool accessible via the Micro Focus Partner Portal.

Users must have a valid user ID or email for access following the standard new user registration process on the Micro Focus Partner Portal.

Actual results of activity metrics must be entered into tool when creating the claim.

Attach or upload copies of required electronic proof-of-cost, proof-of-execution, and tax or VAT invoice documentation.

Submit for approval.

Micro Focus will review the claim.

An email notification is sent to the partner when the claim status is updated.

Activities may not be claimed until after the activity has been fully executed.

Claiming is available beginning one day after the activity’s end date.

For details on acceptable proof-of-cost (POC) and proof-of-execution (POE), see the MDF Eligible Activity Matrix (EAM).

Claims must be entered by deadline (fifteenth day of month eight after activity planning and execution cycle).

MDF Payments

MDF—Step 4 Electronic Invoicing (PDF invoicing) In countries where electronic invoicing is made available by Micro Focus, the Partner must issue Micro Focus with electronic invoices for valid MDF claims under a Software Partner program, as follows:

Partner is responsible for notifying Micro Focus promptly of any change to Partner’s email address, company VAT registration number, and bank account details for bank transfer payments; and

Partner will not issue any other invoice for the amounts covered by Partner’s electronic invoice. Hard Copy Invoicing Alternative: Partners may issue hard copy invoices for valid MDF claims under the Micro Focus Partner Program or as follows:

Partner will post a hard copy of Partner’s invoice to Micro Focus’ address as indicated in the applicable Software Partner program or incentive terms or as otherwise advised by Micro Focus;

An electronic PDF copy of the invoice must also be attached to the claim when submitted. Your Bank Details

In order to ensure we can issue payment of earned rebates and MDF claims, we need to set up your organization’s bank details within our payment system.

The payments team will re-validate your bank details every six months. Please ensure that your bank details and administrative contact details are kept updated to allow for timely payments.

Program and Guide content are subject to change without notice. These Micro Focus Partner Program Terms (“Terms”) constitute an addendum to your Micro Focus Partner Agreement. In the event of any conflict between these Terms and the Micro Focus Software Partner Agreement, these Terms take precedence regarding Micro Focus Partner specialization requirements and related program benefits. Capitalized terms not otherwise defined in these Terms are defined in the Micro Focus Partner Agreement. Program Participation Participation in the Program shall automatically end when your Micro Focus Software Partner Agreement terminates. Micro Focus Partner Program participation is at the single legal entity level. Aggregated legal entities, such as buying groups, franchisee/ franchisor networks, holding companies, and associated businesses are not eligible. Individual companies that are part of these groups may be eligible at the individual legal entity level if program participation requirements are met.

Partner Eligibility—Compliance Compliance with anti-corruption laws is an important part of our mission to conduct our business in all cultures and countries with trust, respect, and integrity. Furthermore, compliance with these laws serves to maintain our positive reputation, delight our customers, and grow our relationship with you. A requirement of the Micro Focus Partner Legal and Regulatory Compliance Program is the periodic completion of a Due Diligence Questionnaire and Key Personnel List, and submission of the Anti-Corruption Compliance Declaration. Furthermore, completion of the program requirements is mandatory for participation in the Micro Focus Partner Program. To maintain good standing with Micro Focus, Partners must complete all Legal and Regulatory Compliance Program requirements. Partners that do not meet the Software compliance requirements may forfeit their Micro Focus Partner Program benefits. Code of Conduct At Micro Focus International plc and the Micro Focus group companies, we are committed to maintaining the highest ethical standards in our business dealings around the world. Our Code of Conduct sets out the standards that guide our business practices and govern our behavior. This Code of Conduct is applicable to Micro Focus channel partners, their employees, temporary employees, agents, independent contractors, and subcontractors. A Micro Focus channel partner is any party selling Micro Focus products, including distributors, OEMs, resellers, agents, and any other party to a Micro Focus partner or channel agreement. A Micro Focus channel partner also includes any party providing services directly or indirectly to Micro Focus in support of Micro Focus business, such as system integrators, logistics companies and other service providers to Micro Focus supporting Micro Focus’ business with its customers. A breach of this Code of Conduct will be considered a breach of the channel partner’s contract with Micro Focus and may lead to the termination of the business relationship with Micro Focus. Micro Focus and its channel partners are required to comply with all anti-corruption laws, such as the US Foreign Corrupt Practices Act, as well as the U.K. Bribery Act, the Canadian Federal Government and public sector rules on gift-giving, hospitality, and other benefits. Micro Focus channel partners must take special care in dealing with public sector customers, which include employees at all levels of government, government agencies, crown corporations, and publicly funded institutions such as hospitals, public utilities, and educational institutions.
