5. Public Hearing on the Fiber Project Easement Dedication – Merced Campus An opportunity was provided for members of the public to address the Board on the fiber easement dedication for the Merced Campus.

8. Presentations a. Los Banos Campus Update

Dean Brenda Latham welcomed everyone to the Los Banos campus. She provided a presentation on the Los Banos campus which included enrollment trends, facilities update, and events. She thanked Trustee Gene Vierra for his support throughout the years.

9. Consideration of Consent Agenda MSC (Haden/McCabe) to approve the consent agenda items as summarized below.

Dr. Tortorici presented the proposed 2013-14 academic calendar. It has been sent to MCFA and CSEA for their input. It meets the 175 days of instruction requirement in the Education Code.

MSC (Braxton/Haden) to approve the 2013-14 Academic Calendar as presented.

b. 2013-14 Budget Development Calendar Dr. Johnson said this is the same calendar which has been presented in years past. This calendar significantly integrates with the Educational Master Planning Committee calendar.

c. Request to Provide Wine for President’s Reception Dr. Newins stated the Foundation has been working on a welcome reception for Dr. Taylor and his wife. It is planned for Friday, October 12 in the Learning Resources Center. Liability insurance will be provided by the Foundation. MSC (Lashbrook/Braxton) to approve the Foundation to serve wine at the President’s Reception on October 12, 2012.

d. Resolution Declaring Surplus Property and Intent to Sale – Midpines Property Dr. Johnson explained approval of this resolution would allow the District to offer the Midpines property for sale to specified public entities. It has been appraised at $510,000. MSC (Braxton/Haden) to approve the resolution declaring the Midpines property as surplus and the intent to sell.

e. Resolution in Support of Proposition 30 Dr. Taylor said this resolution is in support of proposition 30 for the Board’s consideration. Failure of proposition 30 would have a number of negative impacts to Merced College and its students. Trustee Vierra recommended that everyone reads Dr. Taylor’s comments on Proposition 30 in the latest issue of the Campus Digest. Discussion occurred. MSC (Braxton/McCabe) to approve the resolution in support of Proposition 30.

f. Acceptance of Trustee Resignation and Provisional Appointment or Order of Special Election to Fill Vacancy Dr. Taylor reported that Trustee Eugene Vierra has submitted his resignation from the Board with an effective date of December 5, 2012. He stated a

timeline has been developed if the Board chooses to go forward with a provisional appointment. Trustee Lashbrook asked what the cost would be for a special election. Dr. Taylor responded by stating it would be in the tens of thousands of dollars all at the cost to the District. MSC (McCabe/Braxton) to accept Trustee Eugene Vierra’s resignation from the Board of Trustees and to move forward with a provisional appointment of a Trustee to fill his seat until the end of the term.

g. November Board Meeting Date Dr. Taylor stated the next regular meeting is November 6 which is also Election Day. He was hoping to provide a fiscal update at that meeting, but since the outcome of the election has significance for the budget, he proposes to move the November meeting to the 20th. MSC (Haden/McCabe) to have the regular meeting of the Board on November 20, 2012.

11. To the Board for Information a. Presentation of District Openers with Merced College Faculty Association

Dr. Taylor provided the list of openers to the Board. At the next meeting the Board will be asked to approve this list. MCFA has been provided a copy of the openers and will have the opportunity to respond with their openers.

b. Accreditation Update

Dr. Newins said the follow up report writing team has been meeting and great progress is being made. The next steps include progress that has been made since last March. The draft will be circulated to Academic Senate during November and December and the final document will be brought to the Board in February. The Student Learning Outcome status report is also being worked on by Professor Pam Huntington and a group of constituents on campus. Classes that need to be inactivated are being reviewed. The report is due on October 15. The Shared Governance Handbook is out for review by all staff. It goes back to College Council for approval on October 9. This document will continue to live on the college portal and will evolve as planning processes are implemented. Trustee Lashbrook asked about the discrepancies on the amount of program review and assessment being done in different areas. Dr. Tortorici addressed her question in regards to instruction areas.

13. Information & Questions

a. From Board Members Trustee Lashbrook enjoyed the 50th anniversary events last weekend. She hopes to be able to enjoy more upcoming activities now that harvest season is over. Trustee Braxton stated this is his last meeting in Los Banos and he thanked Brenda for her hospitality. He reported from CAJPA that we are in excellent standing. He will be leaving the VIP/JPA, MCSBA, and a few other committees so a new representative of the Board will need to be appointed. Trustee Haden gave his appreciation to everyone who worked on the homecoming events. He gave kudos to the maintenance staff on the Merced campus. He said the campus looks wonderful. He said goodbye to Los Banos as well and thanked Gene for his advocacy of the Westside. Trustee Jordan said he is looking forward to October 11 when he will be a member of the panel at the opening of the Merced College exhibit at the courthouse museum. He looks forward to representing the Board on negotiations. Trustee McCabe said goodbye to Trustees Braxton, Haden, and Vierra. Trustee Vierra thanked everyone for coming to Los Banos. He thanked the other Board members for their support over the years he has served on the Board. He thanked Anne Newins, Karyn Dower, and Brenda Latham for their leadership of the Los Banos campus. He also thanked Stacey Hicks for her support this past year which has been full of challenges. He also thanked Trustee Haden for chairing the CEO Search committee and taking on that responsibility.

b. From Academic Senate Dee Sigismond reported she is the president-elect for Academic Senate and is a professor at Los Banos. Instructional Program Review Student Learning Outcomes Committee is holding workshops to assist faculty in completing their annual and comprehensive program reviews and has developed a PowerPoint document to assist them with direct and indirect assessments. The curriculum committee has developed two task forces. One will investigate inactivation vs. deactivation of courses and one will focus on student learning outcome guidelines and a more comprehensive list of verbs used in writing the assessments. Curriculum committee has four TMC degrees completed. One is pending approval from the Chancellor’s Office and three are pending curriculum committee approval. It is hoped these will be through the approval process during this semester. There are only two more needing to be completed in order to meet the 80% obligation by the end

of the year. A program investigation of Journalism has begun. The public is welcome to attend the meetings which will be held for this matter. Agendas will be posted with times and locations of the meetings.

c. From Faculty Association Keith Law said they have received openers from the District. They are hoping to respond to the District openers at the November Board meeting.

d. From Classified Senate Nothing to report.

e. From CSEA Leonel Villareal thanked Trustee Haden for the kudos to the maintenance staff and he will make sure the staff is aware of his comments. CSEA is continuing to work on getting more staff involved in committees and various activities on campus. In November there will be elections for CSEA officers.

f. From Management Team Stacey Hicks shared that the Management Team Council has worked on a proposal to streamline the evening duty function by bringing all aspects of it under the President’s Office. They have also been working on a staff training/development plan to focus on a variety of leadership and management topics for the entire management team. The next management team meeting is this Thursday. Professor Toni Reintke is providing a social media training.

g. Superintendent’s Report Dr. Taylor said the homecoming events were excellent and well attended and he thanked the Trustees who attended. A management/supervisor summit held at the BRC was well attended and was outstanding with large support by the community. The BRC also hosted a critical conversation with Vice Chancellor Van Ton-Quinlivan from the Chancellor’s Office, community members, and various business representatives regarding how community colleges should be training the workforce. Dr. Taylor has enjoyed attending various athletic events. He brought attention to some upcoming events which are on the list behind the agenda. In the last few days a list of potential classes has been finalized that will be zero capped for enrollment. Waitlists will be developed for those classes. There are 105 classes identified for the spring semester. A press release will be forthcoming as well as information to professors and students. A couple days after the election we should know if Proposition 30 passed and that will drive what is done with this list. If we can open those classes we will do so as soon as possible. Student forums will be held on October 8 to explain this decision.

Dr. Taylor has reviewed a draft list of the cost savings ideas that have been submitted by staff and will review it with the Vice Presidents tomorrow. Another campus forum will be held when some ideas are ready to be rolled out in a few weeks. Dr. Brice Harris has been named the next Chancellor for California Community Colleges. As of mid-September the state’s general fund revenue in tax receipts is trailing slightly from what was projected in the state budget. Dr. Taylor reviewed some of the bills the Governor signed and vetoed. As we get closer to the beginning of the new calendar year attention needs to be turned to Washington, D.C. to monitor decisions being made that will impact higher education.

14. Future Discussion Items from Board Members Trustee Jordan expressed concern over hiring employees in newly created positions and would like the Board to seriously consider ceasing the hiring of new positions. He would like to have a discussion item on the next agenda. Dr. Taylor agreed and will have a report on staffing.

15. Second Closed Session A second closed session was not needed.

Tri County Flooring (contractor) will provide all necessary material, equipment and labor to install new rubber stair treads on all stairs in the Lesher Building, and install rubber tiles on one landing. Contractors quote includes removal and disposal of the existing epoxy adhesive, epoxy nose filler, and labor (10/13/2012-10/14/2012). Cost to District $12,975.00

Contract Agreement between the Yosemite Community College District, Child Development Training Consortium, hereafter called YCCD/CDTC, and MCCD (contractor). MCCD will designate a campus coordinator who will be responsible to prepare and submit all required reports; coordinate all Consortium activities; attend two mandatory YCCD/CDTC sponsored meetings at YCCD/CDTC expense; and inform Child Development/Early Childhood Education department of programs requirements and components specific to the campus Child Development Training Consortium (09/01/2012-06/30/2013). Income to District $23,750.00

Contract Agreement between the San Francisco Community College District, on behalf of its California Early Childhood Mentor Program (Mentor Program) and Merced Community College District (Contractor). The San Francisco CCD will provide such services and resources as coordinating and offering an adult supervision course and seminars for mentors and directors; coordinating and developing mentoring programs; offering honoraria for faculty working with the college mentoring program; providing books and other instructional materials for mentors; and printing and copying mentor materials for the implementation of a MCCD Mentor Program (08/01/2012-07/31/2013). Renewal of Puente Cooperative Agreement No. 12-ccc-Puente-26 between the Regents of the University of California/Puente and Merced Community College District to continue to provide a program for educationally disadvantaged students at Merced College. The District will offer a two semester sequence of courses consisting of Pre-English 1A (or its equivalent) in the fall 2012 and English 1A (or its equivalent) in the spring 2013 for designated Puente students, who qualify using the English class assessment process for the Community Colleges, and as outlined in the Puente Community College Program Implementation Guidelines (07/01/2012-06/30/2013). Cost to District $5,000

Agreement with Monterey County Workforce Investment Board (non-financial) to refer training services for eligible customers to MCCD. Merced Union High School District and Merced Community College District-Workplace Learning Resource Center (WPLRC) /Contract Ed. Agreement for Not-for-Credit Training (Fee Based). Services to be performed by WPLRC include four (4) Customer Service Academy, 4-hour workshops in: Customer Service, Communication in the Workplace, Attitude in the Workplace, and Conflict Resolution (12/13/2012-12/18/2012). Income to District $3,200

Contract for Merced Community College to produce human consumption of yellow corn for Azteca Milling Company (08/31/12-12/31/12). Income to District $32,250

MC 2229 L. Johnson

A 60 month lease agreement for a Konica Minolta bizhub Proc6000 color production print copier needed to replace the existing Proc5500 that is at the end of its five (5) year life cycle. The existing unit has been called in for service over seventy (70) times causing downtime from a few hours to several days. The image quality and color consistency has noticeably declined as the unit has aged. The color printer/copier is the only color production machine in the Print Services department and is relied on for the colleges color print needs. The replacement copier will maintain the color production ability and service to the District, improve output quality, efficiency, and reduce our customers per click charge. The current monthly lease payment is $1,253 per month or $15,036 per year. The negotiated replacement lease agreement for the new color print copier is $1,032 a month or $12,384 per year which provides a cost savings to the District of $2,653 per year (11/01/2012-10/31/2017). Cost to district $12,384 per year.

A contract agreement with California State University Stanislaus. This agreement provides placement of Cal State University clinical graduate nursing students with MCCD (11/01/2012-08/31/2013). No cost to District.

MC2231 M. Tortorici

This agreement is entered into by Merced College (One-Stop Partner) and Department of Workforce Investment (One-Stop Operator) on October 1, 2012 for the benefit of each to provide universal access to employment and training services for the residents of MercedCounty (10/01/2012 - 09/30/13). No Cost to District.

MC2232 M. Tortorici

A California Community Colleges CalWorks Program Plan for 2012-2013. The district has consulted and collaborated with the local County Welfare Department and any other appropriate agencies, in the identification of educational services, including instruction and support services for CalWORKs/TANF recipients. Funds will not be used to supplant existing services (07/01/2012-06/30/2013). No cost to District

MC2233 M. Tortorici

A Memorandum of Understanding with Merced Unified High School District (MUHSD) for a Foods and Nutrition Dietary Service Program. The MUHSD will provide a supervised learning experience of 5-10 hours/week for a 6-12 week rotation and provide a Registered Dietitian or Dietetic Service Supervisor preceptor to supervise the Foods and Nutrition training. Students will comply with any physical examination requirements and adhere to all facility policies and procedures. Students will participate in any meetings and perform all relevant task assigned by the dietary department. MCCD will evaluate and grade students, provide and oversee curriculum materials for students, communicate with students and preceptors regularly to facilitate and support the experience (07/01/2012-06/30/2013). No cost to District.

A Not-for-Credit Training Agreement with the Merced County Regional Waste Management Authority and the Employer-Focused Training Center and Workplace Learning Resource Center. The District will provide two (2) Customer Service Academy, 4-hour workshops in: Customer Service and Attitude in the Workplace (01/22/2013-01/22/2013). Income to District $1,600.00

An Economic and Workforce Development Responsive Training Fund Grant (RFT) Agreement with the BOG, California Community Colleges Chancellors Office and Merced College Workplace Learning Resource Center to provide 25 trainings for a total of 843 hours for 200 incumbent workers for the Now Is The Time ("Time" ) Project. The goals of the " TIME" project is to: Meet employer demand for a skilled and prepared workforce; provide diverse career pathways for incumbent workers; and leverage resources to maximize project impact and value. Merced College's proposed Responsive Training Fund "TIME" project in the Manufacturing Industry meets all of the Chancellor's Office Economic and Workforce Development objectives to achieve the above goals. Merced College's Workplace Learning Resource Center (WpLRC or "the Center") will administer the Now Is The TIME Project, in collaboration with at least 10 manufacturing employers within the San Joaquin Valley region (11/15/12-01/31/14). BOARD RESOLUTION 13-34

MERCED COMMUNITY COLLEGE DISTRICT

November 20, 2012

WHEREAS, California Government Code Section 53224 authorizes school districts to make contributions to retirement plans; and

WHEREAS, the MERCED COMMUNITY COLLEGE DISTRICT desires to provide retirement benefits to its employees under such a plan; and

THEREFORE, IT IS RESOLVED that the Board of Trustees of MERCED COMMUNITY COLLEGE DISTRICT hereby establishes a retirement plan for certain eligible employees of the District effective July 1, 2013.

RESOLVED FURTHER that the eligibility requirements for employees to participate in such plan shall be as follows: • Employee must be a permanent employee of the District • Employee must be currently employed by the District • Employee must be 55 years of age or older • Employee must have at least 5 years of service with the District by July 1, 2013 • Employee must retire from the District by June 30, 2013 • The Plan must be cost effective based on a final analysis in order to move forward

RESOLVED FURTHER that the Board hereby adopts that certain plan known as the MERCED COMMUNITY COLLEGE DISTRICT Supplemental Employee Retirement Plan, effective July 1, 2013.

RESOLVED FURTHER that the benefit under such Plan shall be based on a contribution of 65% of salary into an annuity.

RESOLVED FURTHER that the MERCED COLLEGE shall make all contributions to the Plan to fund said benefits.

RESOLVED FURTHER that, for purposes of the limitations on contributions and benefits under the Plan, as prescribed by section 415 of the Internal Revenue Code of 1986, as amended, the “limitation year” shall be the Plan Year, as defined under the terms and provisions of the Plan.

RESOLVED FURTHER that, for purposes of clarification of administration of the Plan but not for purposes of making said Plan subject to title I of ERISA (Employee Retirement Income Security Act), the Board hereby designates the District as the plan administrator. RESOLVED FURTHER that the Board hereby appoints the following individuals to comprise the Plan Committee: Christina Torres-Peters Joseph Allison Director of Human Resources Director of Fiscal Services RESOLVED FURTHER that the Board hereby authorizes any member of the Plan Committee to execute on behalf of the District the Form 2848, Power of Attorney and Declaration of Representative.

Item: Appropriations Limit for Fiscal Year 2012-13 Presented By: Ronald C. Taylor For: Information Action X Background Information Under Article XIII-B of the Constitution and Chapter 1205, Statutes of 1980, all community college districts are required to compute an annual appropriations limit. That appropriations limit is adjusted annually for changes in price index, population, and other factors (if applicable). Government Code Section 7908 (c) requires each community college district to report to the Chancellor of the California Community Colleges at least annually its appropriations limit, appropriations subject to limit, the amount of State aid and subventions, local property taxes, interest earned from the proceeds of taxes, and amounts excluded from the appropriations subject to limit. The “GANN” Appropriations Limit for the Merced Community College District is calculated to be $55,015,065. The appropriation subject to the limit contained in the Final Budget is $42,921,086. Recommendation/Requested Action It is recommended that the Board of Trustees pass the attached resolution adopting the appropriations limit for the 2012-13 fiscal year. APPROPRIATIONS LIMIT FOR FISCAL YEAR 2012-13

WHEREAS, on November 6, 1979, the people of California passed Proposition 4, a constitutional amendment Article XIII-B requiring an appropriations limit for state and local government units; and WHEREAS, Senate Bill 1352, Chapter 1205 of 1980, implements Proposition 4, and requires the Board of Trustees to establish by resolution an appropriations limit each fiscal year beginning with 1981-82; and WHEREAS, the Board of Trustees has directed that the appropriations limit for fiscal year 2012-13 be developed in accordance with the provisions of Government Code Sections 7900-7913 implementing Article XIII-B of the California Constitution; and WHEREAS, the documentation used in determining the appropriations limit for fiscal year 2012-13 has been made available to the public in the Office of Business Services for fifteen days prior to the adoption of this resolution. NOW, THEREFORE, BE IT RESOLVED, that the Board of Trustees does hereby establish the fiscal year 2012-13 appropriations limit as $55,015,065. Presented by: Ronald C.Taylor_____________________ For: Information Action X Background Information On October 2, 2012, the Board of Trustees passed Resolution 13-19 declaring the District’s property located at 5222-5267 Oak Road, Midpines, California to be surplus property. The Board of Trustees further authorized the offer of the property for sale to public entities and for public sale pursuant to the surplus property provisions set forth in Education Code Section 81360 et seq. (“Project”). Prior to commencement of the Project, the District must comply with the California Environmental Quality Act (“CEQA”). WHEREAS, the Merced Community College District (“District”) owns approximately

153.36 acres of certain excess real property located at 5222-5267 Oak Road, Midpines, California 95345;

WHEREAS, on October 2, 2012, the District adopted and approved a resolution declaring the Property surplus property and authorizing the offer of the Property for sale to public entities and for public sale pursuant to the surplus property provisions set forth in Education Code Section 81360 et seq. At that meeting, the Board fixed October 2, 2012, for a public hearing upon the question of making the dedication of the Easement to CVIN. The District posted copies of the Resolution in three public places in the District not less than ten (10) days before the Public Hearing and published notice once, not less than five days before the Public Hearing, in a local newspaper. At the October 2, 2012 meeting, the District held a Public Hearing upon the question of making the dedication of the Easement to CVIN. The Easement is part of the Central Valley next-Generation Broadband Infrastructure Project (CVIN), in which an easement is requested to provide the District with diverse and direct fiber connectivity to the California Research and Education Network (CalREN), a high-bandwidth, high-capacity internet network specially designed to meet the unique requirements of the State’s educational institutions. OF THE BOARD OF TRUSTEES OF MERCED COMMUNITY COLLEGE DISTRICT AUTHORIZING THE DEDICATION OF

AN EASEMENT TO CVIN, LLC

WHEREAS, CVIN, LLC (“CVIN”) has requested that the Merced Community College District (“District”) dedicate an easement to CVIN upon a portion of the District’s Merced Campus (“Easement”). A legal description and a map depicting the location of the Easement are attached hereto as Exhibit “A” and incorporated herein;

WHEREAS, pursuant to Education Code section 81310, the governing board of a community college district may convey, for the purposes of the intended Easement, to a public corporation or private corporation any interest in real property belonging to such community college district upon such terms and conditions as the parties thereto may agree;

WHEREAS, the District desires to provide an Easement to CVIN for construction, use, maintenance, operation, alteration, addition to, repair, replacement, reconstruction, inspection and removal of underground telecommunication systems and necessary fixtures and appurtenances thereto pursuant to the terms and conditions set forth in the Grant of Easement attached hereto as Exhibit “B” and incorporated herein;

WHEREAS, pursuant to Education Code section 81311, on September 4, 2012, the District’s governing board (“Board”), in a regular open meeting, by a two-thirds vote of all its members adopted Resolution No. 13-14 (the “Resolution”) declaring its intention to dedicate the Easement;

Engineering Details and Drawing

As depicted on the attached engineering drawing for the CVIN Backbone will traverse through the Merced Community College District (MCCD) campus at 3600 M Street, Merced, CA. • As shown on the attached first drawing the CVIN Backbone fiber path enters the MCCD

property from the west at the corner M Street and University Drive. It runs east on University Drive on the MCCD property and leaves the property at the corner of University Drive and G Street where it turns north

• As shown on the first drawing a CVIN Equipment Cabinet is located on the north side of

University Drive near an existing Electrical Transformer beside the parking lot just west of Community College Drive East.

• As depicted on the second drawing the Equipment Cabinet is on a 13’ X16’ slab. • The CVIN Backbone path traversing through MCCD involves new construction from M

Street to an existing MCCD manhole on University Drive. CVIN will use the existing conduit from that manhole to another manhole at the east end of University Drive. From there, CVIN will construct and install new conduit off the campus across G Street.

• CVIN will install (1) 1.25” conduit and (1) 4-way future path with 72-count fiber in the new

construction from M Street to the existing MCCD vault. CVIN will install (1) 1.25” conduit and (1) 4-way future path with 72-count fiber in the existing MCCD 4” conduit from that vault along University Drive to a second existing MCCD vault. CVIN will install (1) 1.25” conduit and (1) 4-way future path with 72-count fiber in the new construction from this second MCCD vault on University Drive to G Street.

As depicted on the first engineering drawing, two diverse Site Connections on the campus will connect the MCCD facility to the CVIN Backbone. • As depicted, Site Connection #1 is to be located in Information Technology, SEC Building,

on the south side of University Drive. CVIN will install a 4” conduit from an existing MCCD manhole into a tunnel under Parking Lot M into SEC and the Information Technology MPOE. CVIN will install a 6-count fiber in a 10/12mm microduct.

• Site Connection #2 is to be located in Building B of the Interdisciplinary Academic Center.

As shown, CVIN will install a 6-count fiber in a 10/12mm microduct in an existing MCCD conduit from a manhole on the CVIN Backbone into the computing facility in Building B.

• These two Site Connections Fiber Optics Paths will be used by the Merced Community

College District to provide diverse connectivity between the campus and CENIC’s statewide CalREN advanced service network infrastructure over the CVIN Backbone unless otherwise requested by the site and the Community College Chancellor's office. PROVIDED, this Agreement and Grant of Easement is subject to the following terms and conditions:

1. This Grant of Easement includes permission by Grantor for the temporary use by GRANTEE of such area as is reasonably necessary for the construction, installation and on-going maintenance of Grantee’s system. Grantee shall coordinate with the Grantor to plan the construction and installation of Grantee’s system through the Easement in such manner as to maintain uninterrupted and undisturbed the Grantor and its staff and students’ use and enjoyment of the Merced campus for ongoing educational purposes. Such coordination shall include, without limitation, planning and reaching agreement, which shall not unreasonably be withheld, for scheduling and allotment of areas for equipment storage and laydown, and mitigation of noise, dust and other disruptive consequences of construction and installation. 2. The Grantor shall be provided by Grantee and shall have the beneficial use and enjoyment of the following, in consideration of this Grant of Easement:

Grantee shall provide at its sole expense and liability two diverse direct fiber connections between Grantor, at its Merced campus, and the CVNGBIP backbone running through the Easement.

3. Grantee shall be solely liable for any and all legal requirements, including, without limitation, payment of wages, apprenticeships, hours of work, records of wages paid, the California Environmental Quality Act, and all other requirements imposed by applicable law, related to or arising from any of the work to be performed on or in relation to the Easement. Grantee shall defend and indemnify Grantor against any and all claims, demands and actions actually or allegedly arising from or related to such legal requirements. 4. This Grant of Easement shall expire NINETY NINE (99) years from the date of recordation hereof. 5. This Grant of Easement is subject to existing contracts, leases, licenses, easements, encumbrances, and claims which may affect said real property and the use of the word “Grant” herein shall not be construed as a covenant against the existence of any thereof. If at the time of installation of Grantee’s facilities or thereafter there is a conflict with existing rights, then both parties hereto will cooperate in determining a new location for Grantee’s facilities. 6. It is understood and agreed that this Grant of Easement shall not be construed as a conveyance of a fee interest in Grantor’s property or of the minerals therein and thereunder, but grants only the limited easement as provided above. 7. The easement granted herein is on an “AS-IS” basis and Grantor makes no representation or warranty of any kind regarding the condition of the Grantor’s property or the easement area. Grantor retains for its successors and assigns all rights and uses that do not unreasonably interfere with the use of the rights granted herein to Grantee. 8. Grantee agrees that any improvements or other property installed under the authority of this easement shall be well and safely maintained by Grantee at all times while this Grant of Easement is operative. Grantee will maintain a “Call-Before-You-Dig” program, and register, and at all times throughout the term of this Agreement, maintain such registration as an underground utility operator with the Regional Notification Center governing the Merced campus, for all required and related cable locations on Grantor’s land. Where appropriate, Grantee will maintain sign posts along the Grantee transmission system right-of-way with the number of the local “Call-Before-You-Dig” organization and the “800” number for Grantee. Unless Grantee fails to respond to notice by the

Grantor or by the local “Call-Before-You-Dig” program, any damage caused by the Grantor, its contractors or related parties shall be repaired or replaced by Grantee as necessary at Grantor’s expense. Only in the event that Grantor, its employees, contractors or agents, fail to comply with the requirements of Government Code 4216, et seq., as may be amended from time to time, regarding procedures for notifying specified authorities of plans for excavation in or about the Easement, any damage caused by the Grantor, its contractors or related parties shall be repaired or replaced by Grantee as necessary at Grantor’s expense and Grantor shall be responsible for any consequential damages related to the damage. 9. Except for emergencies and any unscheduled breakdown of service connection, Grantee shall provide to Grantor reasonable and adequate advance written notice of its entering the easement, and coordinate with Grantor all authorized activity in the easement in a manner reasonably agreeable to Grantor, and adequate to maintain uninterrupted and undisturbed the Grantor and its staff and students’ use and enjoyment of the Merced campus for ongoing educational purposes. 10. Grantee waives all claims against Grantor, its officers, agents, and employees, for loss or damage caused by, arising out of, or in any way connected with the exercise of this easement except as otherwise provided in this Agreement. Grantee agrees to save harmless, indemnify, and defend Grantor, its officers, agents, and employees, from any and all loss, damage or liability which may be suffered or incurred by Grantor, its officers, agents, and employees caused by, arising out of, or in any way connected with any exercise by Grantee of the rights hereby granted, except such loss, damage or liability arising out of the negligence or willful misconduct of Grantor. 11. Grantor reserves the right to use said real property in any manner, provided such use does not unreasonably interfere with Grantee’s rights hereunder. Grantor, Grantor's successors, heirs and assigns, may use the surface of the real property within the boundaries of the Easement for access and right of way so long as there is no substantial interference with Grantee's use. 12. Grantor specifically agrees that no trees shall be planted thereon and no buildings or other structures of any kind will be placed, constructed, or maintained over the real property described herein, except as otherwise provided herein. Any work by Grantor, or anyone working through or under Grantor, affecting the surface or subsurface of the ground subject to this easement, shall be performed only after giving written notice to Grantee setting forth the proposed changes in detail. Except in case of emergencies, such notice is to be given to the Grantee at least thirty (30) calendar days prior to commencement of such work and is subject to approval by Grantee. 13. Grantor reserves the right to require Grantee, at Grantor’s expense, to remove and relocate all improvements placed by Grantee upon said real property, upon determination by Grantor that the same interfere with future development of Grantor’s property. Within 180 days after Grantor’s written notice and demand for removal and relocation of the improvements and upon receipt of the estimated costs to remove and relocate Grantee’s improvements, Grantee shall remove and relocate the improvements to a feasible location on Grantor’s property, as designated by Grantor, and Grantor shall furnish Grantee with an easement in such new location, on substantially the same terms and conditions as herein stated, all without cost to Grantee, and Grantee thereupon, and in consideration of the new easement, agrees to the termination and extinction of the easement herein granted. installation along a new easement in such manner as to maintain uninterrupted and undisturbed the Grantor and its staff and students’ use and enjoyment of the Merced campus for ongoing educational purposes. 14. In making any excavation on said property of Grantor, Grantee shall make the same in such manner as will cause the least injury to the surface of the ground around such excavation, and shall replace the earth so removed by it and restore the surface of the ground and any improvement thereon to as near the same condition as they were prior to such excavation as is practicable. Grantee shall be strictly liable to Grantor for any damage to improvements to Grantor’s real property resulting from any work, including, without limitation, subsurface work and required lateral support, performed by or on behalf of Grantee, successors or assigns. 15. Grantee will provide as-built drawings to Grantor at the completion of construction and prior to putting Grantee’s transmission system into service. 16. Grantee shall have reasonable access, at its own expense, to all utilities as may be required to operate Grantee’s facilities, as specified in Exhibit “B”. Except as provided herein, Grantor shall not bear any expense in the installation, maintenance or operation of Grantee’s facilities. 17. This Agreement shall apply to and bind the assigns and successors of the parties hereto. Further, pursuant to the Broadband Technology Opportunities Program ("BTOP") under the National Telecommunications and Information Administration, U.S. Department of Commerce ("NTIA"), the parties hereto agree that the NTIA hereby has the right of assignment of this Agreement and Grant of Easement to the NTIA if Grantee fails to act in accordance with the NTIA BTOP award. 18. This Agreement shall be of no force or effect until duly approved by the Board of Trustees of the Merced Community College District, and the subsequent recordation hereof with the Merced County Recorder.

ADMINISTRATIVE PROCEDURE 4240 – Academic Renewal Reference: Title 5, Section 55764 and 55765 55044 and 55046 Students may petition to have their academic record reviewed for academic renewal of substandard academic performance under the following conditions:

• Students must have achieved a cumulative grade point average of 2.00 in all courses included in their GPA calculation since the term in which the substandard grade(s) to be removed was/were earned. The courses used in this GPA calculation must be from an accredited institution and total at least 12 units; and

• At least one regular semester must have elapsed from the time the course work

to be removed was completed. Up to 12 units of course work may be eliminated from consideration in the cumulative grade point average. Procedures for petitioning for Academic Renewal are outlined in the Merced College Catalog. The Dean of Student Services or Academic Exceptions Committee designee must approve the Academic Renewal Petition. Academic renewal actions are irreversible. When academic renewal procedures permit previously recorded substandard coursework to be disregarded in the computation of a student’s grade point average, the student’s permanent academic record should contain an accurate record of all coursework to ensure a complete academic history. Academic renewal procedures may not conflict with the District’s obligation to retain and destroy records or with the instructor’s ability to determine a student’s final grade. Adopted 11/2/04

Item: Faculty Assessment of Administration Survey Results Summary Presented by: Marie Bruley x For Information For Action Background Information The Merced College Academic Senate is presenting a summary of the results of the Faculty Assessment of Administration Survey that was conducted in the spring 2012 semester. The senate has determined by way of resolution that the FAAS will be administered yearly in the spring to provide administration with information on faculty perceptions in three areas: (I) Faculty member’s individual professional concerns (Q1-Q8), (II) General faculty concerns (Q9-Q12), and (III) Concerns with general administrative services (Q13-Q24). The results of the survey will be shared with the Board of Trustees, administrators (President and Vice Presidents), deans/managers, and the faculty of the College in the fall semester following the administration of the survey. The survey included an evaluation tool that will be used by the FAAS Committee to make adjustments to the survey as needed. The FAAS is meant to foster dialogue between the senate and administration to improve communication and the working environment of the College.

Summary: The perception appears to exist that administrators and managers are not as committed to shared governance and communication with faculty as deans/managers. There is a negative perception of the transparency of hiring processes for administrators and managers. There were positive responses regarding access to adequate teaching resources and in the support for various teaching philosophies and learning modalities.
