The Company owns and operates the Walt Disney World Resort in Florida, the Disneyland Resort in Califor-nia, the Disney Vacation Club, the Disney Cruise Line, and Adventures by Disney. The Company manages and has effective ownership interests of 51% and 47%, respectively, in Disneyland Paris and Hong Kong Disneyland Resort. The Company also licenses the operations of the Tokyo Disney Resort in Japan. The Company’s Walt Disney Imagineering unit designs and develops new theme park concepts and attractions as well as resort properties.

Disney Vacation Club has approximately 150,000 member families.

Disney Cruise Line will launch its newest ship, the Disney Dream, in 2011 followed by the DisneyFantasy in 2012. Each will have tonnage of 128,000 and feature 1,250 staterooms, which will more than double the passenger capacity of Disney Cruise Line.

Hong Kong Disneyland Resort will grow by about 23% with the addition of three new themed areas: Toy Story Land, Grizzly Gulch and Mystic Point. The expansion is expected to be completed in 2014.

Disneyland Paris welcomes more visitors annually than the Eiffel Tower and the Louvre combined.

World of Color, opening in 2010 at Disney’s California Adventure, will feature more than 1,200 fountains that will create the world’s largest projected water screen. The powerful fountains will range as high as 200 feet.

About 4 million people registered online for the “Free on Your Birthday” offer at Disney’s domestic parks in 2009.

Disney is nearly doubling the size of Fantasyland at Walt Disney World Resort’s Magic Kingdom, to in-clude new fairy-tale worlds where children and adults can meet and play with their favorite Disneyprincesses. It is the largest expansion in the history of the Magic Kingdom.

As of October 3, 2009, the Company owned and operated 17 resort hotels at the Walt Disney World Resort, with a total of approximately 22,000 rooms and 468,000 square feet of conference meeting space.

In 2011, Walt Disney Parks and Resorts is scheduled to open Aulani, a Disney Resort & Spa, Ko Olina, Hawai’i,ontheIslandofOahu.AulaniisDisney’sfirstfamily resort outside of its theme park destinations that will feature both hotel rooms and villas for Disney Vacation Club members.

The Media Networks segment encompasses an array of broadcast, cable, radio, and publishing businesses. Key areas include: Disney/ABC Television Group, ESPN Inc., ABC Owned Television Stations Group, and a support-ing headquarters group. Marketing, research, sales and communications functions also exist within the segment.

The Disney/ABC Television Group is home to all of The Walt Disney Company’s worldwide entertainment and news television properties. The Group includes the ABC Television Network (including ABC Daytime, ABC Entertainment Group and ABC News divisions); the Disney Channels Worldwide global kids’ TV business, ABC Family and SOAPnet; as well as television distribution divisions Disney/ABC Domestic Television and Disney/ABC/ESPN Television. The Disney/ABC Television Group also manages the Radio Disney Network, general interestandnon-fictionbookimprintHyperion,aswelltheCompany’sequityinterestinAETN/Lifetime.

ESPN is a global multimedia sports entertainment company that operates six television sports networks: ESPN, ESPN2, ESPN Classic, ESPNEWS, ESPN Deportes (a Spanish language network) and ESPNU (a network devotedtocollegesports).ESPNalsooperatesfourhigh-definitiontelevisionsimulcastservices,ESPNHD,ESPN2 HD, ESPNEWS HD, and ESPNU HD. The Disney Interactive Media Group (DIMG) creates and delivers interactive media experiences to entertain and inform kids and families around the world. DIMG delivers Disney content to fans whenever and wherever they want it through numerous interactive media platforms.

DIMG operates two global content-creation businesses: Disney Interactive Studios and Disney Online. Dis-ney Interactive Studios produces console and handheld video games for the Nintendo Wii™, Nintendo DS™, PlayStation®Portable, and Xbox 360® video game and entertainment systems, as well as the PLAYSTATION®3 computer entertainment system and the personal computer. Disney Interactive Studios also licenses proper-ties for games to third-party publishers. Disney Online produces leading lifestyle and parenting Web sites, online virtual worlds for global audiences, and entertainment content for the Web. Disney Interactive Studios and Disney Online work together to create a variety of connected, multi-platform entertainment experiences.

DIMG also creates and delivers unique mobile content and manages a Disney-branded mobile phone service in Japan in association with Softbank.
