Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing

Regulations”): Appointment of Key Managerial Personnel

Appointment of Mr. Rampraveen Swaminathan as Chief Executive Officer and Key Managerial

Personnel of the Company w.e.f. 1st October 2019:

Pursuant to Regulation 30(6) read with Schedule III of the Listing Regulations, we hereby inform you

that the Board of Directors of the Company, at their Meeting held today i.e. Wednesday, 10th July 2019,

basis the recommendation and approval of the Nomination and Remuneration Committee, has approved

the appointment of Mr. Rampraveen Swaminathan as Chief Executive Officer (“CEO”) and Key Managerial

Personnel (“KMP”) of the Company with effect from 1st October 2019 , in terms of the provisions of Section

2(51) and Section 203 of the Companies Act, 2013. In order to ensure a smooth transition, he will join as

‘CEO Designate’ w.e.f. 18 July 2019 and assume the position of CEO effective 1st October 2019 and will

succeed the existing CEO, Mr. Pirojshaw Sarkari (Phil).

Mr. Pirojshaw Sarkari would thereon be taking up significant leadership role within the Mahindra Group

as part of its leadership rotation and talent development process. The Board places on record its sincere

appreciation for his outstanding contribution and leadership over the last decade in growing Mahindra

Logistics into a position of Industry leadership.

Other details with respect to the above change in KMP as required under Regulation 30(6) read with

Schedule III Part A Para A(7) of the Listing Regulations and SEBI Circular CIR/CFD/CMD/4/2015 dated

9 September 2015 are attached as Annexure A to this letter.

Mr. Rampraveen Swaminathan has two decades of relevant Industry experience spanning Automotive, Paper and energy sectors. He has a strong track record of leading businesses including as CEO and MD of International Paper APPM, a publicly listed Company. He has done his MBA in Finance and Strategy, TA Pai Management Institute, India and holds a bachelor’s degree in accounting, from the University of Bangalore. His other stints include positions with the Tata group, Cummins and Schneider.

Mr. Rampraveen Swaminathan to succeed Mr. Pirojshaw Sarkari (Phil) as CEO of Mahindra

Logistics Ltd (MLL) effective October 1st 2019

Mumbai, July 10, 2019: Mahindra Logistics Ltd. (MLL), one of India’s largest 3PL solutions providers,

announced today that its Board of Directors has appointed Mr. Rampraveen Swaminathan as its next

Chief Executive Officer effective October 1st 2019.

The appointment comes at the end of a detailed search undertaken by the Board as a part of the succession planning process. The current CEO, Mr. Pirojshaw Sarkari (Phil), will then be moving to another significant role within the Mahindra group. Mr. Rampraveen Swaminathan will join MLL as CEO-Designate and will work closely with Mr. Sarkari to ensure a smooth transition. Mr. Swaminathan will take over as CEO from October 1st 2019.

Commenting on the appointment of Mr. Swaminathan, Mr. Zhooben Bhiwandiwala, Chairman of the Board said, “We are delighted to welcome Mr. Swaminathan as the next CEO of MLL.
