Legal Specialists, a division of The Specialists Group, LLC shall haveearned a placement fee payable by Client for each person referred byLegal Specialists and hired by Client within one (1) year of the date ofreferral who satisfies the applicable trial period set forth in this brochure.

Legal Specialists shall have earned a placement fee payable by Clienteven where the person referred by Legal Specialists to Client issubsequently referred by Client to, and hired within one (1) year of thedate of referral by, an associated or subsidiary company or a mereacquaintance of Client, and said person satisfies the applicable trialperiod set forth in this brochure.

A placement fee earned by Legal Specialists shall not be adverselyaffected even if:

A) the person referred by Legal Specialists is hired for a positionother than the position for which said person was originally referredby Legal Specialists;

B) the person referred by Legal Specialists is subsequently referredby another service and Client hires said person, regardless of theposition for which hired;

C) the Client advertises the position and the person referred byLegal Specialists subsequently responds to the advertisement andis hired by Client for that or another position;

D) subsequent to receiving the referral from Legal Specialists, theClient discovers an application or resume in the Client's files forthe person referred by Legal Specialists;

E) at any time within one (1) year of the date of referral, the personreferred by Legal Specialists contacts Client and expresses acontinuing interest; and/or

F) Legal Specialists is not the direct cause of Client hiring theperson referred by Legal Specialists.

The amount of the placement fee earned by Legal Specialists, for whicha trial period is applicable, shall be calculated pursuant to the fee scheduleset forth in this brochure, and shall be due and payable no later than thefinal day of the applicable trial period.

For each Legal Specialists temporary employee directly hired by Client,Legal Specialists shall have earned a placement fee immediately due andpayable by Client, and there shall be no trial period. The amount of theplacement fee earned by Legal Specialists shall be calculated pursuantto the fee schedule set forth in this brochure, and shall be due and payableon the date the temporary employee is hired.

If Client fails to immediately pay amounts due and Legal Specialists retainsan attorney to assist collecting amounts due, Client shall pay LegalSpecialists a reasonable attorney's fee for services associated withcollecting amounts due and Client shall reimburse expenses incurred byLegal Specialists in collecting amounts due.

On all amounts past due and owing, Client shall pay interest at the rateof 11/2% per month.

Should Legal Specialists and Client agree to change or modify anyterm or condition specified in this brochure, the remaining terms andconditions shall continue to govern their rights and responsibilities.

For each person on whom Legal Specialists has earned a placement fee,for a period of one year from the date said person is hired, Legal Specialistsshall not recruit said person; provided, however, that at the time said feebecame due and payable, Client shall have immediately paid said fee.

Client's receipt of any referral from Legal Specialists, whether by telephone,hand-delivery, mail, fax, e-mail or otherwise, shall constitute Client'sacceptance of the terms and conditions in this brochure, and these termsand conditions shall be applicable for all referrals.

Assessment Testing for administrative and

clerical positions is an important part of the

selection process. Legal Specialists uses Qwiz

software, among other tests, to evaluate skills. As

part of our usual screening, we can provide

application software, typing, ten-key, accounting,

spelling, and grammar tests for candidates we refer,

at no charge. If you would like to test individuals

from your own recruiting efforts, this service is

available at a minimal cost.

Our Temporary Division is widely recognized as

efficient and timely in response to the needs of our

clients. We furnish temporary employees on our

payroll for short or long-term assignments at

competitive billing rates.
