Karla Engliše329/4, Praha 5-Smfchov, hereinafter referred to as "theDonátor", represented by Ing Michaela Škoda Luftová.on the oné part, and Fakultní nemocnice Ostrava.hereinafter referred to as "the Donation Recipient"represented by Ing. Petra Lampartová , acting by virtueof, on the other part, hereinafterjointly referred to as "theParties", háve entered into this Agreement (hereinafterreferred to as "the Agreement") as follows:

l. The Donátor transfers by a way of a grant tothe Donation Recipient a donation in theform offunds in the amount of Kč 160 000,-, (hereinafter referred to as "the Donation")to carry out the statutory activity ofDonationRecipient, námely, to use them for theparticipatjon to the ESC 2017, 26. - 30. 8.2017, Barcelona, Spain. Donation Recipientundeňakes to accept the funds and to spendthem in accordance with the purposesspecified in this clause ofthe Agreement.

2. The Donátor shall transfer the funds of theDonation to the Donation Recipient toimplement the purposes specified in CIause lhereofas they correspond to the objectives ofincorporation and the statutory goals ofDonation Recipient, námely: for thepanicipation to the ESC 2017, 26. - 30. 8.2017, Barcelona, Spain.

3. The Donation shall be transferred to theaccount specified herein by the DonationRecipient until thirty business days fromsigning hereof.

4. The Donation Recipient shall use thereceived Donation only for the purposesdefined in CIause l hereof, including thepossibility to use a part ofthe Donation (butnot more than 10% ofthe Donation amount)to pay the Donation Recipienťs generáladministrativě expenses directly related tothe activity for which the Donation is

Karla Engliše329/4, Praha 5-Smichov, dále jen "Dárce", zastoupenýIng Michaelou Škoda Luftovou, na straně jedné, aFakultní nomocnice Ostrava, dále jen "Příjemce daru",zastoupený Ing. Petrou Lampartovou, jednající nazákladě, na straně druhé, společně dále jen "Strany",uzavřely tuto Smlouvu (dále jen "Smlouva"):

Dárce převádí Příjemci formou grantu dar vevýši Ke 160 000, -, (dále jen "Dar") zaúčelem provozování zákonných aktivitPříjemce daru, konkrétně za účelem účastina ESC 2017, 26. - 30. 8. 2017 v Barceloně,Španělsko. Příjemce daru se zavazujeprostředky přijmout a vynaložit je v souladus účely specifikovanými v tomto BlankuSmlouvy.

2. Dárce převede prostředky představující DarPříjemci daru za účelem realizace účeluuvedených ve či. I, které odpovídajípředmětu činnosti a předmětu činnostiPříjemce daru, konkrétně: účelem účasti naESC 2017, 26. - 30. 8. 2017 v Barceloně,Španělsko.

3. Dar bude převeden na účel zde uvedenýPříjemcem daru ve lhůtě 30-ti pracovníchdnů od data podpisu této Smlouvy.

4. Příjemce daru využije obdržený Darvýhradně k účelům definovaným v či. I tétoSmlouvy, včetně možnosti využit pouze částDaru (avšak maximálně 10 % částky Daru) kúhradě všeobecných administrativníchnákladů Příjemce daru, které se přímovztahují k aktivitě, pro kterou se daruposkytuje.

5. Využití Daru nebo jeho části v rozporu svýše uvedeným účelem (článek l a článek 4

_této Smlouvy) dává Dárci právo ukončit

5. The use ofthe Donation oř a part thereofoutof accordance with the aforementionedpurposes (Clause l and Clause 4 hereof)shall give the right to the Donátor toterminále the Agreement. In case of the

tenninatíon ofthe Agreement by this reason,the Donation Recipient shall retům to theDonátor the unused funds and acquiredpropeny ušed contrary to the intendedpurpose.

6. The Donation Recipient undertakes toprovide the Report On Use of the Funds.provided by the Donátor upon termination ofuse ofthe funds for the purposes specified inClause I hereof. The report shall be providedon oř before 30 days.

7. Within 3 years from the Donation granting,the Donátor shall be entitled to request fromthe Donation Recipient the primaryaccounting documents confirming the use ofthe funds, and the Donation Recipientundertakes to provide duly certified copies ofsuch documents within twenty (20) businessdays from receipt of the request from theDonátor. The failure to provide the requesteddocuments may be considered as a violationof the purposive character of the use of theftinds followed by application of the termsand conditions ofClause 4 hereof.

S. Both the Donation Recipient and the Donátorshall be entitled to refuse the Donation in anytime prior to its transfer. In this case, theAgreement shall be deemed to be terminated.

9. This Agreement enters into force from itssigning and is valid until the Parties performtheir assumed obligations.

10. ln all other aspects not specified hereby, theParties shall be guided by the laws in force ofCzech republic.

Příjemce daru se zavazuje předložit Zprávu ovyužiti prostředků poskytnutých Dárcem, ato po skončení využívání prostředků kúčelům specifikovaným ve či. l tétoSmlouvy. Zpráva musí být předloženanejpozději do 30ti dnů.

Dárce je oprávněn si do 3 let od poskytnutíDaru od Příjemce daru vyžádat účetnípodklady dokládající využití prostředků,přičemž Příjemce daru se zavazujeposkytnout řádně ověřené kopie předmětnýchdokladů do dvaceti (20) pracovních dnů odobdržení žádosti Dárce. Neposkytnutívyžádaných dokumentů může být pokládánoza porušeni účelu využití prostředků dlepodmínek či. 4 této Smlouvy.

8. Příjemce daru i Dárce je oprávněn Darodmítnout kdykoli před jeho převodem. Vtakovém případě se platnost této Smlouvy máza ukončenou.

9. Tato Smlouva nabývá účinnosti okamžikempodpisu a platí až do splnění závazkůpřevzatých Stranami.

10. Strany se ve všech ostatních záležitostechzde neupravených řídí všeobecně platnýmiprávními předpisy České republiky.

11. Veškeré spory a neshody, jaké připadnevyvstanou mezi Stranami s ohledem na

záležitosti neupravené zněním této Smlouvy,budou vyřešeny vyjednáváním v souladu svšeobecně platnými právními předpisy. Vpřípadě, že sporné otázky nebudou vyřešenytakovým jednáním, spor bude předložensoudu v k rozhodnutí.

15. The Donation Recipient shall not make anyactions which will directly oř indirectlyconstitute the ground of a violation of the

Boston Scientific Code of Conduct by anyemployee of Boston Scientific Group ofCompanies oř the ground of a violation ofany applicable laws on fraud, corruption,extortion, money laundering, terrorism anycompany of Boston Scientific Group ofCompanies.

16. The Parties will not directly oř indirectly payoř premise to pay, oř authorize any payment,oř transfer, premise to transfer oř to authorize

the transfer of anything of value to anyindividua! oř legal entity including a statěoffícer, a health care worker oř a personaffiliated with a health care institution inorder to maintain oř to obtain business oř to

provide unjustified advantages to anycompanies of Boston Scientific Group ofCompanies. The Parties also confirm thatthey will not directly oř indirectly receive ořinítiate the receipt of anything of value fromany individual oř legal entity in order toenable the receipt ofan unjustified advantage

13. Jakékoli změny a doplnění této Smlouvyplatí pouze v případe, že mají písemnouformu a jsou podepsána řádně oprávněnýmizástupci Stran.

14. Tato Smlouva se vyhotovuje ve dvoustejnopisech o stejné právní účinnosti, kdykaždé Straně je určenjeden stejnopis.

15. Příjemce daru nebude činit žádné úkony,které by přímo nebo nepřímo vedly kporušeni Etického řádu Skupiny BostonScientific, případné porušeni jakéhokolipříslušného právního předpisu upravujícíhopodvod, korupci, vydíráni, praní špinavýchpeněz nebo terorismus ze strany kterékolispolečnosti v rámci Skupiny BostonScientifíc.

16. Strany přímo ani nepřímo neuhradí aninepňslibí uhradit, ani neschválí, žádnouplatbu ani převod, nepřislíbí převod anineschválí převod, žádné hodnoty žádné<yzické ani právnické osobě, včetně státníhoúředníka, zdravotníka nebo osoby spojené sezdravotnickým zařízením, aby si takzachovaly nebo získaly možnost obchodovats kterýmikoli společnostmi v rámci SkupinyBoston Scientific, ani neposkytnou žádnéneoprávněné výhody žádným společnostem vrámci Skupiny Boston Scientific. Strany dálepotvrzuji, že přímo ani nepřfmo nepřijmoužádnou hodnotu, ani nebudou iniciovat

získání žádné hodnoty žádné fyzické aniprávnické osoby, za účelem získáni

neoprávněné výhody žádnou Stranou vsouvislosti s jakoukoli činností.

17. Strany neprovedly, neiniciovaly ani nepřijalyřádné platby, oprávnění, přísliby či dary, ježjsou specifikovány v předchozích dvoučláncích v průběhu 24 měsíců

The Parties shall be entitled to immediatelyterminále this agreement by a written noticeif oné of the Parties believes that the other

Party violated the provisions of Clauses 15,16, and 17 hereof.

In case of discrepancy between languageversions the English version shall prevail.
